AND
EES CONSULTING, INC.
RELATING TO: SMART GRID INVESTMENT GRANT APPLICATION
THIS AGREEMENT is made and entered into this o�� s day of (a.A.C_
2011, by and between THE CITY OF PORT ANGELES, a non charter code city of the State of
Washington, (hereinafter called the "CITY") and EES Consulting, Inc., a Washington
Corporation authorized to do business in the state of Washington (hereinafter called the
"CONSULTANT
WHEREAS, the CITY desires professional services related to a Commercial and Industrial
Demand Response Economic Evaluation for its electric utility; and
WHEREAS, the CITY desires to engage the professional services and assistance of a qualified
consulting firm to perform the scope of work as detailed in Exhibit A, and
WHEREAS, the CONSULTANT represents that it is in full compliance with the statutes of the
State of Washington for professional registration and /or other applicable requirements, and
WHEREAS, the CONSULTANT represents that it has the background, experience, and ability
to perform the required work in accordance with the standards of the profession, and
WHEREAS, the CONSULTANT represents that it will provide qualified personnel and
appropriate facilities necessary to accomplish the work;
NOW, THEREFORE, in consideration of the above representations and the terms, conditions,
covenants, and agreements set forth below, the parties hereto agree as follows:
I REVISED SCOPE OF WORK
The scope of professional services to be performed and the results to be achieved by the
CONSULTANT shall be as detailed in the attached Exhibit A and shall include all services and
material necessary to accomplish the work.
The CITY may review the CONSULTANT'S work product, and if it is not satisfactory, the
CONSULTANT shall make such changes as may be required by the CITY. Such changes
shall not constitute "Extra Work" as related in Section XII of this Agreement.
The CONSULTANT agrees that all services performed under this Agreement shall be in
accordance with the standards of the profession and in compliance with applicable federal,
state and local laws.
The Scope of Work may be amended upon written approval of both parties.

II MAXIMUM COMPENSATION
The additional work authorized by the Amendment is in the total of $20,000.00, including all
items contained on Page 1 of Exhibit A.
III TIME OF PERFORMANCE
The work for each task shall be completed according to the schedule in the attached Scope of
Work, and must be completed on or before July 31, 2013.
IV SIGNATURES
Except as modified herein, the original AGREEMENT as amended shall remain in effect.
In WITNESS WHEREOF, the parties hereto have executed Amendment No. 4 to the
Agreement as of the date and year first written above.

EXHIBIT A: Statement of Work
The primary tasks involved in assisting the City are:
Task A Economic Evaluation of the C &I Demand Response Pilot Projects with BPA
Objective: To assist the City in Task 4: Economic Evaluation of the Commercial and Industrial
(C &I) Demand Response (DR) Pilot Project with BPA.
1. Project Management and Review: Attend by phone at most, two (2) project review
meetings with all project participants. Consult with the City's project manager on an as
needed basis.
2. Data Review and Manipulation: Obtain 12 to 15 months of 15- minute meter data from
eight (8) sites in the City of Port Angeles. This data will be provided in a form that is
sortable by date and time. Spend minimal time reviewing and /or manipulating the
metering data.
3. Template Development Modeling: Develop an economic analysis template. The
economic analysis will use the 15- minute meter data to develop a baseline energy use,
compare the power cost associated to the baseline customer with the power cost to that
customer after several demand response events. Develop a cost/benefit analysis for both
the customer and the City. BPA to supply costs associated with avoided transmission and
generation upgrades. It is anticipated the economic analysis template will serve as a tool
to assist utilities in evaluating demand response throughout the region.
4. Analysis: Populate the economic analysis template with two or three (2 -3) of the eight
(8) Integrated Load Management projects using Open ADR identified under Task 3.1 of
the City's project with BPA, with a focus on different load types. It is anticipated the
City or individuals customers will be able to complete the remaining analyses.
5. Reporting: Prepare a memo summary report of the results, including a description of
the economic template.
Deliverables
A draft summary memo and economic analysis template containing two to three of the Integrated
Load Management projects using Open ADR will be provided. Once the City has reviewed the
draft summary memo, EES Consulting will incorporate any comments or suggestions into a final
memo and economic analysis template. Once the project is completed, EES Consulting will
provide the City with a copy of the model.

Basic Fee Estimates
EXHIBIT B: Budget Costs for Each Task
EES Consulting charges the following hourly billing rates. The fee estimates for this project
have been developed on the basis of the following billing rates:

Based upon the above hourly billing rates, the following labor fee budget is estimated for the
scope of services presented for the electric rate study. If the scope of services is modified, EES
Consulting will discuss any required changes to the budget prior to proceeding with additional
work.

In addition, any presentations or meetings requested by the City are billed at the hourly rates
listed above. Out -of- pocket and travel expenses will be billed separately at their actual cost. The
above quoted fees will remain in effect until December 31, 2011.

Time Schedule
EXHIBIT C: Schedule for the Work
EES Consulting has staff available to begin work upon Agreement execution. EES Consulting
will develop the template prior to receipt of the 15- minute meter data. Once the meter data is
available, it is anticipated that initial results of the model can be available within 4 weeks.
