BETWEEN
THE CITY OF PORT ANGELES
AND
EES CONSULTING, INC.
RELATING TO: SMART GRID INVESTMENT GRANT APPLICATION
THIS AMENDMENT NO. 1 is made and entered into this day of
2010, by and between the City of Port Angeles, a non charter code city of the ate of
Washington, (hereinafter called the "CITY and EES Consulting, Inc., a Washington
Corporation authorized to do business in the State of Washington (hereinafter called the
"CONSULTANT
WHEREAS, the CITY entered into an AGREEMENT with the CONSULTANT on July 22,
2009, (the AGREEMENT); and
WHEREAS, the CITY desires to amend the AGREEMENT to amend the Scope of Work,
Budget, and Time of Performance;
NOW, THEREFORE, in consideration of the representations and the terms, conditions,
covenants and agreements set forth in the original AGREEMENT and this AMENDMENT, the
parties hereto agree as follows:
I REVISED SCOPE OF WORK
CONSULTANT will provide additional technical and analytic support services to CITY in: (1)
responding to the upcoming Bonneville Power Administration's demand response (DR) pilot
program solicitation and (2) preparing a Request for Proposals to solicit proposals from
Automatic Metering Infrastructure (AMI) vendors. The additional Scope of Work is as set forth
in a January 7, 2010 letter of EES Consulting, Inc., which is attached hereto as Exhibit "D" and
incorporated herein.
II MAXIMUM COMPENSATION
The CONSULTANT'S initial compensation and reimbursement as provided in the original
budget was $18,000.00. The additional compensation for work described in the revised Scope of
Work is $24,900.00. The total contract price for the original contract plus the additional work
authorized by this AMENDMENT is in the total amount of $42,900.00.
III TIME OF PERFORMANCE
The work for each task shall be completed according to the schedule in the attached Scope of
Work and must be completed on or before January 31, 2011.

IV SIGNATURES
Except as modified herein, the original AGREEMENT and Exhibits "A" through "C" shall
remain in effect.
In WITNESS WHEREOF, the parties hereto have executed this Amendment No. 1 to the
Agreement as of the date and year first written above.

SUBJECT: Proposal to Assist the City Port Angeles Respond to BPA Solicitation for
Demand Response and to Issue RFP for AMI Vendor
Dear Mr. Lusk:
EES Consulting is pleased to present this proposal in response to the City of Port
Angeles' (City) request for assistance in (1) responding to the upcoming BPA demand
response (DR) pilot program solicitation and (2) preparing an RFP to solicit proposals
from Automatic Metering Infrastructure (AMI) vendors. Below is a brief proposal
which includes our proposed statement of work, budget and schedule estimates, and our
proposed project staffing.
Background
BPA is planning to release a residential demand response pilot program RFP in January
of 2010 to achieve the following goals:
Develop strategies for BPA and utilities to work collaboratively to achieve effective
DR in the Northwest.
Test the integration of DR technologies with AMI systems in the residential sector.
Test residential customer recruitment strategy, education and program participation
persistence
Quantify costs and impacts of leading DR technologies in the residential sector.
Evaluate cost effectiveness and value of DR in residential applications.

Statement of Work
The primary tasks involved in assisting the City are:
Task A: Prepare Demand Response Pilot Program Proposal to BPA

EES Consulting will meet with City staff at the onset to review the solicitation issued
by BPA. As the solicitation is not available at this time, this scope and budget is a
preliminary draft based on similar projects.
EES Consulting will prepare the proposal to BPA in coordination with the City. In
addition, EES Consulting will provide a preliminary economic analysis of the program
costs and potential benefits over the time period requested by BPA. EES Consulting
will also address the potential for marketing approaches prior to and during the course
of the program.
Proposal writing assignments will be divided between City staff and EES Consulting
staff. EES Consulting will coordinate all writing tasks and document preparation as
well as provide an overall review of the document. The City will provide EES
Consulting with technical details as to the scope of the equipment available to the City
for use in the program and any details of the City system. In addition, EES Consulting
will send the complete document to City staff for a final review and incorporate any
comments into the final document prior to submittal to BPA.
It is anticipated EES Consulting will participate in up to four conference call meetings
with BPA and the City over the course of proposal preparation. Additional meetings,
travel expenses, and any BPA contract negotiations will be billed on a time and material
basis according to the billing rates outlined below.
Task B: Prepare AMI Request for Proposal
The City is planning to purchase and install advanced electric and water meters utility
wide. In order to accomplish this, the City will need to procure a vendor to supply and
install the equipment. EES Consulting will assist the City in preparing and issuing an
RFP and selecting a vendor in the following sub tasks:
Prepare RFP EES Consulting will be prepare the RFP with assistance from the
City. The City will provide EES Consulting with the technical term sheet (e.g.,
AMI requirements, system technical specifics) for the RFP package. A draft
contract will be included in the RFP package also. The City will notify AMI
vendors of the RFP.
Administrative Assistance The City will distribute the RFP notice and coordinate
respondent questions. EES Consulting will participate in the review of submitted
proposals, rank respondents, and assist the City with RFP questions and contract
negotiation with the selected vendor.
Directed Services EES Consulting will provide technical and analytical support
services as directed by City staff.
It should be noted that this proposed scope of services can be expanded or contracted at
the request of the City.
Budget and Schedule Estimates
EES Consulting charges for its services on a time and material basis. Our standard
billing rates are as follows:

Any out -of- pocket project related costs will also be billed to the City at their cost to

The scheduled completion dates are subject to the timing of the RFP release from BPA
and approvals from the City of Port Angeles. We are prepared to begin this project
upon receiving notice to proceed from the City staff.
Project Staffing
Kelly Tarp will serve as project manager with technical assistance from Brendan
O'Donnell and Steve Andersen. I will provide general oversight and review and serve
as the primary client contact for the City. We will also seek input and ideas from Gary
Saleba, Anne Falcon and Amber Nyquist as needed.
