BETWEEN
City of Port Angeles
and
Feiro Marine Life Center
This Agreernent is made between the City of Port Angeles, a non-charter code city and
mpnicipal corporation of the State of Washington (hereinafter referred to as the "City") and Feiro
Marine Life Center, a nonprofit corporation of the State of Washington (hereinafter collectively
called the Grantee) for the project described in this document and its attachments (herein called
the Project).
WHEREAS, pursuant to RCW 67.28.1815, the City of Port Angeles is authorized to expend
special excise tax funds for "paying all or any part of the cost of tourism promotion, acquisition
of tourism-related facilities, or operation of tourism-related facilities. "Tourism-related facility"
means real or tangible personal property with a usable life of three or more yea6, or constructed
with volunteer labor that is: (a)(i) Owned by a public entity; (ii) owned by a nonprofit
organization described under section 501(cX3) of the federal internal revenue code of 1986, as
amended; or (iii) owned by a nonprofit organization described under section 501(cX6) of the
federal intemal revenue code of 1986, as amended, a business organization, destination
mmketing organization, main street organization, lodging association, or chamber of commerce
and (b) used to support tourism, performing arts, or to accommodate tourist activities; and
WHEREAS, it is in the public interest that Port Angeles lodging tax funds be expended for
tourist promotion services within the City of Port Angeles; and
WHEREAS, the Grantee has agreed to perform the work and improvernents described in the
attached application; and
NOW, THEREFORE, the City and Grantee do mutually agree to the following terms and
conditions regarding the above mentioned prope(y to be improved using City funds through the
Lodging Tax Grant Program:
1. SCOPEOFSERWCES
The Grantee will complete in a satisfactory and proper manner as determined by the City the
work described in the Project Overview that is attached hereto, marked as Attachment A, and
incorporated herein by reference. A listing of detailed project tasks is marked as Attachment B,
and incorporated herein by reference.
2, GRAA'TEE'S OBLIGATIONS
The Grantee warrants that they are to perform the proposed improvements described in
Attachment B.
Grantee agrees to complete work described in the attached Plans and Specifications by
Decernber 31,2017 . tn the event the Director of Community and Economic Development finds
that the Grantee has prosecuted the work with reasonable diligarce but, due to factors beyond its

reasonable control, the Grantee is unable to complete the work within 180 days, the City
Manager is authorized to extend the time to complete the work.
All improvements shall be consistent with sign zoning and building codes currently in effect for
the City. The Grantee shall assure that any permit or review necessary under City Ordinance
shall be approved before the work begins.
The Grantee shall be responsible for the construction and management of the entire project.
3. BUDGET
The City will reimburse to the Grantee the amount of $12,000.00, for eligible incurred costs and
expenses for the Project according to the budget shown on the Attachment B. Only the work
that is outlined in Attachments A & B will be eligible for reimbursernent.
It is understood that this agreement is funded with Lodging Tax program income firnds. The
Grantee acknowledges and agrees that the funds must be used only for Lodging Tax eligible
expenditures.
4. PAYMENT
Disbursernent offunds shall be made only after the Project is complete and certified by City staff
to be in compliance with the approved design. The work must also adhere to any required
inspections before funds are disbursed for reimbursernent. All documentation for payment must
be provided at one time to the City for one payout, and the receipts must be provided no later
than six (6) months after the application has been approved or as stipulated in the request for an
extension. Payment will be made to the Grantee by the City within four weeks after City deans
all Project costs and documentation to be complete. Payment shall be made only to the Grantee.
The Grantee's submission must include iternized invoices detailing the work completed and
matfiials purchased, with proof that payments in full have been made to Contractors and
vendors, if applicable.
Grantee acknowledges, and agrees to inform its Contractor, that the City has no obligation to pay
the ConEactor for work performed for the Grantee under this Program. This agreement shall not
be construed or deemed to be an agreement for the benefit of any third party or parties, and no
third party shall have any claim or right ofaction hereunder for any cause whatsoever.
Unless otherwise agreed to in writing by both parties, the Grantee's total reimbursernent under
this agreernent, including labor and materials, shall not exceed the maximum sum of$12,000.00.
The budget for labor and materials is found in Attachment B. Budgets for each line itern may be
modified upon mutual agreement between the two parties, but in any event, the total payment to
Grantee shall not exceed S12,000.00.

5, GENERAL CONDITIONS
A. Ceneral Compliance. The Grantee agrees to comply with all applicable Federal, state and
local laws, regulations, and policies, governing the funds provided under this agreernent.
B. Effective Date. Grant was approved by the city council on Novernber l, 2016 which is the
effective date of this agreernent.
C. Indepen dent Contractor. Nothin g contained in this agreement is intended to, or will be
construed in any manner, as creating or establishing the relationship of employer/ernployee
between the parti es. The Grantee will at all times remain an "independent contractor" with
respect to the serv'l ces to be performed under this agreement. The City will be exernpt from
payment of all Unanploym ent Compensation, FICA, retiranent, life and/or medical
insurance and Workers' Com
contractor.
D. Hold Harmless. The Grantee will hold harmless, defend and indernni$ the city from any
and all claims, actions, suits, charges and judgrnents whatsoever that arise out o f the
Grantee's performance or nonperformance of the services or subject mafter called for in this
agreement.
E Workers' Compensation.The Grantee will provide Workers' Compensation Insurance
Coverage for all of its employees involved in the performance of this agreement.
F Contract with Contractor. Each contractor who is performing the work approved for this
Project shall have a valid State of Washington Contractor's License.
G. Labor Code/Prevailin Wage.Grantee acknowledges and agrees that the Grantee's
improvernents to be constructed with the proceeds of the grant constitute construction,
alteration, dernolition, installation, or repair work done under contract and paid for in whole
or in part out of public funds. Grantee shall comply with all requirernents of applicable
federal, state and local laws and regulations pertaining to labor standards and payment of
prevailing wages (collectively, "Prevailing Wage Laws").
Grantee shall (i) require its contractors and subcontractors to submit certified copies of
payroll records to Grantee; (ii) maintain complete copies of such certified payroll records;
and (iii) make such records available to City and its designees for inspection and coplng
during regular business hours.
Grantee shall defend, indernnify and hold harmless the City and its officers, ernployees,
volunteers, agents and representatives from and against any and all present and future
claims, arising out of or in any way connected with Grantee's obligation to comply with all
Prevailing Wage Laws, including all claims that may be made by contractors, subcontractors
or other third party claimants.
H. Fundi Source Reco t10n.The Grantee will insure recogrrition of the roles of the City rn

L Suspens ion or Termination. The Ci ty may suspend or terminate this agreernent if the
Grantee materially fails to comply with any terms of this agreernent, which include (but are
not limited to) the following:

statutes, regulations, guidelines, policies or directives as may become applicable at any
time;
Failure, for any rqrson, of the Grantee to fulfill in a timely and proper manner its

Submission by the Grantee to the city of reports that are incorrect or incomplete in any
material respect.

A. Financial Manasement Accountin s Standards The Grantee agrees to adhere to the
accounting principles and procedures required therein, utilize adequate internal controls, and
maintain necessary source documentation for all costs incurred.
B. Documentation and Record Keepins. The Grantee will maintain thorough records pertinent
to the activities to be funded under this agreement, including records adequate to document that
the funds were exporded on lodging tax eligible activities.
C. Access to Records and Retention. All such records and all other records pertinent to the
work undertaken under this agreement will be retained by the Grantee for a period of six years
after the City's final audit of Project, unless a longer period is required to resolve audit findings
or litigation. In such cases, the City will request a longer period of record retention.
D. Audits and s. All Grantee records with respect to any matters covered by this
Agreernent will be made available to the City and duly authorized officials of the state and
federal government, at any time during normal business hours, as often as deerned necessary, to
audit, examine, and make excerpts or transcripts ofall relevant data.
Any deficiencies noted in audit reports must be fu1ly cleared by the Grantee within 30 days after
receip by the Grantee. Failure of the Grantee to comply with the above audit requirements will
constitute a violation of this agreement and may result in the withholding of future payments.
E. Reportine. The Grantee, at such times and in such forms as the City may require, will
fumish the City such periodic reports as it may request pertaining to the work or services
undertaken pursuant to this agreernent, the costs and obligations incurred or to be incurred in
connection therewith, and any other matters covered by this agreernent.
7. PERFORMANCEWAIVER
The City's failure to act with respect to a breach by the Grantee does not waive its right to act
with respect to subsequent or similar breaches. The failure of the City to exsrcise or enforce any
right or provision will not constitute a waiver ofsuch right or provision.
8. ENTIREAGREEMENT
This document states the entire agreernent between the City and the Grantee for the use of funds
received under this agreement and it supersedes all prior communications and proposals, whether
electronic, oral, or written between the City and the Grantee with respect to this agreement.

Feiro Marine Life Center is proposing to improve the exterior 'front porch" of the facility it operates for
the City of Port Angeles as part of an overall capital improvement project designed to make the current
facility more inviting in th€ short-term and to expand the exhibits and learning resources available for
guests.
Attached is a plan developed by Jack Galloway, semi-retired landscape architect with Olympic National
Park and Feiro Board member. Jack has consulted with Corey Delikat and Jim Brietbach ofthe CiVs
Parks & Recreation Department on this design. The intention is to modify the sandy area and planter
boxes immediately surrounding the front of the Marine Life Center so as to add more visual clarity and
aesthetic, improve the "draw" to linger in that spot, and increase the 'finished" space available for
education and interpretation programming.
This improvement is part of a series of capital improvements Feiro has been implementing to do a
befter job of attracting visitors, specifically tourists from out of town who do not know the
organization's long history of community engagement or who are not participating in a local school-
based education program. ln 2015, the Feiro Board allocated reserve funds to replace worn carpeting
and replace fluorescent drop light fixtures with unobtrusive spotlight [ED can lights. We were also
successful in applying for a Port of Port Angeles Community Partner Program award to design a new
exhibit on the native Olympia oysters, and to improve the entry way look and feel. Visitors who are
unfamiliar with Feiro often didn't know what to expect when they glanced in the door. lt did not have a
consistent designed look and feel. We also received grants in 2016 for improved signage at our location
(Jackson Smart's renewed and repainted sign was installed at the end of September - the light pole
banners are still in design phase).
Due in part to the finished improvements, more attention paid to out of area public relations and to
developing marketing partnerships (such as with the PA Whale Watch), we are on track in 2016 to
exceed our highest attendance since we became a non-profit in 2008, and estimate we will see better
than 25,000 visitors overall. Visitors from out of the area come because we are a visible destination
where anyone can have an enjoyable time learning about our local marine life. We feature a wide
variety of tide pool creatures, fish and a giant Pacific octopus, we have a stellar volunteer corps and staff
who take care to greet and talk with each guest about our area, we offer hands-on activities for youth,
as well interpretive signage for adults, and we have a trusted voice as a non-profit about places to see
whales, tide pools and other aspects of the Olympic Peninsula coast.
By funding this project, this improvement to the outdoors will give us the opportunity to install
interpretive signs, public seating and use the space for Port Angeles Harbor-themed interpretive talk or
animal encounters (with our collection animals) in summer 2016.
While we are continually seeking ways to improve on our mission, it is especially critical that we attract
paying guests, as we are still looking to make up more than 522,000 lost from the City's budget
reprioritization. This project would help add to our attractiveness and experience, and thus to our
revenue.

3. This represents total visitation to the facility, 2/3 of which are from more than 50 miles away.
Anecdotal estimates were used to create the number of people who are staying overnight in a paid
lodging vs. with friendsfamily. Many of our visitors travel as families.
4. We see 2/3 of our seasonal visitors from out of the region. we are the only public aquarium open 7
days a week on the Peninsula, as well as handicapped accessible. A large proportion of our tourism
comes from inland regions wanting to experience the coast.
6. We are primarily targeting visitors who come from inland WA and the middle U5. They want to
experience more before theY visit the coast or when they return from a trip, but haven't had much
exposure previously. we attract adults in pairs, as well as families.
7. Despite an extremely small advertising budget, we do very well with TripAdvisor reviews, social media
(paid and organic) and rack cards in localvisitor centers. For 2017 we have purchased an ad in the Port
Angeles KOA prinvdigital marketing, and will be partnering with Red Lion Hotel on a package dealfor
families during Spring Break. Our location on City Pier has excellent draw for ferry and cruise ship
passengers. We have been slowly improving the facility and signage as funds become available.
8. We are consistently asked for recommendations of places to eat or shop, especially the 'best place to
get seafood,'as well as for more information about the whale watch tour. ln addition, we partner with
local businesses to mutual benefit. ln 2015 we partnered with Bada NW, Country Aire, Sweet & Salty
FroYo and PA whale watch. 2017 will include Red Lion Hotel.
9. ln 2015 we received funds for other interior capital improvements from the Port of Port Angeles
community Partner Program and used modest funds from reserves. ln 2016 we again received Port
funds to develop new banners (currently in design).
10. 512,000, we are requesting the entire amount from the Lodging Tax Fund. Nor'wester Rotary has
agreed to provide labor in-kind (see attached).
11. Due to the integrated nature of the landscape proiect, the elements that would be discarded are the
interpretive signage and picnic table. We may not need the contingency, but it was recommended that
we include it.

As part of "sprucing up" the outdoor area immediately in front of Feiro and turning it into an interpretive plaza, we
are proposing to build a cedar seat wall and make improvements to the planting bed show in the photos above.
This would involve the removal of the eroding pressure treated timber edging and replacement with 6" x6" x2g'
cedar beams connected with the lag bolt and topped with a seat. The planting beds would be filled to match the
seat wall level with crushed rock and mulched bark, and native plants would be added. This way the mulch would
not erode towards the water, as it has been doing due to the concrete seat wall being higher than the treated
lumber base of the planting bed (see photo above). This would provide the opportunity to add educational plant
identification signs. Renderings are provided in this packet.
ln addition, the sand area would be reworked so that the surface is level and uniform along the base of the seat
wall and extends out to the east (see photo below). The uniform and firm sand surface would lend itself to
placement of one or two portable picnic tables. Feiro would work to maintain the sand surface with our Rotary
partnerships and volunteer corp' which does maintenance activities several times a year.
The two trees immediately to the east of the Feiro main entrance would be carefully pruned to open views to the
arrival sign and art work. Park and Recreation staff committed to do the pruning.
The portable picnic table will be removed and stored by Feiro nightly. This might also be an opportunityto
integrate the "tables and chairs" idea that Council Member Sissi Bruch raised in the City Council meeting. Main
Street Port Townsend has implemented this idea, and it allows for rest and community building.

Dear Melissa:
This letter is being provided to confirm Nor'wester Rotary's commitment to provide the
labor necessary to construct the new Entry Plaza lmprovements at lhe Feiro Marine Life
Center building on City Pier in Port Angeles. We understand the work to generally
consist of conslruction of wood seat walls, banier timbers, concrete paver installation,
and improved planting beds. The area of work is to the east of the building between the
existing concrete retaining wall and the top of the rock revetment along Hollywood
Beach/Port Angeles Harbor: the scope is based on conceptual plans prepared by Jack
Galloway.
Our club had completed similar proiects in the past, including the Port Angeles Skate
Park, restroom and conccssion stand at Volunteer Field, and the downtown murals. Our
lead person on this proiec{ will be Jayson Grice, a local contractor with experience in
concrete and wood construction. We are confid€nt that we can provide Feiro with
appropriately skilled people who will accomplish the work in a high quality manner
consistent with Feiro's goals and vasion.
