CONTRACT FO R PURCHASE OF BIOSOLIDS DEWATERING

THIS AGREEMENT made and entered into in triplicate by and between the City of
Port Angeles, WA, hereinafter called the "City", and FKC Co., Ltd., herein after
called the "Supplier."
WITNESSETH:
That in consideration of the terms and conditions contained herein and
attached and made a part of this Agreement, the parties hereto agree as
follows:
I. The Supplier shall supply al1 goods, equipment, materials, and supplies, and
perform all work and services in accordance with and as described herein
and in the attached FKC Proposal Number OT032317roR1. that is by this
reference incorporated herein and made a part hereof.
II. The Work of this Contract consists of the manufacture, delivery, startup,
and associated services for fumishing the following goods:
One (l) each FKC Model BHX-800x4500L Screw Press with 2HP
motor
One (l) each FKC 175 gallon Flocculation Tank with agitator and
motor
One (1) each Floc Tank Access Platform - aluminum
One (1) each FKC horizontal distributing Screw Conveyor with inlet
transition chute
One (1) each NEMA 4 Control Panel
One (1) each Polymer Makedown System
m. Contract Times: The above listed goods are to be delivered to the Port
Angeles Wastewater Treatrnent Plant jobsite by O ctober 31, 2017 .
U- Contract Price: City shall pay Seller for fumishing the Goods and
Services in accordance with the attached documents in current funds
follows: Lump Sum of $417,889 (four hundred seventeen thousand eight
hundred eighty-nine dollars)
EOUIPMENT
V. Assignment: City has the right to assigrr the Contract for fumishing Goods
and Special Services hereunder and Seller shall accept such assignment.
Forms documenting the assignment of the Contract are attached as exhibits to
this Agreement.
1 . The Contract will be executed in the name of City initially, and may be
assigned to a construction contractor desigrrated by City. The
assignment may occur on tlle effective date of the agreement between
City and the Construction Contractor, which is expected to occur on or
about Octobff 1, 2017. As of the date of acceptance of assignment by
the construction contractor, all references in the Contract to City shall
mean the designated contractor whose responsibilities will include the
installation of the Goods.
2. The assignmant of the Contract shall relieve City from al1 further
obligations and liabilities under the Contract. After assignment, Seller
shall become a subcontractor or supplier to the assignee and, except as
noted herein, all rights, duties, and obligations of City under the
Contract shall become the rights, duties and obligations of the assignee.
3. After assignment: All performances warranties and guarantees required
by the Contract will continue to run for the benefit of City and, in
addition, for the benefit of the assignee.
VI. The Supplier shall provide and bear the expense of supplying all goods,
equipment, materials, and supplies, as well as all work and labor of any
sort whatsoever that may be required or incidental to such goods,
equipment, materials and supplies as provided for in this Contract and
every part thereof.
VII The Supplier agrees to accept as fulI payment hereunder the amounts
specified in the Proposal, and the City agrees to make payments at the times
and in the manner and upon the terms and conditions set forth in said
Proposal, as modified and superseded by the Specifications.

the laws of

corporation organized under the laws ofthe State of
WHEREAS, City contracted with Supplier to fumish a Screw Press and
ancillary equipment (Screw Press);
WHEREAS, City has entered into a contract with Contractor for the installation of
the Screw Press and ancillary work;
WHEREAS, the contract between City and Contractor contemplates the
assignment of the contract;
WHEREAS, it is intended that Contractor will coordinate with Supplier for the
supply, delivery, storage, and installation ofthe Screw Press;
WHEREAS, to assist in the housing and installation of the Screw Press the parties
agree to assign City's responsibilities in the contract to Contractor;
NOW WHEREAS, it is mutually agreed by and between the undersigrred
parties as follows:
The contract between City and Supplier for the procurement ofa Screw
Press from the executed contract titled "Contract for Purchase of Biosolids
Dewatering Equipment" (see Exhibit A) is hereby assigrred, transferred,
and set over to Contractor, who shall be responsible for City's obligations
contained in the Screw Press purchase contract. Contractor shall provide
all items supplied by the Supplier specified in the Technical Specifications
for a complete and operable Screw Press facility. This assignment will be
effective when signed by all three parties.
This assignment ofthe contract is intended to facilitate the smooth
provision of technical information and support between Contractor and
Supplier during the course of general construction work (i.e., the
installation of the Screw Press), while retaining City's rights to enforce
all guarantees, warranties and service programs under the contract. Until
final acceptance ofthe general construction work, both the Contractor and
City may enforce all guarantees, warranties and

service programs under the contract. Upon final acceptance of the general
construction work, the Contractor shall assign the contract back to the City. This
second assignment will occur automatically upon final acceptance, without further
action by the sigratories below. Prior to and following final acceptance, Contractor
shall provide City with all information and/or assistance necessary for maintaining
City's continuing rights under the contract including, but not limited to, all
guarantees, warranties and service programs.

FKC is proposing the following equipment as part of a biosolids dewatering sy:tem at the City of
Port Angeles WWTP.
The proposed equipment package includes:

Note the transition chute between the screw press discharge and the screw conveyor inlet is included in
the price but additional onsite dimensions are required before the design can be linalized. The materials
of construction of the transition chute will be 304L SS.
The following is a revised proposal which conforms to the 100% Design Documents issued May
2017 entitled City of Port Angeles Wastewater Treatment Plant Biosolids Dewatering Proiect, City
Project No. WW{2-05.
EXCEPTIONS:
1. FKC intends to supply the Flocculation Tank Access Platform as shown in attached Submittal
Package which varies somewhal from the Typical Platform, Typical Post Base, and Typical Stair
Landing details shown on Drawing S502. Variations are minor and include the use of aluminum bar
grating for the upper platform rather than FRP grating and variations in the size of structural members
and attachment details.
2. Section I 1391 - Dewatering Screw Press, Paragraph 3.02 D 6 calls for 'Manufacturer to supply one
tote of polymer for initial startup' but FKC inlends to supply 4 each 55 gallon barrels instead.
3. Section 1 1245 Polymer System, Paragraph 3.05 Field Services: FKC engineer to provide startup,
training, adjustments and testing for Liquid Polymer Activation Units in lieu of engineer or technician
from polymer equipment supplier.
The price for the proposed equipment package is $417,889 including shipping, onsite startup and training
services, and excluding taxes and bonding.

1. Submittals shall include a bill of materials, CAD-based drawings, and Operations and
Maintenance Manuals for all equipment fumished by TSl.2. Required field startup services for this project is included.3. Panels fabricated by TSI are UL 508 labeled.4. The software to be developed by TSI shall remain the sole intellectual property of TSl.
Following acc€ptance and final payment, TSI will grant to the Owner a non-transferable, non-
exclusive license to use the software for the Owner's intemal purposes only.
STANDARD INCLUSIONS
We provide the following unless specifically excluded on our bill of material:
1) Equipment shipped FOB Job Site with freight allowed, taitgate, destination.2) Field wiring diagrams showing interconnection of field instruments and instrumentation panels
3) lnstruction manuals as required.
4) All necessary field start-up and calibration of the equipment we supply.
STANDARD EXCLUSIONS
We do NOT include the following unless specifically included in our bill of material
1) Pipe, tubing, valves or frttings between the instrument and the process.
2) Conduit, wire or cable not an integral part of the instrument.
3) Mounting brackets, stanchions, supports or mounting pads not an integral part of the instrument.4) Labor to install the equipment.
5) The Cost, (if due to local union regulations), to have local craftsman make adjustments or
wiring modifications to our equipment during start-up and calibration.
6) Any material or services not in our quoted sections.

The polymer makedown system proposed above is to be used to fill the existing polymer aging tank.
The existing polymer feed pump would be used to feed the polymer from the existing polymer aging
tank to the sludge feed line before the flocculation tank.

lab testing of performance test samples is not included.
9. Warranty
One ('1) year parts and labor warranty from date of startup
10. DocumentationSchedule
A. Approval Drawings - within 4 weeks after receipt of purchase order
Buyer must retum approval drawings within 14 days
or delivery schedule will be affected.
B. Certified Drawings - within 2 weeks after retum of approval drawings

11. PerformanceGuarantee
The performance figures and conditions denoted in section A of this proposal constitute FKC
Co., Ltd.'s performance guarantee and the conditions reguired to meet the guarantee. All of the
consistenry figures are based on total solids (TS) not total suspended solids (TSS).
ln the event that performance is not met, FKC will provide all parts, engineering, and labor
associated with the work necessary to bring the equipment into conformance with the
perforrnance guarantee.

The following is a revised proposalwhich conforms to the 100% Design Documents issued May
2017 entitled City of Port Angeles Wastewater Treatment Plant Biosolids Dewatering Project, City
Project No. \iWV-02-05.
FKC is proposing the following equipment as part of a biosolids dewatering system at the City of
Port Angeles WWTP.
The proposed equipment package includes:

One (1) each FKC Model BHX-800x4500L Screw Press with 2HP motor
One (1) each FKC '175 gallon Flocculation Tank with agitator and motor
One ('l) each Floc Tank Access Platform - aluminum (see exception #1 below)
One (1) each NEMA 4 Control Panel as specified
Four (4) each 55 gallon barrels of polymer (see exception #2 below)

Note the transition chule between the scre\,/ press discharge and the screw conveyor inlet is included in
the price but additional onsite dimensions are required before the design can be finalized. The materials
of construction of the transilion chute will be 304L SS.

EXCEPTIONS:
1. FKC intends to supply the Flocculation Tank Access Platform as sholvn in attached Submittal
Package which varies somewhat from the Typical Platform, Typical Post Base, and Typical Stair
Landing details shown on Drawing 5502. Variations are minor and include the use of aluminum bar
grating for the upper platform rather than FRP grating and varialions in lhe size of structural members
and attachment details.
2. Section 11391 - Dewatering Screw Press, Paragraph 3.02 D 6 calls for 'Manufacturer to supply one
tote of polymer for initial startup' but FKC intends to supply 4 each 55 gallon banels instead.
3. Section 1 1245 Polymer System, Paragraph 3.05 Field Services: FKC engineer to provide startup,
training, adjustments and lesting for Liquid Polymer Activation Units in lieu of engineer or technician
from polymer equipment supplier.
The price for the proposed equipment package is $417,889 including shipping, onsite startup and training
services, and excluding taxes and bonding.

General
1- Submittals shall include a bill of materials, CAD-based drawings, and Operations and
Maintenance Manuals for all equipment fumished by TSl.
2. Required field startup services for this project is included.
3. Panels fabricated by TSI are UL 508 labeled.
4. The software to be developed by TSI shall remain the sole intellectual property of TSl.
Following acceptance and final payment, TSI will grant to the Owner a non-transferable, non-
exclusive license to use the software for the Owne/s intemal purposes only.
STANDARD INCLUSIONS
We provide the following unless specifically excluded on our bill of material:
1) Equipment shipped FOB Job Site with freight allowed, tailgate, destination.
2) Field wiring diagrams showing interconnection of field instruments and instrumentation panels
3) lnstruction manuals as required.
4) All necessary field start-up and calibration of the equipment we supply.
STANDARD EXCLUSIONS
We do NOT include the following unless specifically included in our bill of material:
1 ) Pipe, tubing, valves or fittings between the instrument and the process.
2) Conduit, wire or cable not an integral part of the instrument.
3) Mounting brackets, stanchions, supports or mounting pads not an integral part of the instrument.
4) Labor to install the equipment.
5) The Cost, (if due to local union regulations), to have local craftsman make adjustments or
wiring modifications to our equipment during start-up and calibration.
6) Any material or services not in our quoted sections.

11. PerformanceGuarantee
The performance figures and conditions denoted in section A of this proposal constitute FKC
Co., Ltd.'s performance guarantee and the conditions required to meet the guarantee. All of the
consistency figures are based on total solids (TS) not total suspended solids [tSS).
ln the event that performance is not met, FKC will provide all parts, engineering, and labor
associated with the work necessary to bring the equipment into conformance with the
performance guarantee.

Following acceptance and final payment, TSI will grant to the Owner a non-transferable, non-
exclusive license to use the software for the Owne/s intemal purposes only.

STANDARD INC LUSIONS

5) The Cost, (if due to local union regulations), to have local craftsman make adjustments or
wiring modifications to our equipment during start-up and calibration.

A RESOLUTION of the City Council of the City of Port Angeles,
Washington, authorizing the Public Works and Utilities
DeparEnent to purchase a FKC Model BHX-800x4500L screw
press with 2HP motor and associatod accessories through FKC
Co., Ltd., a sole source provider of the FKC Model BHS
800x4500L screw press and accessories.
WHEREAS, the City of Port Angeles Wasle Water Treatrnent Plant produces
class B biosolids that are combined with green waste to produce class A compost. In
order to produce class B biosolids at the Waste Water Treatment Plant, the material must
be dewatered. Currently, the City uses a belt press to dewater the material, but the belt
press is inefficient, requires significant maintenance, and produces sigtificant press rff)m
humidity, occasional spills, and odors; and
WHEREAS, a screw press is more efficien! provides flexible feed rates, and
are similar to the currently us€d belt press. A screw press is also enclosed and can be
vented into the Waste Water Treatrnent Plant HVAC system providing moisture and odor
control; and
WHEREAS, the FKC screw press is the only screw press that can modified to
produce class A biosolids, allows for custom control systems rather than a
preprogrammed package; has readily available parts and factory service in the state of
Washington; includes instrumentation and integration with the City's other process
equipment through a polymer system; and includes fitnent and modified equipment to
accommodate existing infrastructure; and
WHEREAS, FKC Co., Ltd. is the sole source provider and distributer of FKC
Model BHX -800x4500L screw presses and accessories in Washington; and

WHEREAS, RCW 39.04.280 provides for an exernption from the competitive
bidding requirements for purchases that are clearly and legitimately limited to a single
source ofsupply.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Port Angeles that:
The City Manager is authorized to apprcve a purchase order with FKC, Co.,
Ltd.
PASSED by the City Council of the City of Port Angeles at a regular meeting
