EMPLOYEE LOAN AGREEMENT
CITY OF PORT ANGELES
and
JEFFERSON COUNTY
ThIS Agreement is made this /7 d day of August 2005 between the CITY OF PORT ANGELES
("City"), a Washington Municipal Corporation, and JEFFERSON COUNTY ("County"), a polItical
subdivision of the State of Washington.
WHEREAS, the County is in need of the professional services of a Director for the County emergency
dispatch center (Jeff Com) during the time needed for recruItment and hiring of a new Director; and,
WHEREAS, the City and the County agree that to insure the continued efficient and effective
operations of each of the emergency dispatch centers on the Olympic Peninsula It IS in the best interest of the
citIzens of the region and to that end the City is willing to provide the services of one of the City's experienced
emergency dispatch employees to act as the Interim Jeff Com Director.
NOW THEREFORE, in consideration of the mutual covenants and promises described herein the City
of Port Angeles and Jefferson County agree as follows:

The CIty agrees to ,loan Donna Hamlin, Communications Officer (the City employee) to Jefferson County to
serve as the InterirrdeffCom Director. Ms. Hamlin shall serve as Interim JeffCom Director.
Section 2. Term
This agreement shall commence August 15, 2005 and continue until September 13, 2005, unless terminated
earlier as provided in Section 6 below.
Section 3.
Duty Of The Employee
The City employee assigned to fulfill the obligations and duties of Interim Jeff Com Director will perform the
duties as outlined in the County job description for this position at the County's Jeff Com facilities.

Comp'~nsation
A) , Compens~~ion to the City F:mp'loyee: .~he City employee will remam an employee of the City with
all currently provided wages and health henefits.
B) Compensation to City: The County will reimburse the City for the employee's salary and benefits for
the term of this agreement to cover operations during the employee's absence, at an amount not to
exceed $7,000. The City will invoice Jefferson County for payment within 30 days upon completion of
the assignment and Jefferson County will pay within 30 days of the invoice request.

C) City Overtime: The County will reimburse the City at an overtime rate of $40.46 per hour for
overtime expenses if any are incurred because of the loan of this Supervisor. The City will provIde a statement
to the County documenting and explaining the overtime charge. The City Employee shall earn overtime for
any hours worked over 8 hours per day or 40 hour per week. The employee will obtain the authorization of the
County Administrator before working overtime and will report any overtime hours worked on behalf of the
County in the manner prescribed for City employees.
Section 5.
Liability Insurance
The County will maintain liability insurance coverage for the CIty employee while she IS serving as Interim
Jeff Com DIrector. This liability insurance will cover errors and omissIOns, comprehensIve general liability,
automobile and similar liabilities for statutory and contractual duties performed by the Employee as the Intenm
J effCom Director.
Section 6.
Defense And Indemnification
The County assumes any and all legal and financial responsibility for any acts of commission or omission that
the CIty employee may incur or create during the temporary assignment to the County as Interim Jeff Com
Director. This include any acts or events that mIght come to the City's and/or County's attention at some later
date, as long as it occurred as a result of the employee's assignment to Jeff Com.
Section 7.
Venue And Jurisdiction
The parties to this Agreement agree that this Employee Loan Agreement shall be construed and interpreted
pursuant to the laws and precedents of Washington State and that venue for any lawsuit arising from this
Interlocal Agreement shall be in the Supenor Court, Kitsap County.
Section 8.
Hold Harmless
The County shall defend, indemnify, and hold the City, ItS officers, members, employees and volunteers
harmless from any and all claims, injuries, damages, losses or suits mcluding attorney fees, ansing out of or m
connection with activities or operations performed by the City employee on behalf of County except for
injuries or damages caused by the sole negligence of the City employee.

Section 9.
Entire Agreement
This agreement for the provision of professional services constitutes the entire agreement between the parties
with respect to the subject matter thereof, and supersedes all prior written agreements and all prior or
contemporaneous oral agreements or understandings between the parties.
