Non-assignability: It is agreed that this contract and any rights and privileges contained herein shall not be assigned/or sublet by the exhibitor without prior consent in writing by KONP Radio. For Office Use Only: Sales Initial o Hold Harmless Approval Client # o Parking Notice Schedule # Rotation # . // 2000 KONP Home Show I Please read and sign that you understand Any exhibitor dismantling their booth prior to close of show (1 p.m. Sunday) will not be invited back to the 2001 KONP Home Show Exhibitors, including all booth workers, may not park in lot adjacent to the gym during the operational hours of the KONP Home Show. This lot must be left for those attending show. Exhibitors may park in shop lot below gym complex or in lower lots. There will be a Clallam. Transit trolley providing shuttle service. There is no parking restriction on Friday, February 25 during set-up or Sunday, February 27 AFTER 4 P.M., show close. I understand that failure to comply with parking requirements will result in loss of booth privileges and renewal opportunities. '''''7 'i ~ throe:> hereinafter referred to as "exhibitor", for the purpose of holding harmless and indemnifying KONPI KIKN Radiol Radio Pacific Incorporated, a Washington corporation, hereinafter collectively referred to as "RPI", from all loss and expense in connection with the undersigned's exhibitor display at the KONP Home Show. WHEREAS, the exhibitor has made application for an exhibitor display and booth at the KONP Home - Show referred to above; and WHEREAS, RPI requires, as an express condition of granting said exhibitor display, that the exhibitor execute the indemnity, hold harmless and release agreement contained herein; Now, therefore, in consideration of RPI's agreement to grant said exhibitor display and booth, we, the undersigned, agree and,bind ourselves, our heirs, successors and assigns, jointly and severally, to indemnify and hold and save harmless RPI against any demands, claims, loss, costs, damages,-expenses, and attorney's fees whatever, and,any and all-liability therefore, sustained odncurred by RPlincident to or arising of the exhibitor's use of the KONP Home Show facilities, and participation in the KONP Home Show referred to above, whether caused by the negligence or fault of the exhibitor, or others. Exhibitor further agrees to indemnify and hold and save harmless RPI from any demands, claims, losses, costs, damages, expenses, and attorney's fees incurred by reason of making any investigation on account of any such claim, demand or loss, prosecuting or defending any action brought in connection therewith, obtaining a release therefrom, or enforcing by litigation or otherwise any of the agreements herein contained. Exhibitor further covenants and agrees to maintain a comprehensive public liability insurance policy against property damage of personal injury properly protecting and indemnifying exhibitor and RPI for losses arising out of or incident to any activity or omission by exhibitor, its agents, independent contractors, employees, or invitees, arising out of or incident to exhibitor's use of the KONP Home Show facilities and participation in the KONP Home Show referred to above, and any and all costs, liability or expense resulting there from (including attorney's fees). ",r Upon request, exhibitor shall deliver a copy of said policy to RPI, including any rider or loss payable clause necessary in order to insure RPI as set forth herein. In further consideration of RPI entering into said exhibitor display agreement, exhibitor hereby releases and waives any claim, demand, loss, damages, or liability it may have against RPI for personal injury, death or property damage arising out of or incident to exhibitor's use of the KONP Home Show facilities and participation in the KONP Home Show referred to above.
