First Amendment
To the Facility Use Agreement
Between City of Port Angeles and
Port Angeles Farmers' Market

This amendment is entered into this _� of ,liu x2a$-1* by and between the
City of Port Angeles ("City") and the Port Angeles Farmers' Market. ("PAFM").
For and in consideration of the mutual benefits to be derived herefrom, the Parties
recite, covenant, and agree as follows:
1. The Parties entered into a Facilities Use Agreement on January 1, 2018.
This Agreement is incorporated by this reference and may hereafter be
referred to as "the Agreement."
2. This Amendment to the Agreement is intended to amend Section 7 of the
Agreement. Section 7 as amended will read in its entirety:
The PAFM board is currently engaged in a strategic planning process to
ensure that this community asset remains a financially sustainable State of
WA non-profit corporation. Realizing the benefits that the PAFM has on
the downtown year around, the City wants to help the PAFM achieve this
success.
To ensure that the PAFM has adequate storage now that the Heckman
building is being tore down, the Clallam Transit and the City have
approved the PAFM to build a $3,500 storage space in the below parking
garage. If the PAFM dissolves or moves, then the property of the storage
unit becomes the City's and the Clallam Transit's to use. Because the
PAFM is paying for this storage space, the City will exchange the cost of
the storage unit for the remaining six (6) month's rent in 2018.
3. Rental fees for the 2019 Use Agreement are not affected by this
Amendment and shall remain as agreed unless modified by a future
amendment.
4. All other terms of the Agreement remain unchanged.
5. As amended, the Agreement is ratified and confirmed.

IN WITNESS WHEREOF, the parties have executed this Amendment to the
Professional Services Contract in duplicate.-
