The City of Port Angeles (the City) requested the assistance of the Bonneville Power Administration, Transmission Services
(Bonneville) to perform emergency repairs on the City's 69 kV transmission line following storm damage on November 26,
2006. Bonneville and the City hereby set forth in writing the terms of such agreement:
Bonneville will. at the City's expense:
Provide emergency response and repairs to the 69 kV Nippon No.2 transmission line between Bonneville's Port Angeles
Substation and the Nippon Paper Mill on November 27 and 28, 2006, to restore electrical service to the Nippon mill.
Within a reasonable time following completion of work and execution of this agreement, Bonneville shall bill the City for the
actual project costs, as described in the attached Financial Terms and Conditions Statement.

FINANCIAL TERMS AND CONDITIONS STATEMENT
The cost of performing the project by the Bonneville Power Administration (Bonneville) at the
City of Port Angeles's (the City) expense shall be the actual cost of doing the work specified in
this agreement, plus an overhead rate of 55% for labor and 26% for materials, representing the
indirect costs of the project office plus the contractual support costs of contract negotiation,
billing and accounting functions, and contract management. The cost is estimated to be $40,000.
If at any time before completion of the project the City elects to stop work under this agreement,
Bonneville will cease all work and restore, as a cost to the project at the City's expense,
government facilities and/or records (1) to their condition prior to work under this agreement, or
(2) to some other mutually agreeable condition.
Within a reasonable time after completion ofthe project Bonneville shall submit an invoice to
the City for the actual project costs, plus overheads. The City shall pay the invoiced amount
within 30 days of the billing date.
Payments not received within 30 days ofthe invoice date will accrue interest on the amount due
from the invoice date to the date paid, at a rate of 12% per annum.

Dear Mr. McLain:
Enclosed are two originals of Agreement No. 07TX-12502 (Agreement) between the Bonneville
Power Administration (Bonneville) and the City of Port Angeles (the City). Under this Agreement
Bonneville will, at the City's expense, pefform emergency repairs on the City's 69 kV transmission
line following storm damage on November 26,2006.
If the City agrees with the terms and conditions, please sign both originals in Block 20, returning
one to the address listed below. The remaining original is for your records.
