PURPOSE: To amend Interagency Agreement C0700284 between the Department of Ecology,
hereinafter referred to as "ECOLOGY", and the CITY OF PORT ANGELES referred to as
"CITY".
IT IS MDT ALLY AGREED that Interagency Agreement C0700284 is amended as follows:
The Agreement Period is extended an additional three months. The period of performance will
end on March 31, 2008.
The CITY shall perform the work set forth in ATTACHMENT "B", the Scope of Work.
The Agreement Amount is increased by $20,000. Total consideration under the original
Agreement and aU subsequent amendments shaU not exceed $70,000.
This Amendment shaU be effective December 31, 2007.
AU other terms and conditions of the original agreement and any subsequent amendments thereto remain in

SUPPLEMENTAL SCOPE OF WORK for AMENDMENT NUMBER THREE
Prepare Development Concept and Process Analysis
Rayonier Property
The City of Port Angeles will prepare a development concept for the Rayonier property
(the Property) and summarize key process elements required to implement each concept.
The development concept will be guided by information from stakeholder interviews and
the public meetings conducted by the City. The purpose of the concept plan is to: 1)
further develop and refine potential development opportunities for the Property; 2) help
to identify assumptions associated with the conceptual plan that will require future
verification and clarification; and 3) allow for the identification of the process
requirements to achieve the conceptual development scenario. The City will also
continue to actively involve the public, local businesses and stakeholders in discussions
relevant to the phased approach to Rayonier redevelopment and Port Angeles harbor
cleanup.
The following are the proposed work tasks to assist the City during this next phase of
work:
Task 1 - Enter and Review Input from Questionnaires
At the October 18th public forum over 300 questionnaires were completed by community
members. The data from these questionnaires will be entered and summarized.
Task 2 - Continued Public Input
The City Manager and Principal Planner will continue efforts to interact with the
community on the phased approach to planning for the Rayonier site and the Port
Angeles waterfront. Activities will involve presenting and discussing stakeholder
summaries with a variety of City business groups, schools, and organizations. The City
will also meet individually with local businesses to discuss the opportunity created by
planning and cleanup efforts. Information will be shared on potential roles and how they
can actively participate in the process.
Task 3 - Prepare Conceptual Development Plan
This task is focused on preparing a conceptual development plan for the Property. The
development concept will be based on information from City staff and key stakeholders
and input received from community members at the pubic meeting. This concept is not
intended to represent an actual develop plan for the Property but to show potential future
uses of the property, to allow for the development of assumptions associated with

Property development, and to allow for the evaluation of the process needed to develop
the Property.
The conceptual plan will take into account a range of development scenarios including:
residential, commercial and industrial development, marine oriented development, open
space creation or enhancement, habitat restoration, cultural resources protection or
acknowledgment, and vehicular and pedestrian circulation. The plan will clearly identify
the general and specific assumptions and guiding principles that formed the basis of the
development scenarios.
The following are the specific work efforts and deliverables for this task:
1. Prepare a GIS compatible conceptual development plan for the Property
supported by general and specific assumptions and guiding principles.
2. Internally present, review and refine the conceptual development plan.
3. Prepare and transmit the final concept vision plan and associated assumptions
and guiding principles.
Task 4 - Prepare Process Analysis Summary
The City is interested in beginning to define the best uses for the Property and potential
procedural requirements and assumptions associated with different uses. The City will
prepare a narrative summary that outlines the regulatory framework and helps the City to
identify existing or needed policy actions. The City will also summarize assumptions
associated with re-development of the property and prepare a flow chart that helps to
illustrate the process required to entitle the Property for future development and re-use.
Estimated Budget
The City's estimated budget to complete the work outlined above is $20,000.
Completion Date
Work shall be completed by March 2008.

Phase I - Rayonier Site Reuse and Cleanup Concept
The scope of work attached to the City's agreement with DOE defines the end
result of Phase I. It requires the City to prepare a report for review by Ecology
that addresses the following:
· Summary of views on development options at the Rayonier Mill
site;
· Similarities and conflicts among the views;
· Assessment of how local land use and/or state cleanup decision-
making may realize or impede such development options;
· Recommendations as to how any such impediments can be
minimized or removed.

INTERAGENCY AGREEMENT
BETWEEN
THE STATE OF WASHINGTON
AND
THE CITY OF PORT ANGELES
THIS AGREEMENT is made and entered into by and between the DEPARTMENT OF
ECOLOGY, hereinafter referred to as "ECOLOGY" and the CITY OF PORT ANGELES hereinafter
referred to as the "CITY."
IT IS THE PURPOSE OF THIS AGREEMENT for the CITY to prepare recommendations for
a new community-based process to expedite decision-making for the cleanup of the Rayonler Port
Angeles MIll Site
THEREFORE, IT IS MUTUALLY AGREED THAT.
STATEMENT OF WORK
The CITY shall furnish the necessary personnel, equipment, material and service(s) and otherwise
do all things necessary for or incidental to the performance of the work set forth in Attachment "A"
attached hereto and Incorporated herein.
PERIOD OF PERFORMANCE::

Subject to Its other provIsions, the period of performance of this Agreement shall commence on
March 1, 2007, and be completed on September .1, 2007, unless terminated sooner as provided
herein
PAYMENT
Compensation for the work provided In accordance with this Agreement has been established under
the terms of RCW 39.34.130. The parties have determined that the cost of accomplishing the work
herein Will not exceed $50,000 Payment for satisfactory performance of the work shall not exceed
thiS amount unless the parties mutually agree to a higher amount.
BILLING PROCEDURE
The CITY shall submit properly completed invoices and Progress Reports monthly to Katherine
Scott, Contracts and Grants Officer for the Toxlcs Cleanup Program and copies of the inVOices and
reports to Rebecca Lawson, Project Manager. Payment to the CITY for approved and completed
work Will be made by warrant or account transfer by ECOLOGY within 30 days of receipt of the
Invoice Upon expiration of the Agreement, any claim for payment not already made shall be
submitted Within 30 days after the expiration date or the end of the fiscal year, whichever IS earlier
RECORDS MAINTENANCE
The parties to thiS Agreement shall each maintain books, records, documents and other eVidence
that suffiCiently and properly reflect all direct and indirect costs expended by either party in the
performance of the service(s) described herein These records shall be subject to inspection, review
or audit by personnel of both parties, other personnel duly authorized by either party, the Office of the
State Auditor, and federal offiCials so authOrized by law. All books, records, documents, and other
. ,
material relevant to this Agreement will be retained for SIX years after expiration and the Office of the
State Auditor, federal auditors, and any persons duly authorized by the parties shall have full access
and the right to examine any of these materials during this period
Records and other documents, in any medium, furnished by one party to this agreement to the other
party, will remain the property of the furnishing party, unless otherwise agreed The receiving party
will not disclose or make available this material to any third parties Without first giving notice to the
furnishing party and giving it a reasonable opportunity to respond. Each party will utilize reasonable
security procedures and protections to assure that records and documents provided by the other
party are not erroneously dIsclosed to third partIes.

INDEPENDENT CAPACITY
The employees or agents of each party who are engaged in the performance of thiS Agreement shall

AGREEMENT ALTERATIONS AND AMENDMENTS

TERMINATION
Either party may terminate thiS Agreement upon 30 days' prior written notification to the other party.

TERMINATION FOR CAUSE
If for any cause, either party does not fulfill In a timely and proper manner ItS obligations under thiS
Agreement, or If either party violates any of these terms and conditions, the aggrieved party Will give
the other party written notIce of such failure or Violation The responsible party Will be given the
opportunity to correct the violation or failure within 15 working days. If failure or violation is not
corrected, thiS Agreement may be terminated immediately by written notice of the aggrieved party to
the other
DISPUTES
In the event that a dispute arises under thiS Agreement, It shall be determined by a Dispute Board
in the following manner. Each party to this Agreement shall appoint one member to the Dispute
Board The members so appointed shall jointly appoint an additional member to the Dispute
Board The Dispute Board shall review the facts, agreement terms and applicable statutes and
rules and make a determination of the dispute The determination of the Dispute Board shall be
final and binding on the parties hereto As an alternative to this process, either of the parties may
request intervention by the Governor, as provided by RCW 4317.330, in which event the
Governor's process Will control

GOVERNANCE
This Agreement is entered into pursuant to and under the authority granted by the laws of the state
of Washington and any applicable federal laws The provisions of this Agreement shall be construed
to conform to those laws
In the event of an inconsistency In the terms of this Agreement, or between ItS terms and any
applicable statute or rule, the inconsistency shall be resolved by giving precedence In the following
order
a. Applicable state and federal statutes and rules;
b. Statement of work; and
c. Any other provisions of the agreement, Including matenals Incorporated by reference
ASSIGNMENT
The work to be provided under this Agreement, and any claim arising thereunder, is not assignable
or delegable by either party In whole or In part, without the express prior wntten consent of the other
party, which consent shall not be unreasonably Withheld
WAIVER
A failure by either party to exercise ItS nghts under this Agreement shall not preclude that party from
subsequent exercise of such nghts and shall not constitute a waiver of any other rights under thiS
Agreement unless stated to be such In a writing signed by an authonzed representative of the party
and attached to the original Agreement

If any provIsion of this Agreement or any provIsion of any document incorporated by reference shall
be held invalid, such invalidity shall not affect the other provisions of this Agreement which can be
given effect Without the invalid proVIsion, if such remainder conforms to the requirements of

Agreement are declared to be severable
All WRITINGS CONTAINED HEREIN
ThiS Agreement contains all the terms and conditions agreed upon by the parties. No other
understandings, oral or otherwise, regarding the subject matter of this Agreement shall be deemed to
eXiSt or to bind any ot the parties hereto.
AGREEMENT MANAGEMENT
The project manager for each of the parties shall be responsible for and shall be the contact person
for all commUnications and billings regarding the performance of thiS Agreement.

Statement of Work
Attachment A
THE DEPARTMENT OF ECOLOGY (Ecology) has identified the Port Angeles area as one
of six areas of focus for the Toxics Cleanup Program as part of the Governor's Puget
Sound Initiative. There are at least sixty cleanup sites listed on the Agency's Confirmed
and Suspected Sites List (Attachment B). As Ecology begins its concerted cleanup efforts
in Port Angeles Harbor, the Agency is desirous of approaching the cleanup process with
awareness of overall community objectives for preserving or enhancing redevelopment,
recreation and cultural opportunities in the Port Angeles area
Ecology wishes to engage the City of Port Angeles in a multiple-phased process to
consider the impacts of potential cleanup actions on possible development and
redevelopment options for the Port Angeles waterfront Phase I of this work will be a
consideration of redevelopment impacts from the Rayonier Mill cleanup. This, in turn, will
be incorporated into the subsequent Phase II harbor-wide cleanup and development
strategy. The City of Port Angeles is committed to working with Ecology on both Phase I,
Rayonier Mill Site, and Phase II, harbor-wide redevelopment strategy. This strategy may
ultimately guide the sequencing of state led MTCA cleanups and subsequent companion
local land use actions.

The City will work with the existing Ecology stakeholder advisory group (Rayonier Technical
Advisory Group) for the Rayonier Mill Site as needed. The City of Port Angeles will contact

Milestones:
The City will meet with Ecology no later than April 30, 2007 to discuss the preliminary
results of the City's work to date. The City will submit a draft report to Ecology by June
30, 2007. Ecology will have 30 days to provide comments, If any. The City will submit a

BETWEEN
STATE OF WASHINGTON

AND
CITY OF PORT ANGELES
PURPOSE: To amend Interagency Agreement C0700284 between the Department
of Ecology, hereinafter referred to as "ECOLOGY", and the CITY OF PORT
ANGELES referred to as "CITY".
IT IS MDT ALLY AGREED that Interagency Agreement C0700284 is amended as
follows:
The agreement period is extended an additional two months. The period of
performance will end on October 31, 2007.
The CITY shall perform the work set forth in ATTACHMENT "A", revision to
the project schedule of the Scope of Work.
This Amendment shall be effective May 14, 2007.
All other terms and conditions of the original agreement and any subsequent amendments
thereto remain in full force and effect.

The scope of work attached to the City's agreement with DOE defines the end
result of Phase I. It requires the City to prepare a report for review by Ecology
that addresses the following:
