Cutler, Director of Public Works & Utilities Parametrix Consultant Agreement for Landfill Services Summary: City staff negotiated a final close-out of Parametrix Consultant Agreement 07-11, addressing additional design and construction management work completed in support of two Solid Waste Landfill construction projects, including: 02-21 Landfill Shoreline Stabilization; and 06-22 Landfill Closure. Recommendation: Approve Amendment No.1 to Consultant Agreement 07-11, increasing the total amount by $66,325, from $694,491 to $760,816. Background/Analysis: Parametrix has provided engineering design, construction, and environmental monitoring support services for the Solid Waste and Wastewater Utilities since 1992. The subject agreement, signed in April 2007, was for an amount not to exceed $694,491. The major tasks for the agreement included final cell 3 closure design and construction support, shoreline stabilization (Revetment Wall) construction support, solid waste operations support, and related permitting and compliance activities. Parametrix completed additional work outside the original scope of work under the terms of the agreement. The understanding at the time of a contract extension granted to Parametrix in January of 2008, extending the contracting through March 31, 2008, was that the additional effort would not result in the need to increase the total agreement amount. However, subsequent to this time extension, Parametrix, in error, had an understanding that the total contract amount would be a not to exceed amount of$814,491. They had incorrectly added $120,000: The end result of this clerical error was the wrong assumption that there was enough money in the current agreement to cover the costs associated with additional work either directed by the City, or necessary in the completion of Parametrix's construction management efforts associated with the completion of the Closure of Landfill Cell 3 and Revetment Wall construction projects in 2007- 2008. Parametrix originally identified and billed the City for work in the amount of$135,280 over the "not to exceed" amount of $694,491. Discussions with Parametrix in the following months, July through December of 2008, clarified the reasons why this work was completed without an amendment adding additional funds to the agreement at the appropriate time. City staff agreed with Parametrix that the additional work was necessary, but disagreed with the method by which some of it was executed. Ensuing negotiations between City staff and Parametrix reduced the amount in question to $66,325. This figure more closely reflects the level of compensation that would have been negotiated up front. A description of the additional work is as follows: 1. Three months of additional project management, which includes all contract activities for the three-month extension to the period of performance from December 31, 2007 to March 31, 2008. Specific scope elements included client correspondence, financial tracking, responding to client requests for information, monitoring schedule of deliverables, coordinating and implementing staffing. The proposed fee agreement for three months of project management is $11,111. 2. Preparing a new Sampling and Analysis Plan for post-closure maintenance. This work was in response to Department of Ecology (DOE) requests for updated, instead of amended plans, which was assumed in the original scope of work. The proposed fee agreement for the revised Sampling and Analysis Plan is $6,552. 3. Additional effort for revising well installation plans and overseeing the installation of an additional monitoring well. This work was in response to DOE and Clallam County Environmental Health requests for a third monitoring well and expanded well monitoring. The proposed fee agreement for this additional work is $1,090. 4. Completing a tidal study and subsequent Tidal Study Report in response to requests from the DOE for more information than was anticipated in the original scope of work. The proposed fee agreement for this additional work is $12,513. 5. Parametrix's effort in responding to, and negotiating with, regulatory agencies overseeing the cleanup of an oil spill that occurred during final excavation activities on the Revetment Wall. This work was in response to. unanticipated conditions. The proposed fee agreement for this additional work is $35,059. City staff does recognize that Parametrix has played a critical role in assisting the City in its management of solid waste activities over the past 17 years. Parametrix has provided high quality services that have resulted in significant cost savings to the City during that time, and has consistently and pro actively managed budgets and changes in scope with City staff. The misunderstanding of the budget available for the aforementioned activities is unfortunate, but the value received by the City for this additional effort is real. The proposed fee adjustment totals $66,325. The remaining amount billed of $68,955 for Parametrix effort associated with TBH Claim support, completing permitting applications for the Corps of Engineers, or the full extent of construction monitoring provided during the Closure of Landfill Cell 3 or Revetment Wall construction was denied during negotiation with City staff. The Utility Advisory Committee, at its February 10,2009 meeting, forwarded a favorable recommendation to City Council, by a vote of 3-2, to approve Amendment No. 1 to Consultant Agreement 07-11, increasing the total amount by $66,325, from $694,491 to $760,816. Funds would come from the Solid Waste Post-Closure fund, which received sufficient funds from the now-closed Solid Waste Closure fund to cover this amount. WHEREAS, the CITY desires engineering consulting and planning services related to solid waste and landfill systems, and WHEREAS, the CITY desires to engage the professional services and assistance of a qualified consulting firm to perform the scope of work as detailed in Exhibit A, and WHEREAS, the CONSULTANT represents that it is in full compliance with the statutes of the State of Washington for professional registration and/or other applicable requirements, and WHEREAS, the CONSULTANT represents that it has the background, experience, and ability to perform the required work in accordance with the standards of the profession, and WHEREAS, the CONSULTANT represents that it will provide qualified personnel and appropriate facilities necessary to accomplish the work; NOW, THEREFORE, in consideration of the above representations and the terms, conditions, covenants and agreements set forth below, the parties hereto agree as follows: SCOPE OF WORK The scope of professional services to be performed and the results to be achieved by the CONSULTANT shall be as detailed in the attach~,p ,~xhibit A and shall include all services and material necessary to accomplish the w6~k. The CITY may review the CONSULTANT'S work deliverables, and if it is not satisfactory, the CONSULTANT shall make such changes as may be required by the CITY. Such changes shall not constitute "Extra Work" as related in Section XI of this Agreement. The CONSULTANT shall perform its services under this Agreement consistent with the professional standard of care, meaning the degree of care and diligence normally PMX 2007 Agreement Page 1 of 7 ~ ~ . , exercised by members of the consulting engineering profession currently practicing under similar circumstances. The Consultants services shall also comply with applicable federal, state and local laws. The Scope of Work may be amended upon written approval of both parties. II OWNERSHIP OF DOCUMENTS Upon completion of the work, all documents, exhibits, photographic negatives, or other presentations of the work shall become the property of the CITY for use without restriction and without representation as to suitability for reuse by any other party unless specifically verified or adapted by the CONSULTANT. However, any alteration or reuse of the documents, by the City or by others acting through or on behalf of the City, will be at the City's sole risk. III DESIGNATION OF REPRESENTATIVES Each party shall designate its representatives in writing. The CONSULTANT'S representative shall be subject to the approval of the CITY. IV TIME OF PERFORMANCE The CONSULTANT may begin work upon execution of this Agreement by both parties and the duration of the Agreement shall extend through January 31, 2008. The work shall be completed in accordance with the schedule set forth in the attached Exhibit B. V PAYMENT The CITY shall pay the CONSULTANT as set forth in this section of the Agreement. Such payment shall be full compensation for work performed, services rendered, and all labor, materials, supplies, equipment and incidentals necessary to complete the work. A. Payment shall be on the basis of the CONSULTANT'S cost for actual labor, overhead and profit plus CONSULTANT'S direct non-salary reimbursable costs as set forth in the attached Exhibit C. 1. Labor costs shall be based on the hourly rates shown in Exhibit B. Hourly rates shall be based upon an individual's hourly wage, times the total number of hours worked, times a multiplier of 3.0. The multiplier shall include overhead, CADD, computer and profit. General clerical time shall be considered an overhead item, except where specific work items are involved that require one hour or more continued effort, in which case time will be charged on the basis of hours worked. PMX 2007 Agreement Page 2 of 7 . 2. The direct non-salary reimbursable costs are those directly incurred in fulfilling the terms of this Agreement, including, but not limited to travel, subsistence, telephone, reproduction and printing, and supplies. No overhead may be added to direct non-salary reimbursable costs. The CONSULTANT may add a markup to Subconsultants and outside services subject to approval by the City. B. The CONSULTANT shall submit invoices to the CITY on a monthly basis. Invoices shall detail the work, hours, employee name, and hourly rate; shall itemize with receipts and invoices the non-salary direct costs; shall indicate the specific task or activity in the Scope of Work to which the costs are related; and shall indicate the cumulative total for each task. C. The CITY shall review the invoices and make payment for the percentage of the project that has been completed less the amounts previously paid. D. The CONSULTANT invoices are due and payable within 30 days of receipt. In the event of a disputed billing, only the disputed portion will be withheld from payment. E. Final payment for the balance due to the CONSULTANT will be made upon the completion of the work and acceptance by the CITY. F. Payment for "Extra Work" performed under Section XI of this Agreement shall be as agreed to by the parties in writing. VI MAXIMUM COMPENSATION Unless otherwise agreed to in writing by both parties, the CONSULTANT'S total compensation and reimbursement under this Agreement, including labor, direct non- salary reimbursable costs and outside services, shall not exceed the maximum sum of $694,491.00. VII EMPLOYMENT Employees of the CONSULTANT, while engaged in the performance of any work or services under this Agreement, shall be considered employees of the CONSULTANT only and not of the CITY, and claims that may arise under the Workman's Compensation Act on behalf of said employees while so engaged, and any and all claims made by a third party as a consequence of any negligent act or omission on the part of the CONSULTANT'S employees while so engaged, on any of the work or services provided to be rendered herein, shall be the sole obligation and responsibility of the CONSULTANT. In performing this Agreement, the CONSULTANT shall not employ or contract with any CITY employee without the City's written consent. VIII NONDISCRIMINATION PMX 2007 Agreement Page 3 of 7 . The CONSULTANT shall conduct its business in a manner, which assures fair, equal and non-discriminatory treatment of all persons, without respect to race, creed or national origin, or other legally protected classification and, in particular: A. The CONSULTANT shall maintain open hiring and employment practices and will welcome applications for employment in all positions, from qualified individuals who are members of minorities protected by federal equal opportunity/affirmative action requirements; and, 8. The CONSULTANT shall comply with all requirements of applicable federal, state or local laws or regulations issued pursuant thereto, relating to the establishment of non discriminatory requirements in hiring and employment practices and assuring the service of all persons without discrimination as to any person's race, color, religion, sex, Vietnam era veteran status, disabled veteran condition, physical or mental handicap, or national origin. IX SUBCONTRACTS A. The CONSULTANT shall not sublet or assign any of the work covered by this Agreement without the written consent of the CITY. B. The CONSULTANT will be using the firms submitted with its proposal as subcontractors. Subcontractors other than those listed shall not be permitted without the written consent of the CITY. C. In all solicitation either by competitive bidding or negotiation made by the CONSULTANT for work to be performed pursuant to a subcontract, including procurement of materials and equipment, each potential subconsultant or supplier shall be notified by the CONSULTANT of Consultant's obligations under this Agreement, including the nondiscrimination requirements. X CHANGES IN WORK Other than changes directed by the CITY as set forth in Section I above, either party may request changes in the scope of work. Such changes shall not become part of this Agreement unless and until mutually agreed upon and incorporated herein by written amendments to this Agreement executed by both parties. XI EXTRA WORK The CITY may desire to have the CONSULTANT perform work or render services in connection with this project, in addition to the Scope of Work set forth in Exhibit A and minor revisions to satisfactorily completed work. Such work shall be considered as "Extra Work" and shall be addressed in a written supplement to this Agreement. The CITY shall not be responsible for paying for such extra work unless and until the written supplement is executed by both parties. PMX 2007 Agreement Page 4 of 7 " XII TERMINATION OF AGREEMENT A. The CITY may terminate this Agreement at any time upon not less than ten (10) days written notice to the CONSULTANT. Written notice will be by certified mail sent to the consultant's designated representative at the address provided by the CONSULTANT. B. In the event this Agreement is terminated prior to the completion of the work, a final payment shall be made to the CONSULTANT, which, when added to any payments previously made, shall compensate the CONSULTANT for the percentage of work completed. C. In the event this Agreement is terminated prior to completion of the work, documents that are the property of the CITY pursuant to Section II above, shall be delivered to and received by the CITY prior to transmittal of final payment to the CONSUL TANT. XIIIINDEMNIFICATION/HOLD HARMLESS The CONSULTANT agrees to indemnify the CITY from any claims, damages, losses, and costs, including, but not limited to, attorney's fees and litigation costs, arising out of claims by third parties for property damage and bodily injury, including death, caused solely by the negligence or willful misconduct of the CONSULTANT, CONSULTANT employees, affiliated corporations, officers, and subcontractors in connection with the work performed under this Agreement. The CITY agrees to indemnify the CONSULTANT from any claims, damages, losses, and costs, including, but not limited to, attorney's fees and litigation costs, arising out of claims by third parties for property damage and bodily injury, including death, caused solely by the negligence or willful misconduct of the CITY, CITY's employees, or agents in connection with the work performed under this Agreement. If the negligence or willful misconduct of both CONSULTANT and CITY (or a person identified above for whom each is liable) is a cause of such damage or injury, the loss, cost, or expense shall be shared between the CONSULTANT and the CITY in proportion to their relative degrees of negligence or willful misconduct and the right of indemnity shall apply for such proportion. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the CONSULTANT and the CITY, its officers, officials, employees, and volunteers, the CONSULTANT'S liability hereunder shall be only to the extent of the CONSULTANT'S negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes the CONSULTANT'S waiver of immunity PMX 2007 Agreement Page 5 of 7 . under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. However, the CONSULTANT expressly reserves its rights as a third person set forth in RCW 51.24.035. XIV INSURANCE The CONSULTANT shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the CONSULTANT, its agents, representatives, employees or subcontractors. The CONSULTANT shall provide a Certificate of Insurance evidencing: 1. Automobile Liability insurance with limits no less than $1,000,000 combined single limit per accident for bodily injury and property damage; and, 2. Commercial General Liability insurance written on an occurrence basis with limits no less than $1,000,000 combined single limit per occurrence and $2,000,000 aggregate for personal injury, bodily injury and property damage. Coverage shall include but not be limited to: blanket contractual; products/completed operations; broad form property damage; explosion, collapse and underground (XCU) if applicable; and employer's liability; and, 3. Professional Liability insurance with limits no less than $1,000,000 limit per occurrence. Any payment of deductible or self insured retention shall be the sole responsibility of the CONSULTANT. The CITY shall be named as an additional insured on the Commercial General Liability insurance policy, as respects work performed by or on behalf of the Consultant and a copy of the endorsement naming the CITY as additional insured shall be attached to the Certificate of Insurance. The CITY reserves the right to review a certified copy of all required insurance policies in the CONSULTANT's office. The CONSULTANT'S insurance shall contain a clause stating that coverage shall apply separately to each insured against whom claim is made or suit is brought, except with respects to the limits of the insurer's liability. The CONSULTANT'S insurance shall be primary insurance as respects the CITY, and the CITY shall be given thirty (30) days prior written notice of any cancellation, suspension or material change in coverage. PMX 2007 Agreement Page 6 of 7 ~ , XV APPLICABLE LAW This Agreement shall be construed and interpreted in accordance with the laws of the State of Washington, and in the event of dispute the venue of any litigation brought hereunder shall be Clallam County. XVI EXHIBITS AND SIGNATURES This Agreement, including its exhibits, constitutes the entire Agreement, supersedes all prior written or oral understandings, and may only be changed, by a written amendment executed by both parties. This work is a continuation of Parametrix's work for Landfill Engineermg Services as described in our contract agreement dated October 26, 2000. The basis of work is derived from input received from City staff and may need to be revised during 2007 based on uncertainties and changes over time. Specific components of the work for the period of this contract include: . Task 1 Engineering Assistance for Solid Waste Management . Task 2 Permitting and Compliance Support . Task 3 Vacant . Task 4 Design Services . Task 5 Vacant . Task 6 Construction Services . Task 7 Directed Services All deliverables will be submitted electronically to the City when requested. Submittal will be by posting on a FrP site for City download. TASK 1 - ENGINEERING ASSISTANCE FOR SOLID WASTE MANAGEMENT This element of work will provide for engineenng services to support routine solid waste handling activities and landfill post-closure operations. Parametrix will work with City personnel to identify and develop operations criteria and perfolm services as directed by the City in response to site development, transfer statiOn coordination, or system mamtcnance requirements. Under this task, Parametrix will perform overall project management, cost control, schedule maintenance, scope development, and routine client communications necessary to deliver project elements of work in accordance with scope, budget, and schedule requirements. Task 1.1 - Gas System Maintenance and Monitoring Objective Consistent and compliant gas system operations. Activities Parametrix will evaluate gas system operations data and assist City personnel in continuing operations of the landfill gas systems. Assumptions None. Deliverables Routine communications and written recommendations for gas system, co-composting, and general post- closure operations assistance tasks. Maximum one per month. Parametrix will provide on-call technical assistance to landfill staff regarding conditions and issues that arise during the year. Activities This work will include construction observation, landfill management, materials management, and system maintenance and improvement, as necessary. Work will be performed as needed on an on-call basis. Assumptions None. Deliverables None identified at this time. Task 1.3 - Project Management and Coordination Objective Provide routine management and coordination of the project. Activities Parametrix wlll manage project activities, allocate resources, manage subconsuItants, monitor schedules and budgets, maintain client communications and provide monthly project status reports. Parametrix's Principal-in-charge will attend monthly meetings. Deliverables Parametrix anticipates the following work products for this task: . Monthly progress reports and invoices. Other direct costs as shown in Exhibit B are also included. · Co-composting support associated with operations, permits, and materials handling will be handled by others and is not included in this Scope of Work. · Parametrix staff will visit the POlt Angeles Landfill as needed (once per month, excluding construction management [Task 06)) to review landfill post-closure operations and meet with the operations team. · Monthly Principal-in-charge meetings will be at no labor cost to the City. Task 1.4 Solid Waste Planning Goal The objective of thiS task is to present information about the CSWMP to the Scquim City Council, Port Angeles City Council, and Clallam County Commissioners, in support of the document adoption process. All information will be incorporated to create a Final SWMP package for submittal to Ecology. Activities Specific components of the work to complete this task include: · Prepare a draft PowerPoint presentation - Parametrix will prepare a draft PowerPoint presentation that (1) describes the regulatory basis and process for updating the plan, (2) provides an overview of changes in solid waste management occurring in the county, (3) details some of the speCIfic issues and opportunities associated with the recent conversion to an export system, (4) identifies other issues and opportunities going into the next five years and beyond, and (5) outlines timeframe for next plan review. The draft will be submitted electronically to staff from the City of Port Angeles, City of Sequim, and Clallam County for one round of comments. · Prepare final PowerPoint presentationes) - It is assumed that each of the three jurisdictions may have slightly different comments/nuances to the presentation (e.g., titles, logos, minor edIts, etc.). Thus there may be three slightly different versions of the final presentation. Following modification, the final versions of the presentation will be submitted electronically to each jurisdictIOn. · Present infonnation at council meetings -. A Parametrix senior planner will give an approximately 10 minute presentation at three different meetings: Sequim City Council Meetmg, Port Angeles City Council Meetmg, Clallam County CommIssioners Meeting. · Prepare Final CSWMP - Parametrix will incorporate the resolutions of adoption from all participating jurisdictions and additional SEP A information into the camera ready and electronic CSWMP in anticipation of submittal to Ecology for their review and approval. TASK 2 - PERMITTING AND COMPLIANCE SUPPORT This element of work will provIde regulatory reporting and permit coordination for landfill post-closure operations. Work will include assisting the City with the collection of post-closure and environmental data and the preparation of routine reports for submittal to the Clallam County Environmental Health Department (CCHD) and Washington State Department of Ecology (Ecology). Reporting will be completed to achieve compliance with the solid waste operating permit and the Criteria for Solid Waste Facilities (WAC 173-351). Task 2.1 - Groundwater Monitoring Objective To assist the City with groundwater monitoring at the landfill as required by CCHD. Activities . Incorporate Ecology and CCHD comments and prepare revised and final Addendum No.2 to the Sampling and Analysis Plan. . Provide a geologist to observe installation of two new monitoring wells along the beach following completion of the shoreline remedial actlOO. This will include: ~ Prepare construction details of the two monitoring wells and the capabilities required of candidate drilling firms, for inclusion in the seawall contractor scope of work. ~ Obtain all necessary Ecology-required documentation including pennits, start cards, well construction reports, etc., from the driller. ~ Observe installation of monitoring wells during seawall construction. ~ Prepare a geologic log of strata encountered during drilling and well construction logs. )> Observe well development by the drilling contractor. . This support will include meetings with agencies including DNR, Ecology, Fish and Wildlife (WDFW) and other interested parties. Parametrix will work with City planning staff to coordinate the public process and meet conditional use requirements as needed. Parametrix will review and respond to comments from agencies and resolve outstanding issues from existing permits and permit applications. Activities Parametrix will perform the following; . Notifications of WDFW staff as required. . Completing easement with DNR. . Other applicable conditions as specified in the approved permits. . Parametrix will prepare a final O&M Plan to confonn to State and Local requirements as specified in previously approved permits. There is a need to evaluate coastal processes for the site and develop basic design parameters required for a coastal engineering solution including water levels and run-up elevations, wave heights, periods, directions, and longshore sediment transport conditions for the site. Activities The following activities will be performed as part of this task: · Proiect Coordination and Implementation Support: Provide support for project implementation and construction management efforts associated with the shoreline improvements and mitigation measures at the landfill as required. All tests will be performed in general accordance with their American Society for Testing and Materials (ASTM) or other referenced standards. · Contractor will conformance test all geosynthetics. · Soil, geosynthetic and geotechnical testing will be by the contractor. · Testing of concrete will occur once for each item tested. Testing for failcd samples is not included in this scope. · Testing for concrete strength will occur once for each batch of concrete. Activity 6.3.4 - Construction Observation Parametrix will provide full-time on-site construction obscrvers to document construction activities. Each day the Construction Contractor is on site, Parametrix will have a minimum of one observer on site. For the 2007 work, it is anticipated that the Resident Engineer will be on site an average of five 8 hour days per week for 25-weeks (125 working days from May 2007 to October 2007). The Resident Engineer will be on site after the initial 25 week full-time period, an additional six weeks at 24 hours per week in November and December 2007. One CQA Observer will be on-site from the start of the project in June 2007 through to the conclusion of major work on the project in September 2007. PROJECT 07-11 RELATING TO: 2007 SOLID WASTE AND LANDFILL ENGINEERING AND PLANNING SERVICES THIS AMENDMENT NO.1 is made and entered into this II &-day of a.~ . , 2009, by and between THE CITY OF PORT ANGELES, a non-charter code city of the State of Washington, (hereinafter called the "CITY") and Parametrix, Inc., a Washington Corporation (hereinafter called the "CONSULTANT"). WHEREAS, the CITY entereq in to an AGREEMENT with the CONSULTANT on April 17, 2007, (the AGREEMENT) and WHEREAS, the CITY, by mutual agreement, extended the Performance Period of the AGREEMENT with the CONSULTANT from December 31, 2007 to March 31, 2008, and WHEREAS, the CITY desires to amend and close out the AGREEMENT, by amending the Scope of Work and Budget, and adding a Release clause; NOW, THEREFORE, in consideration of the representations and the terms, conditions, covenants and agreements set forth in the original AGREEMENT and this AMENDMENT, the parties hereto agree as follows: REVISED SCOPE OF WORK The amended scope of professional services performed and the results achieved by the CONSULTANT pursuant to the AGREEMENT shall be amended as described in the attached Exhibit A. The revised Scope of Work therefore includes all services and material necessary to accomplish the work described in the original Agreement, as well as that described in Exhibit A. II TIME OF PERFORMANCE The Agreement performance period shall remain unchanged, extending through March 31, 2008. III MAXIMUM COMPENSATION The CONSULTANT'S total compensation and reimbursement are as stated in the attached Exhibit A, for a final amo.unt of $760,816.00. Each party does hereby waive and release the other from any and all claims, causes of action, damages, demands and rights that either party made or could have made against the other as of this date relating to Project 07-11. V SIGNATURES Except as modified herein, the original Agreement and its Exhibits A, Band C shall remain in effect.
