ARTICLE 5 Distribution of Assets on Dissolution or Final Liquidation. Upon
thc.. dissolution or final liquidation of the Corporation, the assets of the Corporation

distributed as follows.
(1) To the Open Bible Standard Churches, an Iowa
corporation, provided that the organization is then
qualified as an exempt organization under the provisions
of Section 501(c)(3) of the Internal Revenue Code of
1954, or any successor provision, and the regulations
thereunder; or
(2) In the event that the Open Bible Standard Churches, an
Iowa corporation, is nonexistent, or is not then qualified
as an exempt organization as set forth above, the assets
shall be turned over to a religious, educational, or
charitable organization or organizations whose purposes
are in harmony with those of this Region. Such recipient

organization or organizations must also be exempt from
federal income taxation under the provisions of Section
501(x)(3) of the Internal Revenue Code.
No assets of the corporation shall inure to any director, officer or member of the
Corporation or any other individual. Notwithstanding anything to the contrary herein,
no articles of dissolution shall be filed with the Corporation Division until the
Corporation has given the notice required by law to the Oregon Attorney General, and
no asset shall be transferred or conveyed as a part of the dissolution, until all
provisions of Oregon law have been complied with.
ARTICLE 6 Purpose of the Corporation This Corporation is intended to
qualify as a tax exempt nonprofit entity under Section 501(c)(3) of the Internal
Revenue Code, as amended from time to time, and as a religious corporation as
defined under Oregoli Revised Statutes, Chapter 65, as amended from time to time.
The Corporation has been established as a nonprofit corporation for rehgious,
chantable, scientific and educational purposes within the meaning of Section 501(c)(3)
of the Internal Revenue Code. Specifically, the Corporation's purpose is to glorify
God, bring people to Jesus Christ, and minister to spiritual, emotional physical and
social needs. Notwithstanding any other provisions of these Articles, the Corporation
shall not carry on any activity not permitted to be earned on by an organization
exempt from federal income tax under Section 501(x)(3) of the Internal Revenue
Code.
ARTICLE 7 Restrictions. No part of the net earnings of the Corporation shall
inure to the benefit Of, or be distributable to, its directors, officers, members or any
other private persons, except that the Corporation shall be authorized and empowered
to pay reasonable compensation for services rendered and to make payments and
distributions in furtherance of the purposes of the Corporation as described in these
Articles. Except as an insubstantial part of its activities, the Corporation shall not
attempt to influence legislation of any city, county, state or federal government, by
contacting or urging the public to contact members of a legislative body for any
purpose, advocate the adoption or rejection of legislation, or intervene in any
campaign on behalf of or in opposition to any candidate for public office.
ARTICLE S Retationshipjipd Governance. The Corporation is affiliated with
and shall be subject to the Policies and Principles of Open }3tb1e Standard Churches,
an Iowa corporation, having its principal place of business m Des Moines, Iowa. The
governance of the Corporation shall consist of its Articles of Incorporation, its
Constitution, its Bylaws, the Articles of Faith, Mirusterial Code of Ethics and all other
matters contained in the Policies and Principles of Open Bible Standard Churches.

RESOLUTION
WHEREAS, the membership of the Christian Evangelical Church
voted at its annual meeting, March 13, 1995, to affiliate with
Open Bible Standard Churches; therefore, be it
RESOLVED, that the name of the church be changed from the
Christian Evangelical Church to the Open Bible Church of Port
Angeles on its checking account at the U S Bank at the U S Bank
and its money market and pass book accounts at the First Federal
Savings and Loan Association with the same officers
The Chair entertaianed a motion to affiliate with Open Bible Standard Churches
and to adopt the resolution to do so Motion was made by Brother Frank Latson and
seconded by Brother Danny Halverson that the Christian Evangelical Church affiliate
with Open Bible Standard Churches of Des Moines, Iowa The motion carried unani-
mously and the resolution was adopted
RESOLUTION
After reading the Articles of Faith, Constitution and By-
laws of Open Bible Standard Churches, as set forth in its Poli-
cies and Principles giving opportunity for discussion, and
after sincere prayer, we have voted to become an affiliated
church by adopting the following resolution
WHEREAS, the CHRISTIAN EVANGELICAL CHURCH, located in the
city of Port Angeles, county of Clallam, and state of Washington,
has in a duly called meeting held this 13th day of March, 1995,
declared its intention to share in the privileges extended to
Open Bible Standard affiliated churches, and for the purpose of
cooperating with other congregations of like precious faith in
assuming the responsibilities of such affiliation, the members
whose names appear on the records as members in good standing
do hereby by make application to become an affiliated church of
Open Bible Standard Churches, and the Pacific Region in which
this church is located
