PAWTP Site Timber Sale This contract is made this~day of 2007, between The City of Port Angeles (Landowner), and Ryfield Properties, Inc. ("Purc r"), a Washington corporation. In consideration of the payments to be made by Purchaser to the Landowner, the mutual promises herein contained, and subject to the terms and conditions herein, the Landowner and Purchaser agree as follows: 1. Forest Products and Contract Area. (a) The Landowner agrees to sell and grants unto Purchaser the exclusive right to cut, remove and appropriate all standing and down timber (herein referred to as "forest products") and Purchaser agrees to cut, remove and purchase, according to the terms herein, the forest products being on portions of the following described lands situated in Clallam County, Washington (herein referred to as "The Lands"): Leqal Description Portions of SL 171, 173 of B9 and Portions of SL 172 of A9 within the Township of Port Angeles (b) The forest products are located on those portions of The Lands on the map marked Exhibit "A", attached hereto and by this reference made a part hereof. The irregular boundaries of The Lands are marked with pink and blue/white stripped ribbon. 20 trees, marked with blue paint, are to be topped at 20 foot above ground level with the lower portion limbed and left in place. Of the 20 trees marked in blue, the topped portions are Included in the sale while the bottom portions are to remain on site and are not included in the sale. Approximate Acres 3.5 2. Warranties and Title. (a) The Landowner warrants that it has the right to grant Purchaser the right to enter The Lands and to remove the forest products thereon. The Landowner does not represent or warrant a specific volume or quality of forest products on The Lands. EXCEPT AS SPECIFICALLY SET FORTH IN THIS CONTRACT, THE LANDOWNER MAKES NO OTHER WARRANTY EXPRESSED OR IMPLIED INCLUDING BUT NOT LIMITED TO MERCHANTABILITY OR FITNESS FOR A SPECIFIC OR PARTICULAR PURPOSE. (b) This grant to the Purchaser of the right to cut, remove and appropriate the forest products is subject to any and all existing rights of way and easements. (c) It is understood and agreed by and between the Landowner and Purchaser that no interest in The Lands is granted or conveyed by this Contract. (d) The Purchaser agrees that it bid on and enters into this Contract after and in reliance upon its own full and complete examination of the forest products, and not by reason of any representation of the Landowner and without reliance on the Landowner's pre-sale cruise, appraisal, prospectus or other pre-bid documents. (e) Title and risk of loss to the forest products passes to Purchaser upon Signing of the contract. Page 1 of 6 v '- 1\z 00' , SO r ?~ ~v (\ S~ 1/0 City of Port Angeles Timber Sale Contract (f) The Landowner shall not be liable for any incidental, punitive or consequential damages for any claim arising under this Contract, whether in contract or tort. 3. (a) Performance Date. It is understood and agreed that time is of the essence in this Contract. Purchaser will commence operations on The Lands in a timely manner following execution of this Contract and will carry on a continuous operation so that the construction of the road system and harvesting will be completed on or before August 1, 2007. Any and all forest products not cut and removed by this date shall be and remain the property of The Landowner. 4. Price. The purchase price of the forest products is $ 23,873.58. 5. o~ 6. 7. Purchaser will make payment as follows: The entire Purchase Price shall be paid in full at the time of Contract signing. All payments made hereunder shall be nonrefundable and shall be held by the Landowner as liquidated damages in the event Purchaser fails to harvest and purchase the forest products. Payment must be made in the form of a cashiers check or money order payable to The City of Port Angeles. Payments and Performance Bond. As a guarantee of the faithful performance of the provisions of this contract, including the payment of all sums due the Landowner, as well as, all damages accrued to the Landowner under this contract; the Purchaser shall deliver herewith a performance security deposit in the full amount of the Contract. This payment shall be made in the form of a certified check or money order payable to The City of Port Angeles. The City of Port Angeles shall release the performance security deposit upon the satisfactory completion by Purchaser of all the conditions and obligations of this contract. No interest will accrue on this bond. All or portion of the performance bond may be used at the discretion of The City of Port Angeles to correct deficiencies of the Purchaser in the performance of the contract. Fees. No additional fees required for this harvest. Utilization Standards. The forest products shall be harvested according to the following merchantability standards: . Purchaser is required to yard all logs, parts of logs or slabs, which contain 10 board feet or more of net volume and have a minimum length of 10 feet. 8. Location of Cuttino Lines - Trespass. (a) Purchaser shall verify the cutting lines between The Lands and adjoining lands before starting any operations. Purchaser shall not go outside the lines and shall avoid trespass on adjoining lands. Purchaser shall defend and hold the Landowner harmless from any and all trespasses occurring outside of said cutting lines committed by Purchaser or its agents, invitees, employees or contractors. (b) Purchaser shall conduct its operation in a manner that will not damage the property of the Landowner or others outside the sale area. Failure to comply shall result in a minimum $500.00 penalty or damages; whichever is greater, being assessed against the Purchaser. Page 2 of 6 ~ City of Port Angeles Timber Sale Contract (c) Purchaser shall not cut "leave trees" marked by the Landowner, Reserve Leave Areas (RLAs) or designated wildlife trees, unless a marked tree is determined by the Washington State Department of Labor and Industries to represent a safety hazard, or the marked tree creates yarding or felling problems. Written approval by the Landowner's representative IS required before cutting any marked tree or tree outside the sale boundary. If a marked tree or tree outside the sale boundary IS felled, the purchaser shall leave another tree of equal or greater size in a location approved by Landowner's representative. Purchaser shall be subject to a penalty of $500.00 per tree for any "leave trees" cut. 9. Conduct of Operations and Inspection. (a) Purchaser shall conduct its operations in a careful and workmanlike manner in accordance with good forestry practices and in order to avoid breakage and damage. Purchaser shall comply with all reasonable fire prevention, logging methods and forestry measures that the Landowner's representative may specify from time to time. Landing debris shall not be buried by rock or dirt. Prior to beginning any activities on The Lands, Purchaser shall meet with the Landowner's representative. The purpose of thiS meeting will be for the Landowner to thoroughly explain all operating restrictions and concerns before activities begin on The Lands. (b) Logging by any method other than cable or tracked shovel, including but not limited to cat, skidder, or FMC may only be done with prior written approval by the Landowner. In the event excessive rutting or soil displacement occurs as a result of ground based logging the Purchaser may be required to cease operations and consult with the landowner. (c) Purchaser shall remove all garbage, including petroleum products, created as a result of logging operations. Garbage shall not accumulate on site unless it is in a trash barrel, nor shall garbage be buried in slash or in the ground. A clean up charge of $500.00 for petroleum products and/or $250.00 for other garbage may be assessed for failure to comply. PURCHASER SHALL NOTIFY THE LANDOWNER IMMEDIATELY OF ANY SPILL OF PETROLEUM PRODUCTS UPON THE LAND OF THE LANDOWNER. 10. Safety Guidelines - FallinQ of Forest Products. Purchaser shall communicate to others while logging The Lands and park vehicles in an area other than the cuttmg areas where trees can fall across roadways, and shall comply with all State of Washington Safety Standards for Logging Operations. 10.1 Special Conditions (a) The timber harvested under this Contract is not exportable. (b) The Purchaser is required to follow the terms and conditions outlined in the Timber harvest map "Exhibit A" . (c) The Purchaser is required to follow the terms and conditions outlined in the Forest Practice Permit #2608055. In addition all applicable laws must be followed. (d) If trees are damaqed as a result of loqqinq operations on other ownerships Purchaser will be responsible for all fines or penalties levied by the affected landowner. (e) The Purchaser is responsible for payment of Forest Excise Taxes. Proof of this payment is required prior to the release of the Performance Security Deposit. Page 3 of 6 City of Port Angeles Timber Sale Contract (f) The Purchaser will not be required to pile UP or remove the slash; burninq of the slash is not allowed at this location. 11. Compliance with Laws. All operations under this Contract shall be performed by Purchaser in strict conformance With all federal, state and local laws and regulations, including but not limited to general forestry practices, fire prevention, safety and environmental laws; provided that the Landowner is responsible for all reforestation requirements. 12. Indemnity. (a) Purchaser agrees to indemnify the Landowner against and save and keep the Landowner harmless from any expense, cost, loss, claim or liability of every character whatsoever arising from or in any way growing out of (1) inJury, including injury resulting in death to any person or persons, including Purchaser's employees; or (2) damage, destruction or loss of property of the Landowner's or property of any other party resulting in whole or in part from or arising out of the performance of work under this Contract by Purchaser, its employees, agents or contractors; provided that nothing herein shall be deemed to indemnify the Landowner for its own negligence. (b) Purchaser explicitly and expressly waives its right to immunity under the Industrial Insurance Act, Title 51, RCW with regard to actions against the Landowner and agrees to assume liability for actions brought by its own employees against the Landowner. Purchaser acknowledges that the parties mutually negotiated the foregoing waiver. (c) Purchaser agrees to indemnify and hold the Landowner harmless from all liability in any manner arising out of any violation by Purchaser, or its employees, agents or contractors, of the State Forest Practices Act or other laws and regulations relating to operations under this Contract. 13. Default and Remedies. In the event Purchaser shall fail to keep or perform any of its covenants or agreements to be kept or performed as herein set forth, the Landowner shall have the right to suspend Purchaser's operations immediately upon written notice to Purchaser. In addition, if Purchaser does not take action to remedy its failure to perform within ten (10) days of receipt of such written notice and diligently pursue such remedy thereafter, the Landowner may, by written notice, declare Purchaser in default and terminate this Contract. Upon receipt of any such notice of default declared by the Landowner, any right of the Purchaser to enter The Lands or to cut or remove therefrom any forest products standing, lying or being thereon, including felled and felled and bucked forest products, as well as all other rights and privileges hereby granted to the Purchaser, shall forthwith terminate; and all right, title and interest in and to the said forest products on The Lands shall be vested in the Landowner and the Landowner may remove Purchaser and its agents and contractors from The Lands and all of the personal property of each. 14. Miscellaneous. 14.1 Taxes. The Landowner shall pay real property taxes and fire patrol assessments attributable to The Lands. Purchaser shall pay all excise taxes imposed on the harvesting of the forest products. Proof of this payment is required prior to the release of the Performance Security Deposit. Purchaser shall payor cause to be paid promptly when due all just claims, debts and charges against Purchaser or its contractors or subcontractors that might become a lien against The Lands and Purchaser shall not suffer or permit any lien or encumbrance of any kind to be filed against or upon The Lands irrespective of whether the basis of the lien is a claim against Purchaser or its contractor or subcontractor. If any lien IS filed or threatened against The Lands or if Purchaser does not pay promptly when due any just claim, debt, charge, cost, tax contribution or other obligation that might be the basis for a lien against The Lands or for which the Landowner might be or become liable, the lien or the basis therefor shall be deemed to be a material breach of this contract. Further, Purchaser shall indemnify and hold the Landowner harmless from any lien, claim, debt, charge or encumbrance resulting from operations under this contract. 14.3 Insurance. (a) If the work under this Contract is performed solely by employees of Purchaser, the Purchaser shall provide the Landowner with a certificate of insurance evidencing insurance coverage with a carrier acceptable to the Landowner in the amounts stated in this contract and naming the Landowner as an additional insured under such policy prior to commencing work on The Lands. (b) If the work, or any portion thereof, is performed by a contractor for Purchaser, then, prior to commencing work on The Lands and so long as this Contract shall remain in force, Purchaser shall require such contractor to provide the Landowner a certificate of insurance evidencing insurance coverage in the amounts set forth below with a carrier acceptable to the Landowner and naming the Landowner as an additional insured under such policy. Prior to the commencement of any work hereunder by a Purchaser or contractor for Purchaser, certificates of such insurance shall be filed with the Landowner. It is understood that the aforesaid insurance is not intended to, and shall not, relieve Purchaser from its liability hereunder. 14.4 Aqency. Purchaser is not an agent of the Landowner or authorized to obligate the Landowner in any way. Page 5 of 6 City of Port Angeles Timber Sale Contract 14.5 Notice. Any notice, request, demand, statement, approval and other communications under this Contract shall be in writing, and shall be delivered by hand or mailed, first-class, postage prepaid and addressed as follows: For the Landowner: The City of Port Angeles ATTN: Steve Sperr P.O. Box 392 Port Angeles, W A 98362 Or in each case to any other address as may from time to time be designated by notice from the respective party to the other in writing. Any notice given by mail shall be deemed received on the fifth day after mailing. 14.6 Assiqnment. This Contract shall be binding upon the respective successors and assigns of the parties hereto, but it is not assignable without the prior written consent of both parties. 15. Force Maieure. Neither party hereto shall be liable for any delay or default in performance hereunder due to any cause beyond its control, its agents or contractors, including but not limited to acts of God or the public enemy, acts of the federal or state government, floods, wars, fires, storms, labor disputes, weather conditions, interruptions of transportation, freight embargoes, or delays in delivery of material, equipment or service necessary to the performance of any provision hereof whereby performance hereunder is delayed or prevented. Upon the occurrence of any such event, the party affected thereby may suspend operations hereunder after giving written notice to the other party Within 15 days of such event. 16. Consent or Approval of the Landowner. Whenever the Landowner's consent or approval is required under this Contract, the Landowner shall not unreasonably withhold it and the approval or disapproval shall be delivered within a reasonable period of time and not later than 15 days after the request by Purchaser. 17. Complete Aqreement. This Contract constitutes the entire agreement between the parties regarding The Lands and any modification or amendment must be made in writing and signed by both parties. 18. Attornev Fees. In the event of breach of this Contract by either party, the prevailing party in any resulting arbitration or litigation shall be entitled to recover reasonable attorney fees, including attorney fees on any appeal, in addition to any other damages or recovery to which that party may be entitled. The Doug Fir and Cedar contained some higher quality export and transmission pole quality logs.
