REPRESENTATIONS 1. The City and the Somers' predecessors in interest executed a 25-year lease beginning August 6, 1969, for the basement area under the building situated on the east ten feet of the east half of Lot 14, Block 15, Townsite of Port Angeles, Clallam County, Washington. 2. Although the lease expired in 1994, the lease did provide for a 25-year extension at the lessees' sole option, and the parties have agreed to formally recognize said extension in this agreement. 3. In order to deal with a safety/liability situation related to vehicular access to the Somers' adjacent property and pedestrian use of the City's adjacent crosswalk, the parties have also agreed to a method for resolving the safety/liability problem AGREEMENTS NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, it is agreed by the parties as follows: 1 The April 9, 1969, Lease between the parties shall be extended for an additional term of 25 years, beginning the 6th day of August, 1994. The remainder of the terms and conditions of the lease shall continue in force and effect. 2 The City shall make available a parking space for Somers and/or their tenants, for use solely in conjunction -with the premises at 125 West First Street, Port Angeles, Washington, which parking space shall be north of and adjacent to the alley behind said premises, and which space shall be available during normal business hours; provided that Somers and their tenants shall agree to avoid encroaching into the crosswalk when exiting the driveway adjacent to the alley at the rear of said premises and shall further agree to hold harmless and indemnify the City from and against any and all claims, lawsuits, damages, costs, and attorneys fees, resulting from bodily injury or property damage caused by any violations of this provision. SOMERS, his wife, hereinafter called "SOMERS", W I T N E S S E T H THAT WHEREAS, SOMERS has conveyed to the CITY by way of Statu- tory Warranty Deed the East ten (10) feet of the East half of Lot 14, Block 15, Townsite of Port Angeles, Clallam County, Washington, AND WHEREAS, SOMERS desires to continue to use the basement of the present building existing on the property conveyed to the CITY for the purpose of conducting any business which is legal to transact in the State of Washington, NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, it is agreed by the parties as follows: 1. The CITY, in consideration of the sum -.of One Dollar ($1.00) cash, in hand paid by SOMERS, the receipt of which is hereby acknowledged, and of the rent to be paid by SOMERS, as hereinafter set forth, and of the covenants and agreements hereinafter stipu- lated to be mutually kept and performed by the parties hereto, does hereby grant, demise, lease and let, on the terms and conditions hereinafter stated, to SOMERS the following described premises, situated in the City of Port Angeles, County of Clallam, State of Washington, to wit: The basement area as presently constituted under the building situated on the east ten (10) feet of the East Half of Lot 14, Block 15, Townsite of Port Angeles, Clallam County, Washington. To have and to hold the same unto SOMERS for the term of twenty-five years (25) , beginning the day of 1969, PROVIDED HOWEVER that at the entire option of SOMERS this agreement, may be extended for an additional term of twenty-five (25) years. Each and every covenant, agreement, term, provision and condition herein contained shall extend to and be binding upon the successors and assigns of the parties hereto, and shall be deemed and treated as covenants real running with the premises aforesaid during the term or additional term hereof; but no change or division in the ownership of the leased premises, or of the rents payable hereunder, however accomplished, shall operate to enlarge the obli- gations or diminish the rights of SOMERS, 5. SOMERS shall, at their expense, maintain insurance as will protect it and the CITY from claims for damages for personal injur- ies which may arise from the business operated on the leased premises. Any rights -or defenses :of'the Umbany against's named, insured shall be equally available against any person or corporation who shall become an insured hereunder as successor of such named insured. 3. The Company may at any time pay this policy in full, whereupon all liability of the Company shall terminate. Every pay- ment made_ by the, Company,;, exclusive of costs incurred by the Company as an incident to defense or settlement of claims ' hereundei,('Aill'reduce W6-lialiility of the ConiTMny by the amount paid. The liability of the Company shall in no case exceed the actual loss of the insured and costs which the Company is obligated to pay. When the Company shall have paid a claim here- under it shall be subrogated to all rights and remedies which the insured may have against any person or property with respect to such claim, or would have if this policy had not been issued, and the insured shall transfer all such rights to the Company. If the payment made by the Company does not cover the loss of the insured, such subrogation shall be proportionate. Whenever the Company shall be obligated to pay a claim under the terms of this policy by reason of a defect in the title to a portion of the area described herein, liability shall be limited to the proportion of the face amount of this policy which the value of the defective portion bears to the value of the whole at the time of the discovery of the defect, unless liability is otherwise specifi- cally segregated herein. If this policy insures the lien of a mortgage, and claim is made hereunder, the Company may pay the entire indebtedness and thereupon the insured shall assign to the Company the mortgage and the indebtedness secured thereby, with all instruments evidencing or securing the same, and shall convey to the Company any property acquired in full or partial satisfaction of the indebtedness, and all liability of the Company shall hereupon terminate. If a policy insuring the lien of a mortgage is issued simultaneously with this policy and for simultaneous rssue*premium as provided in rate schedule, any payment by the Company on said mortgage policy with respect to the real estate described in Schedule A hereof shall reduce pro tanto the liability under this policy. All actions or proceedings against the'•Company must be based on the provisions of this policy. Any other action or actions or rights of action that the insured may have or may bring against the Company with respect to serv- ices rendered in connection with the issuance of this policy, are.merged herein and shall be enforceable only under the terms, condi- tions and -limitations of this+policy. 4.
