AGREEMENT
THIS AGREEMENT is made this ~~~p day of April, 1996, by and
between the CITY OF PORT ANGELES, a municipal corporation of the
State of Washington (hereafter "City"), and the PORT ANGELES LIGHT
OPERA ASSOCIATION, a non-profit corporation of the State of
Washington (hereafter "PALOA").
FOR AND IN CONSIDERATION OF the mutual covenants and promises
herein, it is agreed by the parties/as follows:
1. Use of Premises. City agrees to allow PALOA to use the
City-owned premises located at 4th and Valley Streets in Port
Angeles, Washington, on a temporary basis.
2. Public Cultural/Recreational Purposes. PALOA agrees to
use the premises for the purpose of building sets for PALOA's 1996
production of "Camelot". The City deems this use to be a cuI tural/
recreational service for the citizens of Port Angeles.
3. Term. PALOA's use of the premises shall be allowed to
continue until June 30, 1996, at which time the premises shall be
vacated.
4. Utilities. PALOA shall pay for all utility services in
accordance with the City's utility billing policies and rates as
set forth in Title 13 of the Port Angeles Municipal Code.
5. Repairs, Maintenance, and Cleanup. PALOA represents that
it has inspected and examined the premises, accepts them in their
present condition, and agrees that the City shall be required to
make no repairs of any nature whatsoever in or upon the premises or
any part thereof. Upon termination of this agreement, PALOA will
clean up the premises to the City's satisfaction and will quit and
surrender possession of said premises quietly and peaceably and in
as good order and condition as the same were at the commencement
hereof.
6. Liabilitv. PALOA shall indemnify, defend and hold
harmless the City and its officials and employees from any loss or
damage that may arise out of or in any way be connected with this
agreement, the premises, or the use of the premises by PALOA or its
agents, employees, officers, or volunteers.
7. Insurance. PALOA agrees to deliver to the City upon the
execution of this agreement proof of a public liability and
property damage insurance policy in a form and with policy limits
satisfactory to the City, assuring the indemnification and holding
harmless of the City against any and all claims for personal injury
or property damage arising out of this agreement. PALOA shall keep
proof of this policy in force during the term of this agreement.
In the event that the premises are destroyed, partially or com-
pletely, by fire or other casualty, the proceeds of PALOA's insur-
ance shall be available to rebuild the premises, provided that the
City shall not be obligated to rebuild the premises in such event.
8. Inspection. The City reserves the right to inspect the
premises to insure compliance with the terms of this agreement at
reasonable times and upon reasonable notice to PALOA.
IN WITNESS WHEREOF, the parties hereto have caused this
agreement to be executed by their respective officers thereunto
duly authorized.
