As previously identified to you, Diversified Resources is discontinuing offering
the New Broom Janitorial Service. We have agreed to Clallam County's request that we
continue the program with participants until July 31, 2005.
Clallam County is in the process of interviewing possible organization's that may
be interested in offering a Group Supported Program. Diversified has met with a local
organization that has expressed an interest in continuing New Broom, as their offering.
It .is my.understanding'that our agreement clearly states that the Contract for
services "transferable upon written authorization by your company This letter is
intended to ask your company's willingness to transfer Diversified Resources' (New
Broom) contract for janitorial service to another agency, if one is available.
I would appreciate written notification of your company's interest in this
opportunity.

Pursuant to our contract, this letter is intended to serve notice that Diversified
Resources will no longer be offering Group Supported Employment programs effective
30 days hence. As a consequence, both our New Broom janitorial program and copy
center services will no longer be operated by Diversified Resources beginning on or
about July 22, 2005.
We are currently discussing the prospect of transferring the entire operation to
another disability service provider agency, which we hope will meet with both your needs
and the needs of our constituents employees. We are committed to making the
transition for your business as smooth as possible and will contact you with up -to -date
information the moment it becomes available.

I am delighted to report that the City Council has approved a $306 per month raise to the
contract between Diversified Resource Center and the City. This brings the contract amount
up to $1,577 per month. The Council also approved an automatic cost of living increase
effective January 1, 2002.
A contract will be forwarded to you for signature in the near future, with an added section
addressing the automatic COLA.
If you have any questions, please do not hesitate to call me at 417 -4601. City staff is very
pleased to be allowed to continue the relationship with Diversified Resource Center, and
hope to work together for many years to come.

Thank you for your efforts on our behalf regarding the enclave we have at the City's
mail room/copy center. On June 19, Carol Liljedahl, Fiscal.Officer and I wrote you
regarding the financial deficit we experience in maintaining a crew and supervisor
(job coach). Our analysis of representative pay periods ,of year 2000 showed a
deficit of $239.50 per month. Thus far in 2001, we have absorbed; on average
$306.00 per month loss. In January 2002, we will be presented with increased
minimum and prevailing wage hence, our losses will increase commen
In our discussions I have also explained to you that the supported
employment for individuals with developmental disabilities has changed. Ten years
,ago, Diversified Resource Center had eighty (80).people working'on our
various crews (and in enclaves such as the city). We currently have twenty -nine (29)
people. No new referrals to Group Supported Employment will be made. (Referrals
:are made by the Division of Developmental Disabilities funding is attached to
these referrals).
Without `this source' of funding, it is necessary that we (as a private company)
maintain' all of our contracts as profitable. During the past four years, we have
terminated our services to several of the contracts we held.in Port Angeles. In each
instance, we made all efforts.to gain.increases that cut our losses; when we were not
able to do so, we and the contract holders mutually and respectfully agreed to
terminate the contract.,
Thank you again for your assistance in gaining an increase for our contract with the
,City. I hope this information helps you as you present "our case" to the City Council
on August, 7.

As we agreed; Carol Liljedahl, Fiscal Officer, and I have analyzed the
financial aspects of our contract at your Copy Center. We extrapolated a
representative sampling of pay periods of year 2000, including sick', vacation,'
holiday leave.
From this 'we determined a consistent pattern of financial deficit of (on
average) $239.50 per month: In January 200,1, the minimum (and prevailing
wage under which we are regulated to pay) increased; hence, our financial
loss increased. Thus far in 2001, we have absorbed, on average, $306.00 per
month loss. It appears we are essentially supporting 1.5 FTE for
approximately $4.91 per hour, based on the current contract rate of $1271 per
month. We anticipate, of course, increase in minimum/prevailing wage(s) in
January 2002 —six short months from now. This will obviously further
increase. our losses.
I believe you can see that our maintaining two completely cross- trained job
coaches "is`beyond our financial capabilities. We appreciate your sharing that
many city employees, designate' their 'United Way contributions to our agency
(and believe you stated that they intended their contributions to support the
Copy Center). However, we are a bit confused about this, as the donor list we
were given by United Way doesn't appear.to "match up" with the City
employee roster. We are open to further conversation around this issue as
-Patty Hannah also shared her concern with Marie recently and suggested
mediation.
We are 'eager to explore mediation, and I will inform'ou"r Board President,
Rob Campbell,'ofthis opportunity. This could be- valuable as we attempt to
develop new communication.patterns involving DRC staffing your facility as

letter is to confirm in writing, our discussion of the contract extension.
Per our conversation, the contract between the City of Port Angeles and Diversified Resource
Center is extended to August 10, 2001 at the current rate of $1,271. You agreed to supply the
City, by June 19, 2001, with the financial information necessary to make a presentation to
City Council regarding renegotiating the contract at a higher rate. We will notify you of the
Council date when this item will be discussed, and hopefully you will be present to respond
to questions or give input.
The City staff certainly hopes we can come to a satisfactory resolution to this problem.

Copy Center, and she is pleased to have, the opportunity to develop some new
communication, patterns..
Per our, conversation, we will extend the date of the contract termination until
August 10, 2001, allowing us all time to put some facts and figures together.

I am writing to apologize for the disarray and poor quality of work that we
have shown at the Copy Center during the past few weeks. Today, I have
two staff working there in Nicole's absence to complete the assigned tasks.
After considerable thought and discussion with my. Fiscal-Officer and
representatives of our Board of Directors, we are opting to terminate the
contract, based on the financial losses we absorb in keeping this contract
running. In accordance with the terms of our•contract (page 1, W3), we are
giving 'thirty (3 0) days written, notice of this termination, effective today.
I believe you know that the "face" of group employment (such as the enclave
we have'at the Copy Center) has changed dramatically, over the past several
years. In short, group employment for people with disabilities is not funded
by our traditional funding sources (the Division of Developmental
Disabilities And Clallam County Department of Human Services) at the level
it was when our agency entered into the contract with, the City. We, as are
other agencies providing services, are facing dwindling resources (both
human and financial) and are looking in other directions for support for the
people we serve.
We have continued to support the job coach position and the crew who work
there,,at considerable financial- loss.. This has seemed important in order that
we have a training facility for students and those new to employment and
seeking experience in an office -type setting. However, we find ourselves in a
situation now of needing to cross train another person in order to satisfy the
contract's needs; this will be an even greater financial loss to us and 'we are
.not able to sustain it.

We hope this 30 days' notice will give you the opportunity to make
appropriate arrangements. We will, of course, continue to staff the contract
and support the workers until July 6, 2001.
Please let us know what we can do to make this transition easier for all of us.

plan to cross train. a staff person who cam fill in for the current job coach
during vacation and other leave time. We wish to have this individual begin
orientation and training with Nicole on June 11, 2001. Training can be
'tailored to allow the new'trainee opportunity to go through your typical
billing/packet cycle.

In today's busy work environment good deeds and performance are not acknowledged as often as
they should be. A good case in point is Nicole VanDerScheldon. Nicole is the job coach for the
mail room at City Hall I have worked with several different job coaches over the years and
Nicole is, by far, the best. I am the utility billing specialist for the City of Port Angeles and the
utility bills are our main revenue source It is extremely important that the bills are sent accurately
and in a timely manner. I know that I can count on Nicole to perform at the highest standard on a
daily basis
Nicole has many skills and talents that make her a perfect fit here. She demonstrates great care
and compassion for her clients They really shine under her direction. Her work ethic is excellent.
Her communication skills are wonderful She knows just when to throw in a little humor and
always puts forth a positive attitude. And you can count on her. Reliability and commitment are
just a few of her strengths. Many of my co- workers feel the same way In fact, Nicole has been
recommended for numerous "Caught In The Act" awards Several members of our administrative
staff work with and rely heavily on Nicole. You will find their names, signatures and titles below

CONTRACT FOR SERVICES
THIS CONTRACT is made and entered into between the City of Port Angeles, an optional
code city of the State of Washington (hereafter referred to as "City and Diversified Resource
Center, a non profit corporation of the State of Washington (hereafter referred to as "Contractor
REPRESENTATIONS
1. The City has determined that certain mail room and copying activities can be performed cost
effectively pursuant to a contractual relationship with the Contractor.
2. The collective bargaining unit representing the employment position that would normally
perform such activities is willing to accept the contractual arrangement, provided that, in the event
of any layoff of a permanent full -time or part-time Finance Department employee who is a member
of said collective bargaining unit, the City will terminate this Contract.
AGREEMENTS
In consideration of the above representations and the agreements set forth below, the parties
agree as follows:
1. Scone of Services. The Contractor shall perform the activities set forth in the scope of
services as follows: Pick up and sort incoming mail and deliver outgoing mail to the United States
Post Office, operate copy machines, fax machines, deliver incoming faxes to departments, process
shredding as requested and pick up recycle products, deliver paper and supplies to departments as
requested, deliver trash can to curb each Thursday, pick up aluminum to be recycled twice a week,
and prepare Council packets twice a month providing an average of 15 hours per week of service.
2. Payment. The City shall pay the Contractor $814.00 per month, which payment shall be due
and owing on the last day of each month. For any services performed for less than a full month,
payment shall be pro -rated accordingly.
3. Termination. This Contract shall continue and be binding upon both parties unless
terminated by either party giving thirty (30) days written notice to the other party.
4. Independent Contractor Status. The relationship created by this Contract is that of
independent contracting entities. The Contractor and its employees are not employees of the City
and are not entitled to the benefits provided by the City to its employees.
5. Indemnification/Hold Harmless. The Contractor shall defend, indemnify and hold the City,
its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages,
losses or suits including attorney fees, arising out of or in connection with the performance of this
Contract except for injuries and damages caused by the sole negligence of the City.
Should a court of competent jurisdiction determine that this Contract is subject to RCW
4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or
damages to property caused by or resulting from the concurrent negligence of the Contractor and the
City, its officers, officials, employees, and volunteers, the Contractor's liability hereunder shall be
only to the extent of the Contractor's negligence. It is further specifically and expressly understood
that the indemnification provided herein constitutes the Contractor's waiver of immunity under
Industrial Insurance Title 51 RCW, solely for the purposes of this indemnification. This waiver has
been mutually negotiated by the parties. The provisions of this section shall survive the expiration
or termination of this Contract.
6. Insurance. The Contractor shall procure and maintain for the duration of the Contract
insurance against claims for injuries to persons or damage to property which may arise from or in
connection with the performance of the work hereunder by the Contractor, its agents, representatives,
employees or subcontractors.
The Contractor shall provide a Certificate of Insurance evidencing:
a. Automobile Liability with limits no less than $1,000,000 combined single
limit per accident for bodily injury and property damage; and
b. Commercial General Liability insurance written on an occurrence basis with limits
no less than $1,000,000 combined single limit per occurrence and $2,000,000 aggregate for personal
injury, bodily injury and property damage. Coverage shall include but not be limited to: blanket
contractual; products /completed operations; broad form property damage; explosion, collapse and
underground (XCU) if applicable; and employer's liability; and
c. Workers' Compensation insurance at the limits established by the State of
Washington.
Any payment of deductible or self insured retention shall be the sole responsibility of the
Contractor.
The City shall be named as an additional insured on the Commercial General Liability
insurance policy, as respects work performed by or on behalf of the Contractor, and a copy of the
endorsement naming the City as additional insured shall be attached to the Certificate of Insurance.
The City reserves the right to receive a certified copy of all required insurance policies.
The Contractor's insurance shall contain a clause stating that coverage shall apply separately
to each insured against whom claim is made or suit is brought, except with respects to the limits of
the insurer's liability.
The Contractor's insurance shall be primary insurance as respect the City and the City shall
be given thirty (30) days prior written notice of any cancellation, suspension or material change in
coverage.
7. Non Discrimination. The parties shall conduct their business in a manner which assures fair,
equal and non discriminatory treatment of all persons, without respect to race, creed, color, sex, Viet
Nam era status, disabled veteran condition, physical or mental handicap, or national origin, and, in
particular:
a. The parties will maintain open hiring and employment practices and will
welcome applications for employment in all positions from qualified individuals who
are members of the above stated minorities; and
b. The parties will comply strictly with all requirements of applicable federal,
state or local laws or regulations issued pursuant thereto, relating to the establishment
of non discriminatory requirements in hiring and employment practices and assuring

the service of all patrons and customers without discrimination with respect to the
above stated minority status.
8. Health and Safety Regulations. The Contractor shall comply with all federal, state and local
laws, including but not limited to all applicable health and safety regulations.
9. Breach. Upon breach of any terms of this Contract, notice may be given by the non
breaching party to the other. If the condition or event causing the breach is not cured within thirty
(30) days of the date of written notice of the breach, then this Contract shall be null and void and all
rights hereunder terminated.
10. Assignability. The Contractor shall not assign any interest in this Contract without the prior
written consent of the City.
11. Governing Laws. This Contract shall be governed by the laws of the State of Washington
both as to interpretation and performance. Any lawsuit for the enforcement of this Contract shall
be instituted and maintained only in Clallam County Superior Court.
12. Warranty. The Contractor warrants that the work shall be performed in a competent,
workmanlike manner.
13. Authority. The parties warrant that the undersigned have full and complete legal authority
to sign for each respective party and to commit such party to the performance of the agreements set
forth herein.
IN WITNESS WHEREOF, the parties hereto have executed this Contract on this -day
of March, 2003.

I am delighted to report that the City Council has approved a $306 per month raise to the
contract between Diversified Resource Center and the City. This brings the contract amount
up to $1,577 per month. The Council also approved an automatic cost of living increase
effective January 1, 2002.
A contract will be forwarded to you for signature in the near future, with an added section
addressing the automatic COLA.

A partnership between the City of Port Angeles and Diversified Industries, a private, non-
profit agency serving individuals with disabilities
What is the program?
The City of Port Angeles and Diversified Industries have a unique collaborative partnership that
serves and mutually benefits our community, city personnel and individuals served by Diversified
Industries. Together, we developed an arrangement that is cost effective to the City and provides
exciting work opportunities for up to fourteen individuals with disabilities. The project is a copy and
mailroom center located in City Hall which is staffed by adults and students with disabilities and their
support staff, or job coaches. The idea for this project was enthusiastically supported by Jeff
Pomeranz, City Manager, Kay Godbey, Finance Director, and unanimously by members of the Port
Angeles City Council

Several sugggestions recommending centralizing mail and copy room activities were generated as a
result of the 1993 "reinventing government" project. The processing of incoming and outgoing mail
was previously staffed by a part-time employee. Other activities, such as copy jobs, shipping,
receiving, and office supply inventories were fragmented and handled by city employees from various
departments. It was discovered that city staff was spending an average of 123 hours per month on
large copy jobs, or over $28,000 per year in inefficient use of labor Additionally, the copy machines
were underutilized, and large copy jobs such as the city newsletter and the budget document were
contracted with local printers.
Diversified Industries staffs the copy and mail room for 40 hours per week at an annual cost of
$13,200. The contractual arrangement with Diversifed enabled more efficient use of City staff, and
through attrition, reduction in overtime and a realignment of staff, the Finance Department saved over
$6,500 in contracted printing and $40,000 in labor, for a net savings of $35,000 per year.
In addition to meeting the City's operational needs, there was also an ongoing need to provide work
opportunities for individuals with disabilities who require intensive job coaching and support to work
successfully in community based settings.
In March 1994, the City contracted with Diversified Industries Employment Support Division to
accomplish specific work on City premises. Individuals hired to do the work are employees of
Diversified Industries and receive wages and benefits based on their individual hours of work,
productivity and prevailing industry wages for the specific work accomplished. Diversified Industries
schedules and rotates up to 14 disabled individuals. Work hours are flexible and based on the needs
and issues of the individual. Employment Support provides the job coach who is onsight during all
working hours. The job coach supervises, supports and provides individual training for those served
in the enclave and promotes opportunities for interaction and relationships with other employees and
city staff. The majority of individuals served in enclaves are young, have little or no work experience,
and have multiple barriers to overcome. They require intensive support to be successfully employed.
Many individuals served in enclaves eventually transition to individual community jobs developed for
them based on their interests, skills and strengths.
The copy and mailroom employees do a variety of tasks including full mailroom functions, operate
copy machines, send and receive all fax communications for the City, shipping and receiving,
inventory supplies, recycling, prepare documents for microfilming, copy and insert the bimonthly city
newsletter, prepare all utility bills for mailing, shred police records, copy and collate City Council
agenda packets, assemble, copy and bind the City Budget document, and pick up, sort, and deliver
all City mail to the Post Office The mail and copy center provides vast opportunities for enclaves
to learn new skills, interact with City staff, and dress professionally.
How it benefits the community
The City's partnership with Diversified Industries provides an exciting work opportunity for adults
and students with disabilities and contributes to our community by saving taxpayers thousands of
dollars each year. The copy and mail center has provided an excellent work opportunity for
individuals who require more support and tolerance than is typically available in most employment
situations. The City has been able to employ individuals who have previously failed in other work
settings and /or were unserved because of the severity of their barriers. Students with disabilities
usually have delayed social and maturity skills and often require more intense support and supervision
while they gain skills and maturity. Frequently individuals served in enclave settings develop skills
and natural supports which later follow them into successful individual community jobs
Our partnership has been a success since implementation in March, 1994. When disabled individuals
are integrated into meaningful work opportunities, a certain magical transformation occurs. There
is a notable, positive difference in the self esteem and personal growth of disabled workers. The
disabled have learned new skills, are interacting with City staff, and have a true committment and
appreciation for their jobs The disabled value their work, try hard, and in doing so, influence the way
in which City employees feel. In turn, City staff has developed relationships with disabled workers,
takes pride in making a difference, and values and appreciates people who are differently abled.
The City of Port Angeles and Diversified Industry transition was relatively easy, and the reward,
many. We encourage other Washington Cities to replicate our program and contact us for any

The job coaches train, supervise, and support the disabled workers, with the goal of making enclaves
self supporting. The job coaches assist in running the copy and mail room, and work one -on one with
individuals with severe visual impairments or other barriers.
Heather Y. Anderson
"I like meeting all the different employees. I like to run the tri- folder and assemble the Parks and
Recreation programs. I send and deliver faxes and learned how to run the copy machines. I have
pretty good recollection but I don't like it when the machine falls apart."
Heather is a student and has a developmental delay. She lives with her parents
Jim Fitzgerald
"I am very thankful for this job because it challenges my recollection and balance and keeps me using
my memory I was a construction worker in Alaska and on August 8, 1982, I had an accident. This
is my first steady job since the accident. I sort mail into the different departmental slots, keep the copy
machines stocked with paper, and I run the folder /inserter. I help assemble and bind the budget
document. City staff are good people to work for."
Jim has a traumatic brain injury which has affected his memory, gait, and balance. Jim lives in his
own home.
Eric Hermanson
"I open mail, help shred, recycle, and help drive Dan to the corp yard. City staff are nice to work
with. Some of the machines are complicated."
Eric has a chronic mental health disorder, lives in a shared home and receives support from his case
manager.
Joel Hicks
"I do recycling, sort utility bills, deliver UPS packages to the departments and mail to the City
Manager. This is a stable place to work. I like it alot and get along with everybody. I like recycling
the best because Pm a people person. I like to get around and do things and not stay in the copy
center all day long. The people here are real nice; they say hi. Other places that I've worked,
especially in business offices, look down on you."
Joel dust graduated from high school on June 9. He has spina bifida and is developmentally
delayed. Joel has undergone intensive surgery over the years and lives with his mother.
Dan Hosken
"I am very grateful for this job. It's not just the money This job has given me an opportunity to do
something productive. It has built my self confidence and self esteem. I haven't worked for pay in
over 15 years The money is nice, but it's not the main reason I work. Recycling was my first job,
but my funnest job is the corp yard run. I make the mail delivery to the Equipment Services, Water,
and Solid Waste offices. I do shredding for the Police Department, I sort reminder notices and
delinquent bills, I help organize the office supply cupboards and deliver UPS packages in City Hall.
I really enjoy it. I know everybody and everyone has been really friendly."
Dan has a chronic mental health disorder and is legally blind with extremely low vision. He just
moved into his own house and is engaged to be married this September.
David Iredale
"I like making friends with City staff and Diversified staff and I get to earn my own money. I burst
utility bills and work on the folder /inserter, copy machines and deliver faxes. The thing I like best is
that everybody is so nice and easy to get along with. I like my job because it is fun and finally
permanent."
David had a severe, uncontrollable seizure disorder. When surgery corrected the seizure disorder,
he became paralyzed on one side, losing complete use of one arm. David is a student and lives at
home with his parents.

"I like the job because it helps me go to camp. All of my paychecks go into savings, and with the
money I earn, I go to Camp Easterseal over by Mt. St Helens. It is an outdoor camp and I get a taste
of living outdoors and learn outdoor skills. I assemble Parks and Recreation programs, run the
folder /inserter, do the recycling, and postage machine. I like to run the heavy duty stapler. I like this
job because it is diverse and I learned new skills."
Jody has a developmental delay and lives in a shared home with intensive tenant support.
Under close supervision, Virginia shreds police documents, folds and stuffs envelopes, bands and bags
mail, dismantles documents for recycling and operates the automatic stapler.
Virginia is developmentally delayed, is non verbal and has extremely low vision. She lives in a
group home
Gary Palmer
Under close supervision, Gary shreds police documents, stuffs envelopes and uses the automatic
stapler. After working over a year in City Hall, Gary has "come out of his shell" and is interacting
with City staff
Gary is developmentally delayed and totally blind since birth. Gary shares a private home with a
couple who provide attendant care.
Tim Walker
Tim has moved out of the area, and helped shred police documents. Tim is in a wheelchair and has
multiple handicaps. He is developmentally delayed, legally blind, has cerebral palsy and very reduced
use of his hands.

Other Diversified Industry employees have transitioned into other competitive jobs:
Rusti May works for Pen Print, a local printer.
Mark Curry works at Olympic Native Harvest.
Richard Burr works at the Red Lion.
Bill Spencer took over his family cabinet making business.
Fred Cnockaert is working at the Clallam County car wash.

CONTRACT FOR SERVICES
THIS CONTRACT is made and entered into between the City of Port Angeles, an optional
code city of the State of Washington (hereafter referred to as "City and Diversified Resource
Center, a non profit corporation of the State of Washington (hereafter referred to as "Contractor
1. The City has determined that certain mail room and copying activities can be performed cost
effectively pursuant to a contractual relationship with the Contractor.
2. The collective bargaining unit representing the employment position that would normally
perform such activities is willing to accept the contractual arrangement, provided that, in the event
of any layoff of a permanent full -time or part-time Finance Department employee who is a member
of said collective bargaining unit, the City will terminate this Contract.
In consideration of the above representations and the agreements set forth below, the parties
agree as follows:
1. Scone of Services. The Contractor shall perform the activities set forth in the scope of
services attached hereto as Exhibit "A
2. Payment. The City shall pay the Contractor $1,577.00 per month, which payment shall be
due and owing on the last day of each month. On January 1, 2002, the monthly payment amount
shall be increased in the amount of 90% of the Seattle area cost -of- living index. For any services
performed for less than a full month, payment shall be pro -rated accordingly.
3. Termination. This Contract shall continue and be binding upon both parties unless
terminated by either party giving thirty (30) days written notice to the other party.
4. Independent Contractor Status. The relationship created by this Contract is that of
independent contracting entities. The Contractor and its employees are not employees of the City
and are not entitled to the benefits provided by the City to its employees.
5. Indemnification/Hold Harmless. The Contractor shall defend, indemnify and hold the City,
its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages,
losses or suits including attorney fees, arising out of or in connection with the performance of this
Contract except for injuries and damages caused by the sole negligence of the City.
Should a court of competent jurisdiction determine that this Contract is subject to RCW
4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or
damages to property caused by or resulting from the concurrent negligence of the Contractor and
the City, its officers, officials, employees, and volunteers, the Contractor's liability hereunder shall
be only to the extent of the Contractor's negligence. It is further specifically and expressly
understood that the indemnification provided herein constitutes the Contractor's waiver of immunity
under Industrial Insurance Title 51 RCW, solely for the purposes of this indemnification. This
waiver has been mutually negotiated by the parties. The provisions of this section shall survive the
expiration or termination of this Contract.

6. Insurance. The Contractor shall procure and maintain for the duration of the Contract
insurance against claims for injuries to persons or damage to property which may arise from or in
connection with the performance of the work hereunder by the Contractor, its agents,
representatives, employees or subcontractors.
The Contractor shall provide a Certificate of Insurance evidencing:
a. Automobile Liability insurance with limits no less than $1,000,000 combined single
limit per accident for bodily injury and property damage; and
b. Commercial General Liability insurance written on an occurrence basis with limits
no less than $1,000,000 combined single limit per occurrence and $2,000,000 aggregate for personal
injury, bodily injury and property damage. Coverage shall include but not be limited to: blanket
contractual; products /completed operations; broad form property damage; explosion, collapse and
underground (XCU) if applicable; and employer's liability; and
c. Workers' Comnensation insurance at the limits established by the State of
Washington.
Any payment of deductible or self insured retention shall be the sole responsibility of the
Contractor.
The City shall be named as an additional insured on the Commercial General Liability
insurance policy, as respects work performed by or on behalf of the Contractor, and a copy of the
endorsement naming the City as additional insured shall be attached to the Certificate of Insurance.
The City reserves the right to receive a certified copy of all required insurance policies.
The Contractor's insurance shall contain a clause stating that coverage shall apply separately
to each insured against whom claim is made or suit is brought, except with respects to the limits of
the insurer's liability.
The Contractor's insurance shall be primary insurance as respect the City and the City shall
be given thirty (30) days prior written notice of any cancellation, suspension or material change in
coverage.
7. Non Discrimination. The parties shall conduct their business in a manner which assures fair,
equal and non discriminatory treatment of all persons, without respect to race, creed, color, sex, Viet
Nam era status, disabled veteran condition, physical or mental handicap, or national origin, and, in
particular:
a. The parties will maintain open hiring and employment practices and will
welcome applications for employment in all positions from qualified individuals who
are members of the above stated minorities; and
b. The parties will comply strictly with all requirements of applicable federal,
state or local laws or regulations issued pursuant thereto, relating to the
establishment of non discriminatory requirements in hiring and employment
practices and assuring the service of all patrons and customers without
discrimination with respect to the above stated minority status.

8. Health and Safety Regulations. The Contractor shall comply with all federal, state and local
laws, including but not limited to all applicable health and safety regulations.
9. Breach. Upon breach of any terms of this Contract, notice may be given by the non
breaching party to the other. If the condition or event causing the breach is not cured within thirty
(30) days of the date of written notice of the breach, then this Contract shall be null and void and
all rights hereunder terminated.
10. Assignability. The Contractor shall not assign any interest in this Contract without the prior
written consent of the City.
11. Governing Laws. This Contract shall be governed by the laws of the State of Washington
both as to interpretation and performance. Any lawsuit for the enforcement of this Contract shall
be instituted and maintained only in Clallam County Superior Court.
12. Warranty. The Contractor warrants that the work shall be performed in a competent,
workmanlike manner.
13. Authority. The parties warrant that the undersigned have full and complete legal authority
to sign for each respective party and to commit such party to the performance of the agreements set

CONTRACT FOR SERVICES
THIS CONTRACT is made and entered into between the City of
Port Angeles, an optional code city of the State of Washington
(hereafter referred to as "City and Diversified Industries, a
non profit corporation of the State of Washington (hereafter
referred to as "Contractor
REPRESENTATIONS
1. The City has determined that certain mail room and copying
activities can be performed cost effectively pursuant to a
contractual relationship with the Contractor.
2. The collective bargaining unit representing the employment
position that would normally perform such activities is willing to
accept the contractual arrangement, provided that, in the event of
any layoff of a permanent full -time or part -time Finance Department
employee who is a member of said collective bargaining unit, the
City will terminate this Contract.
AGREEMENTS
In consideration of the above representations and the
agreements set forth below, the parties agree as follows:
1. Scone of Services. The Contractor shall perform the
activities set forth in the scope of services attached hereto as
Exhibit "A
2. Payment. The City shall pay the Contractor $1,210 per month,
which payment shall be due and owing on the last day of each month.
For any services performed for less than a full month, payment
shall be pro -rated accordingly.
3. Termination. This Contract shall continue and be binding upon
both parties unless terminated by either party giving thirty (30)
days written notice to the other party.
4. Independent Contractor status. The relationship created by
this Contract is that of independent contracting entities. The
Contractor and its employees are not employees of the City and are
not entitled to the benefits provided by the City to its employees.
5. Indemnification /Hold Harmless. The Contractor shall defend,
indemnify and hold the City, its officers, officials, employees and
volunteers harmless from any and all claims, injuries, damages,
losses or suits including attorney fees, arising out of or in

connection with the performance of this Contract except for
injuries and damages caused by the sole negligence of the City.
Should a court of competent jurisdiction determine that this
Contract is subject to RCW 4.24.115, then, in the event of
liability for damages arising out of bodily injury to persons or
damages to property caused by or resulting from the concurrent
negligence of the Contractor and the City, its officers, officials,
employees, and volunteers, the Contractor's liability hereunder
shall be only to the extent of the Contractor's negligence. It is
further specifically and expressly understood that the
indemnification provided herein constitutes the Contractor's waiver
of immunity under Industrial Insurance Title 51 RCW, solely for the
purposes of this indemnification. This waiver has been mutually
negotiated by the parties. The provisions of this section shall
survive the expiration or termination of this Contract.
6. Insurance. The Contractor shall procure and maintain for the
duration of the Contract insurance against claims for injuries to
persons or damage to property which may arise from or in connection
with the performance of the work hereunder by the Contractor, its
agents, representatives, employees or subcontractors.
The Contractor shall provide a Certificate of Insurance
evidencing:
1. Automobile Liability insurance with limits no less than
$1,000,000 combined single limit per accident for bodily injury and
property damage; and
2. Commercial General Liability insurance written on an
occurrence basis with limits no less than $1,000,000 combined
single limit per occurrence and $2,000,000 aggregate for personal
injury, bodily injury and property damage. Coverage shall include
but not be limited to: blanket contractual; products /completed
operations; broad form property damage; explosion, collapse and
underground (XCU) if applicable; and employer's liability; and
3. Worker$' Compensation insurance at the limits established
by the State of Washington.
Any payment of deductible or self insured retention shall be
the sole responsibility of the Contractor.
The City shall be named as an additional insured on the
Commercial General Liability insurance policy, as respects work
performed by or on behalf of the Contractor, and a copy of the
endorsement naming the City as additional insured shall be attached
to the Certificate of Insurance. The City reserves the right to
receive a certified copy of all required insurance policies.

The Contractor's insurance shall contain a clause stating that
coverage shall apply separately to each insured against whom claim
is made or suit is brought, except with respects to the limits of
the insurer's liability.
The Contractor's insurance shall be primary insurance as
respect the City and the City shall be given thirty (30) days prior
written notice of any cancellation, suspension or material change
in coverage.
7. Non Discrimination. The parties shall conduct their business
in a manner which assures fair, equal and non discriminatory
treatment of all persons, without respect to race, creed, color,
sex, Viet Nam era status, disabled veteran condition, physical or
mental handicap, or national origin, and, in particular:
a. The parties will maintain open hiring and employment
practices and will welcome applications for employment in
all positions from qualified individuals who are members
of the above stated minorities; and
b. The parties will comply strictly with all
requirements of applicable federal, state or local laws
or regulations issued pursuant thereto, relating to the
establishment of non discriminatory requirements in
hiring and employment practices and assuring the service
of all patrons and customers without discrimination with
respect to the above stated minority status.
8. Health and Safety Regulations. The Contractor shall comply
with all federal, state and local laws, including but not limited
to all applicable health and safety regulations.
9. Breach. Upon breach of any terms of this Contract, notice may
be given by the non breaching party to the other. If the condition
or event causing the breach is not cured within thirty (30) days of
the date of written notice of the breach, then this Contract shall
be null and void and all rights hereunder terminated.
10. Assignability. The Contractor shall not assign any interest
in this Contract without the prior written consent of the City.
11. Governing Laws. This Contract shall be governed by the laws
of the State of Washington both as to interpretation and
performance. Any lawsuit for the enforcement of this Contract
shall be instituted and maintained only in Clallam County Superior
Court.
12. Warranty. The Contractor warrants that the work shall be
performed in a competent, workmanlike manner.

13. Authority. The parties warrant that the undersigned have full
and complete legal authority to sign for each respective party and
to commit such party to the performance of the agreements set forth
herein.
