ELECTRICAL SERVICE AGREEMENT
This AGREEMENT is made and entered into this z4- day of
March, 1994, by and between the City of Port Angeles, Washington,
hereinafter called the "City," and the Port of Port Angeles,
Washington, hereinafter called the "Port."
WITNESSETH that:
WHEREAS, the Port has requested the City take over ownership of
the primary electrical distribution system serving five (5)
buildings located on the north one -half of the west one -half of
suburban lot number 121; and
WHEREAS, the Port paid the City to purchase and install the
primary electrical distribution system and primary metering to serve
the Rogerson Hiller Corporation; and
WHEREAS, the Port owns the building on the site and wants to
lease the buildings to individual tenants; and
WHEREAS, the City does not allow the electric consumption at
each building to be submetered;
NOW, THEREFORE, IT IS AGREED between the parties hereto as
follows:
1. Transfer of Ownership:
The ownership of the primary electrical distribution system
(underground primary cable, transformers and related appurtances)
serving five (5) buildings located in the north one -half of the west
one -half of Suburban Lot 121, Townsite of Port Angeles, as shown on
Exhibit "A" attached hereto and made a part of this Agreement, shall
be transferred from the Port to the City, pursuant to the provisions
of the Port Angeles Municipal Code.
The Port will continue to own and maintain the underground
secondary cables between the transformers and the buildings.
2. Metering:
The electric meter shall be changed from "primary" metering to
"secondary" metering. The City will provide current transformers,
electric meters and straight time City labor costs for the revision.
The Port agrees to provide and install the meter base and the
conduit between the current transformers and the meterbase.

3. Easement:
The Port agrees to provide the City with an easement for the
location of the primary electrical distribution facilities.
4. Warranty:
The City agrees to accept the specified electrical facilities
as is with no warranty as to condition or suitability for use by the
City.
5. Authority:
Each party warrants that the undersigned representative has
full and complete legal authority to sign for it and to commit it
to the performance of the agreements set forth herein.
IN WITNESS WHEREOF, the parties hereto have caused this
Agreement to be duly signed and executed in two counterparts as of
the day and year first above written.
