HomeMy WebLinkAbout5.265 Original ContractINTERGOVERNMENTAL AGREEMENT ECONOMIC DEVELOPMENT PLANNING PROJECT THIS AGREEMENT entered into by and between the City of Port Angeles (hereinafter referred to as "Port Angeles the Port of Port Angeles (hereinafter referred to as "Port and Clallam County witnesses that: WHEREAS, Clallam County, Port Angeles and the Port are all desirous of planning future economic development activities within the County. WHEREAS, such information could be incorporated into comprehensive plans pursuant to the Growth Management Act. WHEREAS, Clallam County, Port Angeles and the Port are all involved in various types funding and activities concerning economic development. WHEREAS, the parties to this Agreement have designated Clallam County as the contact and fiscal agent for this project. NOW, THEREFORE, in consideration of covenants, conditions, performances, and promises hereinafter contained, the parties hereto agree as follows: 1. Fundina. The total funds to be expended on this program will be split equally three ways between Clallam County, the Port and the City of Port Angeles. The maximum amount of total expenditures shall not exceed $20,000.00. 2. Payment and Service Provisions. Clallam County agrees to hire a consultant to conduct the work program as described in Exhibit A. Port Angeles and the Port shall pay forthwith to Clallam County their respective cost shares upon receipt of invoice from Clallam County. Clallam County shall contract with and pay the consultant. 3. Duration. This agreement shall commence upon signature by all parties and shall terminate January 31, 1992. 4. Governina Law and Venue. This Agreement shall be construed and enforced in accordance with, and the validity and performance hereof shall be governed by, the laws of the State of Washington. 5. Severabilitv. In the event any term or condition of this Agreement or application thereof to any person or circumstances is held invalid, such invalidity shall not affect other terms, conditions or applications of this Agreement which can be given effect without the invalid term, condition or application. PURPOSES. The purposes of the Clallam County Economic Development Planning Project are: To invite those organizations in Clallam County that promote economic development to share their ideas about major economic development issues facing the County in the 1990's. -To reach general agreement on a relatively short list of issues which can be effectively addressed by participants in the coming years. -To develop preliminary strategies, including the assignment of responsibilities, to address these issues. To work in cooperation with each other to assure that these strategies are implemented, their progress monitored and their impact evaluated. DELIVERABLES. This project would be expected to produce the following: A brief, easily- understood vision of the economic development future at the end of the current decade. A limited number (preferably no more than 10) of county -wide economic development issues which participants feel can be addressed with some effective impact during the 1990's. A set of strategies to address each of these agreed upon issues. These may include existing or new efforts which can be undertaken by those responsible for leadership in pursuing the strategies and a recommended time frame for their implementation. .•1 INTERGOVERNMENTAL AGREEMENT ECONOMIC DEVELOPMENT PLANNING PROJECT PAGE 4 ORGANIZATION. The consultant selected will be expected to work with, and within, the organization structure as outlined herein: Organizing Committee Composition: City of Port Angeles -City Manager, Mayor Councilperson Clallam County- Administrator Chair of Board Port of Port Angeles Executive Director and Commission President Organizing Committee Responsibilities: Approve Request for Proposal Select consultant Develop criteria for participants involved Provide direction for overall project Secure project funding Participants: City of Port Angeles City of Sequim City of Forks Port of Port Angeles Clallam County Economic Development Council Clallam County Public Utility District #1 Peninsula College Chamber of Port Angeles Chamber of Sequim Chamber of Forks Chamber of Clallam Bay /Sekiu North Olympic Peninsula Visitor Convention Bureau Clallam Transit POSSIBLE FORMAT /TIMING /ESTIMATED COST. The consultant would guide the group through a series of 2 -3 hour meetings to accomplish the purpose. There would be 5 to 7 meetings. The first meeting would be held in July. Duration of Contract. Paragraph (3) of that certain agreement entered into between Clallam County and the Agencies, entered on June 11, 1991, shall be amended as follows: 2. Oriainal Aareement Effective. Except as modified herein, that certain agreement entered into between Clallam County and the Agencies entered on June 11, 1991, shall remain in full force and effect. The City Council approved the amendment and authorized the Mayor to execute the agreement. Three signed copies are attached to be forwarded to the Port of Port Angeles for consideration. Once you have obtained fully executed copies, please forward one copy to this office. I might point out, however, that it was brought to my attention in a somewhat humorous fashion that the month of June does not have thirty -one days! Imagine the number of people to have read this agreement without noticing the error. The question must be asked as to whether City, County and Port employees are required to work an additional day in June! I hope not! Regards, Attachment Becky J. Upton, City Clerk Amendment to Intergovernmental Agreement between the City of Port Angeles, Clallam County, and the Port of Port Angeles ISSUE: Should the City Council authorize the Mayor to sign a proposed amendment extending a current Intergovernmental Agreement between the City, County and Port? BACKGROUND /ANALYSIS: In June, 1991, the City of Port Angeles entered into an Intergovernmental Agreement between the City, County and Port for purposes of economic development planning. The County was to engage a consultant at a maximum expenditure of $20,000, the cost of which was to be equally shared by the parties to the agreement. The contract was scheduled for termination January 31, 1992. The Clallam County Commissioners have indicated there is a need to extend the agreement to June 31, 1992, in order to give the consultant additional time to finish the assignment. The attached amendment reflects this change. The total expenditure is to remain at $20,000 as set forth in the original agreement. RECOMMENDATION: It is recommended that the City Council approve and authorize the Mayor to sign the amendment to the Intergovernmental Agreement. Attachment 5,245
