In response to our various phone conversations regarding your City's
interest in purchasing a portion of the Railroad Company's former right
of way between Elwha River and the west city limits of Port Angeles. I
am willing to recommend a sale of approximately 18.4 acres as shown
outlined in red on the attached print. The sale will be under the
following terms and conditions:
GRANTOR: Chicago, Milwaukee, St. Paul g Pacific Railroad
Company, a Wisconsin corporation.
(Please show exactly how you wish the City's name to
appear on the deed.)
$27,600 with $5,000 down payment and the balance Pd Q "•tca
upon delivery of the deed.
CONSIDERATION:
CONVEYANCE: Conveyance will be by Quitclaim Deed subject to all
easements, whether or not of record, and reserving
mineral rights without the right of surface entry.
Mortgage releases will also be provided for recording.
SALES EXPENSE: All expenses in connection with the sale, including
state real estate excise tax, documentary stamps,
title insurance, and survey, if desired or required,
to be paid by the City.
DESCRIPTION: To be described in accordance with that area shown
outlined in red on the attached print.

If the City wishes to purchase this property under the above terms and
conditions, will you please arrange for signing, dating and returning
one copy of this letter, together with the City's check in the amount of
$5,000 to cover the down payment. If for any reason my management does
not approve of this sale, your City's money will be refunded. This
offer will expire August 1, 1977.

Subject: S-Wash.-Port Angeles

Reference is made to the letter agreement dated July 11, 1977 covering
the sale of approximately 10.4 acres of the Railroad Company's right of
way just west of the city limits of Port Angeles, which will be used for
the construction of a 24-inch water line from the Elwah River to the
City of Port Angeles.
This letter will serve as authority to your City, or its contractors, to
enter on the 18.4-acre parcel as described in said letter agreement, for
the purpose of construction of a 24-inch water line.
It is understood that the City of Port Angeles,'by acceptance of this
permission of entry and as a condition for granting such right of entry,
agrees to release, indemnify and save harmless the Chicaeo, Milwaukee,
St. Paul and Pacific Railroad Comeany, its agents, employees and succes-
sors, from against any-and all liability, loss, cost, damage, expense,
action and claim for personal injury suffered by any person whomsoever
in connection with the construction of the 24-inch water line, or for
personal injuries, including death, suffered by any pevson whomsoever or
arising out of damage to or destruction of property of any narty whomso-
ever arising out of caused by construction of the 24-inch water line.
It is further understood by the City of Port Angeles-that the construc-
tion of whatever nature made on the 13.4-acre parcel will be at the sole
expense of the City of Port Angeles.
This right of entry will expire upon delivery of a Quitclaim Deed to the
13.4-acre parcel. We expect to deliver a Quitclaim Deed in the near
future, but will not be able to furnish partial releases of our mortgages
until after September 19, 1977. I understand that the sale transaction
will be closed in escrow at the Port Angeles office of Pioneer Title
Insurance Company and that the City of Port Angeles will pay the cost of
the escrow.
