The City of Port Angeles is now in the preliminary stages of a project to construct a
municipal pier at the foot of Lincoln Street, adjacent to the downtown business dis-
trict. Although it may be somewhat unusual for a city of our size to enter the pier
business, our reason for wanting to do this goes back several years when a delega-
tion of city fathers and businessmen made a pledge to Senator Warren G. Magnuson
that the City of Port Angeles would provide an adequate docking facility if he would
assist the City in our request to have a USCG Cutter stationed permanently in Port
Angeles. The purchase of Angeles Terminals, Inc., leasehold interest in Harbor Area
#1552 in 1976 along with the passage of a $2 million general obligation bond issue in
November of 1977 has now enabled the City to move toward making this pledge a reality.
The primary use of the planned facility is as a marine gateway to the City of Port
Angeles. It is proposed to (as shown on the attached drawing) provide a mooring facility
for the USCG Cutter stationed in Port Angeles and for transient small boats. During the
summer large numbers of small craft, NOAA ships and small navy vessels come into
Port Angeles seeking temporary tie -up arrangements. The small boat marina operated
by the Port of Port Angeles is unable to accommodate any of these because they
now have a waiting list of over 200 craft wanting a space in their marina. Facilities
are also planned for a seaplane and a tour boat. If it became necessary, I be lieve we
could also accommodate the two launches now maintained by the Coast Guard at their
Ediz Hook station. In the future, we are looking to add a marine science laboratory
to the site. Among the landside facilities to support these uses and to beautify the
area are public restrooms, garbage collection areas, electrical transformers, water-
lines and sewage pump -out facilities.

The City is now at the point of having employed the engineering consulting firm of
ABAM Engineers to design and oversee the construction of the pier. However, the
City Council is quite concerned over securing a long -term lease, such as 99 years,
to amortize our investment. We also realize, however, that this may not be possible
under the present regulations under which the Department of Natural Resources oper-
ates. We do feel, however, that the project would qualify for a 30 -year lease with-
out any restrictions on renewal.
The City has -a threefold interest in coming to you at this time. One, we would like
to secure your approval of transferring Harbor Area Lease %1552 from the Port of Port
Angeles to the City of Port Angeles.
Our second purpose in coming to you is to get a thorough understanding of your require-
ments and restrictions prior to entering upon the detailed design stage of the project.
We would appreciate receiving any comments or suggestions about our project, partic-
ularly those that would enable us to secure a long -term lease.
Our third and most important reason for approaching you is to request a letter of com-
mitment from you, stating that the City will be entitled to a 30 -year lease as soon as
ABAM Engineers have completed the necessary engineering documents required to ob-
tain a DNR lease. The City Council is worried about spending approximately $300,000
for engineering and related service only to find out we do not qualify for a long -term
lease. Therefore, the City Council has instructed me to restrict ABAM's activities on
this project until we can receive a preliminary commitment from your office.
Thank you for your assistance and cooperation we have received in the past and we
are certainly looking forward to cooperating with you in anyway we can in the future.

Serves as the commercial cen-
ter of the Olympic Peninsula,
headquarters for the Olympic
National Park and county seat
of Clallam County. Population of Port Angeles is
16,242, Clallam County is 35,200.
GOVERNMENT...City council- manager with seven
councilmen, one of whom is elected mayor. Three
county commissioners and three port district com-
missioners, one from each of three county districts.
UTILITIES...Electric monthly base rate of $6.00,
sanitation $1.75, sewage treatment $3.00, and
water $5.00.
TAX STRUCTURE...Real and personal property
is assessed at 100% fair market value with a
$10,000 home costing $174.30 in taxes in 1975.
No state income tax, sales tax 5 City ten-
tative assessed valuation 1975 $213,501,357,
county $593,404,493, city bonded indebted-
ness $1,141;000.
GENERAL...8.25 square miles within city limits,
84 miles paved streets, 20 parks including Civic
Field and 144 -acre Lincoln Park. Crime pattern
below average, year around protected harbor with
port dockage minus 30 and minus 45 feet at low
mean tide.
FIRE and POLICE PROTECTION...Police: 30 paid
personnel, 11 reserve officers, 5 cruisers, 2 motor-
cycles with 2 -way radio. Fire Department: 13 paid
personnel, 22 volunteers, 4 pumpers, 1 quad (lad-
der- pumper) truck, and 1 Espy Giles rescue truck.
Emergency dial 911.
CLIMATE...Typically marine: fresh breezes, spar-
kling and mild. Annual rainfall 22.88 inches, snow-
fall 8.5. Cool summer days 65 to 70 degrees, oc-
casionally 80 to 85 degrees; winter afternoons in
the 40's and 50's and night time reading in the
30's. Growing season 180 days. Eighty miles
west of city is the only rain forest in the continen-
tal United States with 146 inches annual rainfall.
NEWS MEDIA and TELEVISION...Two radio sta-
tions, daily paper, weekly shopper. TV from Se-
attle, Bellingham, Victoria and Vancouver (Clnada).
Nine channels, cable TV available. Also local
TV channel, FM radio.
SCHOOLS and CHURCHES...Two -year college, 1
high school, 2 junior highs, 6 elementary plus 1
Catholic (grades 1 through 8)., 7 major faiths plus
17 other denominations.
LIBRARIES and CULTURAL...North Olympic Li-
brary System has 130,187 books, 310 periodicals,
3,703 phonograph albums, 699 cassettes, 200 art
prints, and 8mm and l6mm films for loan. There
are libraries in Port Angeles, Forks and Sequim
plus two bookmobiles to serve everyone in the
County. Port Angeles Symphony, Community Con-
cert Association, Knife and Fork Club, League of
WomenVoters, over 100 service and fraternal clubs
including Eagles, Elks, Moose, IOOF, Knights of
Columbus and Masonic orders.
TRANSPORTATION and SHOPPING... Taxi ser-
vice, air service to Seattle, Greyhound Bus Lines,
ferry to Victoria, B.C., bus service west to Forks
and Neah Bay. Freight by motor carrier, railroad,
and air. 18 chain stores, many large independent
stores, catalog offices, major car agencies, trailer
sales and service, car rentals but no camper or mo-
bile trailer rentals. U -Haul available.
MEDICAL and ALLIED PROGRAMS...Excellent
86-bed hospital, 2 nursing homes, 30 physicians,
17 dentists, apartment houses for the elderly, low
rent housing projects. Programs for the handi-
capped, senior citizens, child guidance center,
mental health and retardation, and alcoholism.
RECREATION...The Olympic mountains, fresh
water lakes and the Strait of Juan de Fuca offer
fishing, boating, hiking, skiing, rock hounding.
A golf course, two bowling alleys, YMCA, Olym-
pic -size indoor heated municipal pool, boat haven,
Yacht Club, movie theater, drive -in movie, annual
Salmon Derby Days and Clallam County Fair,
youth football and baseball, badminton and public
boat launching ramps.
INDUSTRY and EMPLOYMENT...The area is wood
products oriented with the largest firms: Crown
Zellerbach (newsprint), ITT Rayonier, Inc. (chem-
ical cellulose), Peninsula Plywood Corp. and M &R
Timber. For employment information write direct-

CLALLAM COUNTY... Created as one of the 16
original counties under the Washington Territorial
Government on April 25, 1854, Clallam County is
in the extreme nort.h westerly corner of the state.
long and narrow, running 90 miles eastward from
the Pacific Ocean and bordered on the north bythe
Strait of Juan de Fuca. Total land area is
1,121,920 acres with half of this in Federal and
State ownership.
Mount Olympus, elevation 7,965 feet, is our high-
est peak and houses the Blue Glacier. The Olym-
pic mountains have over 20 glaciers with the larg-
est lakes in the county, Lake Crescent and Lake
Ozette. Cedar, hemlock, Sitka spruce, Douglas fir,
maple, alder and willow are common trees.
Cape Flattery is the most northwesterly point in
the 48 states and Cape Alava the most westerly
point. The Makah and Quillayute Indian Reserva-
tions are in the county and many towns have Indi-
an names. Sequim, population 2,400 and Forks,
population 1,900, are the next largest communities
with Port Angeles the largest.

A RESOLUTION of the City Council of the City of Port Angeles autho-
rizing the City Manager to sign an agreement for engineering services on
the Municipal Pier with ABAM Engineers, Inc.
WHEREAS, the voters of Port Angeles approved a $2 million General Obliga-
tion Bond Issue to construct a Municipal Pier; and
WHEREAS, the City Council and staff engaged in an extensive search for
the best firm to design the Municipal Pier by inviting sixteen firms to submit state
ment of qualifications; and
WHEREAS, the written statements of qualification and interviews indicated
that ABAM Engineers, Inc. possessed the best qualifications for this project; and
WHEREAS, time is of the essence on this project because of the continuing
effects of inflation on construction costs;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Port
Angeles that the City Manager of the City of Port Angeles is hereby authorized to
sign an agreement with ABAM Engineers, Inc. for engineering services on the
Municipal Pier.
PASSED by the City Council of the City of Port Angeles at a regular meeting
of the Council held on the a. day of 1978.

THIS CONTRACT, made and entered into this day of
Octobe'r 1976, between ANGELES TERMINAL, INC., a Washington
corporation, hereinafter called the "seller," and the CITY OF PORT
ANGELES, a municipal corporation, hereinafter called the "purchaser,"
WITNESSETH:
The seller agrees to sell to the purchaser and the purchaser
agrees to purchase from the seller the following described real
estate, with the appurtenances, in Clallam County, State of Washing-
ton:
REAL ESTATE CONTRACT
Leasehold interest in the following described real
property:
PARCEL 1. All of the harbor area in front of
Block 2 1/2 east of Laurel Street, Supplemental
Map of Port Angeles Tidelands, bounded by the
inner and outer harbor lines, and the east line
of Lincoln Street and the west line of Chase
Street, as shown on the Official Map of said
Tidelands on file in the Office of the
Commissioner of Public Lands at Olympia, Washing-
ton.
PARCEL 2. Block 2 1/2 Port Angeles Tidelands
east of Laurel Street according to the Official
Plat of survey of said Tidelands recorded in the
office of the Commissioner of Public Lands at
Olympia, Washington, containing .8 of a acre
more or less.
TOGETHER with all improvements located on said
parcels, including, but not limited to, approxi-
mately 1 1/2 acres of paved fill area, 300 feet
of pier with ramp machinery and a 2,000 square
foot office building.
The terms and conditions of this contract are as follows:
The purchase price is Two Hundred Thirty -five Thousand Dollars
($235,000.00), of which Five Thousand Dollars ($5,000.00) have
been paid, the receipt whereof is hereby acknowledged, and the
balance of said purchase price shall be paid as follows:
Sixty -three Thousand Dollars ($63,000.00) on January 5, 1977 and
the balance of One Hundred Sixty -seven Thousand Dollars ($167,000.00)
in five equal annual installments of Thirty -three Thousand Four
Hundred Dollars ($33,400.00) beginning with January 5, 1978 and
being payable on or before the 8th day of January of each year
therafter until the balance is paid in full. Interest shall accrue
on the unpaid balances due on this contract at the rate of eight
and one -half percent (8 1/2%) per annum computed from the date of
this contract. The accrued interest shall be paid in addition to
each payment provided for above including the payment due on January
only
5, 1977. The purchaser may /prepay at its option the balance owing

on this contract at any time subsequent to January 1, 1979 without
penalty.
The parties recognize that Parcel 1 above is owned by the
State of Washington and has been leased to the Port of Port Angeles
by lease dated April 1, 1953 for a period of thirty years and and
has in turn been subleased by the Port to the seller and that
Parcel 2 is owned by the Port of Port Angeles and is presently under
a lease to the seller, dated February 11, 1953, for a term of
fifteen years from May 31, 1953 and which has been renewed for an
additional fifteen year period so that it terminates at the same
time as the lease from the State of Washington to the Port. This
Contract is contingent upon the purchaser obtaining the approval
of the State of Washington and the Port of Port Angeles to the
assignment of these leases to the purchaser. In the event these
assignments cannot be obtained, this contract shall terminate and
any money paid by the purchaser under the terms thereof shall be
returned by the seller. This sale is also subject to an existing
lease between the Seller and the Port of Port Angeles of a portion
of the Harbor Area described in Parcel 1 herein.

(1) The purchaser assumes and agrees to pay before delinquency
all taxes and assessments that may as betwAen grantor and grantee
hereafter become a lien on said real estate. Taxes for the year
1976 and insurance shall be prorated as of the date of the taking
of possession of said real property by the purchaser as hereinafter
provided.
(2) The purchaser agrees, until the purchase price is fully
paid, to keep the buildings now and hereafter placed on said real
estate insured to the actual cash value thereof against loss or
damage by both fire and windstorm in a company acceptable to the
seller and for the seller`s benefit, as its interest may appear, and
to pay all premiums therefor and to deliver copies of all policies
and renewals thereof to the seller.
(3) The purchaser agrees that full inspection of said real
estate has been made and that neither the seller nor its assigns
shall be held to any covenant respecting the condition of any im-
provements thereon nor shall the purchaser or seller or the assigns
of either be held to any covenant or agreement for alterations,
improvements or repairs unless the covenant or agreement relied on
is contained herein or is in writing and attached to and made a
part of this contract.
(4) The purchaser assumes all hazards of damage to or
destruction of any improvements now on said real estate or hereafter
placed thereon, and of the taking of said real estate or any part
thereof for public use; and agrees that no such damage, destruction
or taking shall constitute a failure of consideration. In case any
part of said real estate is taken for public use, the portion of
the condemnation award remaining after payment of reasonable
expenses of procuring the same shall be paid to the seller and

applied as payment on the purchase price herein unless the seller
elects to allow the purchaser to apply all or a portion of such
condemnation award to the rebuilding or restoration of any
improvements damaged by such taking. In case of damage or
destruction from a peril insured against, the proceeds of such
insurance remaining after payment of the reasonable expense of
procuring the same shall be devoted to the restoration or rebuild-
ing of such improvements within a reasonable time, unless pur-
chaser elects that said proceeds shall be paid to the seller for
application on the purchase price herein.
(5) The seller agrees to deliver within fifteen (15) days
of the date of this contract a policy of title insurance covering
the leasehold interests of the seller in standard form, or a
commitment therefor, issued by a reputable title insurance company,
insuring the purchaser to the full amount of said purchase price
against loss or damage by reason of defect in the seller's title
to said leases as of the date of this contract and containing no
exceptions other than the printed general exceptions appearing
in said policy form.
(6) The parties agree that this transaction shall be escrowed
with the
Seattle First National Bank, Port Angeles Branch,
and the seller agrees to execute and deliver to said escrow holder
assignments of the leases covered by this contract and a good and
sufficient bill of sale to the improvements on the real property
covered by said leases free of except any that may
attach after date of closing through any person other than the
seller, subject to the following: rights of,-,ay and easements of
record if any.
(7) The purchaser shall be entitled to possession of the real
property and improvements covered by this contract witl ten (10) days
from the date of said contract and shall be entitled to retain posses-
sion so long as the purchaser is not in default hereunder. The purchase
covenants to keep the buildings and other improvements on said real

estate in good repair and not to permit waste and not to use, or
permit the use of, the real estate for any illegal purpose. The
purchaser covenants to pay all service, installation or construction
charges for water, sewer, electricity, garbage or other utility
services furnished to said real estate after the date purchaser is
entitled to possession.
(8) In case the purchaser fails to make any payment herein
provided or to maintain insurance, as herein required, the seller
may make such payment or effect such insurance, and any amounts so
paid by the seller, together with interest at the rate of 10% per
annum thereof from date of payment until repaid, shall be repayable
by purchaser on seller's demand, all without prejudice to any other
right the seller might have by reason of such default.
(9) Time is of the essence of this contract, and it is agreed
that in case the purchaser shall fail to comply with or perform any
condition or agreement hereof or to make any payment required here-
under promptly at the time and in the manner herein required, the
seller may elect to declare all the purchaser's rights hereunder
terminated, and upon his doing so, all payments made by the purchaser
hereunder and all improvements placed upon the real estate shall be
forfeited to the seller as liquidated damages, and the seller shall
have right to re -enter and take possession of the real estate; and
no waiver by the seller of any default on the part of the purchaser
shall be construed as a waiver of any subsequent default.
Service upon purchaser of all demands, notices or other papers
with respect to forfeiture and termination of purchaser's rights may
be made by United States Mail, postage pre -paid, return receipt
requested, directed to the purchaser at its address last known to the
seller.
(10) Upon seller's election to bring suit to enforce any

covenant of this contract, including suit to collect any payment
required hereunder, the purchaser agrees to pay a reasonable sum
as attorney's fees and all costs and expenses in connection with
such suit, which sums shall be included in any judgment or decree
entered in such suit.
If the seller shall bring suit to procure an adjudication of the
termination of the purchaser's rights hereunder, and judgment is so
entered, the purchaser agrees to pay a reasonable sum as attorney's
fees and all costs and expenses in connection with such suit, and
also the reasonable cost of searching records to determine the
condition of title at the date such suit is commenced, which sums
shall be included in any judgment or decree entered in such suit.
If the purchaser is required to bring suit to enforce any of its
rights under this contract and judgment is entered in favor of the
purchaser, the seller agrees to pay a reasonable sum as attorney's
fees and all costs and expenses in connection with such suit, and
also the reasonable cost of searching records to determine the
condition of title at the date such suit is commenced, which sums
shall be included in any judgment or decree entered in such suit.

of Port Angeles, a municipal corporation of the State of Washington, herein
referred to as the "Port" and the City of Port Angeles, a municipal corporation

1. The Port is the present owner of a leasehold interest
in Department of•Natural Resources Harbor Area Lease
No. 1552.
In consideration of the mutual covenants contained herein, the parties agree
as follows:
SECTION I
The Port shall forthwith execute an Assignment of Department of
Natural Resources' Harbor Area Lease No. 1552 to the City. Upon approval
of said Assignment, the City shall enter into a written lease agreement
with the Port whereby the City shall lease to the Port that portion of
Harbor Area 1552 directly in front of Lots 1, 2 and 3 of Block 2 1.i thereof,
and extending generally northward to a point not farther than the exis

SECTION III
2. The City desires to acquire said Harbor Area Lease for
the construction of a municipal pier.
3. Both parties desire to establish an agreement to insure
a future lease of a portion of the said Harbor Area from
the City to the Port.

in front of Lots 1, 2 and 3 Block 2 1/2, Tidelands East of Laurel Street
and sub-leased to the Port. Payment shall be due on or before payments
required by the City to be made to the Department of Natural Resources
for Harbor Area 1552.
It is further understood and agreed that the Port contemplates
the installation of improvements in the said area and that should the lease
payments of the City to the Department of Natural Resources be increased
hy such installation, the Port agrees to pay such increase to the City.
The Port shall covenant with reference to the demised premises

not to use assign, nor sublet such premises nor any part thereof for any
use .incompatable with the contemplated municipal pier such as constructicr:
equipment storage, manufacturing, or industrial storage at any time during
the term of the sublease. For its part, the City shall covenant that there
shall be no restrictions on the use of the subleased area other than that
mentioned above.
SECTION V
The parties agree that the sublease shall provide for indem-
nification of the City by the Port from claims arising From activities
occuring on the sub-leased premises caused by the Port, its agcnts, re-
presentatives and employees.
