Subject: 1999 Legal Services Agreement

This E-mail is written as a follow -up to an E -mail I sent in early September, 1999. I'm still looking for some
documentation for the City Clerk's files.
The City, along with various cities, PUDs, etc., has a joint legal services agreement which is typically redone on an
annual basis. I was given Amendment Number 1 to the 1999 Legal Services Agreement; however, Bob Titus failed
to give me the initial agreement for 1999. Therefore, I have an amendment to something that I don't have!
Please check all of the cubby holes upstairs to see if you can find the original agreement. Please and thank you!

This Amendment Number 1 to the 1999 Legal Services Agreement is made by and
between BENTON RURAL ELECTRIC ASSOCIATION; CITY OF PORT ANGELES;
CITY OF ELLENSBURG; PENINSULA LIGHT COMPANY; PUBLIC UTILITY
DISTRICT NO. 1 OF CLALLAM COUNTY, WASHIGTON; PUBLIC UTILITY
DISTRICT NO. 1 OF CLARK COUNTY, WASHINGTON; PUBLIC UTILITY
DISTRICT NO. 1 OF GRAYS HARBOR COUNTY, WASHINGTON; PUBLIC
UTILITY DISTRICT NO. 1 OF LEWIS COUNTY, WASHINGTON; PUBLIC
UTILLITY DISTRICT NO. 1 OF MASON COUNTY, WASHINGTON; PUBLIC
UTILITY DISTRICT NO. 3 OF MASON COUNTY, WASHINGTON; PUBLIC
UTILITY DISTRICT NO. 2 OF PACIFIC COUNTY, WASHINGTON; PUBLIC
UTILITY DISTRICT NO. 1 OF SNOHOMISH COUNTY, WASHINGTON (Public
Utilities); and MARSH, MUNDORF, PRATT AND SULLIVAN (Attorney) for the
provision of legal services and the payment of compensation as specified herein.
AMENDMENT NUMBER 1
TO THE
1999 LEGAL SERVICES AGREEMENT
WHEREAS, the Public Utilities are parties to the 1999 Legal Services Agreement
with Attorney for legal services related to activities specified therein; and
WHEREAS, the Public Utilities desire to retain Attorney for additional activities
not specified in the 1999 Legal Services Agreement; and
WHEREAS, the Public Utilities wish to amend the 1999 Legal Services
Agreement to provide for such legal services for Attorney.
IT IS THEREFORE AGREED THAT:
1. The Attorney is retained by the Public Utilities to represent them in the BPA
process for the implementation of the Slice of the System Power Product being
developed by BPA, including but not limited to representation in the negotiation
and drafting of the Slice of the System power sales contract.
2. The costs of this representation are estimated to be $33,000.00, plus out of pocket
expenses. The Attorney will not bill the Public Utilities for such representation in
excess of the foregoing amount without the written agreement of the Public
Utilities.
3. The costs incurred by the Attorney pursuant to this Amendment Number 1 shall
be billed to the public utilities in accordance with the allocation methodology set
forth on Exhibit 1.

4. All other terms and conditions of the 1999 Legal Services Agreement shall remain
in full force and effect, and shall be applicable to the legal services rendered
pursuant to this Amendment Number 1.

The following allocation percentages shall be used to allocate the costs incurred under
Amendment Number 1 to the Public Utilities listed below.
