THIS ON -CALL AGREEMENT (Agreement) is made and entered into this day of December, 2011, by
and between the CITY OF PORT ANGELES (CITY), a non charter code city of the State of Washington,
(hereinafter called the "CITY and Herrera Environmental Consultants, a Washington corporation
authorized to do business in the state of Washington (hereinafter called the "CONSULTANT CITY and
CONSULTANT may hereinafter be referred to as "Parties."
WHEREAS, the CITY desires engineering, consulting, and planning assistance related to landfill cell
stabilization services.
WHEREAS, the CITY desires to engage the professional services and assistance of a qualified consulting
firm to perform the scope of work as detailed in Exhibit A, and
WHEREAS, the CONSULTANT represents that it is in full compliance with the statutes of the State of
Washington for professional registration and /or other applicable requirements, and
WHEREAS, the CONSULTANT represents that it has the background, experience, and ability to perform
the required work in accordance with the standards of the profession, and
WHEREAS, the CONSULTANT represents that it will provide qualified personnel and appropriate facilities
necessary to accomplish the work;
NOW, THEREFORE, in consideration of the above representations and the terms, conditions, covenants,
and agreements set forth below, the parties hereto agree as follows:
THE PARTIES HEREBY AGREE AS FOLLOWS:
I SCOPE OF SERVICES
General Scope. This agreement will provide professional engineering services for the City of Port Angeles
Landfill for stabilization of closed cells that are adjacent to the Strait of Juan de Fuca. The CONSULTANT
intends to provide engineering technical support, studies, design, and post -award construction services
for the City of Port Angeles. This Agreement shall be effective on the last date set forth in the signature
page. This Agreement will remain in force and effect for inclusion of additional "Tasks" for two years
from the effective date of this Agreement.
The scope of initial professional services tasks to be performed and the results to be achieved by the
CONSULTANT shall be as detailed in the attached Exhibit Al and shall include all services and material
necessary to accomplish the work. Additional work may be included as provided elsewhere in this
agreement.
The CITY may review the CONSULTANT'S work product, and if it is deemed not satisfactory, the

CONSULTANT shall make such changes as may be required by the CITY. Such changes shall not
constitute "Extra Work" as defined in Section XI of this Agreement.
The CONSULTANT agrees that all services performed under this Agreement shall be in accordance with
the standards of the engineering profession and in compliance with applicable federal, state and local
laws.
The Scope of Work may be amended upon written approval of both parties.
This Agreement does not grant an exclusive right to the engineering work covered in the Scope of
Services to the CONSULTANT. The CITY reserves the right to contract with other parties or by other
means if deemed to be in its interest.
II OWNERSHIP OF DOCUMENTS
Upon completion of the work, all documents, exhibits, photographic negatives, digital photos, drawings,
survey data, field notations, electronic data and modeling, or other presentations of the work shall
become the property of the CITY for use without restriction and without representation as to suitability
for reuse by any other party unless specifically verified or adapted by the CONSULTANT. However, any
alteration of the documents, by the CITY or by others acting through or on behalf of the CITY, will be at
the CITY's sole risk.
III DESIGNATION OF REPRESENTATIVES

IV TIME OF PERFORMANCE
The CONSULTANT may begin work upon written direction to proceed from the CITY for each Task.
The work for shall be completed within a performance period as specified in each Task. The performance
period for the Agreement is set forth in Exhibit B. The time of performance of initial Tasks are set forth in
Exhibit B1.
V MAXIMUM COMPENSATION
Unless otherwise agreed to in writing by both parties, the CONSULTANT'S total compensation and
reimbursement under this Agreement, including labor, direct non -salary reimbursable costs and outside

services, shall not exceed the maximum sum of 96,700. This amount comprises Tasks 1 through 6 of
this Agreement. The budgets for the initial Tasks are set forth in the attached Exhibit C1. The
CONSULTANTS total compensation for each additional project, work, study, or undertaking authorized
during the term of this Agreement, shall be specifically set forth in Tasks and adopted by amendment to
this Agreement. Compensation and payment procedures are set forth in Exhibit C.
VI INDEPENDENT CONTRACTOR STATUS
The relation created by this Contract is that of owner independent contractor. The CONSULTANT is not
an employee of the CITY and is not entitled to the benefits provided by the CITY to its employees. The
CONSULTANT, as an independent contractor, has the authority to control and direct the performance of
the details of the services to be provided. The CONSULTANT shall assume full responsibility for payment
of all Federal, State, and local taxes or contributions imposed or required, including, but not limited to,
unemployment insurance, Social Security, and income tax.
VII EMPLOYMENT
Employees of the CONSULTANT, while engaged in the performance of any work or services under this
Agreement, shall be considered employees of the CONSULTANT only and not of the CITY, and claims that
may arise under the Workman's Compensation Act on behalf of said employees while so engaged, and
any and all claims made by a third party as a consequence of any negligent act or omission on the part of
the CONSULTANT'S employees while so engaged, on any of the work or services provided to be rendered
herein, shall be the sole obligation and responsibility of the CONSULTANT.
In performing this Agreement, the CONSULTANT shall not employ or contract with any CITY employee
without the CITY's written consent.
VIII NONDISCRIMINATION
The CONSULTANT shall conduct its business in a manner, which assures fair, equal and non-
discriminatory treatment of all persons, without respect to race, creed or national origin, or other legally
protected classification and, in particular:
A. The CONSULTANT shall maintain open hiring and employment practices and will welcome
applications for employment in all positions, from qualified individuals who are members of
minorities protected by federal equal opportunity/affirmative action requirements; and,
B. The CONSULTANT shall comply with all requirements of applicable federal, state or local laws or
regulations issued pursuant thereto, relating to the establishment of non discriminatory
requirements in hiring and employment practices and assuring the service of all persons without
discrimination as to any person's race, color, religion, sex, Vietnam era veteran status, disabled
veteran condition, physical or mental handicap, or national origin.
IX SUBCONTRACTS
A. The CONSULTANT shall not sublet or assign any of the work covered by this Agreement without the
written consent of the CITY.
B. In all solicitation either by competitive bidding or negotiation made by the CONSULTANT for work to
be performed pursuant to a subcontract, including procurement of materials and equipment, each
potential sub consultant or supplier shall be notified by the CONSULTANT of CONSULTANT's
obligations under this Agreement, including the nondiscrimination requirements.

X CHANGES IN WORK
Other than changes directed by the CITY as set forth in Section I above, either party may request
changes in the scope of work. Such changes shall not become part of this Agreement unless and until
mutually agreed upon and incorporated herein by written amendments to this Agreement executed by
both parties.
XI EXTRA WORK
The CITY may desire to have the CONSULTANT perform work or render services in connection with this
Agreement, in addition to the Scope of Work set forth in Exhibit A and Al and minor revisions to
satisfactorily completed work. Such work shall be considered as "Extra Work" and shall be addressed in a
written supplement to this Agreement. The CITY shall not be responsible for paying for such extra work
unless and until the written supplement is executed by both parties.
XII TERMINATION OF AGREEMENT
A. The CITY may terminate this Agreement at any time upon not less than ten (10) days written notice
to the CONSULTANT. Written notice will be by certified mail sent to the CONSULTANT's designated
representative at the address provided by the CONSULTANT.
B. In the event this Agreement is terminated prior to the completion of the work, a final payment shall
be made to the CONSULTANT, which, when added to any payments previously made, shall
compensate the CONSULTANT for the work completed.
C. CITY may suspend Tasks at its sole discretion. If the Task is suspended by CITY for more than 30
consecutive days, CONSULTANT shall be compensated for services performed prior to the notice of
suspension. When the Task is resumed, provided the suspension was not caused by CONSULTANT's
negligence or wrongful act, CONSULTANTs compensation shall be equitably adjusted to provide for
expenses incurred in the interruption and resumption of CONSULTANT's services. If the parties are
unable to agree on an equitable adjustment, the contractor may submit a written claim for increases
in the cost of performance, excluding profit. Upon such resumption, CONSULTANT shall promptly
continue with its responsibilities under this Agreement.
D. In the event of termination or suspension as provided for above, CONSULTANT will provide CITY all
Construction Drawings, sketches, renderings, models, other reproducible drawings, surveys, field
notations, reports, photographs, calculations, prepared by CONSULTANT under this Agreement,
copies of all correspondence and papers received or issued by CONSULTANT and all equipment and
publications authorized by CITY for purchase shall be delivered to CITY upon request and CITY shall
have the same rights to their use as if the termination or suspension had not occurred. Documents
that are the property of the CITY pursuant to Section II above, shall be delivered to and received by
the CITY prior to transmittal of final payment to the CONSULTANT.
XIII FORCE MAJEURE
A. Definition. For the purposes of this Contract, "Force Majeure" means an event which is beyond the
reasonable control of a Party including, but not limited to (1) strikes, lockouts, work slowdowns or
stoppages, or accidents, (2) acts of God, 3) and delay caused by an act or omission of the other
Party, and which makes a Party's performance of its obligations under the Contract impossible or so
impractical as to be considered impossible under the circumstances
B. No Breach of Contract. The failure of a Party to fulfill any of its obligations under the contract shall
not be considered to be a breach of, or default under, this Contract insofar as such inability arises
from an event of Force Majeure, provided that the Party affected by such an event has taken all

reasonable precautions, due care and reasonable alternative measures in order to carry out the terms
and conditions of this Contract, and has informed the other Party as soon as possible about the
occurrence of such an event.
C. Extension of Time. Any period within which a Party shall, pursuant to this Contract, complete any
action or task, shall be extended for a period equal to the time during which such Party was unable
to perform such action as a result of Force Majeure.
D. Payments. During the period of their inability to perform the Services as a result of an event of Force
Majeure, the Consultant shall be entitled to continue to be paid under the terms of this Contract,
notwithstanding that any costs caused by an act or omission of the other Party will be borne by the
party incurring the same.
XIV INDEMNIFICATION /HOLD HARMLESS
CONSULTANT shall defend, indemnify and hold the CITY, its officers, officials, employees and volunteers
harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of
or resulting from the negligent or wrongful acts, errors or omissions of the CONSULTANT in performance
of this Agreement, except for injuries and damages caused by the negligence of the CITY.
Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then,
in the event of liability for damages arising out of bodily injury to persons or damages to property caused
by or resulting from the concurrent negligence of the CONSULTANT and the CITY, its officers, officials,
employees, and volunteers, the CONSULTANT's liability hereunder shall be only to the extent of the
CONSULTANT's negligence. It is further specifically and expressly understood that the indemnification
provided herein constitutes the CONSULTANT's waiver of immunity under Industrial Insurance, Title 51
RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the
parties. The provisions of this section shall survive the expiration or termination of this Agreement.
XV INSURANCE
The CONSULTANT shall procure and maintain for the duration of the Agreement, insurance against claims
for injuries to persons or damage to property which may arise from or in connection with the
performance of the work hereunder by the CONSULTANT, its agents, representatives, employees or
subcontractors. Insurance requirements are set forth in Exhibit E.
No Limitation. CONSULTANT'S maintenance of insurance as required by the agreement shall not be
construed to limit the liability of the CONSULTANT to the coverage provided by such insurance, or
otherwise limit the CITY'S recourse to any remedy available at law or in equity.
XVI CONSULTANT'S KEY PERSONNEL AND SUBCONSULTANTS
CONSULTANT's key personnel and sub consultants for this Agreement as described in the selection
process and designated in Exhibit F to this Agreement, shall remain assigned for the duration of the
Agreement unless otherwise agreed to in writing by the CITY. The CITY shall not unreasonably withhold
approval of staff changes. The CITY may require substitution of any personnel or sub consultant provided
that the CITY has first notified the CONSULTANT in writing and allowed a reasonable period for
adjustments and /or corrections.
XVII PERFORMANCE EVALUATION
The CITY will conduct written evaluation of CONSULTANT'S services on this Agreement. CONSULTANT
will be given a copy of the evaluation report and will have an opportunity to provide a written response.

The evaluation and the response will be kept in CITY's files to be used as part of the selection process for
future engineering services.
XVIII CORRECTIONS AND APPROVALS
A. Corrections. Any defective designs, specifications, drawings, products, or services furnished by
CONSULTANT will be promptly corrected by CONSULTANT at no cost to CITY.
B. Approvals. CITY's approval, acceptance, use or payment for all or any part of CONSULTANT's services
or of the Task itself shall in no way alter CONSULTANT's obligations or CITY's rights hereunder.
XIX REPRESENTATIONS AND WARRANTIES
CONSULTANT hereby represents and warrants to CITY the following:
A. that CONSULTANT is financially solvent, able to pay CONSULTANT's debts as they mature and
possessed of sufficient working capital to complete the services required and perform CONSULTANT's
obligations hereunder;
B. that CONSULTANT is able to furnish any of the plant, tools, materials, supplies, equipment, and
labor required to complete the services required and perform all of CONSULTANT's obligations
hereunder and has sufficient experience and competence to do so;
C. that CONSULTANT shall comply with all applicable state and local laws, statutes, and ordinances
relating to professional registration, licensing and authority to perform all of CONSULTANT's
obligations required to be performed under this Agreement;
D. that CONSULTANT's execution of this Agreement and CONSULTANT's performance thereof is within
CONSULTANT's duly authorized powers; and
E. that CONSULTANT's duly authorized representative has visited the Task site, become familiar with
the local conditions under which the services required hereunder are to be performed and has
correlated CONSULTANT's observations with all of the requirements of the Contract Documents.
F. CONSULTANT agrees that the representations and warranties set forth herein shall survive the
execution and delivery of this Agreement.
XX APPLICABLE LAW
This Agreement shall be construed and interpreted in accordance with the laws of the State of
Washington, and in the event of dispute the venue of any litigation brought hereunder shall be Clallam
County.
XXI EXHIBITS AND SIGNATURES
This Agreement, including its exhibits, constitutes the entire Agreement, supersedes all prior written or
oral understandings, and may only be changed by a written amendment executed by both parties. The
following exhibits are hereby made a part of this Agreement:

This Agreement represents the entire and integrated agreement between CITY and CONSULTANT and
supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement
may be amended only by written instrument signed by both CITY and CONSULTANT.

EXHIBIT A
SCOPE OF SERVICES
The CONSULTANT shall provide to the CITY's Department of Public Works Utilities Department
CONSULTANT services for various CITY engineering services and projects.
The CONSULTANT'S services shall be provided as requested by the City Manager or his designee on an as
needed basis, as set forth in a "Task Tasks may be for any engineering technical support, work, study,
design, project, etc. that is within the general scope of this agreement. The CONSULTANT shall provide
engineering services on issues pertaining to the City of Port Angeles for stabilization of closed cells that
are adjacent to the Strait of Juan de Fuca. Additional tasks authorized after the Agreement is signed will
be adopted into the agreement by Amendment.
SECTION 1. GENERAL PROVISIONS
A. The CONSULTANT shall perform all services to the satisfaction of the City Engineer.
B. All of the services furnished by the CONSULTANT under this AGREEMENT shall be of the currently
prevailing professional standards and quality demonstrated and provided by civil engineering consultant
professionals of similar knowledge and skill engaged in related work throughout Washington under the
same or similar circumstances. All documentation prepared by CONSULTANT shall provide for a
completed Task that conforms to all applicable codes, rules, regulations and guidelines which are in effect
at the time such documentation is prepared.
C. All work performed under this AGREEMENT shall be authorized in the initial AGREEMENT or by an
additional Task that is adopted into the agreement by Amendment. Each Task shall detail the nature of
the specific services to be performed by the CONSULTANT, the time limit within which such services must
be completed and the compensation for such services. Such details shall include a description of the Task
for which CONSULTANT shall perform the services, the geographic limits of the Task, the type and scope
of services to be performed, the format and schedule for deliverables, the schedule of performance, and
the schedule of compensation. CONSULTANT shall not perform any services unless part of the original
agreement or authorized by a fully executed Amendment for the Task. Any unauthorized services
performed by CONSULTANT shall be at no cost to the CITY.
D. CONSULTANT shall begin work under the Task only after receipt of the Amendment bearing the
approval signature of the City Manager or the City Manager's designee and the signature of the City
Attorney approving the Amendment as to form. Each additional Task issued under this AGREEMENT by
the CITY shall be incorporated into the terms and conditions of this AGREEMENT by amendment.
E. CITY will assign a Project Manager to facilitate each Task authorized under this AGREEMENT.
CONSULTANT shall coordinate with the designated Project Manager on the performance of each Task.
F. CONSULTANT shall be responsible for the coordination with CITY and federal, state and local agencies
that are necessary for all services authorized under this AGREEMENT.
SECTION 2. BASIC SERVICES.
CONSULTANT shall provide engineering CONSULTANT services for CITY Solidwaste utility technical
support, studies, design, and post -award construction services. CONSULTANT shall provide the general

types of services set forth below. This list of services is meant to be illustrative in nature only and is not
meant to be a complete or exclusive list.
1. Technical support services for Solidwaste Utility operations and engineering assistance for landfill
cell stabilization shall entail, but not be limited to:
A. Data review and technical support.
B. Drainage system modification assessment, design, technical support and
specifications.
C. Short-term refuse assessment and containment support, including technical
specifications and drawings.
D. Identify bluff retreat rate for short-term and long -term.
E. Identify horizontal limits of refuse and locate /map pockets of refuse.
F. Short and long -term strategies to prevent bluff erosion.
G. Identify vulnerable sections of bluff.
H. Identify needs and costs of future studies and construction.
2. Technical memorandums for the following tasks:
A. Task 2 Summarizing findings
B. Task 5 Provide short-term and long -term alternatives and actions to
address waste containment and removal of pockets of waste.
C. Task 6 A brief technical memorandum summarizing drainage design.
3. Develop and provide the design plans and project specifications for drainage modifications on
304 compliant cell and for pockets of waste removal.
SECTION 3. SPECIFIC SERVICES.
A. Service Initiation
Prepare Task Scope and Proposal Upon request of CITY's Project Manager, CONSULTANT shall meet
with the Project Manager to discuss the Task. CONSULTANT shall become familiar with the Task
description, scope and goals and develop proposed scope of services.
CONSULTANT shall prepare a proposed scope of work consistent with the standard electronic format of
CITY Professional Service Agreement Amendments as determined by the Project Manager. The proposed
scope of services shall, at a minimum, include the following: Task Description, Scope of Services including
deliverables, and Schedule of Performance and Schedule of Compensation. For each Task, in addition to
the specified services, products and deliverables detailed in the Task, CONSULTANT shall typically
perform the following sub tasks, which may be aggregated for administrative efficiency:
Sub -Task 1 Initial Meeting Prior to beginning substantive work on a Task, CONSULTANT shall
meet with CITY to establish procedures and notifications for any necessary meetings and
communications with CITY staff; collect available data from the CITY and establish additional data
needs and availability; confirm the format for all Task products and deliverables; and address any
preliminary Task concerns. The meeting will be the primary opportunity to discuss the CITY'S intent,
schedule and budget for the Task. The CONSULTANT shall prepare minutes of the meeting and
distribute minutes to meeting participants.
Sub -Task 2 Task Coordination Meetings CONSULTANT shall attend and /or conduct Task
coordination meetings as required to perform authorized services and as required by Project
Manager. CONSULTANT shall prepare minutes of each meeting and distribute minutes to participants.

Sub -Task 3 Task Schedule CONSULTANT shall prepare and submit a detailed schedule of
performance consistent with the schedule contained in the Task to the Project Manager for review
and approval. CONSULTANT shall confirm or update the schedule monthly at a minimum. Any
changes to the schedule shall only be permitted with the written approval of City Engineer.
Sub -Task 4 Task Progress Report CONSULTANT shall submit a monthly report to the Project
Manager detailing progress on the Task services.
Sub -Task 5 Request for Payment Invoice CONSULTANT shall submit progress payment invoices
to the Project Manager monthly, as specified in EXHIBIT C. The updated Task schedule and progress
report may be submitted as attachments to the invoice.
Sub -Task 6 Task Record CONSULTANT shall develop and maintain a detailed record of the
chronology of the Task milestones completed that are decisive, conclusive, or relevant to the
outcome of the Task. CONSULTANT shall submit a copy of the Task Record to the Project Manager
prior to final payment for services performed on the Task. The Record shall be submitted in both
paper and electronic format.
Sub -Task 7 Project Documents Aside from deliverables specified in the Task, and before the
conclusion of the Task and final payment for services performed on the Task, CONSULTANT shall
submit to the Project Manager a copy of all Task documents that are decisive, conclusive, or relevant
to the outcome of the Task. Such documents may include, without limitation, topographical surveys
and mapping, field notations, utility mapping, site inventories, base plans, reports and studies, permit
applications and permits, environmental documentation, records of meetings, and communication
documents. Documents shall be submitted in both paper and electronic format, as available.
The Project Manager will review and comment on proposed scope of work, and the parties shall
agree on the terms of the final Task. CONSULTANT shall not be compensated for work performed in
preparing a draft scope of services for a Task.
B. Task Authorization
The finalized Amendment for the Task will be authorized by the City Manager or his designated
representative in accordance with authorization procedures provided in the City of Port Angeles Municipal
Code, Section 3.05.
C. Service Implementation
Upon receipt of an authorized Task and Notice -to- Proceed, CONSULTANT shall begin Task services
described therein.

END OF EXHIBIT

Recent exposure of refuse and an overflow drainage pipe at the marine bluff in Port Angeles Landfill
(PALF) have prompted the immediate need for action to prevent debris from spilling onto the beach and
entering the Strait of Juan de Fuca. The goals of the Landfill Cell Stabilization project are to quickly
assess immediate and long term environmental risks, to identify immediate response actions in the
vicinity of refuse exposure, and to identify alternatives for long -term solutions and mitigation measures to
potential waste exposure as the marine bluff retreats.
Task 1: Preliminary Research and Sunnort
Activities:
1. Consultant shall provide the City preliminary data and support. This shall consist of, but not be
limited to:
A. Powerpoint presentation with 6 -12 slides using existing site photos and graphics
prepared by the consultant.
B. Powerpoint presentation shall include order of magnitude planning level of cost
estimates for full waste removal base on current understanding of waste depths and
extents.

Task 3: Field Reconnaissance
1. Following the review of available reports, operation and maintenance plans, design drawings,
and monitoring data, the Consultant team shall conduct a field reconnaissance of the landfill
and shoreline to verify, collect, and document data. The field reconnaissance shall include,
but not be limited to:
A. For reasons of efficiency and safety, the field reconnaissance in the vicinity of the top
and bottom of bluff shall be conducted by a 3 person crew.
B. Focusing on describing the existing beach conditions and environment.
C. Identifying types of active shoreline erosion and sediment transport processes.
D. Shall extend a minimum of 500 feet along the shoreline east of the Port Angeles
Landfill to define current (baseline) conditions.
E. Special consideration shall focus on the bluff in the vicinity of the eastern end of the
landfill shoreline, east of the revetment wall where waste and a drainage pipe is
exposed on top of the bluff.
F. The bluff reconnaissance shall focus on existing bluff conditions and the types of
slope erosion and bluff failure mechanisms acting on the bluff.
G. The upland reconnaissance shall extend at a minimum 300 feet inland.
H. Existing drainage features shall be located and their intended function and condition
assessed.
I. Other existing features such as groundwater monitoring wells that are shown on site
plans or found during the field reconnaissance will be located, described, and
photographed.
3. Assess areas for future geophysical surveying and subsurface exploration.
Deliverables:
A. Geomorphic Field Report Summary of observations, with annotated photographs
Assumptions:
A. Site reconnaissance will be attended by five consultants technical leads.
B. Reconnaissance can be completed in one field day.
C. Site access and coordination will be arranged by City project manager.

Task 4: Summary of Findings
1. Following task 2 and 3, prepare a technical memorandum summarizing:

E. Identify short -term (annual and episodic) and long -term (50 -year average) bluff
retreat rates
F. Identify needs and planning -level costs of future studies and construction

Assumptions:
A. City will provide review comments on the Draft Tech Memo in two weeks.
Task 5: Short Term Refuse Assessment and Containment Sunnort
Objective: Address imminent threats of garbage /waste falling to the beach.
Activities:
1. The Consultant shall provide the City the following:
A. A matrix of short term alternativeactions to address immediate waste containment
or removal directly related to pocket waste as well as potential beach waste.
B. Alternatives shall be developed with approximate costs, advantages, disadvantages,
and schedule.
C. The Consultant shall work with the City to identify an approach for implementation.
The basis of design and the results of construction shall be summarized in a technical
memorandum of 3 -5 pages.
D. If the City issues a small works contract for spot removal along the bluff, consultant
shall perform the following support tasks pertaining to the small works contract:
a. Provide technical specifications and drawings.
b. Respond to Request for Information's (RFI)
Deliverables:
A. Limited Geophysical Spot Waste Location Map (results of observations of extent of
waste and geomembrane cover).
B. Draft Memorandum
C. Final Memorandum
D. Technical Specifications and drawings
Assumptions:
A. Immediate waste containment and relocation will be limited to removal of exposed
(visible waste) posing an immediate risk.
B. Containment and removal methods will be limited in nature. Beach removals are
anticipated to be hand removals not involving heavy equipment or excavations which
would require permits.

C. Spot waste containment or removals are anticipated to be small and limited to bluff
edge removals to address immediate refuse migration.
D. Field investigation of waste locations will not be performed by the Consultant team,
but rather incorporated into a small works contract, therefore volume and extents of
waste removal will likely be performed on a time and material basis.
E. City will assemble, format, and process small work order contact documentation.
F. Consultant will assist in preparing technical specifications for work order
development.
Task 6: Drainaae System Modifications Assessment. Design, and Suonort
Objective: Assess existing surface drainage and design repairs to address localized ponding and
damaged pipelines.
Activities: The Consultant shall assist the City in addressing the primary drainage issues associated
with localized ponding and exposed damaged drainage pipe. The Consultant shall provide the
following services:
A. Develop pipe realignment options, pipe fabrications and connection designs, ditch
realignments and micro grading, and ditch liner lay -overs design alternatives to
provide positive drainage and other support as necessary to develop the design.
B. Provide a design report listing alternatives and cost effective strategies to design
drainage system modification on 304 compliant landfill cell.
C. Limited topographic survey will be performed to address pipe alignments and
localized ponding. Consultant will GPS locate and take reference elevations.
D. Brief technical memorandum summarizing basis of design 3 to 5 pages.
E. Consultant will assist in preparing technical specifications for work order
development.
Deliverables:
A. Topographic base map for drainage repair area
B. Draft Technical Memorandum
C. Final Technical Memorandum
D. Technical Specifications and drawings
Assumptions:
F. City operations staff will pothole to locate pipe and liner inverts within ditches and at
potential pipe crossings and alignments.
G. City will review the draft technical memorandum and provide comments in
approximately two weeks.
H. Work plan development will include contractor requirements for safety plan to be
prepared and submitted by Contractor.
I. City will assemble, format, and process small work order contract documentation.
3. Drainage repairs are considered to be maintenance repairs and will not require
permits. City will verify this assumption.
Ditch grading will not require cutting the liner of the landfill cell. Liner installation will be
limited to shingled ditch installations to facilitate positive drainage.

PERFORMANCE PERIOD
All work under this AGREEMENT shall be completed within performance periods set forth in Exhibit B1.
This Agreement shall be effective on the last date set forth in the signature page. This Agreement will
remain in force and effect for inclusion of additional Tasks for two years from the effective date of this
Agreement.
The terms of this Agreement shall remain in full force and effect throughout the performance period for
any for all Tasks authorizing the performance of work under this Agreement that are properly executed
prior to the expiration of this two -year period.
Hourly rates are established for each performance year of the Agreement in Exhibit D.

The CITY shall pay the CONSULTANT as set forth in this section of the Agreement. Such payment shall be
full compensation for work performed, services rendered, and all labor, materials, supplies, equipment,
and incidentals necessary to complete the work.
Section 1. Maximum Compensation for On -call Agreement.
1.1 Maximum Amount: Any hours worked for which payment would result in a total exceeding the
maximum compensation amount specified in Article V above, shall be at no cost to the CITY.
1.2 Manner of Payment: Each Task will set forth whether the CITY will pay the CONSULTANT for work
performed under such Task on a time and materials price basis or on a lump sum basis. Section 2 of this
Exhibit applies to all Tasks where the CITY will pay the CONSULTANT on an hourly basis for the work
performed.
Section 2. Payment Hourly Rate basis.
EXHIBIT C
COMPENSATION
2.1 Payment shall be on the basis of the CONSULTANTS cost for actual labor, overhead and profit plus
CONSULTANTS direct non -salary reimbursable costs as set forth in the attached Exhibit C1.
Notwithstanding anything to the contrary, the multiplier set forth in Exhibit D is valid for the term of this
On -call Agreement unless changed by written amendment.
2.2 Labor costs shall be based on the estimates shown in Exhibit C1 and hourly wages and rates shown
in Exhibit D. Exhibit D shall be updated each January to reflect the CONSULTANT'S current wage rates for
the coming calendar year. Hourly rates shall be based upon an individual's hourly wage, times a
multiplier as shown in Exhibit D. The multiplier shall include overhead, CADD, computer and profit.
General clerical time shall be considered an overhead item, except where specific work items are involved
that require one hour or more continued effort, in which case time will be charged on the basis, of hours
worked.
2.3 The direct non -salary reimbursable costs are those directly incurred in fulfilling the terms of this
Agreement, including, but not limited to, travel, subsistence, telephone, reproduction and printing,
supplies and fees of outside services and CONSULTANTs. No overhead and profit may be added to direct
non -salary reimbursable costs.
Section 3. Payment Additional Requirements
3.1 The Task shall specify the maximum amount of compensation for the work, including both payment
for professional services and reimbursable expenses. CONSULTANT shall complete all work it is required
to perform under the Task for no more than the specified maximum amount. Any hours worked for which
payment would result in a total exceeding this maximum amount shall be at no cost to CITY.
3.2 If the Task itemizes budget amounts for any phase or category of work then CONSULTANT shall not
exceed such itemized amount without the City Engineer's prior written authorization. The City Engineer
may approve, in writing, transfers of budget amounts between any of the phases or categories of work
listed in the Task, provided the aggregate total compensation does not exceed the maximum
compensation.
3.3. Payment for "Extra Work" performed under Section XI of this Agreement shall be as agreed to by the

parties in writing.
3.4 Invoice: Every month CONSULTANT shall invoice CITY for work performed during the immediately
previous month. Invoices shall detail the work, hours, employee name, and hourly rate; shall itemize with
receipts and invoices the non -salary direct costs; shall indicate the specific task or activity in the Scope of
Work to which the costs are related; a detailed description of the reimbursable expenses incurred and the
amount of such expenses, documents supporting the reimbursable expenses and shall indicate the
cumulative total for each task. The invoice shall also show the total to be paid for the invoice period, the
aggregate amounts of payments received to date under the Task and the balance of maximum
compensation for remaining work on the Task. The CITY shall review the invoices and make payment for
the percentage of the Task that has been completed less the amounts previously paid.
3.5 Electronic Funds Transfer.
(a) Method of payment.
(1) All payments by the City under this contract shall be made by electronic funds transfer (EFT),
except as provided in paragraph (a)(2) of this clause. As used in this clause, the term "EFT" refers to the
funds transfer and may also include the payment information transfer.
(2) In the event the City is unable to release one or more payments by EFT, the CONSULTANT
agrees to either
(i) Accept payment by check or some other mutually agreeable method of payment; or
(ii) Request the City to extend the payment due date until such time as the City can make
payment by EFT (but see paragraph (c) of this clause).
(b) CONSULTANT'S EFT information. Within two weeks following award of the contract, CONSULTANT
shall arrange for EFT transfer through the City's Finance Department following Finance Department
policy. In the event that the EFT information changes, the CONSULTANT shall be responsible for
providing the updated information to the City's Finance Department.
(c) Suspension of payment. If the CONSULTANT'S EFT information on file with the Finance Department
is incorrect, then the City need not make payment to the CONSULTANT under this contract until correct
EFT information is provided and processed; and any invoice or contract financing request shall be
deemed not to be a proper invoice for the purpose of late payment under this contract.
(d) Liability for uncompleted or erroneous transfers.
(1) If an uncompleted or erroneous transfer occurs because the City used the CONSULTANT'S EFT
information incorrectly, the City remains responsible for
(i) Making a correct payment;
(ii) Paying any late payment penalty due after 30 days of City receipt of a proper invoice; and
(iii) Recovering any erroneously directed funds.
(2) If an uncompleted �r erroneous transfer occurs because the CONSULTANT'S EFT information
was incorrect, or was revised within 30 days of City release of the EFT payment transaction, and
(i) If the funds are no longer under the control of the City's Finance Department, the City is
deemed to have made payment and the CONSULTANT is responsible for recovery of any erroneously
directed funds; or
(ii) If the funds remain under the control of the City's Finance Department, the City shall not
make payment, and the provisions of paragraph (c) of this clause shall apply.
(e) EFT and late payment interest. A payment shall be deemed to have been made in a timely manner
in accordance with the payment terms of this contract if, in the released EFT payment transaction, the
date specified for settlement of the payment is on or before the late payment due date.
(f) Liability for change of EFT information by financial agent. The City is not liable for errors resulting
from changes to EFT information made by the CONSULTANT'S financial agent.

(g) Payment information. The Finance Department shall forward to the CONSULTANT available
payment information that is suitable for transmission as of the date of release of the EFT, using the
format and delivery method most convenient to the City. If the City makes payment by check in
accordance with paragraph (a) of this clause, the City shall mail the payment information to the
remittance address contained on file.

2. Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01 and
shall cover liability arising from premises, operations, independent contractors and personal
injury and advertising injury. The CITY shall be named as an insured under the CONSULTANT's
Commercial General Liability insurance policy with respect to the work performed for the CITY.
EXHIBIT E
INSURANCE
INSURANCE REQUIREMENTS FOR PROFESSIONAL SERVICE AGREEMENTS
MINIMUM SCOPE OF INSURANCE
CONSULTANT shall obtain insurance of the types described below:
1. Automobile Liability insurance covering all owned, non owned, hired and leased vehicles.
Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form
providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide
contractual liability coverage.
3. Workers' Compensation coverage as required by the Industrial Insurance laws of the State of
Washington._
4. Professional Liability insurance appropriate to the CONSULTANT's profession.
MINIMUM AMOUNTS OF INSURANCE
CONSULTANT shall maintain the following insurance limits:
1. Automobile Liability insurance with a minimum combined single limit for bodily injury and
property damage of $1,000,000 per accident.
2. Commercial General Liability insurance shall be written with limits no less than $1,000,000 each
occurrence, $2,000,000 general aggregate.
3. Professional Liability insurance shall be written with limits no less than $1,000,000 per claim and
$1,000,000 policy aggregate limit.
OTHER INSURANCE PROVISION
The CONSULTANT's Automobile Liability and Commercial General Liability insurance policies are to
contain, or be endorsed to contain that they shall be primary Insurance as respect the CITY. Any
Insurance, self- insurance, or insurance pool coverage maintained by the CITY shall be excess of the
Contractor's insurance and shall not contribute with it.
ACCEPTABILITY OF INSURERS
Insurance is to be placed with insurers with a current A.M. Best rating of not less than A:VII.

VERIFICATION OF COVERAGE
CONSULTANT shall furnish the CITY with original certificates and a copy of the amendatory
endorsements, including but not necessarily limited to the additional insured endorsement, evidencing
the insurance requirements of the CONSULTANT before commencement of the work.
NOTICE OF CANCELLATION
The CONSULTANT shall provide the CITY with written notice of any policy cancellation, within two
business days of their receipt of such notice.
FAILURE TO MAINTAIN INSURANCE
Failure on the part of the CONSULTANT to maintain the insurance as required shall constitute a material
breach of contract, upon which the CITY may, after giving five business days notice to the CONSULTANT
to correct the breach, immediately terminate the contract or, at its discretion, procure or renew such
insurance and pay any and all premiums in connection therewith, with any sums so expended to be
repaid to the CITY on demand, or at the sole discretion of the CITY, offset against funds due the
CONSULTANT from the CITY.

I. AMENDMENT SCOPE OF WORK
The scope of professional services to be performed is amended to include addition al work
Tasks 14 -18 as described in the attached Exhibit A. The CONSULTANT shall provide
and furnish all services and material necessary to accomplish the additional Tasks 14 -18

EXHIBIT A
SCOPE OF SERVICES TASKS
The original Scope of Services dated December 9. 2011 provided for the CONSULTANT
to assess the City's 304- compliant section of the landfill for bluff stability, develop both
short and long term strategies to prevent refuse from spilling onto the beach, and design
drainage revisions to prevent erosion. BaseD on the CONSULTANT's findings, the CITY
requested through Addendum No. 2 that the CONSULTANT investigate solutions and
develop conceptual design alternatives which included subsurface investigations,
geomorphic evaluations, 304 compliant cell relocation scenarios, comparisons between on-
site and off -site disposal, and cost analysis. Five alternatives were developed that
provided a comprehensive overview of options and their application to selection criteria
including:
(1) Environmental impact
(2) Level of infrastructure protection
(3) Cell encroachment (refuse at risk)
(4) Fundability
(5) Ability to monitor and manage future bluff retreat.
Alternative 3 which include end' wall protection on the existing seawall shall be pursued for
design in 2013 and construction in 2014. The Scope of the Services provided shall include the
development of permits and the 30% level design to resolve the issue of erosion of the marine bluffs
that are currently threatening to expose municipal solid waste and allow that waste to spill onto the
beach. The primary element of the design is waste relocation to manage the retreat from the most at-
risk areas of the landfill along the bluff.
The conceptual design Alternative 3 includes the following elements:
Solid waste located within the northern 150 feet of the eastern 304- compliant landfill
(approximately 265.000 cubic yards) will be relocated to a new cell of similar capacity on the
351- compliant landfill. The volume was estimated from the existing 304 compliant landfill well
logs, historic photos, and subsequent borings (four in 2012). Remaining solid waste will be
•configured for a stable closure that ties into the remaining east 304- compliant landfill cover
system. In addition, the existing seawall will be upgraded at both east and west ends to protect
shoreline and Dry Creek erosion and other impacts along the side and behind the seawall. Either
rip rap or concrete armoring units will be utilized within the approximate footprint of the existing rip
rap located at the east and west ends of the seawall.
Interface with the bluff face on the east end will be critical, as the bluff will migrate to the south
over time while the seawall remains.stable. The orientation of the end wall protection will be
designed in anticipation of this migration to continue protection of the east end over time. The end
wall protection may be rip rap, concrete armoring units, or some other form that may be influenced
not only by eventual function, but also by constructability. Seawall ends may have additional

improvements to assure proper sealing between leachate collection system and outer end
protection.
Both 304 and 351cover systems will need to meet solid waste closure requirements
designated either by WAC 351 or 304. The cover system may utilize an altemative,
approved liner system to allow a 2:1 (H:V) slope. A toe drain/intercept will be designed to
intercept residual leachate and landfill gas. Exposed native slopes will he stabilized through
regarding, where possible. Surface water will proceed north through the newly open area of
the 304 East cell and utilize the existing Notch 2 drainage outlet. This outlet will require
modification.
Solid waste removals may extend to the west to include shallow removals (up to 15 feet depth)
along the central north portion and a small portion of the Valley Cell. Both areas are not well
defined regarding depth or extent and type of solid waste. The Valley Cell removal will be
reconfigured for a WAC 351 or 304 landfill cover system. Waste removals through the
shallow cell are necessary to convey surface water.
The 351- compliant landfill will be reopened to allow an approximate 265,000 cubic yard cell
development on top and within the permitted elevation and footprint boundaries. Solid
waste will be placed in lifts to final grades between 3:1 and 2:1 (H:V), depending on the
closure strategy. A WAC 351 closure system will be designed with gas wells and/or laterals
extending into the new cell. Cell preparation will begin with the existing cover system being
removed from the new cell footprint. A temporary gas management system will be installed to
control oxygen intrusion and gas exposure in the working area. The final cover system will
include lining system. gas system, surface water system, and access.
An on -site construction access system will be established to allow solid waste transfer from
the 304 compliant landfill to the 35I- compliant landfill. Waste screening, staging areas, and
control entrances will be included.
Both shoreline and landfill facility activities will require permitting. Shoreline work will
include activities below the mean higher high water (MHHW) line of the Strait of Juan de
Fuca including site access and construction activities for end wall protection at the existing
seawall. Shoreline work also will occur below the ordinary high water mark of Dry Creek for
placement of large woody debris structures to deflect the stream thalweg away from the
seawall west end. Permitting will include federal, state, and local compliance. Landfill
permitting will be required for opening and reclosing the east 304 compliant landfill and
opening, filling, and operating the 351 compliant landfill. Shoreline permitting may require a
scheduling off -set compared to landfill scheduling. End wall protection materials analysis and
initial configurations will require early review by Washington State Fish and Wildlife. This
early review may delay selection of the end wall approach, resulting in impacts on the
Seawall Improvements and End Protection Technical Memorandum and 30% design. It is
not anticipated this would affect the final design schedule (end of 2013).

This scope of services is phase 1 of two phases. Phase 1 (April August 2013) will
initiate permitting for both landfill and shoreline work; 304- compliant landfill and 351
compliant landfill Engineering Report; 30% Landfill conceptual design; and 30% seawall end
protection and Dry Creek conceptual design. Phase 2 (August 2013 Spring 2014) will
scope and budget subsequent permitting efforts and completion of the design process
consistent with regulatory feedback and conceptual design development.
The specific tasks involved are:
TASK 14- PROJECT MANAGEMENT
Objective: To manage the work performed to achieve the overall project schedule and budget
limitations and to coordinate work efforts among the project team, the CITY, regulatory agencies,
and consultants working on other aspects of the project.
Activities: CONSULTANT shall provide the following engineering services:
A. Complete all assigned administrative, contractual. and financial components of the work.
B. Facilitate interaction of all parties, including Consultant's Project Manager,
subconsultants and regulatory agencies. with the CITY.
C. Provide management and supervision of subconsultants.
D. Provide management and oversight of progress and budgets.
E. Provide monthly progress reports.
F. Conduct weekly design coordination meetings.
G. Participate in monthly Progress Meetings with the CITY.
H. Ensure conformance for all subconsultants with the Project Management Structure,
schedules, budgets, and deliverables.
1. Develop and maintain (with periodic updates as required) a detailed Project Schedule and
budget tracking system for the work.
The designated Consultant Project Manager will provide a Project Management Structure
of the entire Consultant Project Team. This will address the lines of communication through the
Consultant Project Manager and. in his /her absence, his /her designee. Project management
will be required for the duration of the Agreement. For the purposes of estimating, the scope
of work contract period is anticipated to start in April 2013 and continue for 5 months.

Sub -Task 14.1— Project Management Structure
Objective: The CONSULTANT shall develop a Project Management Structure for distribution
to all personnel involved with the project. The Project Management Structure, intended to
guide the execution of the project. includes but is not limited to the following elements listed
below.

A. Provide for all assigned administrative, contractual, and financial components of the work.
B. Address the Project Manager's role, responsibilities, and communications plan.
C. Include project team members, their levels of responsibility, and authority.

Objective: Prepare a detailed schedule of project activities. Plan and provide adequate

A. The CONSULTANT shall prepare and maintain throughout this project a

Sub -Task 14.4 Progress Meeting, Design Team Coordination Meetings, and Other
Meetings
Objective: Monthly Project Progress Meetings. team coordination meetings. and other
meetings will be identified and budgeted under this sub -task. Sub -Task 14.4 identifies all
budgeted meetings including the meetings purpose, consultant attendees, and anticipated
schedule dates.
Activities: Consultant shall provide the following engineering services:
A. Progress Meetings:
a. Key members of the Consultant's project team shall meet with CITY staff to
review project progress and address project issues.
b. The Consultant Project Manager and one additional staff member (a maximum of
two people per meeting including the Project Manager) from the project team as
appropriate for the items to be addressed at the coordination meetings, will
attend each meeting.
c. Consultant shall prepare and distribute a summary of the meeting discussion
and results to all participants. The meetings are assumed to require four (4) hours
for each participant including one (1) additional hour for meeting note
preparation. The hours associated with three (3) meetings are included in the
budget estimate.
B. Internal Design Coordination Meetings
a. The CONSULTANT shall hold monthly in house design coordination
meetings to track progress and budgets on task specific elements of the work.
These meetings will address budgets and deliverables for each area of work
and will be used to ensure that resources and personnel are applied to
complete individual assignments and the overall project. Meetings will be
focused on components of the work that are critical to ongoing deliverables
and which precede other activities on the critical path. The CITY shall be
invited to all internal design coordination meetings.
b. The CONSULTANT shall coordinate general and overall design concepts.

Assumptions:
c. For those tasks that require detailed discussions not appropriate for the
meeting forum, the CONSULTANT shall confer and coordinate design
details with CITY staff.
C. Coordination Meetings with Regulatory Agencies
a. It is anticipated that a maximum of up to three (3) meetings will be held with
regulatory staff during the preliminary design effort.
b. The CONSULTANT shall provide meeting minutes to the CITY and the
regulatory staff who attended each meeting.
D. City of Port Angeles City Council Presentation
a. Provide project updates and present preliminary design, solid waste
operations approach, revised construction costs, and permitting status.
b. Present and discuss Phase 2 work elements and associated budget in August
2013.

a. Three (3) progress meetings will be attended by the Consultant's Project

in Seattle, Washington and the City will attend by webconference.
C. Internal Design Coordination Meetings:
a. Three (3) meetings attended by the Project Manager and two (2) Lead
Engineers /Scientists are anticipated averaging 1.5 hours in length with an
additional one (1) hour budgeted to prepare and distribute meeting notes.

b. Up to four (4) ad hoc meetings attended by two (2) design team members
can be required. It is anticipated each meeting will average 1.5 hour in
duration and one (1) hour is budgeted to prepare and distribute meeting

D. Coordination Meeting with Regulatory Agencies
a. Up to two, 2 -hour meetings attended by the CONSULTANT's Project
Manager, one (1) Project Engineer, and one (1) permitting
representative.
b. One (1) hour to prepare and distribute meeting notes
E. City of Port Angeles City Council Presentation
a. Two (2) CONSULTANT staff members shall be present; meetings are
anticipated to be two (2) hours in duration, resulting in a full day of
work including travel.
TASK 15- CUMUMLATIVE EFFECTS ANALYSIS OF PRECAST ARMORING UNITS
Objective: The CITY has attended two pm-application meetings (October 10, 2012 and
February 14, 2013) organized by the U.S. Army Corps of Engineers to start early
coordination with state and federal permitting agencies on proposed end wall protection
measures. At the February meeting, regulators raised a question about the potential long-
term cumulative effects of precast concrete armoring units for shoreline stabilization work
instead of natural rock riprap. Concrete armoring units are most commonly used in jetty
applications. The agencies expressed concem that their use for a small stabilization project
such as the proposed Port Angeles Landfill end wall protection could set a precedent for their
use, with unintended cumulative effects if precast materials are used more frequently in our
region in place of rock. To address this concern, the CITY will compare the potential short-
and long -term effects of precast concrete armoring units and riprap applications at the Port
Angeles Landfill site and assess the potential cumulative effects of more frequent use of
precast materials.
The goal of this task is to validate the design direction, specifically the use of precast
concrete armoring units or riprap, for end wall protection structures on the Port Angeles
Landfill site. Validation of the design direction is a key decision necessary for meeting permit
application timeframes and the overall project schedule. If precast concrete armoring units
are selected as the preferred armoring method, this will be considered an "experimental
application" requiring post monitoring to assess effectiveness.
Several objectives shall be addressed:

1. Develop concept designs for precast concrete armoring unit and riprap end wall
protection structures at the Port Angeles Landfill site at sufficient level of detail to
conduct an environmental screening analysis of effects.
2. .Develop and apply screening -level evaluation criteria to precast concrete
armoring units and riprap concept designs for end wall protection.
3. Compare outcomes of the screening -level analysis of environmental effects
of precast concrete armoring units and riprap concept designs at Port
Angeles Landfill site.
4. Qualitatively assess potential trends in long -tern cumulative environmental
effects of precast concrete armoring units versus riprap shoreline bank
stabilization.
5. Facilitate agreement between CITY and regulatory agencies on materials for end
wall protection structures. The use of precast concrete armoring units likely
would be implemented as an experimental application. Regulatory agency
representatives indicated general support for this approach at the February
pre application meeting.
Activities: The following activities shall be conducted concurrently. The CONSULTANT shall
provide the following engineering services:
A. Evaluation Criteria Matrix

a. Develop the outline and details of an evaluation matrix to assess effects of the
concept designs for a 100 -year storm. The CITY and CONSULTANT shall
coordinate with regulatory agencies to target the most appropriate evaluation
factors for supporting CITY and agency decisions on end wall structure
materials. The extent and level of detail of the evaluation shall be defined
through this process. It is critical to maintain focus of the design and
regulatory team on the specific goal of this task, and carry that focus
throughout development and use of the analysis tool. The analysis must be
sufficiently inclusive and detailed to support the decision on material type for
the structures.

a. The CONSULTANT will develop two concept -level designs (±10 for precast
concrete armoring units and riprap end wall protection solutions with sufficient detail
to support the goal of this task. The two concept -level designs will be based on
existing site conditions (e.g., wave energy, currents, tidal elevations, assumed bluff
retreat patterns) and design assumptions appropriate for the materials (e.g., footing
depth, structure footprint, material sizing) to achieve similar structure service (e.g.,
stability and strength), and will be developed consistent with U.S. Army Corps of
Engineering Design and Development Standards This will allow for a direct
comparison of the pros, cons, and environmental effects of the two options.
C. Environmental Evaluation
a. The CONSULTANT shall compare the environmental effects of two concept -level
designs precast concrete annoring units and dprap using qualitative and
quantitative metrics, and prepare a technical memo describing findings and
recommendations for the 30% conceptual end wall protection design. The memo
will also include an approach for physical and biological post monitoring after
structure completion. The CONSULTANT and CITY shall coordinate with
regulatory agencies throughout this task to ensure that all aspects of the analysis are
fully understood and technical issues are addressed promptly.

D. Agency Coordination and Meetings
a. The CONSULTANT shall coordinate with the CITY and regulatory
agencies to obtain input on the evaluation approach, evaluation factors and
their application, and reasonable outcomes of this concept -level analysis of
end wall protection structure materials. Completion of this task is critical to
proceeding with 30% designs for end wall protection and permit application
materials. Early and regular communication with regulatory agencies
(especially WDFW, USACE. NMFS, and USFWS) is important for
maintaining direction, momentum, and focus on the critical outcome of this
task, which is a decision on whether to implement precast concrete or riprap
end wall protection structures.

a. Draft and final design assumptions for concept -level precast concrete armoring
units and riprap end wall protection designs.
b. Draft and final evaluation criteria for screening -level evaluation of end wall
protection materials options.
c. Draft and final technical memorandum describing the concepts, evaluation of effects,

TASK 16 PERMIT DEVELOPMENT APPLICATIONS
Objective: The objective of this task is to provide permitting and operation support for
identification and acquisition of required permits and compliance with environmental
regulations and requirements. The CONSULTANT shall support the CITY with developing
local, state. and federal permit applications necessary to construct the proposed project
improvements.
Sub -Task 16.1 Solid Waste Permit Operations Update for the 304 /351- Compliant
Landfills
Objective: The CONSULTANT shall provide permitting and operations support for
conducting solid waste activities in the 304 /351 compliant landfill cells at the Port Angeles

Landfill. This shall involve preparing perniit applications and coordinating with various
agencies: including City of Port Angeles Community and Economic Development (CED) and
Public Works and Utilities for construction permits: Olympic Region Clean Air Agency for
air permits; and Clallam County Environmental Health Services (CCEHS) and Washington
Department of Ecology (Ecology) on landfill permits, operations, closure and post closure
design and monitoring.
The following list includes permits required for construction activities:

Activities: CONSULTANT shall provide the following engineering services:
a. Meet with the CITY Public Works and Utilities (PW &U) staff to thoroughly
review all previous permitting agency meetings (if any), relevant documents,
requirements and potential issues for each required permit. The CONSULTANT and
CITY shall identify and agree upon regulatory agency contacts, interface
strategies, and CITY expectations for partnering, coordination, and feedback.
b. Meet with CITY Department of Community and Economic Development
(DCED) to clarify permit requirements, timelines, and processes. CONSULTANT
shall finalize the Permit Acquisition and Management Plan that identities all perniits
required, the application and approval process and timing for each application, material
required for each permit application, and appropriate agency contacts.
c. Initiate a combined pre submittal conference and site visit with DCED to share project
concepts, and review applicable requirements in detail.

d. Initiate Shoreline Conditional Use Permit process. (See sub -task 16.2,
Permitting).
e. Conduct preliminary meetings with Clallam County Environmental Health (CCEHS)
and Ecology to resolve key permitting issues relative to design standards and the
unique aspects of the Port Angeles Landfill work.
f. Meet with CCEHS to confirm and clarify facility design, waste handling systems
design. and anticipated operations and maintenance protocols, approval
requirements and agency issues. Ecology would be consulted regularly, as
determined by CITY and CCEHS.
g Review requirements and issues with CITY and the CONSULTANT's design
team. This will include site, civil and stormwater design engineers, landfill gas system
design engineers, structural design engineers. and site operations staff from the
CONSULTANT's team; and engineering staff, operations staff. drainage
reviewers, and managers from CITY.
h. Initiate update of Plan of Operations and Operations and Maintenance manual to meet
revised design requirements and standards during construction.
i. Initiate and review with CITY the Solid Waste Permit modifications. The permit
modifications will include engineering reports /plans and specifications that address
the design standards of WAC 173 -351 or WAC 173 -304 (to be determined); a plan
of operation meeting the requirements of WAC 173 -351 or WAC 173 -304 (to be
determined); a closure plan meeting the requirements of WAC 173 -351 or WAC
173 -304 (to be determined); and any additional information required by CCEHS.

Initiate pre application consultation and review with Olympic Region Clean Air
Agency for air permit applications and/or amendments (as applicable). Provide
conceptual and 30% design drawings for assessment of permit requirements and
integration with update of operations plan.
k. Ongoing support will be provided to CITY for contact and communication
during permit processing in order to respond to lingering issues from CCEHS, and
to incorporate design and operations conditions into facility and site design.
Additional coordination will be required with the City of Port Angeles Fire
Department from the perspective of dealing with hot loads, firefighting, and
hazardous materials response.

a. CONSULTANT shall prepare a Permit Acquisition and Management Plan.

Assumptions:
a. The complete permitting process and requirements are shown in Task 16. Final
permit applications will require advanced designs and specifications (-90 Phase I
budget will initiate the permitting process based on 30% design. Additional budget
will be required under Phase II to complete permitting process.
b. SEPA and Shoreline Substantial Development/Conditional Use Permit. and Coastal
Zone Management Consistency Determination will be integrated with Seawall End
Protection process. Budget for these activities is included in Task 16.2, Permitting.
c. Temporary dewatering and wastewater discharges associated with construction
activities are covered by existing landfill closure permits.
d. NEPA compliance will not be necessary.
e. Preparation of environmental checklist and MDNS will satisfy SEPA
requirements.
Sub -Task 16.2 Permitting
Objective: The CONSULTANT shall support the CITY with developing local. state, and
federal permit applications necessary to construct the project improvements. The
efforts in this task will be coordinated with sub -task 16.1 work to ensure that full permitting
coverage is provided for the project. This task includes construction permits and
approvals for upland and shoreline activities to excavate and grade within the landfill, install
seawall end protection at the east and west ends of the existing seawall, and install engineered
wood adjacent to Dry Creek to provide further protect the west end of the Landfill. Input
from permitting agencies and the Lower Elwha Tribe gained during two pre application
meetings indicates that the City's proposed project approach for limited shoreline protection
for existing infrastructure is feasible and permittable. The federal permitting process for Clean
Water Act Section 404 compliance is anticipated to be a Nationwide Permit (NWP) or
combination of NWPs, although there remains some potential that a Section 404 Individual
Permit could be required. The final decision on the federal permit process will be made in
conjunction with the U.S. Army Corps of Engineers following additional coordination with
OCA 2011 -03 Amendment 3. Page 16 3/29/2013
Ecology, Washington Department of Fish and Wildlife (WDFW), National Marine Fisheries
Service (NMFS), and United States Fish and Wildlife Service (USFWS). In either case,
acquisition of all permits is expected to be complete within required timeframes for start
of construction in 2014.
Two permit processes will direct the overall schedule for permit procurement. These are the
Section 404/10 permit from the U.S. Army Corps of Engineers (USACOE) for work on the
shoreline and the Shoreline Substantial Development/Conditional Use permit from the
CITY, which shall apply to the entire scope of the project. The following list of permits and
approvals are required for construction of the seawall end protection adjacent to the seawall
and shoreline stabilization along Dry Creek:
a. Washington State Environmental Policy Act (SEPA) compliance (City of
Port Angeles)

Activities: CONSULTANT shall provide the following engineering services:
A. Develop a detailed permit matrix identifying all permits and approvals, submittal requirements,
and review timelines. In addition to the matrix, prepare an overall permitting schedule.
B. Initiate SEPA documentation. The anticipated level of SEPA documentation for Port Angeles
Landfill construction activities is an expanded SEPA checklist and Mitigated Determination of
Non Significance (MDNS). The consultant shall initiate preparation of a SEPA checklist
describing all waste relocation and shoreline construction activities and their associated
environmental effects. The SEPA documentation prepared in this task will be coordinated with
sub -task 16.1 to complete on SEPA checklist for the project.

C. Initiate Section 404/10 permit process. The CONSULTANT shall coordinate with the U.S. Army
Corps of Engineers and CITY to prepare the JARPA application and supporting materials for a
Section 404/10 permit. These materials will also be used to apply for Individual 401 Certification
from Ecology and an HPA from WDFW. The approximate application target for submitting to
the U.S. Army Corps of Engineers is mid summer 2013. The CONSULTANT will coordinate
with USACE and the CITY to finalize the permitting approach Nationwide Permits) or
Individual Permit Work in Phase 1 will include:
a. Initiate preparation of draft JARPA form and drawings, concurrent with 30%
design development as detailed information becomes available.
b. Initiate preparation of draft Biological Assessment for compliance with
the Endangered Species Act (this report must be submitted with the Section
404 permit application).
c. Coordinate with CITY staff to initiate preparation of draft Section 106 report
(this report must be submitted with the Section 404 permit application).
d. Prepare draft Coastal Zone Management (CZM) Certificate of
Consistency Form.
D. Initiate Shoreline Permit process. The CONSULTANT shall coordinate with the CITY
and assist with preparation of a draft Shoreline Development/Conditional Use Permit
application and supporting materials. The approximate application target for submitting to
the CITY is early summer 2013. The CITY requires a permit- specific application to
accompany the other materials identified above, as well as an environmentally sensitive
areas report. Work in Phase 1 shall include:
a. Prepare draft Shoreline Conditional Use Permit application. This
application will be supplemented with the JARPA prepared for the Section
404 permit.
b. Initiate preparation of a draft Environmental Sensitive Areas Report.
The CONSULTANT shall coordinate with the CITY to determine the
range of issues to assess in this report. Environmental sensitive areas
defined in the City of Port Angeles Municipal Code include:
I. Erosion hazard areas, landslide hazard areas, and seismic hazard
areas
2. Wetlands
3. Streams, rivers, riparian areas, drainage corridor, ravine
4. Marine bluffs, beaches
5. Fish and wildlife habitats
E. Initiate other environmental permit processes. The CONSULTANT shall coordinate
with the CITY and regulatory agencies to determine submittal requirements for other
permits and initiate preparation of as many submittal materials as possible in the April
through August timeframe.

TASK 17 30% Design Development
Objective: A design report, including technical memoranda will be prepared for both the landfill
and shoreline activities. The landfill work will include both 304 compliant and 35I- compliant
landfills. The shoreline work shall include seawall end protection and placement of large woody
debris within and along Dry Creek to provide bank roughness and to deflect the stream
thalweg away from the seawall west end to further protect the existing seawall.
The purpose of this task is to develop a basis for design and preliminary design for
modifications to the existing closed 304 -complaint landfill cell and closed 351 compliant landfill
cell. The design report is intended to:
A. Support an application to CCEHS and Ecology to modify the existing landfill cells and will
comply with the requirements of WAC 173 -351 -730 (5) (b).
B. Provide design criteria.
C. Develop 30% designs for both the 304 compliant and 351- compliant corrective actions.
D. Develop 30% design for end wall protection and engineered wood placement in Dry Creek.
R 30% design will be sufficient for project permitting requirements.

Task 15 will influence the End Wall Protection approach, design. and cost. The
schedule and sequence of the End Wall Protection task activities of Task 17 may be

and technical issues prior to completing the final technical memorandum and 30%
design.
h. If Core- Loc a proprietary concrete armoring unit, is identified as the preferred
alternative, the CONSULTANT will enter into a Licensing agreement with the U.S.
Army Corp of Engineers marine engineering License administrator (PRDW Global)
and pay a fee of $2,500.
i. If Core- Loc a proprietary concrete armoring unit, is identified as the preferred
alternative, the CITY will pay a royalty fee of $11.00 /ton to the U.S. Army Corps of
Engineers marine engineering license administrator (PRDW Global). It is estimated
that this fee will be $1.000.

The U.S. Army Corps of Engineers marine engineering license administrator (PRDW
Global) will provide all concrete armoring unit stability calculations, concrete armoring
unit layout and placement drawings, details, specifications, and technical review
services and shall coordinate with the CONSULTANT.

TASK 18 PUBLIC OUTREACH
Objective: The CONSULTANT shall support the CITY with their public outreach program. This

Activities: The CONSULTANT shall provide the CITY data and support for public outreach
presentations. This shall include, but not be limited to:

THIS AMENDMENT NO. 2 is made and entered into this I day of

Washington, (hereinafter called the "CITY and Herrera Environment. II Consultants a
Washington Corporation authorized to do business in the State of Washington (hereinafter called
the "CONSULTANT
NOW, THEREFORE, in consideration of the representations and the terms, conditions, covenants
and agreements set forth in the original AGREEMENT and this AMENDMENT, the parties
hereto agree as follows:
SECTION 1
The City entered into the existing AGREEMENT with CONSULTANT on December 9, 2011,
(the AGREEMENT) and Amendment No.1 on March 13, 2012.
SECTION 2
I AMENDMENT SCOPE OF WORK
The scope of professional services to be performed and the results to be achieved by the
CONSULTANT is amended to include additional work Tasks 7 -13 as described in the attached
amended Exhibit A2. The CONSULTANT shall provide and furnish all services and material
necessary to accomplish the additional work for Tasks 7 -13 identified in amended Exhibit A2.
IV TIME OF PERFORMANCE
The work for all tasks shall be completed in accordance with the schedule set forth in amended
Exhibit B2.
V MAXIMUM COMPENSATION
The maximum compensation in Section V of the Agreement is amended to $396,760. The
maximum compensation set forth in the attached Exhibit 2 is $300,000 for Tasks 7 -13.

IV EXHIBITS
This Amendment, including its exhibits, constitutes the entire Amendment, supersedes all prior

SCOPE OF SERVICES TASKS
Based on the findings from the initial investigations (tasks 1 -6), the next tasks (7 -13) are to
implement drainage corrective actions and surficial solid waste removals on the eastern portion
of the 304- compliant cell, conduct a shoreline investigation, and develop conceptual plans for
shoreline stabilization and mitigation.
The specific tasks involved are:
Task 7 Construction Administrative Services
Objective: Provide engineering support services for the Port Angeles Landfill Cell Stabilization,
Work Order No. 145728 -1, which will correct the compromised drainage system along eastern
portion of the 304 compliant landfill cell and remove the exposed refuse and broken drainage
pipe.
Activities: Consultant shall provide the following engineering services:
A. Review shop drawings, RFI's and submittals from the Contractor.
B. Perform two site visits to inspect the new pipe line support system down notch 2.
C. Provide misc. engineering support to landfill as directed by City within the allocated
budget.
Deliverables:
A. Consultant shall provide written responses to the City for document reviews, site visits,
and misc. engineering assignments.
Assumptions:
A. Engineering services can be applied to any aspect of the landfill facility.
B. City will provide daily inspections and notify Consultant in writing when issues arise.
C. Surveying, staking and contract enforcement will be provided by the City.
Task 8 Shoreline Monitoring Program
Objective: The Consultant shall install three (3) pressure transducers (sensors) to collect wave
energy data over the course of four months (November 2012 through February 2013).

Activities:
A. The Consultant shall coordinate and assist the sub consultant with set -up of sensors.
B. Sensors shall be installed in three locations:
a. In front of the existing seawall to monitor effects of the existing shore protection.
b. East of the existing seawall in front of the actively eroding bluff.
c. Significantly further east to determine ambient activity in the area in the absence of
shore protection.
C. Consultant shall monitor all probes and download collected data.
a. The pressure signal will be processed to determine wave energy magnitude and
frequency distribution on the upper beach, which will be used to assess relative
wave energy along the beach. Data shall be analyzed and presented in a technical
memorandum.
b. Data will be utilized for scour and wave energy estimations as applied to
shoreline protection and to determine the relative impacts of the existing seawall
on areas in front of and immediately adjacent to it.
Deliverable:
A. Wave Probe Technical Memorandum
Assumptions:
A. Three (3) wave measuring sensors will be mounted on stable rock in the middle of the
intertidal zone at low tide for four months.
B. Per the direction of the Consultant, the sub consultant will install the probes.
C. The sensors are capable of monitoring pressure up to four times per second.
D. The deployment period of four months will be sufficient to capture at least one
geomorphically significant wave event.
E. The sensor deployment shall include installation of the sensors and two visits to retrieve
data by the Consultant.
F. All sensors shall be retrieved intact.

G. The sampling frequency will be sufficient to resolve both swell and locally generated
waves.
Task 9 Geophysical Investigation of 304 Compliant Cell
Objective: Use geophysical investigative techniques to locate the extent, depth and volume of
landfill refuse within the eastern portion of the 304 compliant landfill cell.
Activities: The Consultant and their sub contractor (Philip Duoos) shall conduct geophysical
survey using EM -31 techniques around the entire perimeter of the eastern portion of the 304
compliant landfill (east of the existing drainage swale). EM31 data will be obtained along short
lines oriented perpendicular to the landfill edge and spaced about 100 feet apart. Stakes will be
placed in the field marking the field interpreted locations of the landfill and a field -grade GPS
system will be used to obtain their coordinates.
Electrical resistivity imaging (ERI) shall be performed to help determine the vertical extent of
the refuse. The Consultant shall attempt to extend the ERI lines to the following locations:
1. Into the wooded area east of the 304- compliant cell.
2. West of the existing drainage swale located on the 304- compliant cell.
3. South into the operating facilities.
Four (4) ERI profiles will be along lines shown on the Cell 304 geophysics layout drawing
provided to the City in February 2012. Two additional ERI profiles (oriented north south) may
be implemented after the first four lines are evaluated for completeness.
The ERI method requires penetrating through the landfill liner with 1/4 to 1/2 —inch diameter
steel electrodes. Repair of these holes will be performed filling the holes with granular
bentonite, placing a 'A -inch thick layer of granular bentonite ending 2 feet beyond the penetration
and then placing a 2 -foot square HDPE patch placed over granular bentonite. The bentonite will
be hydrated within 1 hour of backfilling (confining pressure) with cover system materials.
Deliverables:
A. Field data delineating extent of the eastern portion of the 304 compliant landfill cell.
B. Technical Report presenting field results and interpretation of data to determine waste
extent and depth for eastern portion of the 304 Compliant Landfill Cell,
Assumptions:
A. There is a possibility the TDEM method may result in error due to the following:

a. If native materials contain brackish water or leachate, the resistivity contrast may
be slight.
b. The presence of large amounts of buried metal in the refuse will cause the
TDEM method to be in error.
B. Geophysical field work will be attended by three (3) consultant technical leads.
C. Mag and EM31 surveying will require three (3) field days, including establishing the
reference baselines at the site to create the survey grid.
D. Geophysical survey will utilize existing well logs and borings for confirmation.
E. Site access and coordination will be arranged by the City.
Task 10 Summary of Shoreline Data Collection and Concept Design Refinement
Objective: Prepare a technical memorandum summarizing the shoreline data collected and
outlining design/cost alternatives for bluff protection.
Activities:
A. The Consultant shall consolidate data from previous tasks, including Task 8, to evaluate
concept shoreline protection options.
B. Wave energy parameters shall be translated into design criteria.
C. Previous on -site studies will be considered and lessons learned from the existing seawall
will be reviewed. Additional studies shall include the landfill facility's shoreline
monitoring program and seawall shoreline stabilization reports.
D. Geomorphic and geotechnical considerations shall be reviewed for:
a. Potential impact on shoreline resulting from continued bluff recession without
protection
b. Traditional methods of toe protection such as seawalls, dolos, riprap, and other
protection approaches will be described.
E. Short term and potential long term impacts shall be assessed to identify potential
mitigation strategy and permitting issues.
F. Long -term effects and operations and maintenance will be discussed and analyzed.
G. Constructability issues will be identified and discussed.

Deliverables:
A. Draft and Final Data Summary and Conceptual Shoreline Protection Report
Assumptions:
A. Shoreline protection options shall include order of magnitude costs on seawall and bluff
re- grading to provide a comparison for agencies and stakeholders.
B. City review of draft shall not exceed two weeks.
Task 11— Landfill Evaluation and Removal Alternative Analysis
Objective: Assess existing conditions of the eastern portion of the 304 compliant landfill cell and
make recommendations for corrective actions.
Activities: The Consultant shall develop conceptual design alternatives with cost estimates.
Alternatives shall include the following:
1. Removal and relocation of the entire 304 compliant landfill cell onto the 351
compliant landfill cell (includes western and eastern portion of 304 compliant
landfill cell).
2. Removal and transfer off -site of the entire 304 compliant landfill cell (includes
western and eastern portion of 304 compliant landfill cell).
3. Removal and relocation of the entire eastern portion of the 304 compliant landfill
cell onto the 351- compliant landfill cell.
4. Removal and transfer off -site of the entire eastern portion of the 304 compliant
landfill cell.
5. Partial removal and relocation of the eastern portion of the 304 compliant landfill
cell onto the 351 compliant landfill cell.
6. Partial removal and transfer off -site of the eastern portion of the 304- compliant
landfill cell.
Task elements include:
A. Meet with Ecology to discuss general alternatives and regulation considerations.

B. Develop cross- sections and plans to delineate partial and total removal of the 304
compliant landfill cell and 351- compliant landfill cell expansion.
C. Delineate quantities for cost opinions. Prepare cost basis, assumptions, and

D. Meet with Corps of Engineers and other stakeholders to discuss alternatives and
receive input in developing final alternatives.
E. Alternative development will include project components, constructability issues,
critical path items, permit restrictions, and cost estimates.
F. Cost estimates will be supported by alternative concept layouts. Quantities will
be calculated from these layouts, but do not represent the final design quantities as
this detail has yet to be developed.
Deliverables:
A. Alternative Analysis Report for the 304 Compliant Landfill Cell
Assumptions:
A. The cost estimates generated from the Alternative Analysis Report shall include pre
design, planning, permits, administration, and construction cost (including Construction
Management Consultant, mobilization/demobilization and taxes). Construction costs
shall be presented in 2012 dollars.
B. Cost opinions will be based on best available information and conceptual plans for waste
removal and placement. Cost references shall include recent local shoreline and landfill
closure and expansion project bid tabs as well as industry estimating guides for
construction including:
a. RS Means Heavy Construction Cost Data
b. The fall /winter 2012 version of The Guide: Building Construction Material
Prices for use in Alaska, Oregon and Washington
(www.bestconstructionsite.com)
c. 2011 WSDOT Unit Bid Analysis data, vendor quotes, and professional judgment
C. The cost estimate for Alternative 1 shall include at a minimum:
a. Removal and relocation of the entire 304- compliant landfill cell onto the 351
compliant landfill cell. This includes both the western and eastern portion of 304
compliant landfill cell.

K. The vertical and horizontal limits of the eastern portion of the 304 compliant landfill cell
shall be based on best available data including apparent cell perimeter, groundwater well
and boring logs, and institutional knowledge.
L. Waste monitoring system shall be included with each alternative to assure only solid
waste is entering the new facilities. A percentage of unsuitable waste will be assigned for
redirection to alternative disposal, i.e. petroleum based wastes.
M. The City shall review the draft within two weeks of submittal.
Task 12 Bluff Toe Stabilization Concept Mitigation Plan
Objective: Assess effects the project will have on the surrounding environment. Develop a
mitigation strategy and approach.
Activities:
A. The Consultant shall identify mitigation activities that may be required with potential
shoreline stabilization approaches.
B. The Consultant shall work with the City to identify potential mitigation projects to off -set
shoreline stabilization activities at the landfill site.
C. Mitigation strategies and potential projects will be discussed with regulatory agencies and
stakeholders for concurrence and refinement of the mitigation project scope. The City
will evaluate and provide final concurrence with the proposed project.

D. Prepare a preliminary mitigation plan identifying critical data needs, project components,
and mitigation outcomes. The plan will include description of mitigation needs, potential
projects, critical factors, data gaps, and mitigation outcomes. An order of magnitude cost
estimate with project assumptions will be provided.
E. The preliminary mitigation plan will provide existing information and data list to support
selection of the mitigation project.
Deliverables:
A. Attend stakeholder meetings
B. Draft and Final City of Port Angeles Landfill Facility Preliminary Shoreline Stabilization
Mitigation Plan.
Assumptions:
A. The Consultant shall attend up to three (3) meetings to assist the City.
B. The Consultant shall attend up to three (3) stakeholder meetings which shall be informal!
and provide opportunities for comments. The Consultant shall prepare data sheets and
handouts.
C. Actual level of effort needed to proceed with the selected mitigation will be determined
after the mitigation project is finalized. Actual project selection may require additional
data. A matrix of the selection critical and critical data needs will be prepared as a major
portion of the plan. At a minimum, a prioritization of possible projects will be created for
the City consideration for selecting a preferred project.
D. Additional mitigation studies, detail mitigation development, and additional data
collection to finalize the mitigation plan is not part of this task.
E. The Preliminary Mitigation Plan shall be submitted to the City and Agencies for review.
F. The Mitigation Plan shall not address engineering or design elements. These items will
be developed during the design phase.
G. Costing shall be based on similar projects and general costing principles. Actual project
costs will need to be developed during the design phase.
Task 13 Grant/Funding Support
Objective: Support the City in seeking grants and funding for the construction of the project.
Activities: The Consultant shall provide the following research and evaluation services:

A. Identify and evaluate public (federal, state, regional, local) or private (corporate,
foundation, Etc.) grants and funding in:
a. Public health and safety protection, enhancement, and emergency response
b. Public infrastructure repair, development, and protection
c. Environmental quality protection, enhancement, restoration, and emergency
response
d. Other areas as appropriate, at City direction.
B. Provide a description of funding type, eligible projects, application requirements, flow
down and fonder requirements, and post -award grantee requirements (including grant
management, expenditure tracking, and payment and sub -award processing).
C. Meet with City staff to evaluate opportunities for solid waste system enhancement as
part of landfill mitigation program, and potential partner organizations.
D. Meet or confer with grantor finance staff to help determine appropriate pre -award
approaches, potential partner organizations, and funding strategies.
E. Identify potential funding "packages" to facilitate a combination of landfill repair, waste
relocation, waste handling infrastructure development, waste reduction and landfill
diversion planning/programs /infrastructure, and community education and outreach.
Deliverables:
A. The Consultant shall provide a written summary of funding opportunities, and potential
applications to the City of Port Angeles solid waste system.
Assumptions:
D. Three (3) of the Consultants staff shall meet with the City once to discuss and evaluate
opportunities for solid waste system enhancement as part of landfill mitigation program.
E. The Consultant shall produce a draft and final summary of funding opportunities and
potential applications. Final document will be based on one round of consolidated
comments from the City.
F. Work to assemble, write, partner, or submit applications for available grants is not
included in this Task, and would require additional scope and budget to complete.

Section V of the Agreement is amended in its entirety to read:
The CONSULTANT'S compensation and reimbursement under this Agreement,
for each project, work, study or undertaking authorized by this Agreement
including labor, direct non salary reimbursable costs and outside services, shall be
specifically set forth in each Task Order_ Compensation and payment procedures
are set forth in Exhibit C of the original agreement.
II REVISED EXHIBITS
Section XXI is amended as follows:
1) Strike Exhibit A dated 12/05/2011 and replace it with attached Exhibit A
dated 2/2/2012. All references to Exhibit A in the Agreement shall refer to the
Exhibit A dated 2/2/2012 and attached to this Amendment.

dated 2/22/2012. All references to Exhibit D in this Agreement shall refer to

SECTION 3 RATIFICATION
Except as modified herein, the original AGREEMENT is confirmed and ratified.

EXHIBIT A SCOPE OF SERVICES
The CONSULTANT shall provide to the CITY's Department of Public Works Utilities
Department CONSULTANT services for various CITY engineering services and projects.
The CONSULTANT'S services shall be provided as requested by the City Manager or his
designee on an as- needed basis, as set forth in a "Task." Tasks may be for any engineering
technical support, work, study, design, project, etc. that is within the general scope of this
agreement. The CONSULTANT shall provide general assistance on issues pertaining to CITY
Landfill Cell Stabilization projects and support, and shall prepare other engineering
CONSULTANT services for the CITY's Landfill Cell Stabilization. Additional tasks authorized
after the Agreement is signed will be included as Task Orders.
SECTION 1. GENERAL PROVISIONS
A. The CONSULTANT shall perform all services to the satisfaction of the City Engineer.
B. All of the services furnished by the CONSULTANT under this AGREEMENT shall be of the
currently prevailing professional standards and quality demonstrated and provided by
engineering consultant professionals of similar knowledge and skill engaged in related work
throughout Washington under the same or similar circumstances. All documentation prepared by
CONSULTANT shall provide for a completed Task that conforms to all applicable codes, rules,
regulations and guidelines which are in effect at the time such documentation is prepared.
C. All work performed under this AGREEMENT shall be authorized in the initial
AGREEMENT or by an additional bilaterally agreed to Task Order. Each Task shall detail the
nature of the specific services to be performed by the CONSULTANT, the time limit within
which such services must be completed, and the compensation for such services. Such details
shall include a description of the Task for which CONSULTANT shall perform the services, the
geographic limits of the Task, the type and scope of services to be performed, the format and
schedule for deliverables, the schedule of performance, and the schedule of compensation.
CONSULTANT shall not perform any services unless part of the original agreement or
authorized by a fully executed Task Order. Any unauthorized services performed by
CONSULTANT shall be at no cost to the CITY.
D. CONSULTANT shall begin work under the Task only after receipt of the authorizing initial
agreement or Task Order bearing the approval signature of the City Manager or the City
Manager's designee. Each authorized Task Order issued under this agreement, by the City, shall
incorporate all the terms and conditions of this agreement.
E. The CITY will assign a Project Manager to facilitate each Task authorized under this
AGREEMENT. CONSULTANT shall coordinate with the designated Project Manager on the
performance of each Task.
F. CONSULTANT shall be responsible for the coordination with the CITY and federal, state,
and local agencies that are necessary for all services authorized under this AGREEMENT.

SECTION 2. BASIC SERVICES.
CONSULTANT shall provide engineering CONSULTANT services for the City Landfill Cell
Stabilization technical support, studies, design, and post -award construction services.
CONSULTANT shall provide the general types of services set forth below. This list of services
is meant to be illustrative in nature only and is not meant to be a complete or exclusive list.
1. Technical support services for engineering assistance for landfill cell stabilization shall
entail, but not be limited to:
A. Data review and technical support.
B. Drainage system modification assessment, design, technical support and
specifications.
C. Short-term refuse assessment and containment support, including technical
specifications and drawings.
D. Identify bluff retreat rate for short-term and long -term.
E. Identify horizontal limits of refuse and locate /map pockets of refuse.
F. Short and long -term strategies to prevent bluff erosion.
G. Identify vulnerable sections of bluff.
H. Identify needs and costs of future studies and construction.
2. Technical memorandums for the following tasks:
A. Task 2 Summarizing findings
B. Task 5 Provide short-term and long -term alternatives and actions to
address waste containment and removal of pockets of waste.
C. Task 6 A brief technical memorandum summarizing drainage design.
3. Develop and provide the design plans and project specifications for drainage
modifications on 304-compliant cell and for pockets of waste removal.
SECTION 3. SPECIFIC SERVICES.
A. Service Initiation
Prepare Task Scope and Proposal Upon request of CITY's Project Manager, CONSULTANT
shall meet with the Project Manager to discuss the Task. CONSULTANT shall become familiar
with the Task description, scope and goals and develop proposed scope of services.
CONSULTANT shall prepare a proposed scope of services consistent with the standard
electronic format of CITY Professional Service Agreement Task Order as determined by the
Project Manager. The proposed scope of services shall, at a minimum, include the following:
Task Description, Scope of Services including deliverables, and Schedule of Performance and
Schedule of Compensation. For each Task, in addition to the specified services, products and
deliverables detailed in the Task, CONSULTANT shall typically perform the following sub
tasks, which may be aggregated for administrative efficiency:

Sub -Task 1 Initial Meeting Prior to beginning substantive work on a Task,
CONSULTANT shall meet with CITY to establish procedures and notifications for any
necessary meetings and communications with CITY staff; collect available data from the
CITY and establish additional data needs and availability; confirm the format for all Task
products and deliverables; and address any preliminary Task concerns. The meeting will be
the primary opportunity to discuss the CITY'S intent, schedule and budget for the Task. The
CONSULTANT shall prepare minutes of the meeting and distribute minutes to meeting
participants.
Sub -Task 2 Task Coordination Meetings CONSULTANT shall attend and/or conduct
Task coordination meetings as required to perform authorized services and as required by
Project Manager. CONSULTANT shall prepare minutes of each meeting and distribute
minutes to participants.
Sub -Task 3 Task Schedule CONSULTANT shall prepare and submit a detailed schedule
of performance consistent with the schedule contained in the Task to the Project Manager for
review and approval. CONSULTANT shall confirm or update the schedule monthly at a
minimum. Any changes to the schedule shall only be permitted with the written approval of
City Engineer.
Sub -Task 4 Task Progress Report CONSULTANT shall submit a monthly report to the
Project Manager detailing progress on the Task services.
Sub -Task 5 Request for Payment Invoice CONSULTANT shall submit progress
payment invoices to the Project Manager monthly, as specified in EXHIBIT C. The updated
Task schedule and progress report may be submitted as attachments to the invoice.
Sub -Task 6 Task Record CONSULTANT shall develop and maintain a detailed record of
the chronology of the Task milestones completed that are decisive, conclusive, or relevant to
the outcome of the Task. CONSULTANT shall submit a copy of the Task Record to the
Project Manager prior to final payment for services performed on the Task. The Record shall
be submitted in both paper and electronic format.
Sub -Task 7 Project Documents Aside from deliverables specified in the Task, and before
the conclusion of the Task and final payment for services performed on the Task,
CONSULTANT shall submit to the Project Manager a copy of all Task documents that are
decisive, conclusive, or relevant to the outcome of the Task. Such documents may include,
without limitation, topographical surveys and mapping, field notations, utility mapping, site
inventories, base plans, reports and studies, permit applications and permits, environmental
documentation, records of meetings, and communication documents. Documents shall be
submitted in both paper and electronic format, as available.
The Project Manager will review and comment on proposed scope of work, and the parties shall
agree on the terms of the final Task. CONSULTANT shall not be compensated for work
performed in preparing a draft scope of services for a Task.

B. Task Authorization
The finalized Task Order will be authorized by the City Manager or his designated representative
in accordance with authorization procedures provided in the City of Port Angeles Municipal
Code Section 3.05.
C. Service Implementation
Upon receipt of an authorized Task and Notice -to- Proceed, CONSULTANT shall begin Task
services described therein.
