INTERLOCAL COOPERATION AGREEMENT

THIS INTERLOCAL COOPERATION AGREEMENT is entered into this /2., day
of March, 2012, by and between the Port of Port Angeles, herein referred to as the "Port," the City
of Port Angeles, and the City of Sequim.
Authority and Purposes. All three parties to this Agreement are authorized to engage in
economic development programs and acts relating to economic development. This Interlocal
Agreement is entered into pursuant to RCW 39.34.030 for the purpose of engaging in mutually
beneficial economic development activities. Specifically, this Interlocal Agreement states the
responsibilities of each party regarding promotion of the effort known as the Olympic Composites
Corridor, and related activities. The Olympic Composites Corridor shall be designed and
presented in a manner that promotes and encourages economic development within the
jurisdictions of the Cities and the Port. The parties recognize that promoting the Cities and the Port
to the composites industry represents a unique opportunity to attract and maintain employment in
the local area. This effort includes production of marketing materials and promoting of the
Olympic Composites Corridor at the JEC Europe event in March, 2012. The marketing materials
and presentations to be made at the JEC Europe event in March, 2012, shall be specifically directed
to promote economic development within the Cities and the Port.
No Separate Entity. This Agreement does not establish a separate legal or administrative
Activities within the Scope of this Agreement. The Port has purchased shared booth
space with the State of Washington Department of Commerce at the JEC Europe event,
scheduled for March, 2012. The Port will have a representative in attendance at the event. The
representative shall distribute marketing materials and make presentations to promote the
Olympic Composites Corridor and the advantages of developing composite businesses with the
jurisdictions of the Cities and the Port.
Method of Financine. The Port shall advance all costs and expense necessary to produce
marketing materials and to pay for booth space rental and attendance of a representative at the
JEC Europe event in March, 2012. The City of Port Angeles and the City of Sequim shall each
contribute $1,000 to defray in part the cost of the shared booth space rental, and shall in addition
each pay 30% of the costs incurred for the creation and production of marketing materials for
promotion of the Olympic Composites Corridor, not to exceed $850 for either City. The funds
shall be payable to the Port within thirty (30) days of receipt of the Port's invoice.
Record Keening and Reporting. The Port shall administer this Agreement and shall
maintain accounts and records which accurately reflect the revenues and costs for the services
provided pursuant to this Agreement. In addition, the Port shall give a full report to the City
Council of each City. At a minimum, the report shall describe the activities and presentations
made at the JEC Europe event in March, 2012, and a full list of leads and prospects developed.
Payment shall be made based on the provision of an invoice incorporating documentation of costs
incurred by the Port and at the completion of all agreement activities
Duration of MOU. The performance of the parties shall commence immediately and
continue through the end of 2012. This Agreement may terminate earlier upon the consent of
each of the parties.
Breach of Agreement. In the event of a party's material breach of the terms or
conditions of this Agreement a non breaching party reserves the right to withhold payments or
services until corrective action has been taken or completed. However, the party shall not
exercise this right until they have given written notice of such material breach to the breaching
party and ten (10) days have passed since the receipt of such notice. This option is in addition to
and not in lieu of any other available remedies.
Compliance with Laws. In administering this Agreement, the Port covenants that it will
comply with all applicable federal, state and local laws.
Entire Agreement. The parties agree that this Agreement is the complete expression of the
terms hereto and any oral representation or understanding not incorporated herein is excluded.
Further, any modification of this Agreement shall be in writing and signed by all parties.
Counterparts. This Agreement may be executed in counterparts. Transmission of
signature(s) by facsimile or email is acceptable.
IN WITNESS WHEREOF, the parties hereto caused this Agreement to be executed the day
and year first hereinabove written.
