HomeMy WebLinkAbout000704 Amendment FZ<2!c<>ucl #000704 AMENDMENT NO. 1 TO THE AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF PORT ANGELES AND TERRE-SOURCE LLC RELATING TO: Compost emediation THIS AMENDMENT NO. I is made and entered into this day of Aril 2014, by and between the City of Port Angeles, a non-charter code city of the State of Washington, (hereinafter called the "CITY") and Terre-Source LLC, (hereinafter called the "CONSULTANT"). The CITY entered into the existing AGREEMENT with the CONSULTANT on March 3, 2014, (the AGREEMENT); and WHEREAS, the CITY desires to amend the AGREEMENT to amend the Scope of Work, Time of Performance, and Budget; NOW, THEREFORE, in consideration of the above representations and the terms, conditions, covenants and agreements set forth in the original AGREEMENT and this AMENDMENT, the parties hereto agree as follows: I REVISED SCOPE OF WORK The scope of professional services to be performed and the results to be achieved by the CONSULTANT are hereby amended by adding the tasks identified in the attached Exhibit Al to Amendment 1. The CONSULTANT shall provide and furnish all services and material necessary to accomplish the additional work identified in Exhibit Al. 11 TIME OF PERFORMANCE Time of performance for specific tasks is in Exhibit Bl to Amendment 1. The duration of the AGREEMENT is unchanged, and extends through July 31, 2014. III MAXIMUM COMPENSATION Section V1 of the Agreement is amended from $5,000 in the AGREEMENT to $19,900, an increase of$14,900. Budgets for each Task are in Exhibit C1 to Amendment 1. The budget for any Task may be adjusted upon mutual agreement between the two parties without an AMENDMENT to the AGREEMENT, as long as the maximum compensation amount of$19,900 is not exceeded. Bloor, City Attorney i l Compost Remediation Amendment 1, Page 2 4/15/2014 Professional Services Agreement Exhibit Al - Scope of Work Task 4: Non-EQ Compost Re-processing/Testing OBJECTIVE Assist the City in re-processing the Non-EQ compost at their facility via 3 passively aerated static piles. This task relies on the behavior of the organic material at the site as well as human factors that make task efforts extremely difficult to predict. As such the budgeted items for this task must be flexible. ACTIVITIES This task includes design and preparation of a Test Plan sufficient to obtain Ecology and Clallam County of Environmental Health Services (CCEHS) approval of the process. The Test Plan will include at least one schematic detailing construction of a passively aerated static pile. The Test Plan would guide the City and its contractor in constructing such a pile. Preparation of the Test Plan will require communication with the City, its compost contractor, Ecology and CCEHS and their reviews and comments and incorporation of at least one revision of the Plan. Two (2) site visits are included in this scope: One visit is planned at the start of construction of the first passive aeration pile to provide guidance on the materials and construction quality assurance; (Additionally this visit will include hands-on training of City personnel in the newly approved Sampling and Analysis Plan. Several other tasks may be accomplished during this visit as time allows including measuring bulk density of the compost material, of the Class B biosolids, and of finished but unscreened compost.) The contingency of a second site visit is allowed in case the material does not heat up to 131 OF within 1 week of construction. At that point, additional mixing of green materials and/or biosolids may be needed to provide additional porosity and/or energy. This visit may or may not be necessary. Following construction of the first pile, review of temperature monitoring data and comments will be provided as needed. Recommendations and communication with the City, its compost contractor, and regulators will be provided as needed as the process unfolds. Because the behavior of the material is not completely predictable, responses will be flexible. After completion of the initial pile a data report will be provided to the City on the process. Assuming all parameters are met that report would form a basis for a request to the County to allow that batch of material to be sold. This would establish a process to proceed with the next two piles. Any remaining budget on this task may be utilized to assist the second and third passively aerated piles' submittal and approval process. Communication with the City, Compost Remediation Professional Services Agreement Exhibit Al -Page I of 2 County and Ecology will be provided throughout the processing although it is assumed that once the first pile is completed the compost contractor would move ahead with the other piles with minimal assistance beyond review of the temperature data. Data Report and Draft letter to CCEHS Task 5: Revise Operations Plan OBJECTIVE Work with City staff to revise the City's Compost Operations Plan to comply with the 2013 revision of WAC 173-350-220 and WAC 173-308. ACTIVITIES The following sub-tasks that are not necessarily listed in chronological order as multiple discussions will be needed in the process of preparing the revised plan: A. Revise the City's Compost Operations Plan to comply with the 2013 revised WAC 173-350-220 and WAC 173-308; B. Communicate with City staff and incorporate review comments and revisions by the City and its compost contractor; C. Assistance to and communication with the City's compost contractor, Waste Connections, who will submit the revised Operations Plan to CCEHS; D. Up to two (2) site visits/meetings (limited to 4 hours each at Port Angeles); E. Prepare initial draft revised Compost Operations Plan for electronic pre-submittal to CCEHS by May 26th ; F. Make revisions as requested by the City, based on comments from CCEHS and Washington State Department of Ecology. DELIVERABLES 1. Draft revised Compost Operations Plan 2.
