HomeMy WebLinkAbout000265 AmendmentAMENDMENT No. 2 AGREEMENT BETWEEN PENINSULA COLLEGE AND CITY OF PORT ANGELES This Amendment made and entered into this24 day of Oc4ok ai& 2012, by and between the Peninsula College, an agency of the State of Washington, hereinafter referred to as the "College" and the City of Port Angeles, a municipal corporation of the State of Washington, hereinafter referred to as the "City Subsequent reference to the College and the City, in a collective sense, shall be by the use of the term "Parties NOW, THEREFORE, IT IS MUTUALLY UNDERSTOOD AND AGREED THAT: 1. The Parties entered the original Agreement on 19 December 2011. 1 000265 AMENDMENT 2 2. Term. The term of the Agreement is amended so that the Agreement shall be effective through the last day of 2012. 3. Paragraphs 3b and 3c of the Agreement are amended to read: The College agrees to the following: b. The interns shall: Professionally engage with owners, managers and representatives of Port Angeles businesses Demonstrate familiarity and working knowledge of SCOUT® Software Schedule appointments with local business representatives Effectively communicate capabilities of SCOUT® software Interpret and distill questions and comments into SCOUT® software inquiries Prepare and produce SCOUT® reports for local businesses c. The College will send an invoice to the City when the deliverables have been accomplished. See Exhibit A Reimbursement Schedule. 4. Paragraphs 4a of the Agreement is amended to read: The City aarees to the following: 4. Paragraph 7 of the Agreement is amended to read: Representation. No separate legal entity is created by this Agreement. The performance of this Agreement shall be administered by a joint board consisting of one representative of the City and one representative of the College. The representative of the College shall be Bob Lawrence Markarian, and the City's representative shall be Nathan West. a. City will appoint one or more employees to participate with the College's project manager, Bob Lawrence Markarian, Executive Director of Community and Business Education, in interviewing and selecting the interns to perform services under this Agreement. 5 Exhibit A of the original Agreement is replaced with the attached Exhibit A dated 12 October 2012. All references in the Agreement to Exhibit A shall refer to the attached Exhibit A dated 12 October 2012. DATED this 2 (n day of OcA .624z_ 2012. The City will reimburse for the following deliverables devoted to the performance of this Agreement in 2012: o Assessment of unmet needs for original 12 businesses who receive SCOUT reports. o Development of a reference guide and set of frequently asked questions (FAQ) related to interpreting SCOUT reports. o Development of a link between Buxton SCOUT Project and access to existing business consultation services. o Coordination of individual meeting with 12 new business to roll -out the improved project. The College will invoice the City according to the following protocol and dates: o October 31, 2012 Assessment of unmet needs for four (4) original businesses and meeting with four (4) new businesses to rollout the improved project. o November 31, 2012 Assessment of unmet needs for four (4) original businesses and meeting with four (4) new businesses to roll out the improved project. o December 31, 2012 Assessment of unmet needs for four (4) original businesses and meeting with four (4) new businesses to roll out the improved project. Completion of the reference guide and frequently asked questions. 3
