HomeMy WebLinkAbout5.970 Amendment (3)AMENDMENT NO. 3 TO THE AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF PORT ANGELES AND EES CONSULTING, INC. RELATING TO: SMART GRID INVESTMENT GRANT APPLICATION THIS AMENDMENT NO. 3 is made and entered into this tday of J(,Jt4'- 2010, by and between the City of Port Angeles, a non charter code city of the "State of Washington, (hereinafter called the "CITY and EES Consulting, Inc., a Washington Corporation authorized to do business in the State of Washington (hereinafter called the "CONSULTANT WHEREAS, the CITY entered into an AGREEMENT with the CONSULTANT on July 22, 2009, (the AGREEMENT); and an Amendment No 1 to that Agreement on January 19 2010; and Amendment No. 2 on Jtaii av 2010; and v WHEREAS, the CITY desires to amend the AGREEMENT as amended and to further amend the Scope of Work, Budget, and Time of Performance; NOW, THEREFORE, in consideration of the representations and the terms, conditions, covenants and agreements set forth in the original AGREEMENT as amended and this AMENDMENT, the parties hereto agree as follows: I REVISED SCOPE OF WORK CONSULTANT will provide additional technical and analytic support services to CITY in: (1) responding to the upcoming Bonneville Power Administration's demand response (DR) pilot program solicitation and (2) preparing a Request for Proposals to solicit proposals from Automatic Metering Infrastructure (AMI) vendors. The additional Scope of Work is as set forth in a July 7, 2010 letter of EES Consulting, Inc., which is attached hereto as Exhibit "A" and incorporated herein. 70 II MAXIMUM COMPENSATION The additional work authorized by this AMENDMENT is in the total amount of $12,300. III TIME OF PERFORMANCE The work for each task shall be completed according to the schedule in the attached Scope of Work and must be completed on or before September 30, 2010. 1 IV SIGNATURES Except as modified herein, the original AGREEMENT as amended shall remain in effect. EESConsu lting.011210. doc EES July 7, 2010 Consulting Mr. Phil Lusk Power Resources Manager City of Port Angeles 321 East Fifth Street Port Angeles, WA 98362 -0217 EXHIBIT "A" Dear Mr. Lusk: Background s\ SUBJECT: Proposal to Assist the City of Port An>?eles Respond to BPA Solicitation for Commercial Industrial Demand Response Pilot Proiects EES Consulting is pleased to present this proposal in response to the City of Port Angeles' (City) request for assistance in responding to the upcoming BPA commercial and industrial demand response (DR) pilot program solicitation, similar to the residential DR pilot program currently in progress. Below is a brief proposal which includes our proposed statement of work, budget and schedule estimates, and our proposed project staffing. BPA is planning to release a commercial and industrial demand response pilot program Draft Project Implementation Plan in June /July of 2010. Pilot projects are intended to achieve the following goals: Develop and test strategies that provide value to BPA, customer utilities, and end users. Successfully execute pilot projects with engaged partners. Increase BPA's understanding about utility needs and considerations in regard to DR. As this is not available at this time, this scope and budget is a preliminary draft based on similar projects and the City's Residential DR Pilot Project Proposal submitted in April 2010 and awarded in June 2010. EES Consulting will prepare the proposal to BPA in coordination with the City and Global Energy Partners. It is anticipated Global Energy Partners will provide the preliminary economic analysis of the program costs and potential benefits over the time period requested by BPA. Proposal writing assignments will be divided between City staff and EES Consulting staff. EES Consulting will coordinate all writing tasks and document preparation as well as provide an overall review of the document. The City will provide EES Consulting with technical details as to the scope of the equipment available to the City for use in the program and any details of the City system. It is anticipated EES Consulting will coordinate with Global Energy Partners for additional technical details during the proposal preparation process. In addition, EES Consulting will send the complete document to City staff for a final review and incorporate any comments into the final document prior to submittal to BPA. It is anticipated EES Consulting will participate in up to three conference call meetings with BPA and the City over the course of proposal preparation. In addition, EES Consulting will participate in stakeholder meetings scheduled for July 20 and August 10 through the available remote access. Additional meetings, travel expenses, and any BPA contract negotiations will be billed on a time and material basis according to the billing rates outlined below. It should be noted that this proposed scope of services can be expanded or contracted at the request of the City. Budget and Schedule Estimates EES Consulting charges for its services on a time and material basis. Our standard billing rates are as follows: President $185 Managing Director 160 Manager 155 Senior Project Manager 150 Project Manager 145 Senior Analyst/Senior Engineer 140 Analyst/Engineer 135 Administrative Assistant 120 Any out -of- pocket project related costs will also be billed to the City at their cost to EES Consulting. This may include travel costs, RFP mailing, and document production. Based upon the aforementioned project approach and billing rates, the estimated budget and schedule for completion of the Project is as follows: Description Budget and Schedule Completion Hours Labor Budget Date Meetings Coordination with Global Prepare DR Grant Application Total Labor Budget The labor budget is based on 84 hours of time. If the project requires less time, the City will not be billed for unused hours. Any effort beyond the scope and hours will be pre approved by the City before proceeding. We are prepared to begin this project upon receiving notice to proceed from the City staff. Project Staffing Kelly Tarp will serve as project manager and primary client contact with the City. I will provide general oversight and review. We may also seek input and ideas from Gary Saleba, Anne Falcon, Steve Andersen, Amber Nyquist, and Brendan O'Donnell as needed.
