On March 17, 2015 City Council had approved a new contract agreement for additional work for the Waterfront Development Project in the amount of$55,516.00. When the agreement was returned by Vanir and forwarded for final City signatures, soon afterward the signatures were obtained, it was discovered that the wrong form, an amendment, had been executed. The error came as the result of this former version having been routed to the consultant for review. Later additional language was substituted at the recommendation of the Legal Office.The consultant signed the wrong version and returned it to the City.Since that time Vanir has signed the correct version of the new agreement, authorized by City Council and it is now ready for execution. The recommendation from both the Legal Office and the City Clerk was that the first document should be voided and that the corrected version which the consultant has already signed, be signed by the City and recorded.The terms of both documents are the same (pricing, performance period, scope, etc.)with the exception that the second document represents a new agreement that adopts the former 2014 agreement. RELATING TO: WTIP Phase II Construction Management Services THIS AMENDMENT NO. 1 is made and entered into this day of March, 2015, by and between the City of Port Angeles, a non-charter code city of the State of Washington, (hereinafter called the "CITY") and Vanir Construction Management, Inc., (hereinafter called the "CONSULTANT"). The CITY entered into the existing AGREEMENT with the CONSULTANT on May 14, 2014, (the AGREEMENT); and WHEREAS, the CITY desires to amend the AGREEMENT to extend the time of performance and additional compensation; NOW, THEREFORE, in consideration of the above representations and the terms, conditions, covenants and agreements set forth in the original AGREEMENT and this AMENDMENT, the parties hereto agree as follows: I TIME OF PERFORMANCE The duration of the AGREEMENT is extended to July 31, 2015. 11 MAXIMUM COMPENSATION Section VI of the Agreement is amended from $247,947.04 in the AGREEMENT to $303,463.04, an increase of$55,516.00. The budget for the work is in Attachment A to Amendment 1. The budget for the work may be adjusted upon mutual agreement between the two parties without an AMENDMENT to the AGREEMENT, as long as the maximum compensation amount of$303,463.04.00 is not exceeded.
