As required in the Master Services Agreement between CLEAResult Consulting Inc. ("CLEAResult") and the City of Port Angeles, Washington ("Utility"), dated April 1, 2015 (the "Agreement"), this Awiremjrnemr to Exhibit A,SOW defines the Services. The parties intend for CLEAResult to perform retail products promotion services. These Services are provided as part of the Bonneville Power Administration ("BPA") Simple Steps, Smart Savings7m appliance retail promotion, Z Budge . a. Billing Rates and Payment Methodolg_qy. This agreement is based upon retail sales activity and the acquisition of annual kWh savings, as detailed in the Deemed Measure List published by BPA. Table 1, attached and incorporated as Attachment 1, defines eligible measures, rates per kWh/year, and annual Generator Busbar savings effective under this Amen6nenl'SQW, CLEAResult will invoice Utility monthly based on achieved kWh savings through retail sales acY' b. Payment. CLEAResult will email Utility a monthly itemized invoice. Invoice will include kWh/year at Generator Busbar savings achieved and quantity of sales by model number, manufacturer, retailer location, BPA measure and activity period. Payment on invoice is due 30 days after the date of the invoice and shall be sent to: Clearesult Consulting Inc. P.O. Box 732986 Dallas, Texas 75373-2986 Utility commits to payment of rates as outlined in Table 1 above, on eligible promotional products meeting BPA measure requirements. For eligible promotional products, Utility commits to(please select one funding option below): Fund all units sold for the duration of this agreement Funding of$ 2,000 c. Store List and Forecast. Store locations targeted for participation in the promotion and forecasted sales by eligible measure are detailed in Attachment B. Only stores receiving sufficient utility support will be included in the promotion. The store fist may be revised throughout the year based on retailer participation and the current level of utility support. 3, Tasks. The appliance promotion aims to increase sales of qualified ENERGY STAW-1 refrigerators, clothes washers, clothes dryers and freezers in the marketplace. This Will be accomplished through split incentives that may be provided as; 1) co-marketing dollars to the retailer or manufacturer to fund activities such as promotional events, special product placement, point of purchase signage, store or associate spiffs, in-store activities and event kits, and sales associate training and training material and/or other marketing activities employed during the promotional periods; or 2) customer rewards which may include retailer gift cards, gifts with purchase, warranties, instant markdowns, or store credit to the customer for the purchase of qualified products. 4. ai. The CLEAResult Simple Steps team will implement store and product management protocols to ensure qualified products are stocked and promoted during the key promotion windows. The program will provide a utility toolkit to help utilities reach their customers. The toolkit will consist of print ad templates, customizable messaging for newsletters, social media and press release content. 5, Market EnQaqemen . CLEAResult will partner with retailers, manufacturers and utilities to execute promotional activity including marketing and/or customer rewards through short duration promotions. CLEAResult will provide a promotional brief outlining the details of each promotion, including but not limited to the following materials: web banner, special placement, associate training, internal communications and email blast, in-store event kit, sales associate alert, print ad templates,social media copy and newsletter copy. CLEAResult will produce an annual promotions calendar to increase awareness of upcoming promotions and track promotions. The co- marketing and customer rewards will be allocated to the market partner and per the terms as detailed in agreements established between CLEAResult and each market partner and provided in Attachment A, Table 2. b. Administrative Support. Services shall include development, delivery and facilitation of projected unit movement of identified products at approved retail locations. CLEAResult staff will collect retail sales reports from partnering retailer locations and monitor sales reports in a proprietary tracking and reporting data system. c. Marketinq Services. CLEAResult will design and produce retail point-of-purchase ("POP") materials for participating stores and provide marketing support for special promotions and cooperative marketing activities. CLEAResult will collaborate with utilities on branding needs and requirements,and will provide a platform for utilities to participate in promotional activities, convey branding needs, and coordinate utility marketing plans based on the retail promotion opportunities set out in the appliance promotions calendar. CLEAResult will maintain a consumer- facing program website and a partner website. d. Field Services. CLEAResult field representatives will provide marketing materials to participating stores, on-site merchandising,sales-associate training and event staffing as needed.CLEAResult will conduct regular store visits to ensure promotional activities are executed, products are stocked and in-store marketing materials are available. e. Reporting. CLEAResult will provide electronic reports of product sales following each promotion.Sales will be reported by product type, kWh savings, model number, SKU, manufacturer, retailer location, BPA measure and activity period, f. Promotions. CLEAResult will partner with retailers, manufacturers and utilities to execute promotional activity including marketing and/or customer rewards through short duration promotions. CLEAResult will provide a promotional brief outlining the details of each promotion, including but not limited to the following materials: web banner, special placement, associate training, internal communications and email blast, in-store event kit, sales associate alert, print ad templates, social media copy and newsletter copy. CLEAResult will produce an annual promotions calendar to increase awareness of upcoming promotions and track promotions. g. Customer Rewards. Different rewards are provided as a financial incentive to utility customers in various forms which may include retailer gift cards, gifts with purchase,warranties, instant markdowns, or store credit to the customer for the purchase of qualified products. Customer rewards in the form of gift cards will include utility attribution in the form of a utility branded sleeve and in-store materials. If a gift card is provided, the gift card must be used according to the retailer's gift card policies, h. Participatinq Stores.Appliance sales allocations will be determined through the Retail Sales Allocation Tool ("RSAT")"White Goods" product category. CLEAResult will assess each participating retail location to determine if a sufficient level of utility support exists. Store inclusion is determined by the percentage threshold for a participating utility and the percentage RSAT allocation that is required at a single retail store location in order to maintain the promotion at that store location. Stores without sufficient utility support will not be included in the promotion. Participating stores without an RSAT allocation will be given an official RSAT allocation or prescribed an equivalent value based on a comparative store listed in the RSAT"White Goods" product category. 6. Change Procedure, The Agreement, including any exhibits, schedules or attachments, including this Ain'ien6nei')t, W, contains the entire agreement of the parties regarding the subject matter described in it. In the event of any conflict between the terms and conditions of the Agreement and this A'T�end rn''r�e' tSQW,the applicable term or condition of the Agreement supersedes the conflicting term or condition in this unless the parties clearly express in writing that theArnendirnentSr.AtV includes a change to the Agreement.The provisions of this Arneindn'aentSGW may not be amended, except by an agreement in writing signed by the party against whom enforcement of any amendment is sought.
