The Parties entered into a Professional Service Contract on March 1, 2012. This Agreement is incorporated by this reference and may hereafter be referred to as "the Agreement." 2. This Amendment to the Agreement is intended to amend the scope of work listed as Exhibit A of the original Agreement and to include a new scope of work listed to this Amendment to the Agreement as Exhibit A. 3. BY: 4 L--- Bet Day, Vice President Date: 11 ,20 1 2 Jar sa Hurd, City Clerk G \LEGAL \a AGREEMENTS &CONTRACTS \2012 AGRMTS &CONTRACTS \Integral PSA Amendment 6 4 2012 doc 1 000283 Scope of Work and Budget for Pre Remedial Investigation Tasks This Scope of Work and Budget for Pre Remedial Investigation Tasks addresses support for the City of Port Angeles concerning Port Angeles Harbor sediment issues including a number of tasks listed below in preparation and anticipation of the remedial investigation. Each task includes time for Betsy Day, Vice President of Integral Consulting, to provide project strategy and senior level review, and Deborah Rudnick Ph.D., senior scientist, to assist with project management, consultation and document reviews, as well as lead technical tasks. Time will be divided between the two in the manner that is most cost effective. Other Integral staff will provide support as needed. Task 1. Meeting and Strategy Support through 2012 A number of meetings are anticipated over the next 7 months including internal meetings and calls with City staff and outside counsel, meetings with other parties associated with the harbor, and meetings with regulatory agencies (principally Washington Department of Ecology). To the extent and as specifically directly by the City Manager, Integral shall assist the City in the analysis of issues and development of strategy for those meetings.. As specifically directed, this task may include some or all of the following: Strategy development and meeting preparation, meeting attendance, and meeting notes (if requested). Integral will perform a thorough analysis of the Draft Harbor Sediment study sufficient to inform the City's decision- making process. The analysis shall include, but is not limited to, review of comments prepared by consultants for Nippon, Georgia Pacific, and the Port on Ecology's draft site investigation report; preparation of a synopsis of the conventional cleanup process including milestones and a generic timeline; prepare a draft of the City's "ideal next steps and other tasks as assigned in support of this task. The goal of this task is to provide the City's staff and legal counsel with the best available information relative to the City's interest as a potentially liable party. Task 1 will be staffed by Betsy Day and Deborah Rudnick. Task 2. Preliminary Evaluation of Potential Liability Integral will prepare a preliminary analysis of technical data presented in Ecology's reports and other information relative to potential City liability in the harbor. The analysis is intended to help inform the City of the parts of the harbor where the City may have liability and the relative degree of that liability compared with other parties. The analysis will also assist in responding to and proactively addressing assertions made against the City by other potentially liable parties. It will also discuss the level of the City's liability exposure; however, it will not be an exhaustive EXHIBIT A assessment of potential liability. The discussion will include potential sources related to the City, sediment data in the vicinity of those potential sources, discussion of potential chemical transport mechanisms by which releases could be transported to other areas of the harbor, and other observations. The analysis also will include developing general cost estimates for a range of potential liability scenarios, including costs for the RI/FS and cleanup. The memo will also evaluate the ability to directly attribute responsibility of pollutants to the City of Port Angeles based on data prepared as part of the Harbor Sediments Study and other future scientific or technical studies that may occur. The goal of the analysis is to provide the City with a tool that will help the City evaluate its potential liability and support its negotiations with the other potentially liable parties and with DOE. A draft memo will be delivered to the City within 60 days. Finalization of the memo is not currently anticipated as further work on potential liability would more reasonably occur following additional data collection or in -depth analyses. The budget for this task assumes that the data needed for this evaluation, including chemical data from Ecology, and CSO and storm and surface water location data from the City, can be obtained from the sources in an electronic format that can be integrated into a GIS -based database platform. This task will be led by Deborah Rudnick with junior level support, and senior review by Betsy Day. Task 3. Support for Negotiations and Additional Technical Evaluations Some consulting support is common during negotiations of a MTCA order and to address issues that arise including coordination with other parties. For this reason, the City Manager, at his discretion, may direct Integral to perform some or all of the following additional tasks: Additional work on Tasks 1 and 2 if and when new technical information becomes available Additional technical evaluations Preparation of additional technical proposals Additional analyses as needed in support of the City's negotiations with DOE or other parties. Budget The budget for these three tasks is $63,000. EXHIBIT A
