HomeMy WebLinkAbout001338 Original Contract City of Port Angeles Record#001338 CITY OF PORT ANGELES AND WASHINGTON STATE UNIVERSITY THIS AGREEMENT is entered into as of the date of the last signature affixed below, by and between the City of Port Angeles, Washington, a municipal corporation, hereinafter called "City", and Washington State University, an institution of higher education and an agency of the state of Washington,hereinafter "WSU." For good and valuable consideration,the adequacy of which is hereby acknowledged,the City and WSU do mutually agree to the following terms and conditions: RECITALS A. The City makes this agreement under the authority pursuant to Title I of the Housing and Community DevelopmentAct of 1974, as amended, the Washington State Department of Commerce (WSDOC) is authorized by the Federal Department of Housing and Urban Development (HUD) to provide State Community Development Block Grant Program funds hereinafter referred to as CDBG funds to units of City selected to undertake and carry out certain programs and projects under the Washington State Community Development Block Grant Program in compliance with all applicable local, state, and federal laws, regulations and policies. B. WSU, as the host institution for the Washington Small Business Development Center ("WSBDC'),provides insight and solutions for the development and growth toward the long-term success of businesses in communities throughout the State of Washington. C. Under this Agreement, WSU, through the WSBDC, will assist and provide services to residents of Port Angeles and the surrounding area related to business development. D. The services provided by WSU will be open to all in the community who are interested in business development but will focus on providing services to Very Low, Low and Moderate Income residents of the City of Port Angeles. Income limits are defined by the Washington State Department of Commerce annual income limits table. E. The City allocated Community,Development Block Grant (CDBG)program income to this project, which is CDBG-eligible activity. 1. Scope of Work. During the term of this Agreement, the WSU shall perform tasks and implement programs and services as follows: Operate a no-cost Small Business Development Center focusing on assisting very low, low, and moderate-income Port Angeles residents to create or operate a business in Port Angeles by: • Providing access to capital and financing sources a Assisting with personnel strategies a Providing business valuation services a Aiding in problem solving c Providing business succession planning - 1 - • Drafting market strategies • Providing business research • Assisting to develop loan strategies • Hosting training events targeted towards very low, low, and moderate income individuals The WSU shall devise and implement such tasks,service and programs as will best achieve the goals stated above, Washington State Department of Commerce defines eligible 2017 Clallam County income levels as: Income Level I Person 2 Person 3 Person 4 Person 5 Person 6 Person 7 Person 8 Person Very Low 309% $ 13,100 $ 16,240 $ 20,420 $ 24,600 $ 28,780 $ 32,960 $ 37,140 $ 41,150 Low 509. $ 21,850 $ 24,950 $ 28,050 $ 31,150 33,650 $ 36,150 $ 38,650 $ 41,150 Moderate 80% $ 34,900 $ 39,900 $ 44,900 $ 49,850 53,8,50 $ 57,850 $ 61,850 $ 65,850 based on annual medicare family income 2. Term. This Agreement shall be effective on the date of signature and terminate December 31, 2018, unless sooner terminated or renewed as provided in this Agreement. 3. Compensation. In consideration for the services and tasks to be performed by the WSU, the City shall pay the WSU $8000. 4. Reporting. a. WSU shall maintain records and report to the City as follows: • The number of Port Angeles business and residents served. Port Angeles business are business with their primary place of business within the Port Angeles City limits. • Types of businesses supported c Number of new businesses created • Number of individuals newly employed • Value of financing provided to retained businesses • Number of businesses successfully transferred through succession planning services WSU shall provide the City with written reports annually fully describing the records and information described above. 5. No Partnership. It is understood and agreed that nothing contained in this Agreement shall be considered as in any way constituting a partnership,joint venture, or any other mutual undertaking between the City and the WSU. Relationship of the WSU and the City will remain. that of independent contracting parties. The WSU will be responsible for its officers, members and employees, and the City will be responsible for its officer and employees. While they are performing services pursuant to this agreement, neither one is the agent of the other. WSU, and not the City, shall have the right to control the manner and means by which the work or services is accomplished. Consistent with this relationship, WSU staff and volunteers shall not be covered by any City benefit programs, such as health and welfare benefit plans, social security, workers compensation or unemployment compensation, and shall not be treated as an employee for federal - 2 - or state tax purposes or any other purpose. .6..- Non-discrimination. 'SU and its employees, agents and contractors, i r any, shall at all times comply with any and all federal, state or local. laws, ordinances, rules or regulations with respect to non-discrimination and equal employment opportunity, including but not limited to all such requirements \,vhich may apply in connection with employment or the provision of services to the public. 7. Compliance with all applicable laws. '°SU shall at all times in connection w,ith performance of this Agreement, comply with any and all other applicable federal, state and local laws, rules, ordinances and regulations. 8.ww„ Modification. No modification of this Agreement shall be valid unless agreed to in writing and signed by the Parties. 9.- complete Understanding. This Agreement, together with the attachments, reflects the entire agreement of the parties relating to the subject matter thereof, supersedes all prior or contemporaneous oral or written Agreements, or any statements, representations or promises, and is intended frilly to integrate the Agreement between the parties w,ith respect to the matters described in this Agreement.
