AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE THE CITY OF PORT ANGELES AND PARAMETRIX RELATING TO: 2006 SOLID WASTE, LANDFILL AND WASTEWATER ENGINEERING AND PLANNING SERVICES THIS AGREEMENT is made and entered into this ~ /4t. day of ~1JC1J.J~ bk~ , 2006, by and between THE CITY OF PORT ANGELES, a non-ch;rte7~;-,@y of the State of Washington, (hereinafter called the "CITY") and PARAMETRIX, INC., a Washington Corporation (hereinafter called the "CONSULTANT"). WHEREAS, the CITY desires engineering consulting and planning services related to solid waste, landfill and wastewater systems, and WHEREAS, the CITY desires to engage the professional services and assistance of a qualified consulting firm to perform the scope of work as detailed in Exhibit A, and WHEREAS, the CONSULTANT represents that it is in full compliance with the statutes of the State of Washington for professional registration and/or other applicable requirements, and WHEREAS, the CONSULTANT represents that it has the background, experience, and ability to perform the required work in accordance with the standards of the profession, and WHEREAS, the CONSULTANT represents that it will provide qualified personnel and appropriate facilities necessary to accomplish the work; NOW, THEREFORE, in consideration of the above representations and the terms, conditions, covenants and agreements set forth below, the parties hereto agree as follows: SCOPE OF WORK The scope of professional services to be performed and the results to be achieved by the CONSULTANT shall be as detailed in the attached Exhibit A and shall include all services and material necessary to accomplish the work. The CITY may review the CONSULTANT'S work deliverables, and if it is not satisfactory, the CONSULTANT shall make such changes as may be required by the CITY. Such changes shall not constitute "Extra Work" as related in Section XI of this Agreement. The CONSULTANT shall perform its services under this Agreement consistent with the professional standard of care, meaning the degree of care and diligence normally PMX 2006 Agreement Page 1 of 7 exercised by members of the consulting engineering profession currently practicing under similar circumstances. The Consultants services shall also comply with applicable federal, state and local laws. The Scope of Work may be amended upon written approval of both parties. II OWNERSHIP OF DOCUMENTS Upon completion of the work, all documents, exhibits, photographic negatives, or other presentations of the work shall become the property of the CITY for use without restriction and without representation as to suitability for reuse by any other party unless specifically verified or adapted by the CONSULTANT. However, any alteration or reuse of the documents, by the City or by others acting through or on behalf of the City, will be at the City's sole risk. III DESIGNATION OF REPRESENTATIVES Each party shall designate its representatives in writing. The CONSULTANT'S representative shall be subject to the approval of the CITY. IV TIME OF PERFORMANCE The CONSULTANT may begin work upon execution of this Agreement by both parties and the duration of the Agreement shall extend through January 31, 2007. The work shall be completed in accordance with the schedule set forth in the attached Exhibit B. V PAYMENT The CITY shall pay the CONSULTANT as set forth in this section of the Agreement. Such payment shall be full compensation for work performed, services rendered, and all labor, materials, supplies, equipment and incidentals necessary to complete the work. A. Payment shall be on the basis of the CONSULTANT'S cost for actual labor, overhead and profit plus CONSULTANT'S direct non-salary reimbursable costs as set forth in the attached Exhibit C. 1. Labor costs shall be based on the hourly rates shown in Exhibit B. Hourly rates shall be based upon an individual's hourly wage, times the total number of hours worked, times a multiplier of 3.1. The multiplier shall include overhead, CADD, computer and profit. General clerical time shall be considered an overhead item, except where specific work items are involved that require one hour or more continued effort, in which case time will be charged on the basis of hours worked. The direct non-salary reimbursable costs are those directly incurred in fulfilling the terms of this Agreement, including, but not limited to travel, subsistence, telephone, reproduction and printing, and supplies. No overhead may be added to direct non-salary reimbursable costs. The CONSULTANT may add a markup to Subconsultants and outside services subject to approval by the City. B. The CONSULTANT shall submit invoices to the CITY on a monthly basis. Invoices shall detail the work, hours, employee name, and hourly rate; shall itemize with receipts and invoices the non-salary direct costs; shall indicate the specific task or activity in the Scope of Work to which the costs are related; and shall indicate the cumulative total for each task. C. The CITY shall review the invoices and make payment for the percentage of the project that has been completed less the amounts previously paid. \ D. The CONSULTANT invoices are due and payable within 30 days of receipt. In the event of a disputed billing, only the disputed portion will be withheld from payment. E. Final payment for the balance due to the CONSULTANT will be made upon the completion of the work and acceptance by the CITY. F. Payment for "Extra Work" performed under Section XI of this Agreement shall be as agreed to by the parties in writing. VI MAXIMUM COMPENSATION Unless otherwise agreed to in writing by both parties, the CONSULTANT'S total compensation and reimbursement under this Agreement, including labor, direct non- salary reimbursable costs and outside services, shall not exceed the maximum sum of $548,702.00. VII EMPLOYMENT Employees of the CONSULTANT, while engaged in the performance of any work or services under this Agreement, shall be considered employees of the CONSULTANT only and not of the CITY, and claims that may arise under the Workman's Compensation Act on behalf of said employees while so engaged, and any and all claims made by a third party as a consequence of any negligent act or omission on the part of the CONSULTANT'S employees while so engaged, on any of the work or services provided to be rendered herein, shall be the sole obligation and responsibility of the CONSULTANT. In performing this Agreement, the CONSULTANT shall not employ or contract with any CITY employee without the City's written consent. VIII NONDISCRIMINATION PMX 2006 Agreement Page 3 of 7 The CONSULTANT shall conduct its business in a manner, which assures fair, equal and non-discriminatory treatment of all persons, without respect to race, creed or national origin, or other legally protected classification and, in particular: A. The CONSULTANT shall maintain open hiring and employment practices and will welcome applications for employment in all positions, from qualified individuals who are members of minorities protected by federal equal opportunity/affirmative action requirements; and, B. The CONSULTANT shall comply with all requirements of applicable federal, state or local laws or regulations issued pursuant thereto, relating to the establishment of non discriminatory requirements in hiring and employment practices and assuring the service of all persons without discrimination as to any person's race, color, religion, sex, Vietnam era veteran status, disabled veteran condition, physical or mental handicap, or national origin. IX SUBCONTRACTS A. The CONSULTANT shall not sublet or assign any of the work covered by this Agreement without the written consent of the CITY. B. The CONSULTANT will be using the firms submitted with its proposal as subcontractors. Subcontractors other than those listed shall not be permitted without the written consent of the CITY. C. In all solicitation either by competitive bidding or negotiation made by the CONSULTANT for work to be performed pursuant to a subcontract, including procurement of materials and equipment, each potential subconsultant or supplier shall be notified by the CONSULTANT of Consultant's obligations under this Agreement, including the nondiscrimination requirements. X CHANGES IN WORK Other than changes directed by the CITY as set forth in Section I above, either party may request changes in the scope of work. Such changes shall not become part of this Agreement unless and until mutually agreed upon and incorporated herein by written amendments to this Agreement executed by both parties. XI EXTRA WORK The CITY may desire to have the CONSULTANT perform work or render services in connection with this project, in addition to the Scope of Work set forth in Exhibit A and minor revisions to satisfactorily completed work. Such work shall be considered as "Extra Work" and shall be addressed in a written supplement to this Agreement. The CITY shall not be responsible for paying for such extra work unless and until the written supplement is executed by both parties. PMX 2006 Agreement Page 4 of 7 XII TERMINATION OF AGREEMENT A. The CITY may terminate this Agreement at any time upon not less than ten (10) days written notice to the CONSULTANT. Written notice will be by certified mail sent to the consultant's designated representative at the address provided by the CONSULTANT. B. In the event this Agreement is terminated prior to the completion of the work, a final payment shall be made to the CONSULTANT, which, when added to any payments previously made, shall compensate the CONSULTANT for the percentage of work completed. C. In the event this Agreement is terminated prior to completion of the work, documents that are the property of the CITY pursuant to Section II above, shall be delivered to and received by the CITY prior to transmittal of final payment to the CONSULTANT. XIIIINDEMNIFICATION/HOLD HARMLESS The CONSULTANT agrees to indemnify the CITY from any claims, damages, losses, and costs, including, but not limited to, attorney's fees and litigation costs, arising out of claims by third parties for property damage and bodily injury, including death, caused solely by the negligence or willful misconduct of the CONSULTANT, CONSULTANT employees, affiliated corporations, officers, and subcontractors in connection with the work performed under this Agreement. The CITY agrees to indemnify the CONSULTANT from any claims, damages, losses, and costs, including, but not limited to, attorney's fees and litigation costs, arising out of claims by third parties for property damage and bodily injury, including death, caused solely by the negligence or willful misconduct of the CITY, CITY's employees, or agents in connection with the work performed under this Agreement. If the negligence or willful misconduct of both CONSULTANT and CITY (or a person identified above for whom each is liable) is a cause of such damage or injury, the loss, cost, or expense shall be shared between the CONSULTANT and the CITY in proportion to their relative degrees of negligence or willful misconduct and the right of indemnity shall apply for such proportion. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the CONSULTANT and the CITY, its officers, officials, employees, and volunteers, the CONSULTANT'S liability hereunder shall be only to the extent of the CONSULTANT'S negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes the CONSULTANT'S waiver of immunity PMX 2006 Agreement Page 5 of 7 under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. However, the CONSULTANT expressly reserves its rights as a third person set forth in RCW 51.24.035. XIV INSURANCE The CONSULTANT shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the CONSULTANT, its agents, representatives, employees or subcontractors. The CONSULTANT shall provide a Certificate of Insurance evidencing: 1. Automobile Liability insurance with limits no less than $1,000,000 combined single limit per accident for bodily injury and property damage; and, 2. Commercial General Liability insurance written on an occurrence basis with limits no less than $1,000,000 combined single limit per occurrence and $2,000,000 aggregate for personal injury, bodily injury and property damage. Coverage shall include but not be limited to: blanket contractual; products/completed operations; broad form property damage; explosion, collapse and underground (XCU) if applicable; and employer's liability; and, 3. Professional Liability insurance with limits no less than $1,000,000 limit per occurrence. Any payment of deductible or self insured retention shall be the sole responsibility of the CONSULTANT. The CITY shall be named as an additional insured on the Commercial General Liability insurance policy, as respects work performed by or on behalf of the Consultant and a copy of the endorsement naming the CITY as additional insured shall be attached to the Certificate of Insurance. The CITY reserves the right to review a certified copy of all required insurance policies in the CONSULTANT's office. The CONSULTANT'S insurance shall contain a clause stating that coverage shall apply separately to each insured against whom claim is made or suit is brought, except with respects to the limits of the insurer's liability. The CONSULTANT'S insurance shall be primary insurance as respects the CITY, and the CITY shall be given thirty (30) days prior written notice of any cancellation, suspension or material change in coverage. PMX 2006 Agreement Page 6 of 7 XV APPLICABLE LAW This Agreement shall be construed and interpreted in accordance with the laws of the State of Washington, and in the event of dispute the venue of any litigation brought hereunder shall be Clallam County. XVI EXHIBITS AND SIGNATURES This Agreement, including its exhibits, constitutes the entire Agreement, supersedes all prior written or oral understandings, and may only be changed by a written amendment executed by both parties. EXHIBIT A - SCOPE OF WORK City of Port Angeles Landfill Engineering Services 2006 BACKGROUND This Scope of Work identifies landfill engineering services for the City of Port Angeles (City) for the period of January I, 2006 through December 31, 2006. This work is a continuation of Parametrix' work for Landfill Engineering Services as described in our previous contract agreement dated October 26, 2000. The basis of work is derived from input received from City staff through December 2005, and may need to be revised during 2006 based on uncertainties and changes over time. Specific components of the work for the period of this contract include: . Task I Engineering Assistance for Solid Waste Management . Task 2 Permitting and Compliance Support . Task 3 Vacant . Task 4 Design Services . TaskS NPDES Permit Support . Task 6 Construction Services . Task? Directed Services TASK 1 ENGINEERING ASSISTANCE FOR SOLID WASTE MANAGEMENT This element of work will provide for engineering services to support routine solid waste handling activities and landfill operations. Parametrix will work with City personnel to identify and develop operations criteria and perform services as directed by the City in response to site development or system maintenance requirements. Under this task, Parametrix will perform overall project management, cost control, schedule maintenance, scope development and routine client communications necessary to deliver project elements of work in accordance with scope, budget, and schedule requirements. Task 1.1 Update Fill Sequence Plans Objective: Parametrix will work with landfill staff to update fill sequence plans for optimal waste placement, compaction, and daily cover operations. . Actiyities: This effort will include assistance in deciding when the landfill will stop receiving wastes, design services for modifying capacity to accommodate additional material, and provide guidance on costs and benefits of changes. Assumptions: This task will be performed twice during the year, prior to landfill closure. City of Port Angeles Fmal Closure Design Lan4fill Engineermg and Environmental ServIces 2006 / 255-219/-807 December 2005 Task 1.2 Deliverables: Three (3) copies of two (2) Fill Sequencing Plans. Site Life Verification Objective: To document the volume of airspace remaining in the landfill to allow for planning of the future cap contours and additional large imports of material during the course of2006. Parametrix will conduct two (2) quarterly measurements and evaluations of waste placement, including compactive effort estimates and effective density calculations. We will prepare letter reports describing the findings of each quarterly event. In support of this effort, a visual site history using LDT software will be prepared and used in estimating landfill airspace usage with a target closure date of December 31, 2006. Assumptions: The following assumptions apply: Activities: . NT! of Port Angeles will perform survey activities. . This task wilI be performed three (3) times: once at the end ofQl and Q2, and once immediately prior to closure of the landfill for determination of residual space that can be used for other purposes. Task 1.3 Deliverables: Three (3) copies of three (3) Technical Memoranda. Gas System Maintenance and Monitoring Objective: Activities: Consistent and compliant gas system operations. Parametrix will evaluate gas system operations data and assist City personnel in continuing operations of the landfill gas systems. We will provide to City operations staff recommendations concerning the proper gas system operations. Assumptions: None. Deliverables: Routine communications and written recommendations for gas system, co-composting, and general operations assistance tasks. Maximum one (I) per month. Task 1.4 Objective: Activities: General Operations Assistance Consistent and compliant landfill operations. Parametrix will provide on-call technical assistance to landfill staff regarding conditions and issues that arise during the year. This work will include construction observation, landfill management, materials management, and system maintenance and improvement, as necessary. Work will be performed as needed on an on-call basis. Assumptions: None. Deliverables: None. City of Port Angeles Fmol Closure DeSIgn Londfill Engmeermg and EnVIronmental ServIces 2006 2 255-2191-807 December 2005 Task 1.5 Project Management and Coordination Objective: Provide routine management and coordination of the project. Activities: Parametrix will manage project activities, allocate resources, monitor schedules and budgets, maintain client communications and provide monthly project status reports. DeJiverabJes: Parametrix anticipates the following work products for this task: . Monthly progress reports and invoices. . An updated quarterly project schedule. Assumptions: The Scope of Work and cost estimate is based on the following assumptions: . The Contract period is from January 1,2006 through December 31, 2006. . Mileage, reproduction and plotting costs for all tasks are included in this task for budget purposes. Other direct costs as shown in Exhibit B are also included. . Co-composting support associated with operations, permits, and materials handling will be handled by others and is not included in this Scope of Work. . CPG grant support is included in a separate scope. . Parametrix staff will visit the Port Angeles Landfill as needed (maximum twice per month, excluding construction management (Task 06)) to review landfill operations and meet with the operations team. . Task 2 Permitting and Compliance Support This element of work will provide regulatory reporting and permit coordination for landfill operations. Work will include assisting the City with the collection of operational and environmental data and the preparation of routine reports for submittal to the Clallam County Environmental Health Department (CCHD) or Washington State Department of Ecology (Ecology). Reporting will be completed to achieve compliance with the solid waste operating permit and the Minimum Functional Standards for Solid Waste Facilities (WAC 173-351). Task 2.1 Solid Waste Permit Submittal 2006 Objective: Parametrix will compile information and prepare the Solid Waste Operating Permit application for 2006. Activities: Parametrix will prepare the Solid Waste Operating permit application for the landfill and transfer station operation. Assumptions: The following assumptions apply: . This will be a 5-year permit for activities to be performed at the site following landfill closure. The submittal will include the Solid Waste Annual Report for transfer station operations. . The City will pay all permitting fees associated with this activity. Task 2.2 Deliverables: Draft and Final Solid Waste Permit Applications. Groundwater Monitoring Objective: Activities: To install monitoring wells for long-term groundwater monitoring of the landfill as required by CCHD. Install a maximum of three (3) new monitoring wells along the beach following completion of the shoreline remedial action. This will include: . Completing all necessary Ecology-required documentation including permits, well construction reports, etc. . Oversee installation of monitoring wells during seawall construction. . Log soils during drilling . Well development monitoring. . Prepare a revised Groundwater Monitoring Plan for the new beach wells. . Provide technical assistance and peer review of groundwater monitoring reports prepared by the City. . Prepare and submit to Ecology and CCHD the Annual Groundwater Monitoring Report. This report will include the [mdings of the fourth quarter sampling (to be prepared by the City). Assumptions: The following assumptions apply: . The City will handle all analytical laboratory contracting. . Only one (1) round of comments from the City will be required to finalize draft groundwater monitoring documents. . Monitoring wells will be installed as part of the seawall construction. No additional drilling is required, and no drilling costs are included. . Groundwater monitoring will be conducted quarterly for the first year following installation. Monitoring frequency will be revised to semi-annual beginning with the second year (assuming approval from CCHD). . City staff will collect groundwater samples and prepare quarterly groundwater monitoring reports for submittal to Ecology. . The City will provide Parametrix with copies of each groundwater monitoring report in electronic and hard copy format. Draft and Final Groundwater Monitoring Plan . Draft and Final Annual Groundwater Monitoring Report. Task 2.3 Amend Operations and Maintenance Plans Objective: Parametrix will meet with landfill staff to identifY desired modifications or changes in conditions to the existing Landfill Closure Plan and the existing Operations and Maintenance (O&M) Manual pursuant to requirements of WAC 173-351. Activities: Parametrix will prepare the modifications or changes in the form of an amendment that will be submitted to CCHD for inclusion in the plans. Assumptions: The following assumptions apply: . One (1) meeting will be held with City staff to discuss amendments to the Landfill Closure Plan and O&M Manual. . Operations and maintenance plans related to transfer station operations will be prepared by others. Deliverables: Three (3) copies of the revised Landfill Closure Plan and O&M Manual. Task 2.4 Landfill NPDES Permit Support Objective: Parametrix will, with Ecology's input, update the storm water management plan as needed, following construction of stormwater improvements in 2005, in order to permit planned improvements. Activities: Parametrix will prepare the modifications or changes to the storm water management plan as needed, based on alterations made to the site in 2005 and update the Storm Water Pollution Prevention Plan (SWPPP) to reflect changes made during 2005. Assumptions: The following assumptions apply: . This will include one (1) meeting with Ecology to discuss and validate the City's plan for stormwater management and development of a final plan based on Ecology's input. . The SWPPP will require only minor revisions and is limited to changes made to the stormwater system in 2005-2006. Deliverables: The following will be submitted: . Three (3) copies of the storm water management plan. . Final revised NPDES Permit and SWPPP. City of Parr Angeles Fmal Closure DeSIgn Lanrffi/l Engmeenng and EnVIronmental ServIces 2006 5 255-2 J 9 J -807 December 2005 Task 2.5 Objective: Activities: Shoreline Improvement Permit Support Parametrix will continue to assist the City with compliance efforts associated with the shoreline improvements and mitigation measures. This support will include meetings with agencies including DNR, Ecology, Fish and Wildlife and other interested parties. Parametrix will work with City planning staff to coordinate he public process and meet conditional use requirements as needed. Parametrix will review and respond to comments from agencies and resolve outstanding issues from existing permits and permit applications. Parametrix will develop a permit compliance plan that will include the following elements: . Notifications ofWDFW staffas required. . Delineation of all specified distances and elevations for the work corridor. . Design of appropriate drainage tightlines to incorporate into the soldier pile wall. . Provide specifications for bedding stone, toe armor, back beach berm, and beach nourishment. . Ensure removal of debris (to be verified during Task 06 activities). . Beach regrading. . Other applicable conditions as specified in the approved permits. . Parametrix will prepare an operations and maintenance plan to conform to State and Local requirements as specified in previously approved permits. This will include negotiation of specific requirements with Local and State agencies. Assumptions: The Scope of Work and cost estimate is based on the following assumptions: . No changes in permit requirements will occur during 2006 . Includes up to 5 meetings onsite or at City offices with Agency staff DeliverabJes: The following will be delivered to the Client . Revised and additional permit applications and negotiations for shoreline improvements and mitigation measures. . Permit compliance plan. . Operations and Maintenance Plan . Letters of notification as required by the permit authorities Task 2.6 Objective: Activities: landfill Closure Permit Support To assist the City in permitting and coordinating regulatory issues during landfill closure. Parametrix will prepare all necessary permits or written notification relating to the closure oflandfill Cell 3 as defined in WAC 173-351 and local regulations. This activity City of Port Angeles Fmal Closure DeSign Landfill Engmeermg and Environmental Services 2006 6 255-2191-807 December 2005 will include interactions with state and local regulatory agencies (Ecology, CCHD), as needed, to resolve any permitting issues related to the cell closure Assumptions: The following assumptions are made for budgeting of this task: . This work is to be performed on a time and materials basis. . All permit fees will be paid by the City. Deliverables: Parametrix will prepare the following work products: . Written response to inspection reports from the Realth Department or Ecology. . Correspondence necessary to coordinate solid waste operations with outside agencies. . Permits as needed to facilitate landfill closure. TASK 3 VACANT TASK 4 DESIGN SERVICES Under the current construction schedule, the City will continue site development in 2006 and proceed through 2008. This task covers design services required in 2006. Design services include preparation of construction documents. Task 4.1 Landfill Closure Design The Port Angeles Landfill is scheduled for closure at end of year 2006. A new Transfer Station will be constructed south of the active landfill to accept, handle, and ship municipal wastes now being disposed of at the landfill. Parametrix will prepare the construction contract documents for the Final Closure. Construction documents include construction drawings, specifications, and a construction quality assurance (CQA) plan, as well as a probable cost estimate. These documents will be prepared and submitted to the City and to the CCRD and Ecology for approval. After review by the City, the CCRD, and Ecology, any required revisions will be made, and the final, bid-ready contract documents will be prepared. Parametrix proposes to subcontract project survey work to NT! in Port Angeles, Washington, and to subcontract project geotechnical work, if any is required, to AMEC in Kirkland, Washington. Task 4.1.1 Site Survey Objective: To prepare a base map of the project area with adequate topographic detail to provide for design and to track changes over time as cell filling progresses. Activities: The following activities will be performed as part of this task: CIty of Porr Angeles Final Closure DeSIgn Landfill Engmeering and EnvIronmental ServIces 2006 7 255-2/9/-807 December 2005 . Parametrix will complete an initial survey of the project site for topography, site features, and utilities, but not property boundaries. Parametrix will contact the one- call service and the county to locate utilities and will survey the marked utilities. . Parametrix will complete two (2) quarterly updates of Cell 2 and 3 topography as part of the Site Life capacity analysis in Task 1. Deliverables: This task has the following deliverable: . Following each quarter's survey, Parametrix will prepare a drawing showing site features and topographic contours. Task 4.1.2 Work Plan Objective: To develop a work plan documenting design criteria, permit conditions, construction approaches, and key assumptions that apply to the design. Submittal of the Work Plan for City review will provide for mutual understanding of project issues between Parametrix and the City. Because the closure design is very similar to the previously approved and implemented design for CellI, Parametrix proposes to provide the Work Plan submittal in lieu of providing 30 and 60 percent design-level submittals for plans and specifications. Approach: The Work Plan will summarize the requirements for the final cover system, identify permit conditions, discuss volumes and sources of material for cover soil and topsoil, identify geotechnical concerns to be further evaluated, identify key design criteria, and describe how these requirements will be incorporated into design documents. Assumptions: The Work Plan will be brief (five pages maximum). The intent of the Work Plan is to communicate and document to the involved parties at an early stage in the project the general project agreements and parameters. The Work Plan will not be updated later in the project; rather, design changes will be documented in meeting minutes, e-mails, and other correspondence; and the changes will be incorporated into the plans and specifications. Parametrix has not included work for obtaining any permits. Deliverables: This task has the following deliverable: . Task 4.1.5 Quality Assurance {QA}, Project Management, and Meetings Objective: To provide for effective project management, quality assurance reviews, client communication and coordination, and to provide for meetings with the City and regulatory agencies. Activities: The following activities will be performed as part of this task: . Initial project set up, including establishing files, preparing a project management plan, and attending a kickoff meeting with Parametrix staff to communicate objectives, and schedule, and communication and coordination with the project subconsultant. . Meet with City staff as necessary to provide a satisfactory design (four meetings assumed). . Attend one (1) meeting each with Ecology and Clallam County to review comments on 90 percent design-level submittals. . Provide monthly progress reports to the City for an anticipated project length of 10 months. Task 4.2 Shoreline Monitoring and Adaptive Management Design Objective: The shoreline and bluff at the Port Angeles landfill situated near the western city limit is eroding as a result of wave and tidal processes in the Strait of Juan de Fuca. Erosion at the toe of the bluff by coastal processes is causing exposure of material from an abandoned landfill cell. The problem requires the study of relevant coastal processes to develop design parameters for a workable solution. Approximately 600 ft of shoreline require protection; also, properties updrift and downdrift of the project area may be sensitive to any changes in the local sediment transport regime associated with a shoreline protection project. Parametrix will evaluate coastal processes for the site and develop design parameters for a coastal engineering solution. In the second phase of work Parametrix will continue to provide coastal engineering support as required for agency and contractor coordination during project contracting and construction, project monitoring, and adaptive management. There is a need to evaluate coastal processes for the site and develop basic design parameters required for a coastal engineering solution including water levels and run-up elevations, wave heights, periods, directions, and longshore sediment transport conditions for the site. Parametrix will perform the following: . Project Coordination and Implementation Support -Provide support for project implementation and construction management efforts associated with the shoreline improvements and mitigation measures at the landfill as required. This includes attending meetings and participating in conference calls as required to present and discuss the results of technical work on coastal engineering and processes and to assist with resolution of outstanding issues. . Shoreline Monitoring Program -Provide assistance in managing, executing, and evaluating a shoreline monitoring program to evaluate project performance as part of adaptive management for the beach and berm nourishment components of the shoreline improvements. Monitoring will include management of a sub contract to a licensed land surveyor for beach profile monitoring. The City will acquire and up-to- date high resolution base imagery with a controlled aerial photo mission with a calibrated camera or equivalent satellite imagery. Parametrix will provide specifications for acquisition of this data. The imagery should extend along the City of Port Angeles Fmal Closure DeSign Landfill Engineermg and Environmental SerVices 2006 13 255-2191-807 December 2005 shoreline to the east and west of the project site. Subsequent accurate ortho- rectifying of the imagery and digitization of the shoreline position will be performed. Assessment and interpretation of ground-based photographs of the nourishment area will also be conducted. The work will include application of appropriate software (such as RMAP) for beach profile analysis, shoreline position analysis, and beach nourishment performance evaluation. Need for additional monitoring data and analysis will be assessed on the basis of beach profile information obtained in 2005/2006. . Shoreline Improvements -Toe Protection and Beach Nourishment Adaptive Management -Provide technical support in the form of data analysis, modeling and engineering to develop an appropriate adaptive management approach to nourishment of the beach and the retaining wall toe protection. Work in 2006 will include analysis of pre-project monitoring data to improve wave climate information and update estimates of alongshore and across shore transport of gravel, cobble, and sand and rates of coastal erosion at the landfill site. The estimates will be used to assess ongoing beach nourishment requirements and maintenance requirements and schedule. Assumptions: The following assumptions are made for developing the budget for this task: . The City will acquire and up-to-date high resolution base imagery with a controlled aerial photo mission with a calibrated camera or equivalent satellite imagery. The imagery should extend along the shoreline to the east and west of the project site. . Project meetings will include up to 4 project meetings in Port Angeles with the City of Port Angeles, contractors, federal and state agencies, project stakeholders and additional meetings and conference calls with Parametrix to discuss technical issues as required. . Monitoring will include management of a sub contract to a licensed land surveyor for beach profile monitoring (budgeted under Task 01). . Need for additional monitoring data including direct measurements of gravel and cobble transport will be assessed on the basis of beach profile information obtained in 2005-2006. . Comparison would be made to available historic wave measurements including the NDBC measurements near Port Angeles and wave measurement by Pacific International Engineering at the project site. . Simulations of nearshore waves would be applied to alongshore and cross-shore sediment transport calculations. . Appropriate cross-shore profile response model for gravel beaches and shoreline response models with wave climate and water level information to assess anticipated profile response and downdrift implications of the proposed project and to assess the potential longevity of beach nourishment. Deliverables: The following products will be generated from work performed under this task: . Task 4.3 Macro Algae Survey Objectives: Perform an intermediate level habitat survey to characterize the intertidal and subtidal habitats along the 700 ft shoreline adjacent to the project area. Actiyities: Parametrix will develop a Survey Plan following procedures outlined in the Washington Department of Fish and Wildlife (WDFW) guidelines for an intermediate level eelgrass/macro algae habitat survey. This document will be used to present the purpose and location of the survey work, the dive plans, and data collection objectives to the WDFW for approval. Parametrix biologists will walk intertidal areas and divers will scuba dive along transects through the subtidal portions of the project area (at approximately 100 ft intervals). Surveys will be conducted to identifY and map the occurrence of eelgrass and/or macro algae and fish habitat features along the shoreline adjacent to the Port Angeles Landfill. The obvious flora and fauna in the lower intertidal and shallow sub-tidal zones along the shoreline would be mapped to a maximum depth of -10 feet (MLL W). Observations on substrate type and other obvious features extent would be documented in the survey area. Divers experienced in conducting eelgrass surveys following the WDFW guidelines would conduct the survey. Intertidal portions of the survey will be performed from the shore and the divers would access the subtidal portions of the transects from a vessel. The divers would swim a transect pattern to establish types and densities of aquatic vegetation along the shoreline adjacent to the landfill. Transects will be spaced along the shoreline at approximately 100 foot intervals extending perpendicular to the shoreline and information will be recorded at a minimum of 20 ft intervals along each transect. Information will be recorded on underwater slates. Unique features, species, or habitats observed along the transects between the 20 ft intervals would be identified and described on the underwater slates. Data obtained will include: . Substrate characterization along each transect, . Macro algae percent cover per 0.25 m2 at the 2, 6, and 10 o'clock positions . Eelgrass shoot counts per 0.25 m2 at the 2, 6, and 10 o'clock positions . Kelp holdfast counts per 0.25 m2 at the 2, 6, and 10 o'clock positions . Presence of easily observed macroinvertebrate and vertebrate species . Time and depth. The City will provide the front end legal documentation and Division 1 special provisions in electronic format (MS Word). . Parametrix will provide all labor and equipment necessary to complete the dive surveys Deliverables: The following products will be generated from work performed under this task: . Parametrix will complete a survey report detailing survey results and habitat observations. The report will include copies of field data logs and tidal correction information. A draft report will be provided to the City for review and comment, and a final survey report will be prepared for submittal to WDFW. . Parametrix will prepare a Survey Plan that meets WDFW requirements for an intermediate eelgrass/macro algae habitat survey. The Survey Plan will include detailed survey objectives and a dive safety plan. TASK 5 NPDES PERMIT SUPPORT Parametrix Will provide on-call support to the wastewater utility as requested by the City. Task 5.1 On-call Support for Outfall Acquisition Objective: The purpose of this task is for Parametrix to continue our evaluation, begun in 2003, of sediment conditions in the outfall vicinity and prepare a recommendation to the City on the potential risks associated with sediment contamination, if any. Parametrix has previously reviewed relevant results from the 1997 EP A Expanded Site Investigation results and understand from Ecology that the RI will include the results of sediment and seafood sampling conducted in the outfall vicinity. Activities: Parametrix will review a copy of sections of the Remedial Investigation to determine the nature and extent of sediment quality compared to Sediment Management Standards and indications of contamination from seafood sample results. We will also contact the Ecology and discuss their interpretation of existing sediment quality information, any concerns for outfall permitting, and future outfall monitoring requirements. Assumptions: The schedule for this work is dependent on the availability of RI results for Parametrix to review. Parametrix does not assume any responsibility for the accuracy or completeness of the data that we review. Future monitoring of sediments in the outfall area could discover contaminants that were not found in past monitoring efforts. Deliverables: Parametrix will prepare a technical memorandum presenting our review of existing sediment quality data, documenting our discussions with Ecology, and providing our recommendations regarding the potential risks associated with sediment contamination, if any. The rates included do not provide in-court (litigation) expert testimony. Should this be required, it will be provided under separate scope. TASK 6 Objective: Activities: CONSTRUCTION SUPPORT SERVICES To provide assistance to the City during construction of the seawall project. Parametrix will provide onsite observation of construction activities during seawall construction and will document compliance with permit requirements (see Task 2) and design specifications. Parametrix staff will assist City staff in ensuring contractor compliance with scope of work and quality inspections. Assumptions: The Scope of Work and cost estimate is based on the following assumptions: . Attendance at one (1) pre-bid meeting, and one (1) pre-construction meeting. . Construction period for the shoreline is assumed to be 90 days. During this period, it is assumed that 5 man/days per week will be spent in providing construction assistance. Limited additional specific technical consulting is also provided (16 man days over 3 months). · Final construction inspection will be approved by City staff. Deliverables: Parametrix will prepare the following work products: . Trip reports for each week (9 reports). TASK 7 Goal: DIRECTED SERVICES This element of work provides for unforeseen engineering or other services that may be required during the contract duration. Oatlt Pl1ntltd 1 "'.Qooe 5. 7 lsJ/.p SETTLEMENT AND MUTUAL RELEASE OF CLAIMS AGREEMENT THIS AGREEMENT is entered into this ~ay May, 2008, between the City of Port Angeles, a Washington municipal corporation, hereafter the "City" on the one hand, and Parametrix, Inc., a Washington corporation, hereafter "Parametrix" on the other hand, sometimes collectively referred to as the "Parties". RECITALS A. On January 21, 2006 the Parties entered into a written Agreement for Professional Services Relating to 2005 Solid Waste, Landfill and Wastewater Engineering and Planning Services (the "Agreement"). B. Following execution of the Agreement, Parametrix provided professional services to the City related to the Port Angeles Landfill Slope Stabilization, Project 02-21 (the "Project"). The City awarded a contract for this project to Glacier Construction Services, Inc., who hired as its subcontractor TBH & Associates, LLC. C. During the course of the Project TBH submitted certain claims (the Claims) for additional compensation for extra work due to a number of different circumstances encountered during construction of the project. D. Under separate agreements the City has resolved its disputes arising from the Claims with Glacier Construction Services, Inc. and TBH & Associates, LLC. The City and Parametrix have also agreed to resolve the disputes between them relating to the Claims. AGREEMENT Negotiated fees WHEREFORE, for valuable consideration receipt of which is hereby acknowledged, the City on the one hand, and Parametrix on the other hand HEREBY AGREE AS FOLLOWS: 1. Recitals. The foregoing recitals are true and correct and are made part of this Agreement by this reference. 2. Fee Reduction from Parametrix to the City. As settlement for the Claims, Parametrix will give Twenty Thousand Dollars ($20,000.00) of credit on its Project invoices. This credit will be deducted from invoices for services during the months of January 2008, and February 2008 and March 2008 for services provided on the retaining wall revetment construction and construction completion of other landfill engineering services as described in. the Agreement. In exchange for such fee reduction, the City agrees to waive and release Parametrix from any and all claims and causes of action relating to or arising from the {R:\Clients\I7280\s583046.doc} 1 Agreement. Parametrix and the City have other ongoing work and projects, and this settlement agreement does not concern any work other than that relating to the Claims. 3. Mutual Release. Accordingly, for and in consideration of the fee reduction described in paragraph 2 and this agreement, each Party does hereby waive and release the other from, and does hereby acknowledge the full and complete settlement and satisfaction of, any and all claims, causes of action, damages, demands and rights of each Party and its agents and employees arising from or relating to the Claims. 4. Preservation of Contract Rights, Warranties and Obligations. Except as specifically released in this settlement agreement, the City reserves all of its rights under the Agreement signed on January 21, 2006 and subsequent extensions of scope and time, case law or statute, including without limitation the warranties covering the services of Parametrix and its subcontractors. 5. Limitation on Release. Notwithstanding the release provision of paragraph 3 herein, nothing contained in this settlement agreement shall serve to release any of the Parties from any obligations other than those obligations that are specifically released in this settlement agreement. 6. Entire Understanding, This settlement agreement sets forth the entire , understanding of the Parties and may be modified only by written instrument duly executed by each party. 7. Construction of Agreement. The language of this settlement agreement shall be construed according to the law of Washington, shall be interpreted as a whole and without implying a presumption that the terms of this agreement shall be more strictly construed against any party, it being acknowledged and agreed that everyone has participated in the making of this agreement. Venue for any action arising out of this agreement shall be in the Superior Court for Clallam County, Washington. 8. Non Disparagement. Each of the Parties agrees not to disparage, criticize or make any derogatory remarks about any of the others, their reputations, businesses or personal activities. 9. benefit of, aSSIgns. Binding Effect. This settlement agreement is binding upon, and shall inure to the the parties and their respective heirs, legatees, representatives, successors, and 10. Costs and Attorney's Fees. In any legal action, arbitration or other proceeding related to or arising out of this settlement agreement; the prevailing party shall be entitled to recover from the other party reasonable attorney's fees and costs incurred. The parties to this agreement represent and warranty that they have the right and exclusive authority to execute and enter into this agreement and receive the consideration therefore, and that no party has sold, assigned, transferred, conveyed or purported to sell, assign, transfer, conveyor otherwise dispose of, any claim or demand relating to any matter covered by this agreement.
