HomeMy WebLinkAbout001528 Amendment (2)00(5av Second Amendment To the Facility Use Agreement Between City of Port Angeles and Port Angeles Farmers' Market This amendment is made and entered into as of the date of the last signature affixed below by and between the City of Port Angeles ("City") and the Port Angeles Farmers' Market. ("PAFM") For and in consideration of the mutual benefits to be derived herefrom, the Parties recite, covenant, and agree as follows: 1. The Parties entered into a Facilities Use Agreement on January 1, 2019. This Agreement was subsequently amended on March 4, 2019. The Agreement and subsequent Amendment are incorporated by this reference and may hereafter be referred to as "the Agreement." 2. This Amendment to the Agreement is intended to amend Section 7 of the Agreement. Section 7 as amended will read in its entirety: Realizing the actual benefits that the PAFM provides the City and community year around, and in exchange for the continuation of the services described below, the City and PAFM agree that PAFM shall pay the City $2,500 for use of the Facilities from January 1 through December 31, 2019. Payment of this amount may be divided into multiple disbursements throughout 2019, but the total amount due shall be paid no later than December 31, 2019. Currently the PAFM performs over 100 hours of community service per year to help keep the Gateway Transit Center clean at no cost to the City. In addition to this cost saving service provided to the City, the PAFM donates funds and produce to FreshBucks, a program which aids low- income members of the community. Further, the PAFM manages the bistro tables and chairs located at the Gateway Center. 3. Rental fees for the 2019 Use Agreement are not affected by this Amendment and shall remain as agreed unless modified by a future amendment. 4. All other terms of the Agreement remain unchanged. 5. As amended, the Agreement is ratified and confirmed. 1 IN WITNESS WHEREOF, the parties have executed this Amendment to the Facility Use Agreement in duplicate.
