I. SCOPE OF SERVICES U.S.A. will provide consulting services to CLIENT for Leak Detection project. The scope of services to be provided is more fully described in this agreement, pages 2 through 4. II. COMPENSATION The charges to CLIENT for services provided by U.S.A. of best effort work completed under this agreement will be: Approximately 5 day(s) of surveying and pinpointing @$990.00 per day, plus a mobilization charge of $0.00. The total minimum charge for this project shall be, Four Thousand Nine Hundred Fifty and 00/100 dollars ($4,950.00). In the event that less time is needed to complete the proposed footage, (as per Ralph Ellsworth), U.S.A. will charge the minimum stated above. (This does not apply if U.S.A. is responsible for the reduction.) Progress payments will be made monthly based on work completed. Net 30 days. III. IDENTIFICATION OF CONSULTING AGREEMENT DOCUMENTS This agreement is comprised of pages 1 through 6 and attached hereto and incorporated herein by this reference. This is the entire agreement of U.S.A. and CLIENT and there are no agreements of conditions except as provided herein. SCOPE OF WORK PROCEDURES AND METHODS (Water Distribution Lines) Utility Services Associates (hereafter referred to as CONSULTANT) will survey for and pinpoint water leaks using highly sophisticated leak detection technology. We use a sonic leak detection sound amplification instrument in conjunction with a transducer capable of 3VG or greater (volts per "G") sensitivity minimum output for survey. We use various types of equipment including ground microphones, computer based correlators, etc. for leak pinpointing. Our equipment is operated by trained experienced professionals. A detailed report of leak locations, estimated GPM loss, and area covered is supplied daily. A final report is provided on a monthly basis or at the completion of the project. The report includes: a summary of the project, survey review, area survey sheets with observations noted, sheets with data on each individual leak with a drawing of its location, and a conclusion. II. SPECIFICS A. The first step in our survey is to review the distribution maps of our clients system for familiarization of the pipe network and available appurtenances (valves, services, hydrants, etc.) to be used as contact points. B. CONSULTANT then conducts a comprehensive survey by making physical contact with all available main line appurtenances (valves, hydrants, etc.) and selected customer services. CONSULTANT uses a sonic leak detection sound amplification instrument designed for this purpose with a transducer rated at a minimum of 3VG or greater (volts per "G"). (When surveying PVC pipe lines, CONSULTANT will make contact with all service shut ofts.) C. Contact is then made with pipe appurtenances at intervals of no greater than 350 feet where contact points are available and accessible, or at pre-determined distances as noted in Paragraph B (whichever distance is less). This allows for even more quiet leaks to be located. D. A detailed report of decibel levels at suspected leak sound locations and observations are compiled during the survey for reinvestigation and possible pinpointing at a later time. This reinvestigation is to increase the speed of the survey and it will eliminatEI correlating on most false leak sounds (i.e. Service Draw.) E. All indications of leaks found during survey will be verified a second time, after which the leak noise shall be pinpointed with a computer based leak sound 2 correlator where applicable. Pinpointing leak locations through interpretation of sound intensity, either by ear, decibel metering, or other like methods, is not used when contact points am available for use with correlator. . F. The equipment utilized does not normally require valves to be operated during surveying and pinpointing. However, on occasion, services or valves may need to be operated to eliminate service draw noises or to change velocity noise. G. The correlator equipment used will have the capability to prompt the operator to input the variables when different pipe sizes and/or pipe materials are encountered in the same span to be investigated. This is necessary to insure accuracy of results based on the automatic computation of the correct leak sound velocity in leak pinpointing operations. Our correlates have the capability of correlating up to four various pipe sizes and types at one time in a given span. To insure effective performance in all field environments encountered in your distribution system (Le. traffic noise, draw, pump operation, industrial noise, etc.) the correlator equipment provides 12 multi-range High and Low Pass filters. Digitally controlled variable band pass filters between 72Hz and 7.1 kHz, providing up to 53 selectable filter ranges, full operating frequency range (all pass): 10Hz-20kHz. H. CONSULTANT will furnish to the CLIENT daily leak reports and shall also furnish a final report within seven (7) days from the end of the project. This report includes: 1} Executive Summary showing individually recorded time for, correlating, surveying, and other time spent on the project. This summary also includes, footage covered, approximate GPD loss, types of leaks found, quantity of leaks found, and remarks recommending improvement that may be made to your distribution system. 2) Survey Review explaining the Procedures and Methods used during this study. 3) Area Survey Reports indicating pipe line areas covered, amount and type of contact points used, leak sound locations with decibel levels, approximated time spent, and observations of water system irregularities. A separate survey sheet is used for areas covered with only a ground listening device or probe rod, indicating ground cover. 4) Leak Reports with detailed drawings showing each leak location that was pinpointed, and an estimate of the GPM loss and computer justification when appl.icable. (This same leak report shall be supplied daily to the CLIENT when leaks are found) I. Whenever the CLIENT repairs any leak detected by CONSULTANT prior to completion of the field work, CONSULTANT shall resurvey that section of the 3 ,. system, to ensure that no very quiet leaks were missed due to over powering noisy leak sound. J. CONSULTANT will furnish a trained field technician, leak detection instruments, and equipment and tools to complete the survey and leak pinpointing. K. CONSULTANT will perform their best effort to pinpoint all existing leaks. L. To provide an accurate, comprehensive leak survey, a relatively large contiguous area must be covered. Spot checking to locate a leak is not considered to be an effective survey and requires special pricing. III. SERVICES TO BE PROVIDED BY THE UTILITY A. CLIENT will furnish, at no cost to CONSULTANT, a complete set of maps and line data on the water distribution system to be surveyed, showing line size, type, and location of mains, valves and fire hydrants. B. CLIENT will make the water systems valves, valve boxes, customer service stops, and boxes accessible by hand, operating key or probe and, if necessary, assist in field locating of all pipelines within the designated service area. C. CLIENT shall provide a helper to locate and operate valves, services, hydrants, etc. when necessary, and generally provide information to assist technician when needed. D. CLIENT shall proved a helper and necessary equipment (flags, traffic cones, etc.) as required to meet local, state, and federal regulations in controlling vehicular traffic for man and equipment safety. E. CLIENT may be requested to provide additional access points on the water system as may be required on an occasional basis by CONSULTANT in order to effectively complete the survey when normal contact points are not available within a reasonable distance for correlation. IV. RELATIONSHIP OF CONTRACTING PARTIES The parties intend that CONSULTANT, in performing services herein specified, shall act as an independent consultant and shall have control of his/her work and the manner in which it is performed. CONSUL T ANT shall be free to contract for similar services to be performed for others while CONSULTANT is under contract with CLIENT. CONSULTANT is not to be considered an agent or employee of CLIENT, and is not entitled to participate in any pension plans, worker's compensation insurance, or similar benefits that CLIENT provides for its employees. 4 " ' V. MODIFICATION OF AGREEMENT This agreement can only bel modified in writing. VI. PROJECT DATA AND DOCUMENTS CONSULTANT can rely upon the accuracy of all data furnished by CLIENT to CONSULTANT that is used by CONSULTANT in the provision of services under this agreement. CONSULTANT has the right to retain and use all data furnished to it, and all plans, designs, specifications and other work product created by CONSULTANT during it's provision of service under this agreement. VII. LIMITATiON OF LIABILITY To the maximum extent permitted by law, the liability of CONSULTANT for claims arising hereunder or for services performed under this agreement shall be limited in the following manner: The liability of CONSULTANT shall be limited to the amount of the applicable limits of liability insurance then in force. CONSULTANT shall not be held liable for indirect consequential damages. VII. MUTUAL INDEMNIFICATION CONSULTANT and CLIENT each agree to indemnify and hold each other harmless against all damage claims made by third parties (including claims made by employees of CLIENT) that arise as a result of their own sole negligence, and against all losses, damages, costs, expenses and attorney's fees associated therewith. IX. TERMINATION OF AGREEMENT Either CONSULTANT or CLIENT may terminate this agreement upon thirty (3D) days written notice to the other sent to the addresses listed on page one of this agreement. In the event CLIENT terminates this agreement, CLIENT specifically agrees to pay CONSULTANT for all services rendered through he termination date. X. RESOLUTION OF DISPUTES All disputes between CONSULTANT and CLIENT of any kind or nature will be subject to arbitration. The law where CLIENT resides shall govern the interpretation of disputes under this agreement. XI. ATTORNEY'S FEES In the event of arbitration as provided in Paragraph X above, the prevailing party, as determined by the arbitrator{s), will be awarded it's attorney's fees and costs. 5 XII. TERMS OF SALE The terms of sale between CLIENT and CONSULTANT shall be net 30 days unless otherwise agreed to in writing between parties. XIII. SERVICE CHARGE In the event any particular billing is not paid when due, all sales, regardless of prior terms, will become immediately due and owing upon demand by CONSULTANT. A service charge will be assessed on past due or delinquent accounts at the rate of 1 1/2% per month. XIV. COLLECTION In the event that it is necessary to refer the account for collection, CLIENT agrees to pay all collection fees or costs, attorney's fees and court costs CONSULTANT incurs. Venue of any suit may be laid in King County, Washington. 6
