HomeMy WebLinkAbout5.482 Original Contract 5.'i~ .~ PROFESSIONAL SERVICES AGREEMENT WITH RJS & ASSOCIATES THIS AGREEMENT is entered into by and between the City of Port Angeles, a municipal corporation of the State of Washington (hereinafter "the City"), and Richard J. Sokolowski, dba RJS & Associates, 522 Runquist Court, Steilacoom, W A 98388, a consultant providing labor relations services (hereinafter "the Consultant"). WHEREAS, the City is preparing to negotiate labor contracts with unions representing City employees; WHEREAS, the City is desirous of obtaining the services of a labor consultant to assist in said negotiations; and WHEREAS, the Consultant has the knowledge and experience to assist in said negotiations; NOW, THEREFORE, the City and the Consultant hereby agree to the following 1. Scope of Work. Consultant will assist the City on all negotiations, mediations and binding interest arbitrations, as required, in establishing new labor contracts. The City's Human Resources Director shall act as chief negotiator. A Consultant will review and suggest appropriate revisions to the current collective bargaining agreement B. Consultant will meet with and advise the City Manager and City Council, as required, regarding labor policy and the status of negotiations. C Consultant will work with City staff, as required, for these negotiations 2. Independent Contractor. The relation created by this agreement is that of independent contracting entities. The Consultant is not an employee of the City and is not entitled to the benefits provided by the City to its employees. The Consultant, as an independent contractor, has the authority to control and direct the performance of the details of the services to be provided The Consultant shall assume full responsibility for payment of all Federal, State, and local taxes or contributions imposed or required, including, but not limited to, unemployment insurance, Social Security, and income tax 3. Compensation. The Consultant shall be compensated for such professional services at the rate of seventy-five ($75.00) dollars per hour The Consultant will be reimbursed for direct expenses incurred in the performance of this agreement, including travel expenses at the rate of twenty ($20.00) dollars per hour for travel time, thirty-one cents ($.31) per mile, long distance telephone charges, and lodging if necessary. In the event the negotiations process results in mediation or arbitration, the professional services hourly rate will increase to $90 per hour for these - 1 - impasse proceedings. The City agrees to pay the Consultant upon appropriate billings. Unless otherwise agreed to in writing by both parties, the Consultant's total compensation and reimbursement under this agreement shall not exceed $7,500. The parties to this agreement recognize that prolonged negotiations, or negotiations which may include third party resolution processes, may require an adjustment to the budget for the scope of work 4. Duration of Contract. This agreement shall remain in effect through June 30, 1999 5. Liability Each party shall be responsible for any damages, losses, costs and penalties arising out of, in connection with, or incidental to the work of the agreement and caused by the negligence of such party. 6 Termination. This agreement may be terminated by either party upon at least ten days' written notice, without any liability therefor, save and except that each party shall be required to make the payments for work actually accomplished prior to the effective date of said termination, it being the intent of the parties hereto that each party shall receive any and all consideration due under the terms and provisions hereof up to the date of the actual cessation of said agreement DATED this 16- '4.ay of /fJtP(Jf#'Jh~~ ,1998.
