CITY ATTORNEY (509) 865-6319 FAX (509) 865-7588 RESOLUTION 34 -98 RESOLUTION AUTHORIZING AND DIRECTING EXECUTION OF INTERLOCAL JOINT PURCHASING AGREEMENT WITH THE CITY OF PORT ANGELES WHEREAS, it is in the best interests of the City to establish a procedure for making joint purchases of equipment in order to acquire them on more favorable terms and conditions, and WHEREAS, the Public Works Department has a need for a garbage truck, and the City of Port Angeles will be advertising for bids for such trucks, similar to what the City of Toppenish will purchase in 1999. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF TOPPENISH, WASHINGTON AS FOLLOWS: Section 1. . PURPOSE The parties desire to establish a procedure for making joint purchases so that each party may acquire goods and services upon more favorable terms and conditions. This Interlocal Agreement will provide the framework and authority by which particular joint purchases may hereafter be made. THE PARTIES AGREE AS FOLLOWS: 1. The City of Port Angeles, in contracting for the purchase of goods and services for itself, agrees to allow and hereby authorizes the City of Toppenish to place orders for such goods and services under the same contract, to the extent permitted by law and to the extent agreed upon between the parties and vendors. Likewise, the City of Toppenish, in contracting for the purchase of goods and services for itself, agrees to allow and hereby authorizes the City of Port Angeles to place orders for such goods and services under the same contract, to the extent permitted by law and to the extent agreed upon between the parties and vendors. Any contract for the purchase of goods and services made by the City of Port Angeles prior to the execution of this agreement may be extended to include the City of Toppenish with the concurrence of the vendor. Any contract for the purchase of goods and services made by the City of Toppenish prior to the execution of this agreement may be extended to include the City of Port Angeles with the concurrence of the vendor. 2. Neither party shall be responsible to the other for the performance or nonperformance of contracts by vendors. 3. It shall be the obligation of the party seeking to place additional orders under the original purchase contract to be certain that legal requirements applicable to the jurisdiction have been met. 4. Each party shall have the right to contract independently for the purchase of any goods or services. Each party shall also have the right to exclude the other party from particular purchases, for any reason, with or without notice to the other party. PROVIDED, that nothing in the two preceding sentences shall impair existing or pending joint purchases of the parties. 5. This Agreement shall take effect immediately and shall continue in effect until terminated. It may be terminated by either party by giving ten (10) days written notice to the other. PROVIDED, that termination shall not affect or impair joint purchases of the parties that are agreed to on or before the date of termination. This agreement has been approved by Resolution No. 34-98 for the City of Toppenish and by Council motion dated 8/10/98 for the City of Port Angeles, and shall be filed with the county auditors of the respective counties.
