INTERLOCAL COOPERATIVE AGREEMENT By and Between Port of Port Angeles City of Port Angeles and the Clallam County Economic Development Council This Interlocal Cooperative Agreement is made and entered into on this _ day of April, 1995, by and between the Port of Port Angeles (hereinafter referred to as IIportll); City of Port Angeles (hereinafter referred to as "Cityll); and the Clallam County Economic Development Council (hereinafter referred to as liE DCII) . Whereas, the Port, City and EDC are all entities which are interested in promoting the economic well being of Clallam County; and Whereas, the community has been heavily impacted by limitations on timber harvesting, as well as recent closures of the fishing seasons; and Whereas, diversification of the local economy is essential, which will create more job opportunities in areas other than timber and fishing industries; and Whereas, the Port, in cooperation with the City and the EDC has been awarded a grant by the Washington State Community Economic Revitalization Board to conduct a economic feasibility study that will identify those industries that are most suited for the Port Angeles area, determine the best method of proceeding with development of the prime potential industrial area at the Port Angeles airport, develop a plan for the provision of roads and utilities to the area, estimate the costs of providing services and examine other methods of encouraging industrial development; NOW, THEREFORE, in consideration of the mutual covenants and agreements herein, it is agreed by the parties as follows: 1. A consultant firm will be employed by the parties to this agreement to prepare a economic feasibility study. 2. For services performed by the consultant firm, the parties shall contribute in cash payment the following amounts: Port of Port Angeles Clallam County Economic Dev. Council Total $6,250 6,250 $12,500 .' , . ~... 3. Additional contributions by the parties shall consist of in-kind services in the following amounts: Port of Port Angeles City of Port Angeles Clallam County EDC Total $4,000 7,000 4.000 $15,000 4. Payment by parties shall be made upon receipt of billing statements from the Port of Port Angeles, which shall be responsible for the accounting and disbursement of funds for services rendered under this agreement. 5. Each party to this agreement is entitled to designate a representative who shall be responsible for overseeing the administration of this agreement, including serving on a committee to select the consultant who will be hired to perform the study. 6. Each party to this agreement shall receive a copy of the final plan or study document developed by the consultant. 7. This agreement shall be for a term of six months, commencing on May 1, 1995 and terminating on Oct. 31, 1995. 8. This agreement may not be assigned by any party to this agreement nor may be terminated, except in the case of a material breach of any of the terms of this agreement by any party to this agreement and provided a thirty (30) day notice of such breach is submitted to all parties. Box 1150 Port Angeles, WA 98362 Re: Interlocal Agreement, Industrial Development Plan Dear Jeff: I have previously discussed with you the need for an interlocal agreement between the Port, the City of Port Angeles and the EDC, in order to carry out the cooperative economic development study for lands around the William R. Fairchild International Airport. Originally, I anticipated the City would be the first to sign. However, because you were in Japan during the City Council meeting of May 16, you requested that Council action on the agreement be postponed until June 6th. I therefore picked up the agreement forms from the City and forwarded them to the EDC approval at their May 18th meeting. The EDC's president has signed. Please have the mayor sign all three forms, and then return all copies to me for Port Commission action at their next regular meeting, which will be on the 12th of June. When all three agencies have signed, I will return a fully executed form to you for your records. Please call me if you have any questions.
