HomeMy WebLinkAbout4.534 Original Contract <I. 5:3 <I Personal Service Contract THIS CONTRACT, made this 3Mday of \.1:-lJlh..Ai..u.a..c..I ~009, by and between the City of Port Angeles, Washington, hereinafter called "City" and R~ A. Sorensen, 321 S. Ennis Street, Port Angeles, Washington 98362, hereinafter called the "Contractor". IN CONSIDERATION ofthe payments, covenants, and agreements hereinafter mentioned, to be made and performed by the parties hereto, the parties agree as follows: 1. General Requirements: The Contractor shall develop and implement fundraising and publicity efforts toward realizing the Port Angeles Fine Art Center (P AF AC) full institutional potential. The scope of duties includes visioning, research, networking and solicitation, grant writing, record keeping and office support. The Contractor represents he possesses strong experience in the non-profit sector with an established knowledge of fundraising resources and methods. The Contractor shall employ excellent organizational skills in carrying out marketing and development campaigns and in supporting the P AF AC' s administrative operations. Excellent verbal skills both oral and written, developed computer skills with spreadsheets, word processing, fiscal and page-Iayqut programs, ability to research independently, and ability to work professionally with a wide variety of people in furthering P AF AC's public image and support network are essential qualities. A positive cash flow resulting from fundraising success is essential to the continuance of the position. A familiarity with and passion for contemporary visual arts is highly desirable. Must be able to work flexible hours at times. 2. Specific Scope of Services: The scope of services includes, but are not limited to, the following: · Researching grant opportunities. · Developing and writing grant proposals and funding requests. · Monitoring grants and preparing reports to the granting entity. · Developing contracts with the business and corporate community to promote the P AF AC and solicit support.. · Developing membership campaigns. · Expanding and improving current fundraising events and instruments. · Developing and implementing new fundraising events and instruments. · Developing and implementing a capital campaign. - 1 - · Maintain mailing lists and other audience databases. · Developing audience questionnaires and tracking audience demographics and targets. · Creating press releases and marketing tools in conjunction with the Executive Director ofPAFAC. · Seeking and developing press and media contracts. · Planning and implementing paid advertisement budget and schedule. · Providing reports to and working with the PAFAC's governing boards. · Executing other activities assigned by the Executive Director and deemed relative to achieving the objectives of the Business Plan for the P AF AC. 3. PAFAC Provisions: P AF AC agrees to provide to the Contractor upon request all historical data and records relative to fundraising activities, including budget reports and historical performance records relative to these various functions, as well as all relevant existing financial data deemed relevant for strategic planning related to fundraising. Public release of any information by Contractor shall require prior approval by the Executive Director of the Fine Arts Center. 4. Time of Performance: The contract period shall be from January 1,2009 through December 31,2009. Contract may be mutually extended for one (1) additional one-year period. Terms of each additional one-year extension is to be re-negotiated prior to acceptance. 5. Contract Amount: The Contractor agrees to fully and timely perform all services and expenses under this agreement for total compensation, not to exceed the following sums annually: Calendar year 2009 - Twenty-six thousand four hundred dollars ($26,400.00) 6. Invoice for Services: Contractor shall provide the City monthly invoices detailing activities accomplished and expenses incurred during the billing period. Payment to Contractor shall be based on the following monthly rate: Calendar year 2009 - Two thousand two hundred dollars ($2,200.00) - 2 - 7. Independent Contractor Status: The relationship created by this Contract is that of employer/independent contractor. The Contractor is not an employee of the City and is not entitled to the benefits provided by the City to its employees. The Contractor is an independent contractor and has the authority to control and direct the performance of the details of the services to be provided. The Contractor shall assume full responsibility for the payment of all federal, state and local taxes contributions imposed or required, including, but not limited to, unemployment insurance, social security, industrial insurance, and income tax. 8. Applicable Law and Venue: This contract shall be governed by, and construed in accordance with, the laws ofthe State of Washington. Should suit be filed regarding any provision of this Contract, venue shall be exclusively in Clallam County, Washington. 9. Amendment: No amendment to this contract shall be binding or enforceable unless it is made in writing and executed by a duly authorized representative of each party. 10. Non-Discrimination: The parties shall conduct their business in a manner which assures fair, equal and non-discriminatory treatment of all persons, without respect to race, creed, color, sex, Vietnam-era veteran status, disabled veteran condition, physical or mental handicap, or national origin, and in particular: a. The parties will maintain open hiring and employment practices and will welcome applications for employment in all positions from qualified individuals who are members of the above-stated minorities. b. The parties will comply strictly with all requirements of applicable federal, state or local laws or regulations issued pursuant thereto, relating to the establishment of non-discriminatory requirements in hiring and employment practices and assuring the service of all patrons and customers with discrimination with respect to the above-stated minority status. 11. Insurance: The Contractor shall obtain and maintain insurance in the following amounts during the entire performance of its duties pursuant to this agreement: - 3 - .: In any case where the Contractor is to use or may use his or her personal vehicle in the transportation of persons or property of the CITY or used in any manner in performing the services covered by the agreement, the Contractor must have comprehensive auto liability insurance on all vehicles whether owned, non-owned or hired; limits for bodily injury or death or not less than $1,000,000 for each person and $3,000.000 for each occurrence; property damage limits of $50,000 for each occurrence. 12. Termination: Either party may terminate this contract at will upon thirty (30) days written notice to the other party. 13. Entire Contract: The parties agree that this contract is a complete expression of the terms hereto and any oral representation or understanding incorporated herein is excluded. 14. Contract Administration: The' Contract will be administered by the Deputy Director of Administration on behalf of the City and Robert A. Sorensen on behalf of Contractor. Attachment "A" Brief De8cription of a Suggested :Program of Development/Marketing for the Fine Arts Center A program of marketing and development for the Port Angeles Fin~ Arts Center must be multi-faceted with its direction and target markets coming from the Boards of Directors, Vision and Mission Statements. Facets 1. Grant Funding: Vision and Mission Statements and Board Approved Policy will guide research to appropriate grant funding options to meet the needs of the community of P AF AC. 2. Public Image: A. Visibility of the Center to be increased. A few possibilities are with the Ferry, Concerts on the Pier and local festivals, and local touring companies. B. Increased accessibility, especially for the open hours of operation. 3. Networking: A. Regular attenqauce at Chamber of Commerce meetings. Port Angeles is fortunate to have a working and effective Chamber of Commerce. Regular attendance and support of activities makes us a greater community player. B. Opportunities exist with non-profit agencies that support art such as "Art on the Town," other opportunities with groups such as the Soroptimists, PABA and the Rotarians. C. Schools: There currently exists a highly successful program for yoUnger chil<ken. The-.re is an opportunity to grow this to include our artists at the middle and high school and college levels. D. Artist Workshops: Inviting artists to hold workshops in the breathtaking beauty of Fort Angeles and surrounding area E. PeI;rinsula College and the Port Angeles School District present opportunities to share programs and grant funding. 4. Increase Membership: Many opportunities exist to increase memberships for the Center: A. Direct Mailer to target market with a 3-dimensional mailer to . increase result with wording to create action. B. Product Placement and incentives to increase membership and increase our visibility. Payment to Contractor shall be based on the following monthly rate: Calendar year 2008 - Three thousand four hundred fifty dollars ($3,450.00) - 2 - 7. Time of Performance: The contract period shall be from September 15,2006 through December 31, 2007. Contract may be mutually extended for two (2) additional one-year periods. Terms of each additional one-year extensions to be re-negotiated prior to acceptance. 5. Contract Amount: The Director agrees to fully and timely perform all services and expenses under this agreement for total compensation, not to exceed the sum of Forty thousand ($40,000.00) dollars annually; except for the remainder of 2006, the amount shall not exceed the total sum of Eleven Thousand, Seven Hundred ($11,700.00) dollars. Director to develop a budget for 2006 and 2007. 6. Invoice for Services: Director shall provide the P AF AC monthly invoices detailing activities and expenses accomplished during the billing period. Payment to Director shall be based on a monthly rate of three thousand three hundred and thirty-three ($3,333.00) dollars; except for the month of September 2006, which shall be pro- rated at a sum of sixteen hundred sixty-seven ($1,667.00) dollars. 7. Independent Contractor Status: The relationship created by this contract is that of employer/independent contractor. The Director is not an employee of the City and is not entitled to the benefits provided by the City to its employees. Opportunities exist with non-profit agencies that support art such as "Art on the Town," other opportunities with groups such as the Soroptimists, PABA and the Rotarians. C. Schools: There currently exists a highly successful program for younger children. There is an opportunity to grow this to include our artists at the middle and high school and college levels. D. Artist Workshops: Inviting artists to hold workshops in the breathtaking beauty of Port Angeles and surrounding area. E. Peninsula College and the Port Angeles School District present opportunities to share programs and grant funding. 4. Increase Membership: Many opportunities exist to increase memberships for the Center: A. Direct Mailer to target market with a 3-dimensional mailer to increase result with wording to create action. B. Product Placement and incentives to increase membership and increase our visibility. Tourism: Developing Power Partners such as the Victoria Express, All Points Charters and Tours, Lavender Festival, and Jazz Festival that could make the Center a regular stop for all tourists. 6. Media: Take advantage of local paper and radio spots with consistent visibility in free spaces such as "Things to Do," PSA's, and local radio news and events. Special sections and additions such as the Visitors Guide should be seriously considered. 7. Advertising: All forms of advertising should be considered, as the budget will allow. However, all advertising should be evaluated consistently on effectiveness of past efforts, experience and current feedback.
