HomeMy WebLinkAbout5.292 Original Contract ~ 5d9~ INTERGOVERNMENTAL COOPERATIVE AGREEMENT THIS AGREEMENT is entered into this 2nd J u n e , 19 92, between CLALLAM COUNTY, division of the State of Washington, and the CITY day of a political sub- OF PORT ANr,FI FS , a political public agency of the SUbdivision, municipal corporation or other State of Washington. NOW, THEREFORE, in mutual consideration of the promises contained herein, the parties agree as follows: 1. The party contracting, bidding, or negotiating for the purchase of goods and services for itself (hereinafter "Contract- ing Party") agrees to extend said contracts, bids, and negotia- tions to the other party (hereinafter "User Party") to the extent permitted by law and agreed upon by the vendor. 2. The User Party accepts responsibility for compliance with any additional or varying laws and regulations governing pur- chases by or on behalf of the User Party. A purchase by the User Party shall be effected by a purchase order from the User Party directed to the vendor. Alternatively, a User Party may request by letter that the Contracting Party contract, bid, or negotiate on behalf of the User Party if said purchase has not yet been completed. 3. The Contracting Party accepts no responsibility for the performance of any purchasing contract by the vendor, and the Contracting Party further accepts no responsibility for payment of the purchase price by the User Party other than to receive payment from the User Party and remit the same to the vendor. 4. The Contracting Party reserves the right to contract independently for the purchase of any goods or services, with or without notice to the User Party. 5. Each party shall defend, indemnify, and hold the other harmless against all costs, expenses, loss or damage, including a reasonable attorney fee, which result from the purchase of goods or services for its use. 6. This Agreement shall commence and be effective on , June 2 , 19 92 , and shall terminate on December 31, 1992. This Agreement shall automatically be renewed on a calendar basis unless written notice of termination is given by either party to the other by the preceding November 1st of any such year. Failure of either party to notify the other of such 1 . ''- ~ " termination on or before November 1st of any year shall cause this Agreement to automatically be renewed for the next ensuing calen- dar year. This Agreement may be terminated by either party by providing at least thirty (30) days' prior written notice to the other party. This agreement was initiated by your Director of Public Works, Gene Unger. The agreement has been dated retroactive to January 1, 1992. POBOX 1150 PORT ANGELES, WASHINGTON 98362 PHONE (206) 457-0411 May 29, 1992 TO: CITY MANAGER, MAYOR HALLETT AND L SUBJECT: JACK PITTIS, DIRECTOR OF PUBLIC WORKS INTERGOVERNMENTAL COOPERATIVE AGREEME FROM: ISSUE: Should the City Council enter into an Intergovernmental cooperative Agreement with Clallam county for contracting, bidding, or purchase of goods and services? BACKGROUND: Over the last few years we have discussed the concept of cooperative interagency purchasing with other governmental units in our area. To this end the Council has adopted objectives lito promote interagencyjintraagency cooperation on purchases" and "to explore additional joint activities with the County, School District, Port of Port Angeles, and PUD." The attached agreement which I have received from County Public Works Director Unger would allow the City and the County to utilize each others purchasing and contracting bids, such as equipment and supplies, but does not restrict either party from doing so separately. RECOMMENDATION: I recommend that the City Council authorize the Mayor to execute the Intergovernmental cooperative Agreement with Clallam County. JNP: jnp jack\council\agmt-cc.602
