HomeMy WebLinkAbout4.631 Original ContractPROFESSIONAL SERVICES CONTRACT This contract is entered into between the City of Port Angeles, an optional municipal code city of the State of Washington (hereinafter referred to as "City "), and STEVE BROWN (hereinafter referred to as "Contractor "). In consideration of the covenants and promises set forth herein, the parties hereto agree as follows: 1. Scope of Services. Contractor agrees to provide City with a written report containing the following: A. An analysis of the City's current court contract with Clallam County District Court. B. An analysis of the feasibility of the City starting its own court. This is to include a list of identifiable tasks or actions the City would have to take to establish its own court. C. An analysis regarding the feasibility of the City and the City of Sequim cooperatively establishing a municipal court, including a list of identifiable tasks or actions that would have to be taken. 2. Citv agrees to sunnly Contractor with the following: A. Workstation at City Hall. B. Computer with Internet capability and word processing software C. Printer capability. D. Access to pertinent City data and City personnel. 3. Term. This contract shall commence one., / . 204 and shall continue until termination, as provided herein. Contractor shall provide his final report on or before aJt) /5 20I0- 4. Termination. Either party may terminate this contract at will upon ten (10) days written notice to the other party. 5. Compensation. Contractor's compensation for the services performed herein shall be Seventy -Five Dollars ($75.00) per hour not to exceed a total amount of $2,500.00. Contractor shall provide a detailed statement to the City showing the work done and the number of hours each day 1 '43/ .#` 6. Relationship of Parties. The parties understand and agree that Contractor shall act as an independent contractor and not as an employee of the City. Contractor shall assume full responsibility of all federal, state, and local taxes and contributions imposed or required, including, but not limited to, unemployment insurance, Social Security, and income tax withholding and shall not be entitled to the benefits provided by the City to its employees. 7. Assianment. The Contractor shall not assign any of the work covered by this contract without the express written consent of the City. 8. Work Product. All work products belong to the City. 9. Applicable Law. This contract shall be governed by, and construed in accordance with, the laws of the State of Washington. 10. Modification. This contract may be modified, or its term extended, by written modification agreed upon by the parties hereto.
