THIS AGREEMENT is made this q day of .Z1.4 or 1993, by and between the City of Port Angeles, a Municipal Corporation of the State of Washington (hereinafter "City and Daishowa America Co., LTD. (hereinafter "Daishowa IN CONSIDERATION OF THE MUTUAL COVENANTS, AGREEMENTS, TERMS, AND CONDITIONS OF THIS AGREEMENT, THE PARTIES AGREE as follows: I. PURPOSE. The purpose of this agreement is to define the terms under which Daishowa may receive funds from the City for energy savings projects or rebates for energy saving equipment which is provided for by the Bonneville Power Administration Energy Savings Plan (hereinafter "ESP It is understood that any energy saving devices that may be installed or purchased are the sole choice of Daishowa and that the payments are meant to be an incentive for Daishowa to purchase highly energy efficient equipment. II. PROTECTION OF PROPRIETARY AND CONFIDENTIAL INFORMATION. It is understood that funds for any project payments or rebates are provided by the Bonneville Power Administration through a contract with the City and as such the BPA may exercise its right to make public any information contained in the project proposal or rebate, except Proprietary information which has been designated as follows: The title nape shall have the following legend: "This document includes information that shall not be disclosed outside Bonneville and shall not be duplicated, used or disclosed in whole or in part for any purpose other than to administer this Agreement. This restriction does not limit Bonneville's right to use information contained in this document if it is obtained from another source without restriction. The information subject to this restriction is contained in sheets (insert numbers or other identification of sheets.) Each sheet that contains restricted information shall be marked with the following leeend: "Use or disclosure of information contained on this sheet is subject to the restriction on the title page of this document." Note: Industry name and total estimated and /or actual Energy Savings; Acquisition, Energy Review, and Rebate Payment; and total actual cost of each activity cannot be designated as proprietary information. III. ENVIRONMENTAL. HEALTH. AND SAFETY. Bonneville reserves the right to contact appropriate Federal, State or Local jurisdictions regarding environmental, health, and safety matters related to each project or rebate. IV. INSPECTION OBLIGATIONS. Daishowa agrees to make available for inspection any equipment that it has received funds for under the ESP program. These site visits shall be scheduled in advance so as to disturb the operations of Daishowa as little as possible. In providing funds for any energy saving equipment or rebates through the ESP, Bonneville reserves the right to evaluate any energy saving programs to determine their effectiveness. V. SUBMITTING DOCUMENTATION. Proiects: Since each energy savings project is unique, required documentation will be specified by City Light as soon as possible for the project. This documentation will need to be completed in full before any payments are made to Daishowa by the City. Rebates: The following information is necessary for the City to process payments on energy saving devices that are subject to rebates under BPA's energy savings plan. Motor 2 rebates- HP, RPM, Efficiency, Manufacturer, Model No., Serial No., Estimated annual hours of operation, and purchase price. Purchase price can include sales tax and freight. A copy of the sales receipt is required for proof of purchase and sales taxes and freight. VI. PAYMENTS. Payments will be made by the City to Daishowa within 30 days of receipt of all required documentation. Payments during any year will be subject to funds made available to the City by the Bonneville Power Administration. The City shall not be held liable for Daishowa's failure to qualify for payment as determined by Bonneville.
