Definitions For the purpose of this inter -local agreement and all other agreements, contracts and documents executed, adopted or approved pursuant to this agreement, the following terms shall have meaning prescribed to them with this section unless the context of their use dictates otherwise: (1) Member agency shall mean any local government which is a party or becomes a party to this inter -local agreement and is a County or City; (2) State shall mean the State of Washington; (3) Region shall mean the territory physically lying within the boundaries of Clallam, Jefferson, Kitsap and Mason counties; (4) Population shall mean the population of any general purpose local government that is a member agency last determined for each such member by the State Office of Financial Management; Regional population shall be determined by adding together the population of the member agencies; (6) Council shall mean the body of local elected officials who have been appointed to represent member agencies to carry out all delegated powers and managerial and administrative responsibilities of the Peninsula Regional Transportation Planning Organization; (7) Department shall mean the Washington State Department of Transportation; (8) District office shall mean the District 3 Office of the Washington State Department of Transportation; Transportation Policy Board shall mean a board appointed by the Council which shall will participate in policy making of the Organization. agreed: Recital WHEREAS, the undersigned member agencies recognize the need and desirability to participate in a forum for cooperative decision making by elected officials of said agencies in order to bring about a continuous and comprehensive regional transportation planning process; and WHEREAS, the undersigned member agencies are required to adopt transportation plans consistent with comprehensive land use plans pursuant to the Growth Management Act of 1990; and WHEREAS, the Growth Management Act of 1990 authorizes establishment of Regional Transportation Planning Organizations through the voluntary association of local governments within a county, or geographically contiguous counties; and WHEREAS, it is the belief of the undersigned member agencies that state and regional transportation planning receive policy direction from all local governments and affected special purpose districts and major employers; and WHEREAS, the undersigned member agencies are authorized and empowered to enter into this agreement pursuant to Chapter 39.34 R.C.W. THEREFORE, in consideration of mutual promises and covenants herein it is hereby 1. Organization Composition and Nature: The undersigned member agencies agree to create an organization called the Peninsula Regional Transportation Planning Organization. The Peninsula Regional Transportation Planning Organization shall consist of Clallam County, Jefferson County, Kitsap County, Mason County, City of Forks, City of Port Angeles, City of Sequim, City of Port Townsend, City of Bremerton, City of Port Orchard, City of Poulsbo, City of Winslow and City of Shelton, with management vested in a Council, structured as hereinafter provided and by bylaws which shall be adopted by the organization and incorporated herein by this reference. Bylaws of the organization shall initially be adopted by a majority vote of the total members of the organization and shall be amended as provided for in the bylaws. 2. Deleeated Authority and Purposes: The Peninsula Regional Transportation Planning Organization shall have the following delegated authorities and purposes: A. To provide a forum for cooperative decision making by the region's elected officials in order to bring about a continuous and comprehensive transportation planning process. B. To foster cooperation and mediate differences among local governments and the State Department of Transportation throughout the region. C. To maintain an ongoing transportation planning system and coordinate actions of local and state government so that we may make the best use of our land, air, water and energy resources and overcome the problems of waste and pollution. D. Develop and adopt a regional transportation plan that is consistent with county and city transportation plans and state transportation plans. Page 2 E. Certify that transportation elements of comprehensive plans adopted by counties and cities within the region are consistent with the Growth Management Act of 1990 and with the regional transportation plan. F. Designate and direct a lead planning agency to coordinate preparation of the regional transportation plan. G. Ensure that transportation projects within the region are consistent with the regional transportation plan for transportation facilities and services. H. Establish minimum level of service standards for regional transportation facilities and services. I. Foster and facilitate cooperation and coordination between regional transportation planning organizations. J. Foster transportation facilities which encourage economic growth and stability for the region. K. To provide assistance and information to local governments in preparation of local transportation plan elements of the comprehensive plan. 3. Transportation Policy Board Composition and Nature: The Peninsula Regional Transportation Planning Organization shall appoint a transportation policy board to provide policy advice to the Council on regional transportation issues. The policy board shall be composed of members with the following representatives: major employers; transit districts; port districts; Department of Transportation, District 3 office; Washington State Ferry System; cities; counties and others as deemed necessary by the Council. Composition of the policy board shall be determined by the Council as provided for in the bylaws of the organization. The transportation policy board may elect its own chairman and officers and adopt bylaws for conduct of meetings. 4. Transportation Policy Board Duties:The transportation policy board shall provide policy advice to the Peninsula Regional Transportation Planning Organization. The transportation policy board shall work with the lead planning agency or such other personnel as assigned by the Council to carry out the duties and purposes of the organization. The transportation policy board shall work at the direction of the Council and may provide policy advice including, but not limited to the following areas: defining which facilities and services should be included in a regional transportation system plan; developing goals and policies of a regional transportation plan; developing standard procedures and coordination between the jurisdictions of the region; setting level of service standards for regional transportation facilities and services; identification of regional transportation needs; analysis of funding capability and resources to meet transportation needs; and monitoring and implementation of the regional transportation plan. 5. Lead Planning Agency Designation: The Washington State Department of Transportation, District 3 Office shall serve as the lead planning agency for purposes as outlined in this agreement until June 30, 1991. Thereafter, the lead planning agency shall be designated by the Council as provided for in the bylaws. Page 3 6. Lead Planning_Agencv Duties: The lead planning agency shall perform such duties as assigned by the Council, provided that funds to carry out such duties are appropriated. The duties of the lead planning agency shall include, but not be limited to the following: provide staff support and coordination for the Council; provide staff support and coordination for the policy board; to be the recipient of planning grants from the Department of Transportation and other funds as collected for the purposes of the organization; to hire, supervise and administer such personnel, contractors and consultants as directed by the Council; and to provide such information, data, inventories and services as may be necessary to carry out the purposes of the organization. 7. Financing: The Peninsula Regional Transportation Planning Organization shall be financed in a manner as provided for in the bylaws adopted by the organization and through such Local, State, Federal, and or private funding as becomes available. The Peninsula Regional Transportation Planning Organization or the lead planning agency on behalf of the organization, is authorized to apply for such federal, state or private funding of any nature as may become available to assist the organization in carrying out its purposes and functions. 8. Budget: Annually the lead planning agency shall develop a budget which will meet the anticipated expenses of maintenance and operation of the program for the coming calendar year. The lead planning agency shall submit the proposed budget to the Council for review and comment one hundred eighty (180) days prior to the end of a calendar year. The Council shall approve a final budget and forward such budget to the lead planning agency. No increase or decrease to the final budget shall occur without approval of the Council. Status reports on the budget shall be provided to the Council on a regular basis by the lead planning agency. 9. Withdrawal from agreement: Any member agency shall have the right to withdraw from the organization and this inter -local agreement by giving six months written notice to the organization. The member counties and cities that are parties to this inter -local agreement agree that withdrawal will not absolve them of responsibility for meeting financial and other obligations of annual contracts or agreements which exist between the State of Washington or the federal government and the Peninsula Regional Transportation Planning Organization at the time of withdrawal. 10. Dissolution of Organization: The Peninsula Regional Transportation Planning Organization and this Inter -local Agreement may be dissolved at any meeting of the Council by a majority vote of the total members of the organization provided that all members were provided one month written notice of the proposed dissolution, or as otherwise provided for in the bylaws, and all members provided an opportunity for comment on the motion. 11. Disposal of Assets: Upon termination of this agreement, any money or assets in possession of the Peninsula Regional Transportation Planning Organization shall be returned to all contributing governments in proportion to their assessment determined at the time of termination. The debts, liabilities, and obligations of the Peninsula Regional Transportation Planning Organization shall not constitute a debt, liability or obligation of any member agency. In the event of dissolution of the organization, the debts, liabilities and obligations of member agencies shall be as determined in the bylaws. BACKGROUND /ANALYSIS: At the December 4, 1990 City Council meeting, the Council formally decided to participate as a member agency of the Peninsula Regional Transportation Planning Organization. The City Council deferred authorizing the execution of the inter -local agreement creating the Peninsula RTPO until the agreement was in its final form and it was more apparent which other agencies would be deciding to become members. Attached are the January 23, 1991 letter from David Stalheim, Clallam County Planning Division Manager, and the inter -local agreement forming the Peninsula Regional Transportation Planning Organization. Mr. Stalheim explains that most of the participating organizations have signed the agreement and that the Peninsula RTPO has already begun its work. Mr. Stalheim asks that the agreement be signed and that the City designate a representative on the Peninsula RTPO council. On January 28, 1991 David Stalheim telephoned Brad Collins, City Planning Director, and asked that the City Council approve the RPTO Agreement before the end of the month. Apparently, there is a risk that the Department of Transportation may not fund the project otherwise. RECOMMENDATION: It is recommended that the Council authorize the execution of the inter -local agreement creating the Peninsula Regional Transportation Planning Organization and that the Council designate a representative on the Peninsula RTPO council. The City of Bremerton is scheduled to act on the agreement February 6th, which would be the last member required to form the four county organization. The "steering committee" met on January 15th in Port Townsend to review work plans, timelines and reports from the Department of Transportation. The WSDOT stated that they were interviewing consultants to complete some of the organization and administration tasks, preliminary transportation plan tasks and community participation /education tasks. We also considered membership requirements for the Transportation Policy Board. We identified a 19 member board composed of the following representatives: 4 Major Employers 2 Transit Districts 2 Port Districts 2 WSDOT Representatives (highways and ferry) 4 Cities (one form each county) 4 Counties 1 Tribal Representative The money which is available to the organization through the legislative appropriation is $56,472. Of that amount, WSDOT will expend $15,000 for their staffing, a consultant contract would be somewhere between $15- 25,000, a minimum stipend would be reserved for each county for travel and other expenses, and money would be set aside for council and citizen training on transportation issues. The next meeting of the steering committee is February 8th at 9:30 a.m. in Port Townsend. We are also trying to get elected officials to set aside March 7th for their first council meeting. Develop strategy to establish future travel demand and population projections for the region. Develop long -term strategy and work program for completion of the regional transportation plan. Work Element 3: Community Participation /Education Establish procedures and mechanisms to provide public participation and education about regional transportation planning issues. Task 3.01 Identify procedures for broad dissemination of proposals and alternatives, including the opportunity for written and verbal comments. Knutson, City Attorney RE: Peninsula RTPO Interlocal Agreement ISSUE: Should the City of Port Angeles become a member of the Peninsula Regional Transportation Planning Organization (RTPO)? BAACKGRUOND /ANALYSIS: At the joint City Council /Planning Commission meeting of November 28, 1990, a consensus of the five councilmembers present supported the concept of forming a regional transportation planning organization. At a meeting of November 29, 1990, the formation of the Peninsula Regional Transportation Planning Organ- ization was dicusssed further with representatives of Clallam County and the cities of Port Angeles, Forks and Sequim. The attached interlocal agreement would create the Peninsula Regional Transportation Planning Organization. However, the agreement may need to be modified depending upon which agencies decide to join and what concerns they may have about the form of the agreement. RECOMMENDATION: If the City Council decides to participate in the formation of the Peninsula RTPO, the Council could adopt a motion that it is the intent of the City of Port Angeles to become a member agency of the Peninsula Regional Transportation Planning Organization. The changes which were discussed at the November 28, 1990 working meeting were incorporated into the draft. In addition, Clallam County jurisdictions reviewed the draft this morning and made one change regarding adoption of the first set of bylaws. All Clallam County jurisdictions propose to authorize their elected officials to sign the document as developed. Those authorizations will occur in the month of December. Please notify either myself or Gary Rowe, Jefferson County Public Works Director, if your jurisdiction cannot authorize signatures during the month of December INTER -LOCAL AGREEMENT PENINSULA REGIONAL TRANSPORTATION PLANNING ORGANIZATION THIS AGREEMENT is made and entered into by and between the undersigned member agencies of the State of Washington to establish the Peninsula Regional Transportation Planning Organization, pursuant to provisions of the Inter -Local Cooperation Act of 1967, Chapter 39.34 R.C.W. and the Growth Management Act of 1990. Definitions For the purpose of this inter -local agreement and all other agreements, contracts and documents executed, adopted or approved pursuant to this agreement, the following terms shall have meaning prescribed to them with this section unless the context of their use dictates otherwise: (1) Member agency shall mean any local government which is a party or becomes a party to this inter -local agreement and is a County or City; (2) State shall mean the State of Washington; (3) Region shall mean the territory physically lying within the boundaries of Clallam, Jefferson, Kitsap and Mason counties; (4) Population shall mean the population of any general purpose local government that is a member agency last determined for each such member by the State Office of Financial Management; (5) Regional population shall be determined by adding together the population of the member agencies; (6) Council shall mean the body of local elected officials who have been appointed to represent member agencies to carry out all delegated powers and managerial and administrative responsibilities of the Peninsula Regional Transportation Planning Organization; (7) Department shall mean the Washington State Department of Transportation; (8) District office shall mean the District 3 Office of the Washington State Department of Transportation; (9) Transportation Policy Board shall mean a board appointed by the Council which shall will participate in policy making of the Organization. November 29. 1990 Recital agreed: WHEREAS, the undersigned member agencies recognize the need and desirability to participate in a forum for cooperative decision making by elected officials of said agencies in order to bring about a continuous and comprehensive regional transportation planning process; and WHEREAS, the undersigned member agencies are required to adopt comprehensive land use plans consistent with transportation plans pursuant to the Growth Management Act of 1990; and WHEREAS, the Growth Management Act of 1990 authorizes establishment of Regional Transportation Planning Organizations through the voluntary association of local governments within a county, or geographically contiguous counties; and WHEREAS, it is the belief of the undersigned member agencies that state and regional transportation planning receive policy direction from all local governments and affected special purpose districts and major employers; and WHEREAS, the undersigned member agencies are authorized and empowered to enter into this agreement pursuant to Chapter 39.34 R.C.W. THEREFORE, in consideration of mutual promises and covenants herein it is hereby 1. Organization Composition and Nature: The undersigned member agencies agree to create an organization called the Peninsula Regional Transportation Planning Organization. The Peninsula Regional Transportation Planning Organization shall consist of Clallam County, Jefferson County, Kitsap County, Mason County, City of Forks, City of Port Angeles, City of Sequim, City of Port Townsend, City of Bremerton, City of Port Orchard, City of Poulsbo, City of Winslow and City of Shelton, with management vested in a Council, structured as hereinafter provided and by bylaws which shall be adopted by the organization and incorporated herein by this reference. Bylaws of the organization shall initially be adopted by a majority vote of the total members of the organization and shall be amended as provided for in the bylaws. 2. Delegated Authority and Purposes: The Peninsula Regional Transportation Planning Organization shall have the following delegated authorities and purposes: A. To provide a forum for cooperative decision making by the region's elected officials in order to bring about a continuous and comprehensive transportation planning process. B. To foster cooperation and mediate differences among local governments and the State Department of Transportation throughout the region. C. To maintain an ongoing transportation planning system and coordinate actions of local and state government so that we may make the best use of our land, air, water and energy resources and overcome the problems of waste and pollution. D. Develop and adopt a regional transportation plan that is consistent with county and city transportation plans and state transportation plans. Page 2 E. Certify that transportation elements of comprehensive plans adopted by counties and cities within the region are consistent with the Growth Management Act of 1990 and with the regional transportation plan. F. Designate and direct a lead planning agency to coordinate preparation of the regional transportation plan. G. Ensure that transportation projects within the region are consistent with the regional transportation plan for transportation facilities and services. H. Establish minimum level of service standards for regional transportation facilities and services. I. Foster and facilitate cooperation and coordination between regional transportation planning organizations. J. Foster transportation facilities which encourage economic growth and stability for the region. K. To provide assistance and information to local governments in preparation of local transportation plan elements of the comprehensive plan. 3. Transportation Policy Board Composition and Nature: The Peninsula Regional Transportation Planning Organization shall appoint a transportation policy board to provide policy advice to the Council on regional transportation issues. The policy board shall be composed of members with the following representatives: major employers; transit districts; port districts; Department of Transportation, District 3 office; Washington State Ferry System; cities; counties and others as deemed necessary by the Council. Composition of the policy board shall be determined by the Council as provided for in the bylaws of the organization. The transportation policy board may elect its own chairman and officers and adopt bylaws for conduct of meetings. 4. Transportation Policy Board Duties:The transportation policy board shall provide policy advice to the Peninsula Regional Transportation Planning Organization. The transportation policy board shall work with the lead planning agency or such other personnel as assigned by the Council to carry out the duties and purposes of the organization. The transportation policy board shall work at the direction of the Council and may provide policy advice including, but not limited to the following areas: defining which facilities and services should be included in a regional transportation system plan; developing goals and policies of a regional transportation plan; developing standard procedures and coordination between the jurisdictions of the region; setting level of service standards for regional transportation facilities and services; identification of regional transportation needs; analysis of funding capability and resources to meet transportation needs; and monitoring and implementation of the regional transportation plan. 5. Lead Planning Agency Designation: The Washington State Department of Transportation, District 3 Office shall serve as the lead planning agency for purposes as outlined in this agreement until June 30, 1991. Thereafter, the lead planning agency shall be designated by the Council as provided for in the bylaws. Page 3 6. Lead Planning► Agency Duties: The lead planning agency shall perform such duties as assigned by the Council, provided that funds to carry out such duties are appropriated. The duties of the lead planning agency shall include, but not be limited to the following: provide staff support and coordination for the Council; provide staff support and coordination for the policy board; to be the recipient of planning grants from the Department of Transportation and other funds as collected for the purposes of the organization; to hire, supervise and administer such personnel, contractors and consultants as directed by the Council; and to provide such information, data, inventories and services as may be necessary to carry out the purposes of the organization. 7. Financing: The Peninsula Regional Transportation Planning Organization shall be financed in a manner as provided for in the bylaws adopted by the organization and through such Local, State, Federal, and or private funding as becomes available. The Peninsula Regional Transportation Planning Organization or the lead planning agency on behalf of the organization, is authorized to apply for such federal, state or private funding of any nature as may become available to assist the organization in carrying out its purposes and functions. 8. Budget: Annually the lead planning agency shall develop a budget which will meet the anticipated expenses of maintenance and operation of the program for the coming calendar year. The lead planning agency shall submit the proposed budget to the Council for review and comment one hundred eighty (180) days prior to the end of a calendar year. The Council shall approve a final budget and forward such budget to the lead planning agency. No increase or decrease to the final budget shall occur without approval of the Council. Status reports on the budget shall be provided to the Council on a regular basis by the lead planning agency. 9. Withdrawal frpm agreement: Any member agency shall have the right to withdraw from the organization and this inter -local agreement by giving six months written notice to the organization. The member counties and cities that are parties to this inter -local agreement agree that withdrawal will not absolve them of responsibility for meeting financial and other obligations of annual contracts or agreements which exist between the State of Washington or the federal government and the Peninsula Regional Transportation Planning Organization at the time of withdrawal. 10. Dissolution of Organization: The Peninsula Regional Transportation Planning Organization and this Inter -local Agreement may be dissolved at any meeting of the Council by a majority vote of the total members of the organization provided that all members were provided one month written notice of the proposed dissolution, or as otherwise provided for in the bylaws, and all members provided an opportunity for comment on the motion. 11. Disposal of Assets: Upon termination of this agreement, any money or assets in possession of the Peninsula Regional Transportation Planning Organization shall be returned to all contributing governments in proportion to their assessment determined at the time of termination. The debts, liabilities, and obligations of the Peninsula Regional Transportation Planning Organization shall not constitute a debt, liability or obligation of any member agency. Page 4 IN WITNESS WHEREOF, this Inter -Local Agreement shall have full force and effect from and after this day of 1990. Task 1.01 Task 1.02 Adopt meeting schedule, voting structure, budgetand bylaws of the Peninsula Regional Transportation Planning Organization. Appoint Transportation Policy Advisory Board to assist the Peninsula Regional Transportation Planning Organization. Establish meeting schedule, duties and responsibilities of the advisory board. Task 1.03 Designate and establish duties for a Lead Planning Agency. Work Element 2: Regional Transportation Plan Develop program to begin development of a regional transportation plan for all member jurisdictions. Task 2.01 Establish transportation facilities and services which will be included in the regional transportation plan. Task 2.02 Develop timelines and guidelines for the lead planning agency or member jurisdictions to prepare, conduct, coordinate and /or complete transportation inventories and development strategies. Task 2.03 Task 2.04 Task 2.05 Begin inventory of certain state and regional facilities and services identified in Task 2.02 for immediate action. Develop strategy to establish future travel demand and population projections for the region. Develop long -term strategy and work program for completion of the regional transportation plan. Work Element 3: Community Participation /Education Establish procedures and mechanisms to provide public participation and education about regional transportation planning issues. Task 3.01 Identify procedures for broad dissemination of proposals and alternatives, including the opportunity for written and verbal comments. Task 3.02 Provide effective notice of organization and policy board meetings.
