From the desk of Becky Upton, City Clerk As a follow -up to our phone conversation last week, attached is a copy of the 1990 agreement with AT &T for the City to receive a commission from the public telephones on City property. To my knowledge, there have been no updates to this agreement, nor have there been any new agreements with the other companies having pay phones on City property. Box 50579 Dallas, TX. 75252 -0579 1- 800 -864 -2149 AMENDMENT TO AT &T INDIVIDUAL COMMISSION AGREEMENT 5 c2.5 The Individual Agreement (hereinafter "the Agreement entered into between AT &T Communications, Inc. acting on behalf of the Interstate Division of the American Telephone and Telegraph Company and the AT &T Communications interexchange companies (hereinafter "AT &T and the City of Port Angeles, (hereinafter "Agent is amended, effective upon signing by both parties, as follows. 1. The commission rate payable to Agent for each location listed in the Agreement and the term of the Agreement are set forth below: Total Number of Public Telephones at a Location Routing "0 InterLATA Calls to AT &T 9 Initial Commission Rate On AT &T Non -Sent Paid Revenues from LEC Public Phones 19% 2. The term of the Agreement is extended for a period of three years. The Agreement shall be automatically renewed for additional one year terms unless either party gives thirty (30) days' written notice of its intention not to renew. 3. The commission rate payable to Agent shall be contingent upon the aggregate AT &T non -sent paid (i.e., collect, credit card, and billed to third number) billed revenue generated from LEC public telephones at locations controlled by the city, county and municipal governmental entities participating in the AT &T /PTI Individual Commission Plan "Participating Entities as follows: Aggregate Monthly AT &T Non -Sent Paid Revenues Commission Rate $0 to $999,999 $1M to $1,999,999 $2M to $3,999,999 $4M to $4,999,999 $5M or more 14% 16% 18% 19% 20% 4. For locations where AT &T does not track revenues from LEC public telephones, AT &T Non -Sent Paid Revenues will be estimated as follows: Page 2 a. If 25% or more of the LEC public telephones listed in the agreement are in trackable areas, AT &T will develop a monthly average revenue (MAR) for AT &T Non -Sent Paid Revenues from those phones. The MAR will be multiplied by the number for LEC public telephones in Non trackable areas in calculating Agent's monthly AT &T Non -Sent Paid Revenues. b. If fewer than 25% of the LEC public telephones listed in the Agreement are in trackable areas, AT &T shall apply a MAR of $100.00 per telephone in non trackable areas in calculating Agent's monthly AT &T Non -Sent Paid Revenues. 5. AT &T Non -Sent Paid Revenues will be calculated based on a monthly period beginning on the 16th day of each calendar month and ending on the 15th day of the following month. 6. AT &T will determine by the 15th day of each month (the "current month what the aggregate AT &T Non -Sent Paid Revenue of the participating Entities was for the previous 30 -day period and, based upon this determination, will pay commissions for the current month based upon the schedule set forth in Paragraph 3 above. Any change in commission rate based upon the foregoing determination will be effective as of the first billing day of the month following the month for which the aggregate non -sent paid revenue of the participating Entities was determined. 7. Except as specified below, Agent's initial commission rate, specified in Paragraph 2 above, is the commission rate in effect for the month in which this Amendment becomes effective and Agent will have its initial commission rate adjusted in subsequent months in accordance with the terms of this Amendment. If the Agreement reflects a higher commission rate than would be available under Paragraph 3 of this Amendment, Agent is entitled to receive the higher commission rate specified in the Agreement. If adjustments in the commission rate pursuant to Paragraph 3 of this Amendment subsequently exceed the commission rate specified in the Agreement, Agent will be entitled to receive the higher commission rate. In the event of an inconsistency between the terms of the Agreement and this Amendment, the terms of this Amendment shall prevail.
