HomeMy WebLinkAbout5.269 Original ContractINTERAGENCY AGREEMENT COME NOW the parties hereto, pursuant to the provisions of RCW 39.34, and in and for the mutual considerations expressed herein, agree as follows: A. DURATION: This agreement shall be in full force and effect until such time as the project•which said agreement encompasses has been completed, and payment made as scheduled hereunder. B. PARTIES: The parties to this agreement consist of the following: 1. OLYMPIC MEMORIAL HOSPITAL, Clallam County Public Hospital District No. 2, hereinafter referred to as "Hospital 2. THE CITY OF PORT ANGELES, a code city municipal corporation of the State of Washington, hereinafter referred to as "City C. PURPOSE: It is the purpose of this agreement to provide for joint funding of a necessary replacement of the domestic water trunk line and service connections thereto running parallel with Caroline Street, south of Olympic Memorial Hospital in Port Angeles, Washington. The replacement of said trunk line and service connections thereto is necessary for Hospital purposes related to Hospital's current Phase IV expansion project. The City will benefit from the replacement and improvement of said trunk line and service connections thereto, and the replacement 1 of said trunk line and service connections thereto is in the best interests of the public. D. FINANCING: The City agrees to reimburse the Hospital up to fifty percent (50 of the actual cost of the water trunk line and service connection replacement described above, up to, but not exceeding, a total participation of forty thousand dollars ($40,000.00). Payment shall be made by the City to the Hospital District within thirty•(30) days of submission of an accounting of the actual expenses for the water trunk line and service connections thereto replacement. Physical replacement of the water trunk line and service connections thereto shall be accomplished pursuant to a change order to be entered into under the applicable construction change order provisions of the current public works contract between CLALLAM COUNTY PUBLIC HOSPITAL DISTRICT NO 2 and ABSHER CONSTRUCTION COMPANY. The costs to be reimbursed by the City shall include those costs normally associated with public works projects and may include, but shall not necessarily be limited to, expenses incurred in relation to the acquisition of materials; physical construction and placement of the materials; engineering; legal; administrative; and other expenses normally associated with public works construction activities. IT IS FURTHER AGREED that CLALLAM COUNTY PUBLIC HOSPITAL DISTRICT NO. 2 shall reimburse the CITY OF PORT ANGELES for right -of -way inspection fees up to but not exceeding a total of two thousand dollars ($2,000.00). Said payment shall be made by 2 Hospital to the City within thirty (30) days of submission of an accounting of inspection expenses from, City to Hospital. E. DEDICATION: Upon completion of the construction of said waterline and service connections thereto, said waterline and service connections thereto shall be dedicated to the City of Port Angeles and ownership of said improvements shall lie wholly with the City of Port Angeles. Hospital agrees to execute such documents as are necessary to transfer the ownership of the domestic water trunk line and service connection improvements to City. Washington projects. prevailing F. RECITALS: Hospital represents that it has complied with State of bid law requirements pertaining to public works Hospital also represents that it has complied with wage rate legislation, and any and all other regulations, statutes, and ordinances applicable to construction of public works projects within the state of Washington. G. CONSIDERATION: Each party hereto acknowledges that the above and foregoing consideration is sufficient consideration for the covenants and agreements contained herein. H. AMENDMENTS: This agreement constitutes the full agreement between the parties. Any amendments to the interagency agreement set forth herein must be in writing and signed by the party to be bound to 3 equal protection legislation, VI/ A City Attorney be valid.
