Additional investigations were made of two areas of concern. The section of our erosion control plan addressing these areas are in- cluded as Attachment #1. Apparently due to the heavy rains which occurred last winter, the section between station 51 +00 and 54 +q0 have deteriorated consider- ably since our previous assessment. A relatively large slide ad- jacent to the pipeline has occurred. Although the pipeline is not in immediate danger, the large area of instability together with the considerable amount of water in the area would indicate that the pipeline will become exposed, and subject to considerable dam- age, if remedial action is not taken. ANALYSIS: We have asked our consultant, Schuchart and Associates, to prepare an estimate of the geotechnical and engineering design efforts required for a repair of the area. Their estimate is shown as Attachment #2. The estimated cost of engineering is $15,150, in addition to the costs of a complete survey of the area ($2,750) Another minor slide, which occurred earlier, was addressed in our civil contract specifications. Total costs were approximately $30,000 including engineering. Repair work under that section is now under- way. This work was submitted to FEMA for reimbursement at 50%. Due to the slide which occurred early this spring, we believe that it is prudent to repair the area to prevent major damage to the pipeline. It is our understanding that remedial work on the larger slide is also eligible for FEMA reimbursement. RECOMMENDATION: We recommend that Council authorize us to expand the scope of work for the project to include engineering for pipeline repair increasing the Schuchart budget amount to $180,000 and subconsulting (geotechni- cal, surveying, and inspections) to $80,000. GB /clr Attachments /3.2 Project Maintenance Programs: Attachment la A. Existing Pipeline: The existing 24 inch diameter pipeline is a part of an emergency water supply system for the City of Port Angeles. The concrete cylinder pipe was installed in 1962 and has been out of service since 1978. The pipeline generally follows a flat grade along the steep valley sides of Morse Creek. Where the pipeline crosses tributary valleys or gulleys, the pipeline grade drops abruptly to remain buried, rather than being elevated to hold grade. At these low points in the pipeline 6 inch diameter blow -off pipes are provided to flush any trapped sediment that may have entered the pipe and to completely empty the pipeline when not in use. A geotechnical assessment was made of the existing pipeline and was included in the License Application. In the report, several areas where soft soils, wet areas or instabilities were visible were addressed. Since that report, additional investigations of two areas of concern were made. These areas are shown on Figure 1 at stations 51 +00 to 54 +00 and stations 92 +75 to 93 +35. 1. Stations 51+00 to 54 +00: A relatively largg tP 1 cio resent at this location. Hill slopes surrounding the wetly area range from moderate to steep and are generally greater than 30 degrees. The scarp itself measured approximately 400 feet along the pipe alignment and was up to 40 feet in height. The existing pipeline was buried with up to 10 feet of slide debris for approximately 50 feet along the alignment. A typical section across the unstable area is given in Figure 3. The hillside in this area is composed of four basic geologic units; fine SAND, hard CLAY, sandy GRAVEL and BEDROCK. The fine SAND comprises the upper part of the slope and appears to be at least 30 feet thick. This sand also comprises the steep, upper portions of the scarp. Underlying the fine SAND is a layer of hard, gray CLAY approximately 8 feet thick. This layer presents a relatively impermeable horizon which would impede the downward movement of ground water in the overlying sand. Beneath the CLAY is a sandy GRAVEL with scattered thin, horizontal layers of silty clay. Apparently the pipeline was initially entranced within this material. Towards the bottom of the slope, the sandy GRAVEL is underlain by BEDROCK of the Twin River Formation, which outcrops in Morse Creek. The base of the scarp is covered wish lnnse,, wet slide debris which contains organic and various amounts of soil from the upslope soil units. Past and present slope movements probably result from periods of increased or prolonged precipitation which cause a loss of cohesion, increased unit weight and seepage forces in the sand overlying the relatively impermeable clay. Since the pipeline appears to have been installed beneath the clay layer, the fine SAND layer is sloughing down over the pipeline. It appears that the pipeline is being protected from movement. The pipeline was filled 14 15 Attachment 1 b by the Port Angeles Water Department in 1985 and checked for leakage. No leakage was observed. Potential measures for preventing any continued sloughing of the upper soil unit were discussed along with relocating the pipeline. The results of these discussions indicated that any major work at the site would be very expensive and might only increase instability. The present plan for project operation includes regular inspection of the entire pipeline. It is proposed that this area be visually monitored on a regular basis to detect any worsening condition. if, at a later date, the area exhibits an immediate danger to the integrity of the pipeline, then corrective measures will be applied. 2. Stations 92 +75 to 96 +00: On area of steep to very steep slopes with cliffs of bedrock occurs between Stations 92 +75 and 96 +00. In this vicinity, the existing pipeline rests in benches cut into the steep bedrock slopes. The pipeline is supported in some sections on these benches by timber cribbing or concrete block footings. Areas along this portion of the alignment exhibit slabbing of bedrock off the steep cliffs. Debris from the cliffs fails to accumulate on the slope and falls to Morse Creek below, due to the steepness of the slopes. An area of concern occurs in the vicinity of Station 93 +00: Bedrock in this area consists of interbedded sandstone and siltstone with minor amounts of conglomerate. The main discontinuities observed and measured in the field consist of bedding and jointing. Bedding strikes subparallel to the pipe alignment (north 10 to 30 degrees west) and dips from 20 to 25 degrees to the east. The primary joint surfaces also strike subparallel to the alignment North 10 to 20 degrees West) and dip steeply at 70 to 75 degrees to the west. A sketch of the relationship of the geology and discontinuities to the existing pipeline in the vicinity of Station 92 +75 is given in Figure 4. Open joints and tension cracks were observed in bedrock at the top of the slope as far as 20 feet from the slope crest. Open joints provide pathways for plant roots and ground water to penetrate between joints, allowing for increased hydrostatic pressures, greater mechanical weathering action (freeze /thaw, etc.) and decreased factor of safety. The principal hazards to the pipeline in the vicinity of Station 93+00 include rockfalls of loosened rock blocks from the exposed face, and toppling failures of single or multiple jointed rock slabs. Toppling failures are possible due to the adverse dip of joints and bedding, and the fact that the joints are at least in places, open and no longer in close contact. Measures investigated to better protect the pipeline included rock bolting, additional cribbing and removal of the cliff face. After studying the first two options it appeared that these would be both expensive and only temporary in nature. The best way to increase the protection of the pipe would be to remove the cliff face by blasting. The blasted rock would fall and enter Morse Creek below. The City retained Schuchart to perform preliminary studies for a hydroelectric power plant on Falls Creek (the Project) B. The City desires to obtain mechanical and electrical equip- ment for the project. C. The City desires Schuchart to perform professional engineering services to obtain mechanical and electrical equipment for the project. NOW, THEREFORE, the parties hereto, for and in consideration of the mutual covenants and agreements herein contained, hereby agree as follows: 1. SCOPE OF WORK. The engineering services to be performed by Schuchart under this agreement are as follows: 5.1$1 A. Project Management 1) General consultation and management, including develop- ment of reports of project budgets and costs incurred. 2 B. Design and Procurement 1) Preparation of performance type specifications and bid and contract documents necessary to secure bids for the mechanical and electrical equipment and instal- lation. 2 3 Preparation of project progress reports. Preparation of engineer's estimates of construction costs of the mechanical and electrical bid Analysis of bids received and recommendations for award. 4) Preliminary analysis of hydraulic design of penstock. 5) Review of Contractors design of the necessary modifica- tions to the powerhouse foundation and tailrace. C. Services During Manufacture and Construction 1) Consult with, advise and represent the City, to the extent authorized, in administration of contracts. 2) Review drawings and other data which contractors are required to submit. 2. TERM OF CONTRACT. Schuchart will start work immediately when notified by City and will complete the work in a diligent manner. 3. PAYMENT The City agrees to pay Schuchart in Accordance with the Engineering Rate Schedule set forth in Exhibit A for all work performed by Schuchart under this Agreement. Payment shall be made in full by the City within thirty (30) days after receipt of invoice. Invoices shall be submitted bi- weekly. Billings will not exceed the $28,000 estimate as set forth in Exhibit B without advance written authorization by the City. Schuchart will give the City timely notice of any need for additional funds, and will not proceed with work in excess of said amount until such authorization is received from the City. 4. SUBCONTRACTING /ASSIGNMENTS. Schuchart may, with the prior written approval of the City, subcontract or assign any portion of the work. 5. ASSURANCES. Schuchart assures that the work shall be in accordance with good engineering and design practices, in conformance with this Agreement and with all applicable codes and stan- dards. No other assurance, warranty or representation, ex- press or implied, which is not expressly contained in this Agreement, is made by Schuchart. 6. LIABILITY INSURANCE A. Schuchart shall, during the performance of this Agree- ment, keep in force the following insurance: 1 2 3 Statutory Workers' Compensation Insurance as specified by Washington State law, including Employer's Liability Insurance for its employees; Comprehensive General Liability Insurance, in- cluding Completed Operations and Blanket Contrac- tual, covering bodily injuries with limits of $3,000,000 one (1) person and $3,000,000 one (1) occurrence, and property damage with limits of $3,000,000 per occurrence; Comprehensive Automobile Liability Insurance, including operation of owned, non -owned and hired automobiles and other vehicles, covering bodily injuries with limits of $3,000,000 one (1) person and $3,000,000 one (1) occurrence and property damage with limits of $3,000,000 per occurrence; 4) Professional Liability Insurance with limit of $3,000,000 B. All such policies of insurance shall contain a provision that the same shall not be canceled nor the coverage modified nor the limits changed without first giving ten (10) days' written notice thereof to the City. Schuchart shall not commence the work under this Agreement until evidence of such insurance has been delivered to the City. 7. INDEMNIFICATION Schuchart agrees to indemnify and save the City harm- less from and against all damage, loss, claim or injury (including death) to persons and to property arising out of the error, omission or negligence of Schuchart in connec- tion with work. Schuchart shall have no safety responsibili- ties or duties with respect to any employees other than Schuchart's. Additionally, Schuchart will have no duties involving safety or safety related issues of anyone other than Schuchart. 8. FORCE MAJEURE. Schuchart shall not be deemed in default nor be liable for damages for any failure or delay in performance which arise out of causes beyond its reasonable control and without its fault or negligence. Such causes shall include without limitation acts of the City acts of God or public enemy, acts of government in either its sovereign or contractual capacity, fires, adverse, weather, floods, epidemics, labor disputes, strikes, or freight embargoes. Schuchart shall be afforded in equitable adjustment of the Budget pursuant to Article 3 Payment in case of such delay. 9. CHANGES. The City may at any time change, by adding or deleting from the Work and /or accelerate or delay the scheduling or work by written notice to Schuchart. The City may issue oral orders for such Work followed by confirmation in writing withing 24 hours. To the extent that such changes cause an increase or decrease in the cost of or time for perfor- mance of the Work. The City shall pay Schuchart for these services pursuant to Exhibit A. 10. CLAIMS. Schuchart shall present any notice of claim for damages, additional compensation to the City within ten (10) days following the event giving rise to the claim. Schuchart will submit additional related costs and /or time within a reason- able period of time after completion of the changed Work. Schuchart shall be paid in accordance with Exhibit A, at- tached. 11. INSPECTIONS. All Work furnished by Schuchart shall at all times be subject to inspection by the City and the City shall be afforded reasonable access at all reasonable times to Schuchart's place of work. 12. COOPERATION WITH OTHERS. Schuchart shall at all times perform its Work in such manner as to minimize interference with the work of other parties involved in the Project including work of the City. 13. SUSPENSION. The City may suspend, at any time and from time to time, performance of the Work, in which case it shall make an equitable adjustment of the Budget pursuant to Ar- ticle 3. Schuchart will use its best efforts to minimize the costs associated with any such suspension. If performance of all or any part of the Work is suspended for a period of forty -five (45) days, then Schuchart may at its sole option terminate this Agreement. 14. TERMINATION. The City may, at its option, terminate this Agreement at any time by written notice to Schuchart. Upon receipt of such notice, Schuchart shall immediately take all steps necessary to minimize further costs of the Work, including immediate discontinuance of the Work (to the extent specified in the notice) to the extent permitted, cancel any further orders or subcontracts; and assist the City as requested in the maintenance, protection and disposition of property ac- quired for the Work. The City shall assume and become liable for all obligations, commitments and unliquidated claims that Schuchart may have theretofore in good faith and with authority undertaken or incurred in connection with the Work. Upon complete termination, the City shall pay Schuchart for all Work completed less all amounts theretofore paid, plus Schuchart's reasonable out -of- pocket costs incidental to such termination, in accordance with Exhibit A. 15. REUSE OF DOCUMENTS. All documents including Drawings and Specifications prepared by Schuchart pursuant to this Agreement are instru- ments of service in respect to the Project. They are not intended or represented to be suitable for reuse by the City or others in extensions of the Project or on any other project. Any reuse without written verification or adaptation by Schuchart for the specific purpose intended will be at the City's sole risk and without liability or legal exposure to Schuchart; and the City shall indemnify and hold harm- less Schuchart from all claims, damages, losses and expenses including attorney's fees arising out of or resulting there- from. Any such verification or adaptation will entitle Schu- chart to further compensation at rates to be agreed upon by the City and Schuchart. 16. REMEDIES. Any remedy provided for breach of this Agreement shall not be deemed exclusive and the City and Schuchart shall have such other remedies as may be available at law or in equity. 17. WAIVER. No waiver by the City or Schuchart of any breach by Schuchart or the City of any provision hereof shall have any force or effect unless in writing, nor shall any waiver by a party hereto of any breach be construed as a waiver of any other future default or breach of the same provision or any other provision. 18. NOTICE. This agreement was restated in greater detail in our letter to Falis Creek Small Hydro of March 25, 1986 (Attachment #1) In order to have the plant in operation by the February 3, 1987 deadline mandated by the Federal Energy Regulatory Commission, we are working in three areas: (1) Negotiating transmission agree- ments with the interconnecting utilities (see Attachment #2), (2) Developing final contract documents based upon the tentative agree- ment and subsequent letters; and (3) Developing specifications for the mechanical and electrical package. ANALYSIS: We are proposing to purchase the turbine, generator, transformer, and controls (mechanical and electrical package) for this project by a performance type specification, in the same manner we are doing with Morse Creek. In order to accomplish this, we have reviewed the qualifications of consulting firms and requested a proposal from Schuchart and Associates for design and procurement services. These services would not be as extensive as we are currently obtaining in the Morse Creek project. The proposed of engineering contract is shown as Attachment #3. The estimated cost of this contract is $28,000. This amount does not include any plan and profile work on the penstock. If necessary, local surveyors would be employed to complete work of this nature. TERM OF CONTRACT. Schuchart will start work immediately when notified by City and will complete the work in a diligent manner. 3. PAYMENT City agrees to pay Schuchart in Accordance with the Engineering Rate Schedule set forth in Exhibit A for all work performed by Schuchart under this Agreement. Payment shall be made in full by the City within thirty (30) days after receipt of invoice. Invoices shall be submitted bi- weekly. Billinas will not exceed the S28.000 estimate as set forth in Exhibit B without advance written authorization by the City. Schuchart will give the City timely notice of any need for additional funds, and will not proceed with work in excess of said amount until such authorization is received from the City 4. Schuchart shall have no safety responsibili- ties or duties with respect to any employees other than Schuchart's. Additionally, Schuchart will have no duties involving safety or safety related issues of anyone other than Schuchart. 8. FORCE MAJEURE. Schuchart shall not be deemed in default nor be liable for damages for any failure or delay in performance which arise out of causes beyond its reasonable control and without its fault or negligence. Such causes shall include without limitation acts of the City acts of God or public enemy, acts of government in either its sovereign or contractual capacity fires, adverse, weather, floods, epidemics, labor disputes, strikes, or freight embargoes. Schuchart shall be afforded in equitable adjustment of the Budget pursuant to Article 3 Payment in case of such delay. 9. CHANGES. The City may at any time change, by adding or deleting from the Work and/or accelerate or delay the scheduling or work by written notice to Schuchart. The City may issue oral orders for such Work followed by confirmation in writing withing 24 hours. To the extent that such changes cause an increase or decrease in the cost of or time for perfor- mance of the Work. The City shall nay Schuchart for these services pursuant to Exhibit A. 10. CLAIMS. Schuchart shall present any notice of claim for damages, additional compensation to the City within ten (10) days following the event giving rise to the claim. Schuchart will submit additional related costs and /or time within a reason- able period of time after completion of the changed Work. Schuchart shall be paid in accordance with Exhibit A, at- tached. 11. INSPECTIONS. All Work furnished by Schuchart shall at all times be subject to inspection by the City and the City shall be afforded reasonable access at all reasonable times to Schuchart's place of work. 12. COOPERATION WITH OTHERS. Schuchart shall at all times perform its Work in such manner as to minimize interference with the work of other parties involved in the Project including work of the City. 13. SUSPENSION. The City may suspend, at any time and from time to time, performance of the Work, in which case it shall make an equitable adjustment of the Budget pursuant to Ar- ticle 3. Schuchart will use its best efforts to minimize the costs associated with any such suspension. If performance of all or any part of the Work is suspended for a period of forty -five (45) days, then Schuchart may at its sole option terminate this Agreement. A. TERMINATION. The City may, at its option, terminate this Agreement at any time by written notice to Schuchart. Any reuse without written verification or adaptation by Schuchart for the specific purpose intended will be at the City's sole risk and without liability or legal exposure to Schuchart; and the City shall indemnify and hold harm- less Schuchart from all claims, damages, losses and expenses including attorney's fees arising out of or resulting there- from. Any such verification or adaptation will entitle Schu- chart to further compensation at rates to be agreed upon by the City and Schuchart. 16. REMEDIES. Any remedy provided for breach of this Agreement shall not be deemed exclusive and the City and Schuchart shall have such other remedies as may be available at law or in equity. 17. WAIVER. No waiver by the City or Schuchart of any breach by Schuchart or the City of any provision hereof shall have any force or effect unless in writing, nor shall any waiver by a party hereto of any breach be construed as a waiver of any other future default or breach of the same provision or any other provision. 18. NOTICE. Owner may, at its option, terminate this Agreement at any time by written notice to Schuchart. Upon receipt of such notice, Schuchart shall immediately take all steps necessary to minimize further costs of the Work, including immediate discontinuance of the Work (to the extent specified in the notice); to the extent permitted, cancel any further orders or subcontracts; and assist Owner as requested in the maintenance, protection and disposition of property acquired for the Work. Owner shall assume and become liable for all obligations, commitments and unliquidated claims that Schuchart may have theretofore in good faith and with authority undertaken or incurred in connection with the Work. Upon complete termination, Owner shall pay Schuchart for all Work completed less all amounts theretofore paid, plus Schuchart's reasonable out -of- pocket costs incidental to such termination, in accordance with Exhibit A. 15. REUSE OF DOCUMENTS. All documents including Drawings and Specifications prepared by Schuchart pursuant to this Agreement are instruments of service in respect to the 9 Project. They are not intended or represented to be suitable for reuse by Owner or others in extensions of the Project or on any other project. Any reuse without written verification or adaptation by Schuchart for the specific purpose intended will be at Owner's sole risk and without liability or legal exposure to Schuchart; and Owner shall indemnify and hold harmless Schuchart from all claims, damages, losses and expenses including attorney's fees arising out of or resulting therefrom. Any such verification or adaptation will entitle Schuchart to further compensation at rates to be agreed upon by Owner and Schuchart. 16. REMEDIES. Any remedy provided for breach of this Agreement shall not be deemed exclusive and Owner and Schuchart shall have such other remedies as may be available at law or in equity. 17. WAIVER. No waiver by Owner or Schuchart of any breach by Schuchart or Owner of any provision hereof shall have any force or effect unless in writing, nor shall any waiver by a party hereto of any breach be construed as a waiver of any other future default or breach of the same provision or any other provision. 18. NOTICE. Any notice that either party hereto desires to give the other shall be deemed delivered upon deposit thereof in the United States mail by certified mail, return receipt requested, with postage thereon fully prepaid, addressed as follows: To Owner Attn: Gregory A. CONTROLLING LAW. This Agreement is made pursuant to and shall be construed in accordance with the laws of the State of Washington. 21. CAPTIONS. Captions are inserted for convenience of reference only and shall not be considered as being of any significance whatsoever in the construction and interpretation of this agreement. 22. ENTIRE AGREEMENT. The terms and provisions of this Agreement constitute the entire Agreement between the parties and supersede all previous communications, negotiations, proposals, representations, conditions, warranties or agreements, either oral or written, between the parties hereto with respect to the subject matter hereof. This agreement may not be enlarged, modified or altered except in writing signed by duly authorized officers or representatives of the parties. Our Phase I feasibility report suggested four possible alternatives for developing hydroelectric generating facili- ties on Morse Creek. Alternatives 1 and 3 would utilize the existing diversion and water transmission system. The proposed plant capaci- ties for Alternatives 1 and 3 are approximately 515 kW and 550 kW, respectively. Alternatives 2 and 4 require extensive modification to the existing system. The proposed plant capacities for Alternatives 2 and 4 are approximately 3,570 KW and 3,820 kW, respectively. Based on the preliminary unit cost of energy calculated for each alternative, the City of Port Angeles wishes to consider development of Alternative 1. Design of this alternative will be such that the project can be expanded to the capacity of Alternative 2 at a future date. The revised scope of work described herein generally supersedes the scope of Phase II of the existing contract. 2.0 SCOPE OF WORK Schuchart Associates proposes to supply engineering, environmental and licensing services to further the development of the proposed hydroelectric project. In this project phase, the following tasks will be completed: a. Studies to further define geotechnical conditions and a recommended program for design geotechnical exploration and analysis. b. Surveying in sufficient detail to enable final project design to commence. c. Environmental studies required in Exhibit E of the FERC license application. d. IFG 4 level instream flow study. e. Technical assistance to Port Angeles City Light's staff for preparing a FERC license application. f. Refined project cost estimate. The following work plan describes in further detail the activities that will be completed during this project phase. 2.1 Engineering: 2.1.1 Surveying: We propose that Clark Associates, Inc. provide the following services: a. Horizontal and vertical control to provide cross sections and a topographic map of a strip of land 300 feet in width and approximately 1,000 feet long for the proposed powerhouse Alternative 1. b. Horizontal and vertical location of powerhouse access road route. All work provided in Items a and b will be related to the section subdivision for said Section 29 to enable de- scriptions of the selected pipeline alignment, access road and powerhouse siting to be written for the FERC license application. 2.1.2 Geotechnical Investigations: We propose that Hart Crowser Associates, Inc., conduct supplemental geotechnical work to further define condi- tions for the various project elements identified in Phase I. The initial work on the project pointed out potential areas that may require further study. This work will provide a basis for determining the specific -2- nature and extent of explorations (drilling, test pits, etc.) necessary for design of the project. We propose that Mr. Terry Olmstead, Principal Engineering Geologist, and Mr. Peter Douglass, Principal Rock Mecha- nics and Tunneling specialist, observe the various areas of potential concern identified in the initial report. Particular emphasis will be placed on areas of instabi- lity along the existing pipeline route and at the pro- posed penstock and access road routes. Following the field reports, a report will be prepared summarizing our findings and outlining a recommended design geotechnical exploration and analysis program. 2.1.3 Powerhouse, Penstock and Access Road Location: Based on the detailed information provided in Subsections 2.1.1 and 2.1.2 above, the location and orientation of the powerhouse, penstock and access road will be deter- mined. 2.1.4 Project Cost Estimate: The Phase I project cost estimate will be reviewed and updated to reflect the additional detailed information. The cost and configuration of the major electrical/ mechanical equipment will be established more accurately by specific inquiries to recognized manufacturers. 2.2 Environmental Studies: 2.2.1 An IFIM -IFG4 (instream flow study) will be conducted on the reach of Morse Creek below the falls which will be by- passed by the proposed project. The following work will be performed: a. Preliminary consultations with regulatory agency personnel regarding study parameters. b. Aerial observations. c. Two reaches examined with 8 -10 transects per reach. c. Data to be delivered will consist only of weighted usable area curves for each species and field notes- a formal report or agency negotiations are not in- cluded at this time. 2.2.2 Studies required for the following sections of FERC Exhibit E will be conducted. a. Vegetation. b. Wildlife. c. Water quality. d. Historical and archaeological resources. SECTION 2 —BASIC SERVICES OF ENGINEER 2.1. The duties and responsibilities of ENGINEER described above are supplemented and amended as indicated in paragraph 1 of Exhibit A "Further De- scription of Basic Services, Duties of Owner, Method of Payment and Related Matters" which is attached to and made a part of this Agreement. 2.3. Additional professional services related to the As- signment will be performed by ENGINEER on request of OWNER for an additional professional fee as the parties may subsequently agree. SECTION 3— OWNER'S RESPONSIBILITIES 3.1. provide all criteria and full information as to OWNER's requirements and designate a person with 0 authority to act on OWNER's behalf on all matters concerning the Assignment; 3.2. furnish to ENGINEER all existing studies, reports and other available data and services of others pertinent to the Assignment, and obtain additional reports and data as required; and ENGINEER shall be entitled to rely upon all such information and services in perform- ing services hereunder; 3.3. arrange for access to and make all provisions for ENGINEER to enter upon public and private property as required for ENGINEER to perform services here- under; and 3.4. perform such other functions as are indicated in paragraph 2 of Exhibit A "Further Description of Basic Services, Duties of Owner, Method of Payment and Related Matters SECTION 4— PERIOD OF SERVICE ENGINEER shall start performing services hereunder within 10 days after receipt of OWNER's written authorization to proceed, which shall not be given later than 45 days after the date of this Agreement ;naill otxmaletlxxsu xsa sxasdxsubt$itxt exAeportc>by tidicxx Additional re- quirements as to the timing of ENGINEER's services in relation to the services of others or the happening of events beyond ENGINEER's control are set forth in paragraph 3 of Exhibit A "Further Description of Basic Services, Duties of Owner, Method of Payment and Related Matters SECTION 5— PAYMENT 5.1. OWNER shall pay ENGINEER for services ren- dered hereunder plus the cost of all Reimbursable Ex- penses as indicated in paragraph 4 of Exhibit A "Fur- ther Description of Basic Services, Duties of Owner, Method of Payment and Related Matters biweekly 5.2. ENGINEER shall submit monthly statements of services rendered and Reimbursable Expenses. 5.3. ENGINEER's above charges are on the basis of prompt payment of bills rendered and continuous prog- ress of the work on the Assignment until submission of the Report. 5.4. If OWNER fails to make any payment due EN- GINEER for services and expenses within thirty days Page 2 of 3_ pages after receipt of ENGINEER's bill therefor, the amount due ENGINEER shall include a charge at the rate of 1 per month from said thirtieth day, and in addition ENGINEER may, after giving seven days' written notice to OWNER, suspend services under this Agreement until ENGINEER has been paid in full all amounts due for services and expenses. SECTION 6—COST CONTROL 6.1. OWNER's budgetary requirements and consid- erations in respect of the Assignment are set forth in paragraph 5 of Exhibit A "Further Description of Basic Services, Duties of Owner, Method of Payment and Related Matters 6.2. Opinions of probable construction cost, financial evaluations, feasibility studies, economic analyses of alternate solutions and utilitarian considerations of operations and maintenance costs prepared by ENGI- NEER hereunder will be made on the basis of ENGI- NEER'S experience and qualifications and represent ENGINEER's best judgment as an experienced and qualified design professional. It is recognized, how- ever, that ENGINEER does not have control over the cost of labor, material, equipment or services furnished by others or over market conditions or contractors' methods of determining their prices, and that any util- itarian evaluation of any facility to be constructed or work to be performed on the basis of the Report must of necessity be speculative until completion of its de- tailed design. Accordingly, ENGINEER does not guar- antee that proposals, bids or actual costs will not vary from opinions, evaluations or studies submitted by EN- GINEER to OWNER hereunder. SECTION 7— MISCELLANEOUS 7.1. All documents prepared by ENGINEER pursuant to this Agreement are instruments of service in respect of the facility that is to be constructed. They are not intended or represented to be suitable for reuse by OWNER or others in extensions of the facility beyond that now contemplated or on any other facility. Any reuse by OWNER without written verification or ad- aptation by ENGINEER for the specific purpose in- tended will be at OWNER's sole risk and without lia- bility or legal exposure to ENGINEER. 7.2. The obligation to provide further services under this Agreement may be terminated (a) by OWNER with or without cause upon seven days' written notice to ENGINEER and (b) by ENGINEER for cause upon seen days' written notice to OWNER. in the event of any termination, ENGINEER v:11 be paid for all ser- vices rendered to the date of term ination, all reimburs- able expenses and termination expenses. 7.3. OWNER and ENGINEER_ and the respective partners, successors, executors. administrators, as- signs and legal representatives of each are bound by this Agreement to the other party to this Agreement and to the partners, successors, administrators, assigns and legal representatives of such other party in respect of all covenants, agreements -and obligations of this Agreement. Nothing herein shall be construed to give any rights or benefits hereunder to anyone other than OWNER and ENGINEER. 7.5. This Agreement (consisting of 3 pages5 and Exhibit A thereto (consisting of 2 pages), con- stitute the entire Agreement between OWNER and ENGINEER and supersede all prior written or oral understandings between them in respect of the subject matter covered hereby. The Basic Services of ENGINEER as described in Section 2 of said Agreement are amended and supplemented as follows: Exhibit B Owner's letter to Engineer dated October 25, 1982; Exhibit C Engineer's proposal to Owner dated November 29, 1982. Basic Services will consist of two phases as defined in Exhibit C: Phase I Preliminary Analysis; Phase II Final Feasibility Study. 2. The responsibilities of OWNER as described in Section 3 of said Agreement are amended and supplemented as follows: No change 3. The time periods for the performance of ENGINEER's services as set forth in Section 4 of said Agreement are amended and supplemented as follows: ENGINEER will complete Phase I services and submit the interim report within 9 weeks day after authorization to proceed. If OWNER elects to continue with Phase II, OWNER will issue authorization to proceed with Phase II within 30 days after completion of Phase I. ENGINEER will complete Phase II services and submit the final report within 10 weeksiayS after authorization to proceed with Phase II. 4. The method of payment for services rendered by ENGINEER shall be as set forth below and the term Reimbursable Expenses payable to ENGINEER shall have the meaning indicated below: 4.1. OWNER shall pay ENGINEER an amount based on ENGINEER's Payroll Costs times a factor of 2.0 for services rendered by employees engaged directly on the Assignment. The Payroll Costs used as a basis for payment mean salaries and wages (basic and incentive) paid to all Personnel engaged directly on the Assignment, including, but not limited to, engineers, architects, surveyors, designers, draftsmen, specification writers, estimators, other technical personnel, stenographers, typists and support services personnel; plus the cost of customary and statutory benefits including, but not limited to, social.security contributions, unemployment, excise and payroll taxes, workers' compensation, health and retirement benefits, sick leave, vacation and holiday pay applicable thereto, and professional development. The amount of customary and statutory benefits of all personnel will be considered equal to 37% of salaries and wages. 4.2. In addition to payment for services rendered, OWNER shall pay ENGINEER the cost of all Reimbursable Expenses incurred in connection with the services rendered. Reimbursable Expenses mean the actual expenses incurred directly or indirectly in connection with the Assignment for: transportation and subsistence incidental thereto; obtaining bids or proposals from Contractor(s); toll telephone calls and telegrams; reproduction of reports, Drawings, Specifica- tions, and similar Assignment- related items, as specified in Exhibit D, "Reproduction Pricing Schedule and, if authorized in advance by OWNER, overtime work requiring higher than regular rates. Reimbursable Expenses shall include the amount billed to ENGINEER by special consultants employed by ENGINEER (other than as an authorized Additional Service under paragraph 2.3) for such consultants' services and Reimbursable Expenses; and shall also include charges for computer time and other highly specialized equipment, including an appropriate charge for previously established programs and expenses of photographic production techniques. Reimbursable Expenses shall include an administration allowance of 10% on amounts paid out by ENGINEER. 5. OWNER has established the following budgetary requirements and considerations in respect of the Assignment: Billings under each Phase will not exceed the following amounts without advance written authorization by OWNER: Phase I Phase II $23,000 $26,300 As estimated under Total Cost as shown in Exhibit E-Engineer's letter to owner dated November 29, 1982. These amounts include costs as defined in Paragraph 4.1 and reimbursable expenses as defined in Paragraph 4.2. Staff has received seven proposals from major firms and has completed an in -depth evaluation of their proposed work. The amount of $60,000 is set aside in the 1983 budget for the study. Staff met with the Utility Advisory Committee on December 14th and discussed the proposals. The firm of Schuchart and Associates has been tentatively selected to perform the study for the cost of $49,300. The plan is to negotiate a firm price agreement to perform the work for the amount shown and to then return to Council on January 4, 1983 for permission to execute the contract.
