HomeMy WebLinkAbout5.120 Original ContractPORTABLE FIRE EXTINGUISHER SERVICE AGREEMENT 1 THIS AGREEMENT is made this A d ay of April, 2000, by and between WASHINGTON FIRE AND SAFETY EQUIPMENT, herein called "the Contractor" and the CITY OF PORT ANGELES, herein called "the City The Contractor agrees to provide the services listed under Section 1, Scope of Services, for the price listed on Appendix A, Bidder's Proposal Sheet. SECTION 1 SCOPE OF SERVICES: The Contractor shall: A. Inspect and service all of the City's portable fire extinguishers as hereafter described, in accordance with the regulations and specifications of the National Fire Protection Association (NFPA), Uniform Fire Code (UFC), applicable Washington Industrial Safety and Health Administration (WISHA) codes, and any other federal, state, or local code which may apply. Inspection and service shall include the following: External inspection of each portable fire extinguisher; Internal maintenance of each portable fire extinguisher, to be performed every three (3) years; Hydrostatic testing as required by Codes; Low and high pressure testing as required by the manufacturer's label and/or Codes; Refill and recharge extinguishers, as needed; Affix certification tags to the exterior of the extinguisher and label or color code the internal pick -up tubes in accordance with Fire Department requirements; Comply with requirements of Port Angeles Municipal Code 5.90.040(D). B. Extinguishers to be serviced are listed on Appendix B. Additional extinguishers may be added during the time of this agreement and shall be added to the City's master list. All extinguishers will be listed on the maintenance and recharge records maintained by the Contractor. A copy of the updated Contractor's record shall be provided to the City representative after each service. C. The Contractor shall issue a number to each portable fire extinguisher and affix a label to the extinguisher and the extinguisher holder. This number shall be the same as listed in the maintenance records of the Contractor. 5. /aD Fire Extinguisher Service Agreement Page -2- D. If the Contractor needs to remove an extinguisher from its specific location, the Contractor shall leave a similar unit in its place until such time as the City's unit is repaired and returned to its proper location. If the extinguisher cannot be repaired, the Contractor shall replace the existing extinguisher with a like unit, acceptable to the City, as soon as possible. E. The Contractor shall provide services and certification of extinguishers to any City facility within 24 hours notice, 7 days per week. F. The Contractor shall be licensed under and comply with the requirements of PAMC 5.90, and maintain such license in good standing during the term of this agreement. SECTION II LIABILITY AND INDEMNIFICATION: A. The Contractor shall defend, indemnify, and hold the City, its officers, officials, employees, and volunteers harmless from any claims, injuries, damages, losses or suits, including attorney fees, arising our of or in connection with the performance of the contract, except for injuries and damages caused by the sole negligence of the City. B. Should a court of competent jurisdiction determine that this Agreement is subject to RWC 4.24.115, then, in the event of liability for damages arising out of bodily injury to persona or damages to property caused by or resulting from the concurrent negligence of the Contractor and the City, its officers, officials, employees, and volunteers, the Contractor's liability hereunder shall be only to the extent of the Contractor's negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes the Contractor's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. SECTION III PROOF OF INSURANCE: A. The Contractor shall provide the City a Certificate of Insurance evidencing: Commercial General Liability insurance written on an occurrence basis with limits no less than $1,000,000 combined single limit per occurrence for personal injury, bodily injury, and property damage; and Automobile Liability insurance with limits no less than $500,000 combined single limit per accident for bodily injury and property damage. Any payment or deductible or self- insured retention shall be the sole responsibility of the Contractor. Fire Extinguisher Service Agreement Page -3- SECTION III PROOF OF INSURANCE (Con't) The City shall be named as an additional insured on the Commercial General Liability insurance policy, as respects work performed by or on behalf of the Contractor and a copy of the original endorsement naming the City as additionally insured shall be attached to the Certificate of Insurance. The City reserves the right to receive a certified copy of all required insurance policies. The Contractor shall maintain the level of insurance for the duration of the Agreement. The Contractor's insurance shall contain a clause stating that coverage shall apply separately to each insured against whom claim is made or suit is brought, except with respects to the limits of the insurer's liability. The Contractor's insurance shall be primary insurance as respects the City, and the City shall be given thirty (30) days prior written notice of any cancellation, suspension or material change in coverage. The Contractor shall give the City written notice of all pending claims or lawsuits which may reduce the per occurrence insurance limit. B. The Contractor shall provide the City written evidence of Worker's Compensation insurance coverage in compliance with the State of Washington statutory limits. SECTION IV TERMS. PAYMENT AND DURATION A. The City agrees to pay the Contractor at the prices set forth on the Bidder's Proposal Sheet, Appendix A, attached hereto for the services set forth in the Scone of Services in the Service Agreement, upon receipt of an approved invoice sent to the City by the Contractor. B. This Agreement is automatically renewed from year -to -year unless either party provides written notice to the other party of any changes. Either party may terminate this agreement with 30 days written notice to the other party. SECTION V CITY RESPONSIBILITY The City will extend to the Contractor all cooperation necessary to permit the Contractor to perform the services provided herein. The City agrees to keep the area surrounding the fire extinguishers free and clear from obstacles and agrees that the extinguishers shall be mounted and positioned in accordance with NFPA, NFC, WISHA, and all other applicable requirements. The City shall notify the Contractor in the event that an extinguisher is activated or discharged because of fire or any other reason. Fire Extinguisher Service Agreement Page -4- SECTION VI SERVICE CHARGE In the event any payment due hereunder is more than thirty (30) days delinquent, the Contractor may impose a service charge of one percent (1%) per month on the unpaid balance (12% per annum). SECTION VII ATTORNEY'S FEE In the event that either party commences litigation relating to the performance of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees. SECTION VIII APPLICABLE LAW This Agreement shall be construed according to the laws of the State of Washington. Venue for any action brought under this Agreement shall be in the Superior Court of Clallam County. SECTION IX REPRESENTATIVES The City's Human Resources Manager shall be the City's representative in administering this Agreement. The City's representative shall be contacted before servicing any equipment. If the extinguisher can not be repaired, the contractor shall replace the existing extinguisher with a like unit, acceptable to the City, as soon as possible. 5) The contractor shall provide service and certification of extinguishers to any City facility or vehicle within 24 hours notice, seven days per week. 6) The contractor shall perform other duties as requested by the City. 7) The contractor shall be licensed under and comply with the requirements of PAMC 5.90, and maintain such license in good standing during the term of this contract. 2 FIRE EXTINGUISHER SERVICE AGREEMENT II. This AGREEMENT shall be for one (1) year, with the option to renew for two (2) successive one (1) year periods, unless either party notifies, in writing, the other thirty (30) days prior to its intention to terminate this AGREEMENT. V. CITY RESPONSIBILITY: The City will extend to the contractor all cooperation necessary to permit the contractor to perform the services provided herein. Several comments I have regarding this bid proposal are as follows: 1) As per my phone conversation with you on April 19, 1993, I am notifying you that I do have liability insurance that meets the City's past requirements for the fire extinguisher service contract as well as the fire extinguisher licensing requirements as set forth by the City. 2) I would ask you to view with great skepticism any out of county bidders claim, desire, or ability to comply with the Scope of Services subsection 5. This is due to the low dollar amount that occurs with the very common 1 or 2 extinguisher incidental services that are sometimes needed in a hurry. 3) Due to the Montreal Protocol recommendations that Halon production be halted due to supposed ozone layer damage, it appears as of now that there will be very little Halon 1211 (used in portable Halon extinguishers) produced after December 31, 1993. Halons produced after this period will carry a Congressionally imposed floor tax for 1994 that far exceeds your current cost for replacement Halon. This tax will again dramatically increase in 1995 and 1996. I am therefore limiting my Halon 1211 price bid to 1993. Three local contractors submitted proposals this year, and Paulin's was selected on the basis of pricing and service. Paulin's has been a past contractor for the City and has provided excellent service and advice. The City currently has over 250 fire extinguishers located in over thirty (30) locations and its vehicles.
