I am writing because of concern that repairs and improvements that you are required to make under the terms of the lease have not yet been completed and could prevent the timely opening of Young's new restaurant. My client has received a copy of the letter addressed to you from Jim Lierly, building inspector for the City of Port Angeles, which letter is dated August 26, 2014. As you know, this letter warns that failure to complete the repairs and improvements identified therein, which are considered by the City to be "health and safety items," could delay Young from opening her business even though she will have completed all of the work she is required to do in order to open her restaurant. While this problem is more specifically identifed in the City letter, the issue include: • Problems with the sump pump in the lower level. • Need for a "Backwater valve" to prohibit sewage from entering the structure. • An approved sanitization method for maintenance of the lower floor and common areas. • Repair or replacement of the support beam at the south end of the lower level near the exit, in order to prevent injury to those using this exit. • Repair of roof leaks. • Approved storage system for sewer retention during a storm event. As you may recall, paragraph 4 of the lease agreement requires you to make Lane Wolfley September 2, 2014 Page 2 various repairs and improvements to the premises in order to accommodate the lessee's use. This included a "clean up of the entire lower level area located below the leased premises..." Some of these things were to be done within 30 days of signing of the lease which was in March. Paragraph 10 of the lease requires that, prior to commencement of the lease, "all plumbing and electrical systems shall be in good working order and capable of accommodating lessee's intended use of the premises." Paragraph 12 provides that, "[m]aintenance, upkeep and utilities for the common areas shall be the responsibility of the Lessor or its designated agent." Paragraph 15 of the lease provides that the lessor is responsible for the "presence or suspected presence of hazardous or toxic substances, organisms or materials... in or on the Premises or areas adjacent to the Premises..." It provides for indemnification of the lessee for "any and all costs incurred due to any "clean up, removal or restoration mandated by any federal, state or local agency or political subdivision..." As I am sure you are aware, it is extremely important to Young that these city required repairs and improvements be taken care of immediately. It is now close to six months since the lease was signed and there has been more sufficient time to deal with these issues. Further delay could result in damages.
