AGREEMENT between CLALLAM COUNTY FIRE DISTRICT #2 and CITY OF PORT ANGELES City of Port Angeles Record #000205 THIS AGREEMENT is made and entered into this day of A, 2011 by and between the City of Port Angeles (hereinafter referred to as the "City and Clallam County Fire District #2 (hereinafter referred to as the "District AUTHORITY: This agreement is made under the authority conferred to the parties by Chapter 39.34 RCW and shall be recorded or posted as required. WHEREAS, the City and District have agreed to transfer a reserve fire engine from the City to the District in order to achieve greater efficiency and effectiveness in the provision of emergency services; and WHEREAS, the City and the District agree that the District will assume full responsibility for maintenance, repair and storage of the vehicle; and WHEREAS, the City will benefit from this agreement through a shift in the cost of maintenance, repair and operation of this vehicle which would still be available for use by the City; and WHEREAS, the District will benefit from this agreement through the procurement of a firefighting vehicle that is in considerably better condition than an existing piece of apparatus that has reached the end of its useful life. NOW, THEREFORE, THE CITY OF PORT ANGELES AND CLALLAM COUNTY FIRE DISTRICT #2 agree as follows: 1. Purpose. The purpose of this agreement is to transfer ownership of a 1991 Pierce Lance Fire Engine from the City of Port Angeles to Clallam County Fire District #2. This fire engine has been replaced by the Port Angeles Fire Department with a new fire engine for its daily operations. 2. Maintenance. The District shall be responsible for all maintenance, repair and storage costs associated with the ownership of the fire engine and agrees to keep it in a good working condition to serve as reserve apparatus. 1 CITY OF PORT ANGELES By: By: r Attest: 3. Availability. The fire engine shall be retained by the District and made available to the City under the terms of an existing shared apparatus agreement of November 20, 2007. 4. Sale. If the District decides to sell the fire engine within five years of the asset transfer from the City, the District agrees to refund a pro -rate portion of the sale price to the City. 5. Complete Agreement. This agreement is the full and complete understanding of the parties and there are no other agreements, either verbal or written, which would alter the terms of this document.
