This Cooperative Purchasing Agreement is entered into by Kitsap County, a municipal
corporation, having its principal offices at 614 Division Street, Port Orchard, Washington,
98366 (County) and the City of Port Angeles, a Washington municipal corporation, having
its principal offices at 321 East 5 Street, PO Box 1150, Port Angeles, Washington 98362
(City).
SECTION 1. PURPOSE
In accordance with Chapter 39.34 RCW, the parties wish to establish a cooperative
governmental purchasing agreement for various supplies, materials, equipment and
services whereby one party may use the other party's competitively awarded contract.
SECTION 2. TERMS
a) Each party hereby agrees to extend to the other the right to purchase goods and
services under contracts awarded through its competitive bidding process.
b) Each notice issued by a party requesting competitive bids for goods or services shall
inform bidders of the right of other public entities to acquire goods and services from
the successful bidder.
c) Neither party shall be responsible to the other for the performance of any vendor.
d) Neither party shall be responsible to the other for payment to any vendor.
e) Both parties reserve the right to independently contract for goods and services and
may, without notice to the other, specifically exclude the other from purchasing
under specific purchasing contracts.
f) Any purchases by either party shall be affected by a purchase order from such party
and directed to the vendor.
g) Each party shall independently comply with any additional laws and other
requirements regulating purchases of goods and services.
h) This Agreement shall remain in force until terminated by thirty (30) days prior written
notice from one party to the other.
SECTION 3. ADMINISTRATION CONTRACT REPRESENTATIVES
No separate entity is being created by this Agreement. Rather, each party shall have a
representative to administer the contract. Either party may change its representative upon
providing written notice to the other party. The parties' representatives are as follows:

SECTION 4. DURATION TERMINATION
This Agreement shall continue in force and effect until cancelled in writing by either party.
SECTION 5. FILING
This Agreement shall be filed with the Kitsap County Auditor following execution by all
parties.
